1 Terms and Conditions 1. This marketing program ( Program ) is from Axis Bank Limited ( Axis ) under an arrangement with Mobitech Creations Private Limited ( Mobitech Creations Private Limited ). It is open to all residents of India holding a valid and active Axis Card ( Cardholder ) as per the BIN range shared and to whom a communication is sent by Axis and/or Mobitech Creations Private Limited. 2. The Validity of the Program ( Term ) is as per offer construct mentioned below in point 4, unless extended by Axis and Mobitech Creations Private Limited by mutual consent in writing. 3. All Axis Credit & Debit Cardholders, excluding Axis Corporate Credit Card with no payment outstanding of more than thirty (30) days after the reconciliation has been done by the bank, are covered under this Program. 4. The offer is only applicable on OnePlus 6T devices. a. OnePlus 6T Mirror Black (6GB + 128GB Memory) b. OnePlus 6T Mirror Black (8GB + 128GB Memory) c. OnePlus 6T Midnight Black (8GB + 128GB Memory) d. OnePlus 6T Midnight Black (8GB + 256GB Memory) e. OnePlus 6T Thunder Purple (8GB + 128GB Memory) f. OnePlus 6T McLaren Edition (10GB + 256GB Memory) 5. Under this Program, cardholder can avail the following offer a. Rs 2000 cashback on EMI transactions per card on OnePlus 6T on oneplus.in b. Rs 1500 cashback on Debit and Credit card (Non-EMI) transactions per card on OnePlus 6T on oneplus.in c. The offer at Mobitech Creations Private Limited can be availed only once per card between 15 th December till 24 th December The offer is also valid on Online EMI transactions done at Mobitech Creations Private Limited's official sales channels. An interest rate as applicable on individual channels on monthly reducing balance for EMI transactions on Axis Credit Card will be chargeable. 7. Offer is valid for only one transaction per card. Other Terms and Conditions: 1. Offer: INR 2,000 cashback on Purchase of OnePlus 6T smartphone using EMI with Axis Bank Cards and INR 1,500 cashback using Axis Bank Cards (non-emi transactions) at oneplus.in. 2. Offer is applicable only on purchase value of Rs. 20,000 on a per transaction basis. In other words, customers who purchase the product in accordance with the above and during the Offer Period will pay the list price of the Product determined by the sellers and receive stated cashback. 3. 2 4. Offer is applicable only on Amazon.in (website, mobile site, and mobile app), Oneplus.in, Experience Store (Bangalore), authorized stores and Croma outlets, Reliance Digital stores. 5. Offer is applicable on Axis Bank Credit & Debit Cards. Offer is not applicable on Corporate Credit Cards. 6. This Offer will also be applicable on purchase of Product with Axis Bank Card under an exchange offer (if available and applicable on the Product), provided that the amount to be paid on the Axis Bank Card, after the exchange offer is applied, - is not less than INR 20,000. For the avoidance of doubt, in the event the amount payable with Axis Bank Card, after the exchange offer is applied, is less than INR 20,000, such Cardholders will not be entitled to avail the Offer. 7. The Offer can be availed only once per card. In other words, in the event a customer avails the Offer using a Card in accordance with these Offer Terms, such customer will not be entitled to avail the Offer again using the same Card (whether such customer buys the same Product or a different variant of the Product). 8. This Offer will not be applicable if the Cardholder or the seller or Amazon cancel the order and/or the Cardholder returns the Product and, in such a case, participation in the Offer will be deemed withdrawn. In such a scenario, only the net amount paid by the Cardholder will be refunded. In other words, the instant discount will not be refunded or. 9. Delinquent and over-limit Bank's credit card members will not qualify for this Offer. 10. This Offer is not available on: (i) purchase of products other than the Product, or (ii) purchase of Products from sellers other than the Participating Seller(s), or (iii) purchase of Product using a card other than the Card(s). 11. Any person availing this Offer will be deemed to have accepted these Offer Terms. 12. All Customer Queries/dispute on the offer should be raised during the offer period or by January 24, For any disputes, the customer needs to furnish a scanned copy of invoice for the case to be taken for further investigation 13. The offer is not transferable, non-negotiable and cannot be en-cashed. 14. Incomplete / rejected / invalid / returned /disputed or unauthorized/fraudulent transactions will not be considered for the offer. 15. In case there is more than one offer available simultaneously, no two offers can be combined by the participant. It shall be entirely at discretion of Axis Bank to consider any exceptions to the above. 16. Axis Bank will not be responsible or liable in case the offer is not configured or could not be availed due to malfunction, delay, traffic congestion on any telephone network or line, computer on-line system, servers or providers, computer equipment, software, or website. 17. The participation in the offer is entirely voluntary and it is understood, that the participation by the Cardholders shall be deemed to have been made on a voluntary basis. 2

3 18. Axis Bank and Amazon reserve the right to modify / alter the offer or all or any of the terms applicable to the offer without assigning any reasons or without any prior intimation whatsoever. Axis Bank also reserves the right to discontinue the offer without assigning any reasons or without any prior intimation whatsoever. 19. In case of all matters relating to the offer including any dispute or discrepancy relating to the offer or eligibility of any Cardholder, Axis Bank s decision shall be final and binding on Cardholders in all respects. 20. Images provided in promotions are only for pictorial representation and Axis Bank does not undertake any liability or responsibility for the same. Offer shall not constitute or be deemed to constitute an advice, invitation or solicitation to purchase any products/ services of Amazon or any third party and is not intended to create any rights and obligations. 21. The offer by Axis Bank is subject to applicable laws and regulatory guidelines/ regulations and as per bank's extant guidelines from time to time. 22. Bank may use the services of agents for sales / marketing of the products. Copy Rights of Axis Bank Limited. All rights are reserved. 23. Axis Bank shall not be liable in any manner whatsoever for any loss/ damage/ claim that may arise out of use or otherwise of any goods/ services availed of by the Card Holder/s under the offer. 24. Axis Bank shall not be held liable for any delay or loss that may be caused in delivery of the goods and /or services under the offer. 25. Amazon & Axis Bank retain the right to change or discontinue the Offer at any time during the Promotion Period. The decision of Amazon & Axis Bank with respect to the Offer shall be final and binding on the customer and any correspondence in this regard will not be entertained. 26. Amazon & Axis Bank reserve the right to disqualify any cardholder from the benefits of the offer if any fraudulent activity is identified as being carried out for the purpose of availing the benefits under the offer or otherwise by use of the Card. 27. All taxes, duties, levies or other statutory dues and charges payable in connection with the benefits accruing under the offer shall be borne solely by the cardholder and Axis Bank will not be liable in any manner whatsoever for any such taxes, duties, levies or other statutory dues. 28. The terms and conditions governing the offer shall be in addition to and not in substitution / derogation to the Primary Terms and Conditions governing the Credit Card / Debit Card issued by Axis Bank 29. The offer is not available wherever prohibited and products/ services for which such programs cannot be offered for any reason whatsoever. 30. Any person taking the advantage of this offer shall be deemed to have read, understood and accepted these terms and conditions. 31. Any dispute relating to the offer or the terms and conditions shall be subject to the jurisdiction of the courts in Mumbai only. 32. Amazon Terms & Conditions applicable 33. Offer is also applicable on EMI purchases. Please refer below: 3

4 EMI Terms and Conditions: 34. If customer opts for foreclosure or cancellation of EMI facility, customer will have to inform the customer service of Axis bank for discontinuing the EMI facility. The cancellation will not be automated. EMI cancellation request should be given at least 1 working day before the due date. 35. Axis Bank shall not be obliged to make any public announcements to intimate the successful Cardholders about the cash back under the offer. 36. The offer is not available wherever prohibited and products/ services for which such programs cannot be offered for any reason whatsoever. 37. Axis Bank reserves the right to disqualify any cardholder from the benefits of the offer if any fraudulent activity is identified as being carried out for the purpose of availing the benefits under the offer or otherwise by use of the Card. 38. In case of any matters relating to the offer including any dispute or discrepancy relating to the offer or eligibility of any Cardholder, Axis Bank s decision shall be final and binding on Cardholders in all respects. 39. All other EMI terms and conditions remain the same. Please refer The above offer (hereinafter, the Offer ) is by way of a special offer for Axis Credit & Debit Cardholders only and nothing contained herein shall prejudice or affect the terms and conditions of the card agreement and Convert2EMI terms and conditions. The terms of the above offer shall be in addition to and not in derogation of the terms contained in the card agreement and Convert2EMI terms and conditions. 41. Any query regarding the Offer will be entertained only till the Offer Duration. Post such dates, Axis & Mobitech Creations Private Limited will not entertain any correspondence or communication regarding this Program from any persons. 42. In case of cancellation of your order, transaction will not qualify for the Offer. 43. Axis does not endorse any of the products or brands being offered under the Program and will not accept any liability pertaining to the quality, merchantability, fitness, delivery, or after sales service of such products. 44. All the existing offers, gifts, discounts etc. that are being offered can be availed by the Cardholders as part of this exclusive offer as mentioned in the communication. 45. Pictures of products shown in the communication sent to the customer either through mailers or advertised on the website, are representative only and may not bear a resemblance to the actual products. None of the parties shall under any circumstances be responsible towards the same. 46. Returned transactions, disputed or unauthorized/fraudulent transactions will not be considered for the Offer. 4

5 47. Under no circumstance will the offer/discount being offered under this Program be settled with cash in lieu by Axis or by Mobitech Creations Private Limited. 48. Axis will not entertain any correspondence regarding the validity or acceptability of any additional benefits offered by Mobitech Creations Private Limited on products/services other than the Offer and the same shall be at the sole risk and consequences of Mobitech Creations Private Limited and without reference to Axis. 49. All government levies like Sales Tax, TDS, any Local Tax, Octroi etc., shall be payable by the Cardholder as applicable at the time the respective Programs were offered. 50. Cardholders are not bound in anyway to participate in the Programs. Any such participation is voluntary and the same is being made purely on a best effort basis. 51. This Offer shall be subject to all applicable laws, rules and regulations which are in existence and which may be promulgated anytime by any statutory authority. 52. Axis and Mobitech Creations Private Limited reserve the right, at any time, without prior notice and without assigning any reason whatsoever, to add/alter/modify/change or vary all of these terms and conditions or to replace, wholly or in part, this offer by another offer, whether similar to this Offer or not, or to extend or withdraw it altogether. 53. Any person availing this Offer shall be deemed to have accepted these terms and conditions. 54. This Agreement shall be governed by the laws of India, without respect to any applicable conflict of law provisions. Any disputes arising out of the Offer shall be subject to arbitration by a sole arbitrator to be appointed by Axis for this purpose. The proceedings of the arbitration shall be conducted as per the provisions of Arbitration and Conciliation Act, The place of arbitration shall be at Mumbai for Axis and language of arbitration shall be English. The existence of a dispute, if any, shall not constitute a claim against Axis. 5

6 SCHEDULE VI Terms and conditions for use of Bank s Trademark 1. Bank has permitted Mobitech a limited, non-exclusive and royalty free right to use the following Logo/Trademark of the Bank, which Mobitech is required to exercise in accordance with the provisions of this Agreement and following terms & conditions. 2. The general terms and conditions for the use of Bank s Trademark are as follows: a. The brand name shall be prominently displayed on Mobitech s Marketing Communication; b. Mobitech is prohibited from using any other Trademarks or other Marks of the Bank, unless specifically authorized in writing. c. Mobitech shall use above Logo/Trademark in specified size, colour and the format, as provided hereinabove. No variation in specified size, colour and the format permitted, unless prior written approval from the bank. d. Mobitech is required to obtain specific written approval from the Bank in case they propose to use of the Logo/Trademark in social media, on the internet or over the mobile (messenger applications, chat applications, etc), except permitted herein. e. Mobitech shall while using the Logo/Trademark of the Bank, should indicate appropriate disclaimer that said Trademark belongs to the Bank and it is being used by way of its authorized use and not otherwise. f. Mobitech shall keep records of all activities provided, promoted, marketed and commercialized in any manner with respect to the Logo/Trademark use permitted herein, in sufficient detail and for the term as prescribed by the bank and as per the applicable laws and Mobitech shall share the all such records for the inspection or necessary audit, legal/regulatory compliances, as per the requirement of the Bank. 6
