1 INVITATION FOR PROPOSALS BY THE STATE OF NORTH CAROLINA FOR PROVIDING DISTRIBUTED ANTENNA SYSTEM (DAS) The following specifications must be considered and accepted prior to presenting a proposal to license the areas offered by the State of North Carolina for the installation of a DAS. Instructions to Proposers 1. Proposal Form: Proposals must be submitted, on the proposal forms attached hereto. Additional copies of the Invitation for Proposals and proposal forms may be obtained from North Carolina Department of Administration, State Property Office, 116 W. Jones Street, 1321 Mail Service Center, Raleigh, NC Statement of Qualifications of Proposer: All questions included in the statement of qualifications of Proposer, attached to the proposal form, must be answered. Additional sheets may be used to furnish complete information on any question. The information furnished on this statement will be given substantial weight in making award. 3. Execution of Proposals: Each proposal must give the full address of the Proposer and be signed with his usual signature. A proposal executed by an attorney or agent on behalf of the Proposer shall be accompanied by an authenticated copy of his Power of Attorney or other evidence of his authority to act on behalf must be executed and attached. If the proposal is signed by the Secretary of the Corporation the certificate must be executed by, some other officer or the corporation under the corporate seal. In lieu of a certification of corporate Proposer there may be attached to the proposal copies of so much of the records of the corporation as will show the official character and authority of the officer signing, duly certified by the secretary or assistant secretary under the corporate seal to be true copies. 4. Submission of Proposals: It will be the duty of each Proposer to see that his proposal is delivered by the time and at the place prescribed in this invitation. Proposals received prior to the time of opening will be securely kept, until the time for opening proposals. The agent whose duty it is to open them will decide when the specified time has arrived, and no proposals received thereafter will be considered. No responsibility will attach to an agent for the premature opening of a proposal through inadvertence or one not properly addressed and marked. Facsimile proposals will not be considered. 5. Procedure for Awarding License: 1) Following the opening, the State will analyze the proposals received to determine whether any of the proposals require clarification, and if so, the State will, by letter, request the specific clarification data required. The State may require any Proposer to furnish additional evidence of his financial condition and, in appropriate cases, of his ability to assume the obligations and responsibilities imposed by the terms and conditions of the license, in the form of a performance Invitation for Proposals Distributed Antenna System Page 1

2 bond and such other information as may considered desirable. No Proposer will be permitted, in connection with submission of the above information, to alter any pertinent factors contained in his original proposal. Failure of an Proposer to submit any of the above information, within such reasonable time as may be prescribed by the State may be the basis for rejection of his proposal. However, the State reserves the right to further negotiate any provision it deems to be in the public's interest. 2) The license will be awarded to the Proposer who is determined to be the most qualified financially and by virtue of experience, character and otherwise, to provide the most satisfactory facilities and services determined necessary for the proposed site. Rental income received by the State will also be an important factor. 6. Rejection of Proposals: The State reserves the right, as its interest may require, to reject any and all proposals and to accept or reject any items of any proposals unless the proposal is qualified by a specific limitation. Notice of award, if not given to the Proposer personally or to the duly authorized representative of such Proposer, will be deemed to have been sufficiently given when mailed in a postpaid envelope to the Proposer to the address indicated in his proposal. 7. Default: In the event of failure on the part of the successful Proposer or Proposers to execute a license within fourteen (14) days after the presentation to him of a draft of license for execution or his failure to pay any balance of the rental due the State under the terms and conditions of his license, or upon the failure of the successful Proposer to otherwise comply with the times of the invitation for proposals or the enclosures thereof, time being of the essence, the State may declare the Proposer in default and his deposit will be retained as liquidated damages. 8. Warranty: The property described herein will be licensed subject to the provisions and conditions of this invitation for proposals; therefore, Proposers are expected to examine the property and to form their own conclusions as to its suitability for the stated purposes. The State makes no guaranty or warranty, either expressed or implied, with respect to the property. 9. Pre-Proposal Conference. Prepare any questions that you desire to have answered at the voluntary pre-proposal conference to be held at 10:00 a.m. on Wednesday, February 16, 2011 in the Press Box in Vaughn Towers located at Carter Finley Stadium, Raleigh, NC. The property involved is available for inspection by prospective Proposers during the pre-proposal conference. 10. Proposal Subject to These Terms: All proposals submitted shall be deemed to have been made with full knowledge of all the terms, conditions, and requirements contained in this invitation and enclosure thereto. 11. After carefully reading the specifications, submit your sealed proposal on the proposal sheet to: State Property Office 1321 Mail Service Center Raleigh, North Carolina The outside of the sealed envelope must be clearly marked: LICENSE PROPOSAL ENCLOSED DISTRIBUTED ANTENNA SYSTEM CARTER FINLEY STADIUM CUTOFF DATE: FEBRUARY 23, 2011 For your proposal to be qualified, it must reach the State Property Office no later than 4:00 p.m. on February 23, FAXED OR ED PROPOSALS ARE NOT ACCEPTABLE. The selected proposer must be in existence and legally qualified to do business in the State of North Carolina no later than February 23, SPACE TO BE LICENSED. The proposed licensed areas are located in Carter Finley Stadium. Plans for the premises will be provided upon request. The State proposes using available facilities including required electrical power, HVAC and State-owned fiber connectivity for the DAS where available. The State assumes that the proposed DAS network will consist of microcellular nodes (microcells) located in a designed pattern to provide a high quality RF signal presence in the required areas. Centralized hub equipment is expected to interconnect the nodes and distribute the wireless carrier s RF signal via State-owned fiber-optic cable where available, or Proposer provided infrastructure if necessary. The architecture is presumed to be comprised of multi-protocol, frequency-independent microcellular nodes. Within each microcell, each wireless carrier will be afforded their individual RF signal path(s) allowing as much autonomy as possible. The microcells will be connected to a centralized Hub or base station locations, where the wireless carriers connect to their specific base station electronics. The solution shall be flexible enough to extend a variety of spectrum allocations to the node groups. The Hub shall scale to support multiple base stations. The microcell s wide-area distribution shall appear logically to resemble a horizontal macro tower with access shared amongst multiple wireless carriers. 14. MINIMUM REQUIREMENTS The DAS should be capable of providing ubiquitous and robust outdoor wireless coverage for all current and future cellular carriers frequencies The DAS must accommodate any commercial wireless carrier on the property to enhance coverage An annual cellular coverage and capacity survey will be performed in order to insure robust coverage and capacity is available. 4 14.4 Bi-annual traffic statistics by DAS node will be provided The successful proposer shall sublicense with other cellular Proposers. Such sublicenses are subject to prior approval by NCSU and the State Property Office. 15. LICENSE TERM. The term of the license will be five (5) years with two (2) five (5) year renewal options requiring mutual acceptance. The proposer shall include the proposed license term in its proposal. 16. RENTAL. Rent for licensed premises shall be payable on a monthly basis. Rental shall be increased with each additional carrier. State prefers to receive a percentage of sublicense proceeds. 17. RESTRICTIONS ON USE. The licensed area is licensed by the Proposer to the Licensee for the sole purpose of installing a distributed antenna system. 18. IMPROVEMENTS/ALTERATIONS BY LICENSEE. Licensee shall submit plans and designs for the system to the NC State University Real Estate Office and State Construction Office, NC Department of Administration for review and approval prior to making any improvements or alterations to the licensed premises. All improvements or alterations erected or made on the Premises may become the property of Proposer upon expiration or termination of the license or must be removed by Licensee within three (3) months of expiration or termination of the license, at Proposer s discretion. All improvements allowed to remain shall be given to Proposer in good and safe condition. 19. DESTRUCTION OF PREMISES. Proposer may, at its option, rebuild the underlying structure in the event of partial or total destruction. In the event that Proposer decides to rebuild, Licensee may rebuild at its option. 20. INSURANCE REQUIREMENTS. During the terms of the license and for as long hereafter as may be necessary, Licensee, at its sole cost and expense, shall provide commercial insurance of such type and with such terms and limits as may be reasonably associated with the contract. As a minimum, Licensee shall provide and maintain the following coverage and limits; Automobile - Automobile Liability Insurance, to include coverage for liability, comprehensive, and collision. The minimum limits shall be $1,000,000/$2,000,000 bodily injury; $1,000,000 property damage; $100,000 uninsured/under-insured motorist; and $1,000 medical payment. Commercial General Liability - General Liability Coverage, on a Comprehensive Broad Form on an occurrence basis in the minimum amounts of $5,000,000/$5,000,000 Combined Single Limit (C.S.L.). (Defense cost shall be in excess of the limits of liability) In addition, there shall be sub-limits of $1,000 premises medical payment per person; $10,000 premises medical payment per accident; and $100,000 care custody and control. 5 Workers Compensation - The contractor shall take out and maintain during the life of this contract Workmen's Compensation Insurance as required by law for all of his employees. The contractor shall require the sub-contractor similarly to provide Workmen's Compensation Insurance for all the latter's employees, unless such employees are covered by the protection afforded by the contractor. Employers Liability (Section B) limits of $1,000,000. Providing and maintaining adequate insurance coverage is a material obligation of Licensee. All such insurance shall meet all legal requirements. Such insurance coverage shall be obtained from companies that are authorized to provide such coverage and that are approved by the State. Licensee shall at all times comply with the terms of such insurance policies, and all requirements of the insurer under any of such insurance policies, except as they may conflict with existing law, permit conditions or this Agreement. The limits of coverage under each insurance policy maintained by Licensee shall not be interpreted as limiting the Licensee s liability and obligations under this Agreement. The State of North Carolina shall be named as additional insured on all policies. All of the above insurance shall be secured from companies licensed to do business in the State and with an A.M. Best rating of A+ or better. Certificates attesting to the existence of such insurance coverage must at all times be deposited with the NC State Property Office. Such policies shall contain a provision that coverage afforded under the policies will not be cancelled, reduced in amount, or coverage eliminated until at least thirty days after mailing written notice, by certified mail, to the Proposer. 21. HOLD HARMLESS. Proposer shall not be responsible for any contracts, agreements, or transactions of Licensee in connection with said sales of products and merchandise conducted by Licensee and shall not be liable for any damage growing out of said sales. Licensee agrees to indemnify and hold harmless Proposer, its officers, employees and agents, against any claims, damages, or obligations or suits arising out of or in any manner connected with the use of the Premises by Licensee, its assigns, invitees, contractors, employees, or agents. 22. COMPLIANCE WITH RULES AND REGULATIONS. Licensee shall observe, obey, and comply with any and all existing or future laws, regulations, rules, ordinances, orders, and requirements of the Federal, State, County, City and Municipal government or any governing body or subpart of a governing body (including safety and public service entities), which relate to the management and regulation of the Premises and related facilities, regardless of whether such compliance is ordered or directed against Proposer, Licensee or both. Licensee will require the same obedience and compliance by its assigns, officials, agents, employees and invitees, and all other persons for whose conduct Licensee is responsible or over whom Licensee exercises or has authority to exercise control. Licensee will obtain at its own expense all licenses, permits, and union and trade organization clearances required by any entity for use by Licensee of the Premises. Proposer shall be responsible for any alterations or improvements to the building structures, electrical and water systems furnished by the Proposer which may be Invitation for Proposals Distributed Antenna System Page 5

6 required by applicable laws, ordinances, rules or regulations of governmental entities, unless such alterations or improvements are necessitated by the nature or extent of Licensee s installation of any alterations or improvements to the Premises and is not otherwise the responsibility of Proposer pursuant to the license agreement. 23. REQUEST FOR INFORMATION SPECIFIC TO THIS RFP. Proposer must submit the following information with its proposal: 23.1 Design and Installation Describe Proposer s overall strategy for selecting the proposed type of project design and equipment for the project, including the ability to meet the needs of new technologies and geographic requirements as they arise Describe the DAS design including link budgets, fiber route designs and distance limitations, equipment specifications (e.g. IMD, reliability, environmental), and any other information that is pertinent to the project design Provide detailed information as to the type and amount of fiber optic cable required to support the DAS, both initially and with reasonable expected growth Describe the electrical, HVAC, floor space, weight loading, and access requirements for the project design including the potential use of either AC or DC power Describe Proposer s equipment and fiber maintenance plan, giving specific consideration as to how Proposer intends to preserve the condition of the equipment and fiber used in the project over the term of the agreement Explain fiber transport characterization, failure identification, analysis and repair for MTBF compliance. Contractor shall indentify any desired fiber path diversity List any and all RF frequencies Proposer is licensed to transmit in the area to be covered Indicate the method and procedures for implementation testing and acceptance Operations and Maintenance Describe the typical roles and responsibilities for operating, monitoring, and maintaining the DAS Describe how you plan to develop wireless carrier use of the DAS in a reasonable time to ensure success of the program. 7 Describe your ability to manage the system 24 x 7 x Describe the methodology used to resolve technical issues among participating DAS wireless carriers Explain how Proposer will respond to emergencies and network failures including response time and escalation procedures Describe the redundancy, resilience, and survivability of the proposed DAS and all of its components List the location(s) of any network operations center or equivalent monitoring center The DAS shall be designed such that alarm and status information is available to the State and the wireless carriers. Plicense describe The Proposer shall initiate corrective actions, including field dispatch. The Proposer must also keep wireless carriers and State contacts informed of the problem and resolution status Future Technology Issues and Growth Accommodation Describe how the proposed DAS may be upgraded/scaled to support wider geographic or remote areas and new and/or more advanced technologies Describe how Proposer plans to acquire licenses as new Proposers come into the area Business Information Make a brief statement as to your overall business strategy and why your company is qualified to meet the University s goals Describe your business models for building and operating a DAS that have had proven success Describe in detail Proposer s plan for installing the DAS and acquiring the rights to use required infrastructure needed Recommend an evaluation and assurance process to ensure quality of service for DAS and carriers Explain how you evaluate, decide and fund upgrades for the DAS. 8 Provide a list of Proposer s Master Agreements with wireless operators and their reference contracts, Proposer s existing networks on air (and length Provide a project estimate and projected revenue streams from the project on a per node basis. 24. SCOPE OF WORK. Proposer will provide the following services: 24.1 Design DAS Conduct a spectrum analysis of current RF usage to determine impact on proposed system and produce a report Engineer and provision fiber transport based on existing and planned routes. If applicable, the Proposer shall design and document the implementation of laterals where new fiber must be routed to the DAS electronics point of interconnect, and the implementation termination electronics Provide detailed planning maps that precisely indicate areas requiring RF signal enhancement (including internal building coverage), detailed maps of the new predicted coverage levels, and related systems design review documents Specify location type and characteristics of all interface points for equipment, signals, frequency, bandwidth, wavelength, and roles and responsibilities of process sufficient to clearly produce reliable electrical, mechanical, and process interaction through all systems integration and operations Document standard test methods and procedures for common implementation testing and acceptance at each Provide clear detail of fault, performance and configuration tool interactions with a Network Management System (NMS), allowing accurate information distribution across the NMS. Details regarding Proposer s NMS must be provided during the design review checkpoint Acquire and Install the DAS Provide flowchart indicating the roles and responsibilities of all anticipated and assumed participants in the process, including, but not limited to, procurement, engineering, deployment, integration and operation of the completed system. 9 Describe unescorted access requirements to the campus including any office, storage, parking (including, but not limited to construction trailers), etc.; and security precautions implemented by your firm Include all necessary antennas, RF cables, mounting, electronics, fiber interconnections, power systems, uninterruptible power systems (battery backup) software, and other equipment for a fully operational and manageable wireless infrastructure to support wireless carrier operations Following implementation, the Proposer shall provide documentation of measured signal levels for acceptance by the State. The resolution of the survey will be specified by the State Market, negotiate, and execute agreements with all interested licensed wireless carriers (with State approval). The State prefers that all local carriers be part of the DAS Operate and maintain DAS at an industry standard wireless carrier service level All configurations requested herein involve interaction between the State and Proposer. All configurations will require approval by the State The Proposer shall commit to rapid resolution of any inter-system interference at the RF level, the digital signaling levels, or in mechanical or electrical connections. The Proposer shall provide a statement of interference resolution for RF interference, electrical mechanical interference, digital and/or optical interference. 25. QUALIFICATIONS. All proposers must possess, at a minimum, experience in designing and installing similarly-sized systems 26. INFRASTRUCTURE AND SYSTEM SPECIFICATIONS 26.1 Proposer shall complete a structural analysis showing installation passes structurally Proposer shall provide adequate cooling to dissipate equipment heat generation for the main equipment room Proposer installation will use the facility s power panel to power the DAS, associated BTS, components thereof Proposer installation will use facility s generator for backup power, if applicable Proposer shall install battery backup for the DAS system, including associated BTS and components. 10 26.6 All Proposer equipment will be connected to a power source provided by the facility. Power will be backed up by a Proposer installed battery backup. Proposer will locate main equipment room in a separate self contained shed or box on the grounds to be located generally TBD. Pricing for Services Offered Describe how the project will be financed and provide clear evidence of available funds designated for this project, including, but not limited to: anticipated revenue sharing plans, cost schedules, carriers contracts, etc. 2. Delivery Schedule of Events and Time Periods 3. Rental amount offered. Also describe how rental will be increased with each additional carrier. 4. Does your proposal utilize a fault tolerant redundant configuration? 12. Does your proposal utilize CWDM or DWDM? If so, describe. 13. Refer to Section 23 of the Invitation for Proposals by the State of North Carolina for Providing a Distributed Antenna System (DAS) for additional information required. By submitting this proposal, the Proposer certifies the following: This proposal is signed by an authorized representative of the firm. It can obtain insurance certificates as required within 10 calendar days after notice of award. The cost and availability of all equipment, materials, and supplies associated with performing the services described herein have been determined and included in the proposed cost.
