September 7, 2016 Re: Request for Proposal Asphalt Pavement Crack Routing & Sealing and Slurry Leveling FY17 The Black Hawk County Engineer is accepting proposals to rout & seal and slurry level asphalt pavement cracks at various locations in Black Hawk County. Proposals should include all necessary traffic control. All methods and materials shall comply with the most recent Iowa Department of Transportation Standard Specifications for Highway and Bridge Construction and all applicable standard road plans. The Contractor shall submit a certification of proposed material with their proposal. Maps are enclosed showing the locations of work required. Proposals shall include the Contractor s estimated lineal foot of cracks per roadway location and a cost per linear foot. The proposal shall also include a cost per linear foot of slurry leveling. The slurry leveling of the Dunkerton Road centerline shall be completed prior to any crack sealing work so it is completed prior to a centerline pavement re-striping project that is also scheduled for this fall. The roadway locations for crack routing and sealing are in order of importance and shall be completed in that order. The County Engineer reserves the right to remove roadway segments from the routing and sealing work in order to meet a budgeted dollar amount not to exceed $66,000. If this amount is not reached after a full roadway location is completed, then the next roadway location will be partially sealed in a manner specified by the County Engineer until the budgeted amount is reached. The work is to be completed no later than November 30, There is a $100 per day liquidated damage charge if not completed by this date. Sealed proposals will be received until 4:00 p.m. CDT, Monday, September 26, 2016 at the County Engineer s Office, 316 E 5th Street, Suite 211, Waterloo, Iowa Proposals must be filed on the documents furnished by the County and sealed prior to submission. 2 Preparation of Proposal Black Hawk County reserves the right to reject any or all bids and to waive any minor informality or irregularity in quotes received, if doing so best serves the interests of the county. A contract award will be based on the total value proposed, including price, quality, and service, among other parameters that will conform to this Request for Proposal. We reserve the right to accept all, or part, or reject any proposal entirely. Only signed proposals, submitted on forms furnished by Black Hawk County will be considered. It will be assumed the bidder is familiar with the requirements of any and all specifications. Any unauthorized changes in or additions to the proposal form, including any reservations, will be considered sufficient grounds for rejection. Any exceptions to the specifications should be noted. Bidders may explain exceptions on a separate sheet of paper enclosed with the other bidding documents. The proposal shall be signed by a duly authorized representative or agent of the Contractor and such signature constitutes proof of that person s authority to bind the Contractor. Taxes: Prices quoted shall not include state or federal taxes from which the County is exempt. An exemption certificate will be furnished by Black Hawk County upon request by the Contractor. Freight: All delivery charges shall be included in the bid price and paid by the Contractor. Black Hawk County will not be liable for any freight claims or unpaid freight bills arising from this purchase. Certificate of Insurance: Awarded Contractor shall provide a Certificate of Insurance naming Black Hawk County as Additional Insured for coverage in accordance with Black Hawk County policy. See Attachment B Minimum Insurance Requirements. Performance Bond: Awarded Contractor shall provide a Performance Bond in the amount of 100 percent (100%) of the value of the contract. Bonds are to be by cash or by an insurance carrier recognized and approved by the State of Iowa or approved by the County. Work Zone Safety: When performing work within the right-of-way, the Contractor agrees that for all work done in the county road right-of-way, easement or other county property, that they shall be solely responsible for work zone safety and shall hold the county harmless and agree to indemnify the county from all claims that arise from their work in the right-of-way, and further, they agree that they will adhere to the Manual on Uniform Traffic Control Devices (MUTCD) during the project. The Contractor is responsible for providing, installing, maintaining, and cleaning warning signs and protective devices; removing warning signs and protective devices when the work is complete; and providing flaggers for the protection of the traveling public and workers on the site. 2

3 Infringement: The Contractor warrants the goods to be sold or used shall be delivered free of the rightful claim of any third party by way of infringement. Bid Withdrawal: No bid shall be withdrawn for a period of 30 days after the scheduled receipt of the bids without the consent of Black Hawk County. Agreement: This service agreement/contract incorporates by reference the request for proposal as a part of this agreement. 4 APPENDIX A TITLE VI ASSURANCES During the performance of this contract, the contractor, for itself, its assignees and successors in interest (hereinafter referred to as the contractor ) agrees as follows: 1. Compliance with Regulations: The contractor shall comply with the Regulations relative to non-discrimination in Federallyassisted programs of the Department of Transportation (hereinafter, DOT ) Title 49, Code of Federal Regulations, Part 21, as they may be amended from time to time, (hereinafter referred to as the Regulations), which are herein incorporated by reference and made a part of this contract. 2. Non-Discrimination: The contractor, with regard to the work performed by it during the contract, shall not discriminate on the grounds of race, color, national origin, sex, age, or disability in the selection and retention of subcontractors, including procurement of materials and leases of equipment. The contractor shall not participate either directly or indirectly in the discrimination prohibited by section 21.5 of the Regulations, including employment practices when the contract covers a program set forth in Appendix B of the Regulations. 3. Solicitations for Subcontracts. Including Procurement of Materials and Equipment: In all solicitations either by competitive bidding or negotiation made by the contractor for work to be performed under a subcontract, including procurement of materials or leases of equipment, each potential subcontractor or supplier shall be notified by the contractor of the contractor s obligations under this contract and the Regulations relative to non-discrimination on the grounds of race, color, national origin, sex, age, or disability. 4. Information and Reports: The contractor shall provide all information and reports required by the Regulations or directives issued pursuant there to, and shall permit access to its books, records, accounts, other sources of information, and its facilities as may be determined by the County, the Iowa Department of Transportation or Federal Highway Administration to be pertinent to ascertain compliance with such Regulations, orders and instructions. Where any information required of a contractor is in the exclusive possession of another who fails or refuses to furnish this information the contractor shall so certify to the County, the Iowa Department of Transportation or the Federal Highway Administration as appropriate, and shall set forth what efforts it has made to obtain the information. 5. Sanctions for Non-Compliance: In the event of the contractor s noncompliance with the non-discrimination provisions of this contract, the County shall impose such contract sanctions as it, the Iowa Department of Transportation or the Federal Highway Administration may determine to be appropriate, including, but not limited to: a. withholding of payments to the contractor under the contract until the contractor complies, and/or b. cancellation, termination, or suspension of the contract, in whole or in part. 6. Incorporation of Provisions: The contractor shall include the provisions of paragraphs one (1) through six (6) in every subcontract, including procurement of materials and leases of equipment, unless exempt by the Regulations, or directives issued pursuant thereto. The contractor shall take such action with respect to any subcontract or procurement as the County, the Iowa Department of Transportation or the Federal Highway Administration may direct as a means of enforcing such provisions including sanctions for non-compliance: Provided, however, that, in the event a contractor becomes involved in, or is threatened with, litigation with a subcontractor or supplier as a result of such direction, the contractor may request the County or the Iowa Department of Transportation to enter into such litigation to protect the interests of the County or the Iowa Department of Transportation; and, in addition, the contractor may request the United States to enter into such litigation to protect the interests of the United States. 4

5 Attachment B Minimum Insurance Requirements The following section shall be incorporated into specifications for any bid solicited by Black Hawk County and into any contract or agreement entered into by Black Hawk County. A. At all times during the contract/agreement the outside party will carry and maintain, at the outside party s expense, the following insurance: 1. Commercial General Liability Insurance Policy, including but not limited to, insurance for premises construction operations (when applicable), contractual liability, completed operations with respect to liability arising out of the ownership, use, occupancy or maintenance of the premises and all areas appurtenant thereto, to afford protection with respect to bodily injury, personal injury, death or property damage of not less than One Million Dollars ($1,000,000) per occurrence combined single limit, Two Million Dollars ($2,000,000) general aggregate and One Million ($1,000,000) Dollars in Umbrella Liability. 2. Comprehensive Automobile Liability Insurance Policy with limits for each occurrence of not less than One Million Dollars ($1,000,000) Combined Single Limit with respect to bodily injury, property damage or death. 3. Workers Compensation Insurance Policy or similar insurance in form and amounts required by law. B. Should the bid require design elements (i.e. architectural, engineering, or professional system designs), the outside party may be required to carry professional errors and omissions coverage with a limit for each claim of not less than One Million Dollars ($1,000,000). C. Coverage must be maintained by a financially stable carrier with a minimum AM Best rating of A-. It will be the outside party s responsibility to provide proof of its carrier s rating. D. The outside party shall agree to the following: 1. Black Hawk County will be named as an additional insured with respect to all casualty insurance policies. 2. A certificate of insurance will be submitted to the Engineer s office prior to commencement of the contract/agreement and shall include a thirty-day notice of cancellation provision. 3. If the outside party fails to perform any of its obligations under the County s insurance and policy requirements, Black Hawk County reserves the right to either purchase the required insurance coverage and assess the cost directly to the outside party or to declare the outside party s bid invalid. 4. Hold Harmless Agreement The outside party shall indemnify and hold harmless Black Hawk County, its agents and employees, from and against all claims, damages, losses and expenses including attorneys fees arising out of or resulting from the performance of the work, provided that any such claim, damage, loss or expense: a. is attributable to bodily injury, sickness, disease or death, or to the damage to or destruction of tangible property (other than the work itself) including the loss of use resulting therefrom, and b. is caused in whole or in part by any negligent act or omission of the outside party or its subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable, regardless of whether or not it is caused in part by a party indemnified hereunder. c. Each contract/agreement shall contain the following language (when applicable): Contractor/Permitee/Licensee agrees that for all work done in the county road right of ways, easements and county property, it shall be solely responsible for work zone safety and shall hold the County harmless and agree to indemnify the County for all claims that arise from its work in the right of way, and further, it agrees that it will adhere to the Manual on Uniform Traffic Control Devices during the project.
