Box Hazen Drive Concord, NH January 10, 2018 Re: Aboveground Storage Tank Registrations for,merrimack Station,Schiller Station Dear Mr. Juranty: Public Service Company of New Hampshire, d/b/a Eversource Energy ("PSNH") and Power LLC ("") entered into a Purchase and Sale Agreement dated October 11, 2017 ("PSA") regarding the sale of the assets of the above-listed stations to Granite Shore;' the PSA contemplated assignment of such assets to one or more wholly-owned subsidiaries of, as indicated in the table below. This transaction closed on January 10, On behalf of the subsidiaries identified below, enclosed are amended Aboveground Petroleum Storage Tanks ("AST") registrations for the ASTs located at Merrimack Station,, and Schiller Station. These registrations are submitted pursuant to Env-Or 300, which requires that the new owner of an AST facility to register all ASTs with DES. Please note that, other than the change in ownership, no alterations or other changes are being made regarding the ASTs at any of the respective sites. Therefore, consistent with our 'By way of background, in RSA 369-B:3-a (2015), the New Hampshire Legislature found that divestiture of PSNH's generation plants is in the public interest, subject to the New Hampshire Public Utilities Commission ("NHPUC") finding that it is in the economic interest of retail customers of PSNH. In 2015, PSNH and numerous other parties entered into a comprehensive settlement agreement (the "2015 Settlement Agreement") resolving myriad issues and setting forth the requirement and methodology for PSNH to divest all of its electric generating assets. By its Order No. 25,920 dated July 1, 2016, the NHPUC approved the 2015 Settlement Agreement. In that Order, the NHPUC also approved a companion "2016 Litigation Settlement" which held the "The Settling Parties and [NHPUC] Staff agree that in light of the economic benefits reasonably expected from divestiture, the prompt divestiture of PSNH's generation assets is in the economic interest of retail customers of PSNH." In its Order No. 25,920, the NHPUC specifically stated that "the 2015 Settlement Agreement and 2016 Litigation Settlement serve the public interest..." Order No. 25,920 at 67. If more space is needed for additional ASTs, photocopies of the following pages may be made and submitted with this form. The New Hampshire Code of Administrative Rules Env-Or 300, Aboveground Petroleum Storage Facilities which became effective on February 7, 2014 (previously Env-Wm 1402), require that an owner of a regulated AST facility register all ASTs with DES. A regulated AST facility is one that has a single petroleum AST with a capacity of more than 660-gallons, or two or more petroleum ASTs having a combined storage capacity of more than 1,320-gallons. If a facility does not store more than 1,320-gallons of heating oil used only for on-premise use heating of structures, then that heating oil storage is not included in calculating the combined regulated storage capacity.
