Please ensure you read both the PDS and this ELI Term Sheet in full before deciding whether to invest in HSBC ELI Series 1. We recommend that you keep this document for future reference. Unless otherwise defined, terms used in this document shall have the same meaning as in the PDS. Coca-Cola Amatil Ltd (CCL AT) Coca-Cola Amatil Limited manufactures, distributes and sells carbonated soft drinks along with still and mineral waters, fruit drinks, ready-to-drink coffee and tea and flavoured milk drinks. The company also rents and services commercial refrigeration equipment to food/beverage manufacturers. National Australia Bank Ltd (NAB AT) National Australia Bank Limited is an international banking group which operates in Australia, New Zealand, Europe, Asia and the United States. The Group offers banking services, credit and access card facilities, leasing, housing and general finance, international and investment banking, wealth and funds management, life insurance and custodian, trustee and nominee services. Wesfarmers Ltd (WES AT) Wesfarmers Ltd. Owns retail chains, operates mines, writes insurance, manufactures and distributes industrial products, manufactures fertilisers and chemicals, and distributes liquefied petroleum gas and medical and industrial gases. Confirmation, Coupon Payment Statement, Maturity Statement A Confirmation will be sent to you approximately 5 Business Days after the Issue Date. A Coupon Payment statement will be sent to you approximately 3 Business Days after each Coupon Payment Date. A Maturity statement will be sent to you approximately 5 Business Days after the Final Observation Date. Coupon Payment Coupon payment will be credited to your HSBC transaction account on each Coupon Payment Date as stated in this ELI Term Sheet. Closing Date and cut-off time 15 June 2012, 5.00 pm (Sydney time) Non-acceptance HSBC reserves the right, in its sole discretion, on or before the Issue Date, to reject your application wholly or partially without providing a reason and return the Application Amount, without interest, to you. Adviser Fees For this Investment your financial adviser will be paid an upfront fee of 1.50% of the Application Amount, this may be less depending upon market conditions. This fee will be funded by HSBC s revenue generated from the issuance of the Investment and is not a fee that is to be paid separately by you. 8 DIRECT DEBIT REQUEST SERVICE AGREEMENT Definitions In this Agreement: Act means the Privacy Act 1988 (Commonwealth). Agreement means this Direct Debit Service Agreement between you and us. Business Day means a day (other than a Saturday or Sunday or a public holiday) on which banks are open for business in Sydney. Debit means the direct debit authorised under this Request. personal information means any information (including any sensitive information) which we collect, use, hold and disclose about you (including your account details and any amounts to be debited from your account) in accordance with the Act. privacy and related law means the Act including the National Privacy Principles, and all other privacy law or codes of practice relevant to our collection, use and disclosure of your personal information and our processing of the Debit request. Privacy Policy means our privacy policy which can be obtained by contacting our privacy officer on or by visiting any HSBC Bank Australia Limited branch or agency. us and we and our means HSBC Bank Australia Limited ABN you and your means the customer who signs this Request 1 Debiting the Account 1.1 By signing this Request, you authorise us to arrange for funds to be debited from the Account. 1.2 We will only arrange for funds to be debited from the Account as authorised in the Request. 1.3 If the Debit falls on a day that is not a Business Day, we may debit the Account on the following Business Day. If you are not sure about which day the Account has or will be debited, please contact us. 2 Changes by us 2.1 We may vary any details of this Agreement or a direct debit request at any time by giving you at least fourteen (14) days written notice. 3. Changes by you 3.1 Subject to 3.2, you may change or cancel the arrangements under the Request by contacting us on or sending your written instruction to HSBC Bank Australia Limited at 580 George Street Sydney NSW Any such cancellation or alteration must be received by us no later than the Closing Date. If the Request is cancelled, your application to invest in the Investment will not be processed. 4 Your obligations 4.1 It is your responsibility to ensure that there are sufficient clear funds available in the Account before the Closing Date to allow the Debit to be made. 4.2 If there are insufficient clear funds available in the Account to allow the Debit to be made, your application to invest in the ELI will not be processed. Nothing in these terms and conditions affects or overrides the terms of the Account or the ELI. 4.3 Please check your account statement to verify that the amounts debited from the Account are correct. 5 Dispute 5.1 If you believe that there has been an error in debiting the Account, you can call us on as soon as possible so that we can try to resolve your query quickly. 5.2 If our investigations show that the Account has been incorrectly debited we will adjust your account accordingly. We will notify you in writing of the amount by which the Account has been adjusted. 5.3 If our investigations show that the Account has not been incorrectly debited we will respond to your query by providing you with reasons and copies of any evidence for this finding. 6 Account You should check: 6.1 with us whether direct debiting is available from the Account as direct debiting is not available on all accounts; 6.2 the Account details which you have provided to us are correct by checking them against a recent account statement; and 6.3 with us before completing the Request if you have any queries about how to complete the Request. 7 Confidentiality and Privacy 7.1 When we collect, use and disclose your personal information including any in this Agreement (such as the Account details), we comply with the privacy and related law and our Privacy Policy. 7.2 We will disclose information about you for the purposes of this Agreement which may include providing information to others involved in the Debit (for example we may need to do so in connection with a claim that there has been an incorrect or wrongful debit). 7.3 If you fail to provide any information requested in this Agreement then we will not be able to arrange the Debit and your application to invest in the ELI will not be processed. 7.4 You can access most personal information that we and our related companies hold about you by contacting our privacy officer on Sometimes that access will not be possible, in which case you will be told why. 8 More information and Notices 8.1 If you wish to make an enquiry or express a concern about the way we collect, use and disclose your personal information, contact us on or speak to us personally at one of our branches. 8.2 If you wish to notify us in writing about anything relating to this Agreement, you should contact us on to confirm our correct mailing address. 2 of 2
