In support of the Application, Clyde & Co respectfully represents as follows Jurisdiction 1. This Court has jurisdiction to consider this matter pursuant to 28 U.S.C. 157 and 1334, and the Amended Standing Order of Reference from the United States District Court for the District of Delaware dated February 29, This is a core proceeding pursuant to 28 U.S.C. 157(b) and, pursuant to Local Rule (f), the Debtors consent to the entry of a final order by the Court in connection with this Motion to the extent that it is later determined that the Court, absent consent of the parties, cannot enter final orders or judgments consistent with Article III of the United States Constitution. Venue is proper before this Court pursuant to 28 U.S.C and Background 2. On February 14, 2016 (the Petition Date ), each of the Debtors commenced with this Court a voluntary case under chapter 11 of the Bankruptcy Code. The Debtors chapter 11 cases have been consolidated for procedural purposes only and are being jointly administered pursuant to Bankruptcy Rule 1015(b). The Debtors continue to operate their business and manage their property as debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. No trustee, examiner, or statutory committee of creditors has been appointed in these chapter 11 cases. 2

7 Case CSS Doc 926 Filed 12/02/16 Page 7 of The Court authorized the Debtors to retain Clyde & Co as their attorneys in these chapter 11 cases pursuant to an order entered on April 4, 2016 (Docket No. 224) (the Retention Order ). Additionally, pursuant to the Interim Compensation Order, the Court authorized Clyde & Co to file this Application for monthly compensation. Clyde & Co has prepared this Application in accordance with the procedures set forth in the Interim Compensation Order. Summary of Professional Compensation and Reimbursement of Expenses Requested 4. By this Application, Clyde & Co requests interim allowance and payment of GBP 560, (80% of GBP 700,482.58) 2 as compensation for professional services rendered during the Fee Period and allowance and payment of GBP 171, as reimbursement for actual and necessary expenses incurred by Clyde & Co during the Fee Period. All services for which compensation is requested by Clyde & Co were performed for or on behalf of the Debtors. 5. On November 8, 2016, Paragon received from the ICC Secretariat the Award in its arbitration with Jindal Drilling & Industries Ltd ("Jindal"), where Paragon entities were awarded approximately US$37,323, in the aggregate. This amount is in addition to the US$14,433, Clyde & Co had previously successfully obtained for the Debtors in these proceedings. 6. As disclosed in Clyde & Co s initial fee application, an agreement was reached between the Debtors and Clyde & Co, effective from April 14, 2016, that Clyde & Co's monthly bills (fees and disbursements) would be capped at 150,000 until after the hearing on 2 Estimated U.S. equivalent $699,081.56(80% of $1,095,286.00) using Reuters Exchange Rate as of November 25, Estimated U.S. equivalent $214, using Reuters Exchange Rate as of November 25,

8 Case CSS Doc 926 Filed 12/02/16 Page 8 of 13 the Jindal mtter, with the bill for the month of the hearing capped at 200,000 (it was clearly anticipated that the monthly caps would be exceeded). In light of Paragon's success in the arbitration, Clyde & Co has now issued bills for all amounts incurred during the Fee Period, including amounts that could not be included in the relevant capped bill (in the amount of GBP 222,328.60). 7. During the Fee Period, Clyde & Co received no payment (other than the compensation and reimbursement already sought in a prior fee application) and no promises of payment from any source for services rendered or to be rendered in any capacity whatsoever in connection with the matters covered by this Application. There is no agreement or understanding between Clyde & Co and any other person, other than members of the firm, for the sharing of compensation to be received for services rendered in these cases. 8. The fees charged by Clyde & Co in these cases are billed in accordance with its existing billing rates, procedures and agreements with the Debtor in effect during the Fee Period, and in accordance with the Retention Order. The rates Clyde & Co charges for the services rendered by its professionals and paraprofessionals in these chapter 11 cases are reasonable based on the customary compensation charged by comparably skilled practitioners in comparable non-bankruptcy cases in a competitive national legal market. 9. Clyde & Co maintains computerized records of the time spent by all Clyde & Co attorneys and paraprofessionals in connection with its representation of the Debtors and non-debtor affiliates. Annexed hereto as Exhibit A are copies of Clyde & Co s itemized time records for professionals and paraprofessionals performing services for the Debtors during the Fee Period. Clyde & Co s time records comply with the requirements set forth in Local Rule , the Department of Justice Appendix B Guidelines for Reviewing Applications for 4

9 Case CSS Doc 926 Filed 12/02/16 Page 9 of 13 Compensation and Reimbursement of Expenses Filed Under United States Code by Attorneys in Larger Chapter 11 Cases (the Guidelines ), including the use of itemized time entries and separate matter numbers for different project types, as hereinafter described in greater detail. Summary of Services 10. The professional services performed by Clyde & Co were necessary and appropriate to the administration of the Debtors chapter 11 cases. Compensation for the services requested in connection with the Jindal and NAE Arbitration is commensurate with the complexity, importance, and nature of the problems, issues, or tasks involved. The professional services were performed with expedition and in an efficient manner under all work codes but in particular due to an expedited timetable being in place on the Jindal Arbitration. As explained above, Clyde & Co successfullyrecovered to a total of US $14,433, from the Debtors opponents in the Jindal Arbitration matter and obtained a Final Award in the Debtor's favor amounting to US$37,323, The professional services performed by Clyde & Co were necessary and appropriate to the administration of the Debtors chapter 11 cases. Compensation for the foregoing services as requested is commensurate with the complexity, importance, and nature of the problems, issues, or tasks involved. The professional services were performed with expedition and in an efficient manner. Actual and Necessary Disbursements 12. Clyde & Co requests allowance of actual and necessary expenses incurred during the Fee Period in the aggregate amount of GBP171, Annexed hereto as Exhibit B are copies of Clyde & Co s itemized actual and necessary expenses. Clyde & Co s disbursement policies pass through all out-of-pocket expenses at actual cost or an estimated actual cost when the actual cost is difficult to determine. Similarly, as it relates to computerized research, Clyde 5

10 Case CSS Doc 926 Filed 12/02/16 Page 10 of 13 & Co believes that it does not make a profit on that service as a whole although the cost of any particular search is difficult to ascertain. Other reimbursable expenses (whether the service is performed by Clyde & Co in-house or through a third-party vendor) include, but are not limited to, overtime meals, deliveries, travel, local transportation, duplicating compact disks and document scanning. Reservation 13. To the extent time or disbursement charges for services rendered or disbursements incurred relate to the Fee Period but were not processed prior to the preparation of this Application, or Clyde & Co has for any other reason not sought compensation or reimbursement of expenses herein with respect to any services rendered or expenses incurred during the Fee Period, Clyde & Co reserves the right to request additional compensation for such services and reimbursement of such expenses in a future application.
