1 02/05/2018 Minutes of Annual General Body Meeting of AOI Mumbai Branch of Minutes of Annual General Body Meeting of AOI Mumbai Branch held on 22/04/2018 at Juhu Vile-parle Gymkhana, Juhu at 7pm. Due to lack of quorum at 7pm the meeting was adjourned and the meeting started at 7.30 pm. The following members attended the meeting. The President of AOI Mumbai Branch Dr Hetal Marfatia Patel welcomed all members and brought the meeting to order. 2. Condolences were expressed for Dr. H.M. Shroff, Dr.S.A. Mehta and Dr.J.T. Shah and a minute s silence was observed by all present for the peace of the departed souls. 3. Dr Hetal then read out the presidential welcome address in which she outlined all the academic as well as sports activities of the association in the past year , which were very successfully conducted. She thanked all members for their warm co-operation throughout the year. She also congratulated the managing committee and all members for their active participation in academic & social activities. Dr Hetal Patel said that it was a matter of great prestige for AOI Mumbai Branch that Dr Kaushal Sheth and Dr Yogesh Dabholkar were victorious in the National elections for the post of secretary and treasurer of AOI respectively.

2 4. The Hon. Secretary Dr.Ajay Doiphode read out the minutes of the AGBM held in MIG Club, Bandra ( East) for the benefit of all members. 5. Dr Ajay Doiphode read out the Secretary s report for the year Dr. Nilam Sathe asked to correct in the report that the year from which IT returns were not filed was , and not from , as mentioned in the report. This was agreed upon & due correction done. 6. Dr Samir Bhargava proposed passing the report and Dr Rajeev Nerurukar seconded it. 7. Dr Ajay Doiphode pointed out that the IT returns for the FY have been successfully filed by the auditor CA Swanja Karnik. 8. Dr Yogesh Dabholkar then presented the Draft audited report of FY He read out the income expenditure for the entire year as prepared by the CA. He presented the status of AOI Mumbai Branch accounts and the list of fixed deposits. 9. The status of AOI Mumbai Branch accounts is as follows: Saving Account No. Balance Amount as on 31/03/18 1) (Research And Development) Rs. 3,87,862.03/- 2) Rs. 47,853.46/- 3) Rs.11,28,406.14/- 4) Rs. 29,295.65/- Total Rs. 15,93,417.28/-

The list of Fixed Deposits of AOI Mumbai as of 31 st March 2017 with Central Bank of India is tabulated as follows: One FD was liquidated to pay the IT department for appeal against the exparte order issued by IT department for FY (AY ) SR NO FDR No. FD A/C No. Principle Value , , , , , , , , , , , , ,00, ,50, ,00,000 19,90,060 Liquidated FD ,00, asked for the audited accounts of FY to be passed. It was unanimously passed.

4 12. read out the sequence of events since receiving the IT notice for Financial year ( Assessment year ), the action taken by the Managing Committee & CA Swanja Karnik till date. Details about Income tax Proceedings 1) 27/10/2017-Received Income tax notice u/s 148 for FY through . 2) 27/10/2017- Spoke with the Income tax Officer Mr. Lokesh by Ms. Swanja karnik and the officer instructed to submit the basic documents by next week. 3) 07/11/2017 and 10/11/2017 met the IT officer for fixing date of hearing.the ITO Radhika S. Nair was angry since she informed that several notices were issued and none had attended the hearings. We accordingly informed her that we had not received the notices and hence we were unable to attend the hearings. 4) 21/11/2017 Filed Audited Financials, Income tax Return hard copy, Form 10 B- Audit Report, 26AS certificate and Conference Audit Report after discussing with the ITO Officer. The ITO officer accordingly mentioned that she will be calling for the assessment in next week. 5) 02/12/2018 we were in receipt of Assessment order dated 27/11/2017. The assessment order was passed exparte by the Officer. The notice stated that various notices were issued on the following dates : Address: Nair Hospital 31/03/ /08/ /08/2017 And 18/10/2017 -Address: Dr. Rahul Kulkarni s address (Pan Card address) Thane In all the above cases the notices were returned back. As the Association had not filed the return the ITO Officer disallowed the exemption which was otherwise available for Trust. The ITO considered the whole of the gross receipt of Rs.2,24,64, as taxable Income and Income tax was accordingly calculated. The Tax demand consisted of: Rs. Income tax 69,41,518 Interest u/s 234 A -Not filing Income tax return. 4,85,905 Interest u/s 234 B, C- For not depositing Income tax 66,43,017 Total Tax demand raised 1, 40,70,440 9/12/17 - Urgent GBM was called in Haji Bachhoo Ali Hospital to update & discuss further course of the IT notice, the detailed minutes of which were sent by mail on 13/12/17

5 The Assessing Officer had erred in passing the order hence aggrieved with the Assessment order we filed a stay petition with Income Tax department on 29/12/2017 with the ITO Officer Radhika Nair. 22/02/ Received letter from the ITO Officer rejecting the stay application and the last date mentioned on the Income tax notice to pay the tax was 23/02/ /02/2018 Filed Stay of Demand application with the Additional Commissioner of Income Tax Department. Ms. Swanja karnik spoke with the Additional CIT and further hearing date was given on 28/02/2018. The Hearing was attended by myself, Dr. Hetal, and Ms. Swanja Karnik. We gave brief Information about the Association, its activities, the members of the Association who are having a very responsible position in Government organizations for several years and have been contributing by doing social services and conducting several workshops including the deaf and dumb workshop to the Additional Commissioner R. Satyanarayana Raju. The Officer was very much impressed by our briefings and advised to pay demand of Rs. 11, 00,000 and thus allowed the Appeal to proceed further. To pay the demand the Association had to break the Fixed deposit no of Rs.10, 00,000 on 28/02/2018 Upon recommendation of Additional Commissioner R. Satyanarayana Raju, to avoid further communication issues, immediately Hon Secretary 's address was updated as Association address, with ITO Radhika Nair Accordingly Income tax of Rs.11, 00,000 was paid on 06/03/ /03/2018-Letter was filed with the Additional Commissioner giving the details of bank payments made to the several parties during FY Conference and attached supporting of Income tax payment of Rs. 11,00, /03/2018-received letter from the Additional Commissioner thereby granting the stay of demand and allowing our Appeal to proceed. We would immensely like to thank Dr. Hetal madam for her extra efforts in helping the assessment proceedings in the favour of the Association.

6 13. Elections were not held for the year as the members were elected unopposed. i. Dr Kaushal Sheth was elected unopposed as President. ii. iii. iv. Dr Yogesh Dabholkar was elected unopposed as Vice President. Dr Adip Shetty was elected unopposed as the Honorary Treasurer (for three years). Dr Samir Bhargava, Dr Ritu Sheth and Dr Arpit Sharma was elected unopposed to the Special Advisory board. v. Dr Geeta Karkera, Dr Amol Patil and Dr Bhavika Verma Bhatt were Elected unopposed as the Executive Committee members. vi. vii. Past President as a special invitee - Dr Hetal Marfatia Patel Dr Mayashankar Vishwakarma was elected unopposed as Website In Charge 14. handed over the President Medallion to the new President. then Gave his Introductory Speech as the newly elected President. He then called upon the Dias the Managing Committee Members 15. The auditors appointed for the FY were Swanja Associates and their renumeration would be as per the rates finalized in the previous GBM. 16. It was also suggested by Dr. Hetal that an additional CA should be appointed for the IT notices so as to handle them swiftly. Dr. Kaushal said that this matter should be decided by the managing committee. 17. It was also decided that any legal expense due to the charity commissioner matter will be borne by the AOI MUMBAI branch. 18. Various other matters were discussed with the permission of the chair: (i) Since the Association does not have a permanent official premises & to avoid any missing on future IT notices, incoming Hon. Secretary of our Association to update his address with IT Department, immediately after his tenure starts was decided upon. It was unanimously decided to increase the number of executive members to 5-6 from next year. (ii) Dr. Hetal suggested that from next year the nomination forms for the elections should be scanned and ed instead of sending by registered post. (iii) It was also planned to start the No Honking initiative with the Health ministry as well as the neonatal screening programme.

7 (iv)the outgoing committee was felicitated for their work towards the association. 19. Yogesh Dabholkar as the treasurer read out the Vote of Thanks and the meeting was adjourned. Regards,
