Certified Public Accountants To the Members of Wesley House Limited Partnership INDEPENDENT AUDITORS' REPORT Report on the Financial Statements We have audited the accompanying financial statements of Wesley House Limited Partnership (the "Partnership") which comprise the balance sheet as of December 31, 2016, and the related statements of profit and loss, changes in partner's equity, and cash flows for the year then ended, and the related notes to the financial statements. Management's Responsibility for the Financial Statements Management is responsible for the preparation and fair presentation of these financial statements in accordance with accounting principles generally accepted in the United States of America; this includes the design, implementation, and maintenance of internal control relevant to the preparation and fair presentation of financial statements that are free from material misstatement, whether due to fraud or error. Auditors' Responsibility Our responsibility is to express an opinion on these financial statements based on our audit. We conducted our audit in accordance with auditing standards generally accepted in the United States of America and the standards applicable to financial audits contained in Government Auditing Standards, issued by the Comptroller General of the United States. Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial statements are free from material misstatement. An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statements. The procedures selected depend on the auditors' judgment, including the assessment of the risks of material misstatement of the financial statements, whether due to fraud or error. In making those risk assessments, the auditor considers internal control relevant to the entity's preparation and fair presentation of the financial statements in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the entity's internal control. 12 NOTES TO THE FINANCIAL STATEMENTS DECEMBER 31, 2016 NOTE A - SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES Organization Wesley House Limited Partnership (the Partnership), a District of Columbia limited partnership, was formed in June 1998 to acquire, develop, construct, lease, operate, finance and manage 127 units of multifamily housing for rental to households with a head of household age 62 and older in compliance with the lowincome housing tax credit requirements of Section 42 of the Internal Revenue Code. The project is known as Wesley House Senior Apartments and is located at 3400 Commodore Joshua Barney Drive in the City of Washington, District of Columbia. Accounting Method The financial statements have been prepared on the accrual basis of accounting. Accordingly, income is recognized as earned and expenses as incurred, regardless of the timing of the payments. Cash and cash equivalents Cash includes all cash balances and cash equivalents consisting of all highly liquid debt instruments purchased with a maturity of three months or less. These amounts are available for current operations and exclude amounts restricted for repayment of tenant security deposits, escrows and reserves. Use of Estimates The preparation of financial statements in conformity with accounting principles generally accepted in the United States of America requires management to make certain estimates and assumptions. These estimates affect the reported amounts of assets and liabilities and disclosure of contingent assets and liabilities at the date of the financial statements and the reported amounts of revenue and expenses during the reporting period. Actual results could differ from those estimates. Debt Issuance Costs Debt issuance costs, net of accumulated amortization, are reported as a direct deduction from the face amount of the mortgage loan payable to which such costs relate. Amortization of debt issuance costs is reported as a component of interest expense and is computed using the straight-line method. The effect of using the straight-line method is not materially different from the results that would have been obtained under the effective yield method. Change in Accounting Principle During 2016, the Partnership adopted the provisions of Accounting Standards Update , Simplifying the Presentation of Debt Issuance Costs (ASU ), which modifies the presentation of debt issuance costs and the related amortization. The change in accounting under ASU improves the reporting of the related amortization by including it as a component of interest expense. ASU has been adopted by the partnership on a retrospective basis. As a result, the December 31, 2015 balance of debt issuance costs of 644,714, which are net of accumulated amortization and related to the Partnership's mortgage payable, were reclassified on the balance sheet from other assets to mortgage payable. Other than this reclassification, the adoption of ASU did not have a material impact on the Partnership's financial position, results of operations or cash flows. 12

13 NOTES TO FINANCIAL STATEMENTS - CONTINUED DECEMBER 31, 2016 NOTE A - SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES - (Continued) Rental Revenue Rental revenue is recognized as rentals become due. Rental payments received in advance are deferred until earned. All leases between the Partnership and the tenants of the Project are considered to be operating leases. Tax Credit Fees Tax credit fees of 63,660 are being amortized on a straight-line basis over a 15 year period. Accumulated amortization at December 31, 2016 totaled 3 5,3 67. Amortization expense totaled 4,244 for the year ended December 31, Accounts Receivable and Bad Debts Tenant receivables are charged to bad debt expense when they are determined to be uncollectible based upon a periodic review of the accounts by management. Accounting principles generally accepted in the United States of America require that the allowance method be used to recognize bad debts; however, the effect of using the direct write-off method is not materially different from the results that would have been obtained under the allowance method. Investments in Rental Property Investments in rental property are carried at cost and include all direct costs of acquisition and construction. Expenditures for maintenance and repairs are charged to expenses as incurred while major renewals and betterments are capitalized. Depreciation is provided using the following methods and estimated useful lives. Impairment losses are required to be recorded on specific long-lived assets used in operations where indicators of impairment are present and the undiscounted cash flows (net realizable value) estimated to be generated by those assets are less than the assets' carrying amount. No indicator of impairment of the Partnership's rental property has occurred during the year ended December 31, Income Taxes The Partnership has elected to be treated as a pass-through entity for income tax purposes and, as such, is not subject to income taxes. Rather, all items of taxable income, deductions and tax credits are passed through to and are reported by its owners on their respective income tax returns. The Partnership's federal tax status as a pass-through entity is based on its legal status as a partnership. Accordingly, the Partnership is not required to take any tax positions in order to qualify as a pass-through entity. 13

14 NOTES TO FINANCIAL STATEMENTS -CONTINUED DECEMBER 31, 2016 NOTE A - SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES - (Continued) Income Taxes These financial statements do not reflect a provision for income taxes and the Partnership has no other tax positions which must be considered for disclosure. The Partnership's federal income tax returns for 2015, 2014 and 2013 are subject to examination by the IRS, generally for three years after they are filed. Advertising Advertising costs are charged to operations when incurred. Subsequent Events Subsequent events were evaluated through March 1, 2017, the date the financial statements were available to be issued. NOTE B - OWNERSHIP AND CAPITAL CONTRIBUTIONS Ownership The Partnership Agreement was initially amended on December 11, 2006, and the Partnership consisted of two general partners, Fort Lincoln New Town Corporation, which owned a.5% interest, and Wesley House Development, LLC which owned a.5% interest and two limited partners, Fort Lincoln New Town Corporation, which owned a 50.5% interest, and Wesley House Development, LLC which owned a 48.5% interest. On July 14, 2008, the Partnership Agreement was amended as the Amended and Restated Agreement of Limited Partnership (the "Partnership Agreement") to admit new limited partners, and to permit the withdrawal of the existing limited partners. The general partner is currently Wesley House Development, LLC, the special limited partner is RBC Tax Manager II, Inc., and the investor limited partner is RBC Apollo 2006 National Fund, L.P. The ownership percentages are as follows: General Partner Special Limited Partner Investor Limited Partner Percentage 0.009% % % % Capital Contributions Pursuant to the Partnership Agreement, the Investor Limited Partner has agreed to make capital contributions to the Partnership totaling 7,818,084, which includes a downward adjuster of 23 8,937. During 2016, the investor limited partner made no capital contributions. As of December 31, 2016, the Investor Limited Partner has contributed 7,445,508. The General Partner is required to contribute 100 and the Special Limited Partner is required to contribute 10. Distributions shall be allocated in accordance with the Partnership Agreement. Upon the sale or refinancing, the Partnership Agreement requires special computations to determine profit allocation and cash distributions. 14

15 NOTE C - NOTE PAYABLE WESLEY HOUSE LIMITED PARTNERSHIP NOTES TO FINANCIAL STATEMENTS - CONTINUED DECEMBER 31, 2016 The Partnership entered into a loan agreement with the D.C. Department of Housing and Community Development (DHCD) whereby DHCD advanced to the Partnership a loan in the amount of 3,101,788 for development of the project. The loan is payable to DHCD and is collateralized by a deed of trust on the property. The loan bears interest at one percent per annum and is amortizable over a term of forty years with payments deferred for ten years from the loan closing on December 14, The loan is repayable from surplus cash. The maturity date of the note is December 31, The interest accrued on the note payable as of December 31, 2016 was 258,400. The interest charged to operations for the year ended December 31, 2016 was 31,018. As of December 31, 2016, the note payable totaled 3,101,788 and is classified as a long-term liability. NOTED - BONDS PAY ABLE The Partnership borrowed funds in the original amount of 9,340,000, financed by FHA - Insured Multifamily Housing Revenue tax-exempt bonds issued by the District of Columbia Housing Finance Agency (the Agency). The bonds bear interest at a rate of 4.8% per annum and mature on March 1, As of December 31, 2016, outstanding principal is 8,725,000. Interest was paid initially on March 1, 2007 and semiannually thereafter on September 1 and March 1 of each year. The interest charged to operations for the year ended December 31, 2016 was 422,279. Accrued interest as of December 31, 2016 is 143,524. Debt issuance costs of 626, 117, net of accumulated amortization as of December 31, 2016, are amortized over the life of the mortgages. Aggregate maturities of the bonds payable for each of the next five years, are as follows: , , , , ,000 NOTE E - LAND LEASE The Partnership owns a leasehold interest in the Project by virtue of a 99-year ground lease between the Partnership and RLA Revitalization Corporation expiring on December 18, The lease agreement was amended as of December 1, 2006 whereby the Landlord accepted 119,402 as payment in full on the ground lease and no other amounts are due under the revised terms of the lease. The payment has been recorded under other assets on the balance sheet and is being amortized over the 99-year term on a straight-line basis. NOTE F-RELATED PARTY TRANSACTIONS Due to Affiliates The Partnership had received advances from an affiliate of the General Partner. The funds were non-interest bearing and due on demand. The balance due of 20, 157 was repaid during the year ended December 31,

16 NOTES TO FINANCIAL STATEMENTS - CONTINUED NOTE F-RELATED PARTY TRANSACTIONS Asset Management Fee DECEMBER31, 2016 The Partnership will pay the Special Limited Partner an annual fee of 4,000 for a review of the operations of the Partnership and the apartment complex. Such fee is paid quarterly, and is cumulative. The fee will increase annually by 3% per year. During the year ended December 31, 2016, 4,980 was paid and expensed. Incentive Management Fee The Partnership will pay a non-cumulative incentive management fee to the General Partner for services performed as outlined in the Partnership Agreement. The fee is based on 85% of net cash flow of the Partnership. Development Fee Payable For services in connection with the development of the project, the Partnership agreed to pay a development fee of 2,595,000. The development fee was payable as follows: Fort Lincoln New Town Corporation (an affiliate of the General Partner) - 1,339,919; Mission First Development - 1,110,860 and Land America - 144,221. As of December 31, 2016, the balance owed was 1,364,027. A portion of the development fee in the amount of 744,923 is deferred with interest earned at the rate of 4.9% per annum upon completion of the project, June 16, The accrued interest and the deferred fee is payable from net cash flow. 17 NOTES TO FINANCIAL STATEMENTS - CONTINUED DECEMBER 31, 2016 NOTE I-FEDERAL LOW-INCOME HOUSING TAX CREDITS The Partnership is entitled to an aggregate of 8,263,260 of federal low-income housing tax credits ("Tax Credits"). To qualify for the Tax Credits, the Partnership must meet certain requirements, including attaining a qualified eligible basis sufficient to support the allocation, to satisfy the "50% Test" for tax-exempt bond financed projects and renting the Property pursuant to Internal Revenue Code Section 42 which regulates the use of the Property as to occupant eligibility and unit gross rent, among other requirements. Since the Tax Credits are subject to compliance with certain requirements, there can be no assurance that the aggregate amount of Tax Credits will be realized and failure to meet all such requirements may result in generating less Tax Credits than expected. The Property must meet the provisions of Section 42 and other regulations during each of 15 consecutive years (the "Compliance Period") in order to remain qualified to receive the Tax Credits. In addition, the Partnership executed an extended use agreement which requires the use of the Property pursuant to Section 42 for a minimum of 30 years, commencing the first year of the Compliance Period. The Partnership was allocated low-income housing tax credits by the D.C. Housing Finance Agency amounting to 8,263,260 over a ten year period. The expected availability of the tax credits will be allocated through the year

Management's Responsibility Management is responsible for compliance with the requirements of laws, regulations, contracts, and grants applicable to its HUD programs. Auditors' Responsibility Our responsibility is to express an opinion on compliance on each of Wesley House Limited Partnership's major HUD programs based on our audit of the compliance requirements referred to above. We conducted our audit of compliance in accordance with auditing standards generally accepted in the United States of America; the standards applicable to financial audits contained in Government Auditing Standards, issued by the Comptroller General of the United States; and the Guide.
