2 PROSPECTUS SUMMARY Crypto Financial Executive Summery The Crypto Financial Corporation will be a Panamanian based corporation charted for the purpose of providing Fiduciary Financial Services to Individuals, Companies, Merchants, Traders, Investors, NGOs and Non-Profit Organizations that deal with Crypto Currencies. We plan to launch a new Financial Services company to provide our product and services to the Crypto Currency e-commerce economy. Crypto Currency is an Emerging Global Payment System. We are looking to merge the Fiat Currencies world together with the Crypto Currency world. The secure fast and easy way Crypto Currencies are transferred between customers and merchants will pave the way payments are handled in the future, across city, states and borders. By being a Licensed Financial Services company we will be able to offer our customers the following services: 1. A Private Individual/Corporate International Bank account 2. Support for more than 20 different Fiat Currencies; USD, JPY, EUR etc. 3. The option for a Visa Debit Card with the ability to withdraw funds at any ATM worldwide 4. Several open Exchange platforms to convert Fiat Currency to Crypto Currency There is currently a gap in the Crypto Currency market where the digital currency meets the fiat currency. Regulation via AML/KYC/SAR have proven that the average Crypto Currency Exchange Company is not equipped nor licensed to provide Financial Services to its customers when it comes to handling their funds. Many Exchanges have not been forthcoming with their Banks and have not informed their respective Banks that they will conduct business as a Money Business Service provider, and once the Bank finds out that they are, the Bank reacts by closing their account, as they do not want to be held responsible. By providing each customer with their own private separate bank account, Crypto Financial will be able to allow Approved Exchange Companies the ability to open an account with us, therefore allowing Customers, Merchants, Traders and Investors the ability to move Fiat Currency money in and out instantly within our accounts. There will no longer be lag when transferring funds between a customer private bank account and the exchange account. Funds will only need to be transferred temporarily to the exchange account for the purchase of Crypto Currency. Any Crypto Currency sold on the exchange could be funded back directly to the customer s private account instantly and then these funds may be withdrawn from the account which can be accessed worldwide via a Visa Debit Card issued on behalf of the customer, or other traditional means of fund transfer, ETF, ACH, Swift, Etc.

3 In essence the Exchange platform will serve our customers when it comes to trading Fiat to Crypto Currency and vice versa, the same way a Stock trading platform company provides the software, but the Financial Services Company ( Broker ) represent the customers and takes care of the regulation side of the business. We strongly believe that a public offering of our shares to the Crypto Currency community will in turn provide us with the necessary capital. This will allow us to serve our customers with lower fees and better service, allowing for faster growth at lower cost. Our customers will be our shareholders. Our success will be their success. EQUITY: Crypto Financial will currently offer a total of 20% total equity equivalent virtual stake in our company. The offer of 200,000 units will be offered at the price of 0.15 for a total (IPO) Initial Public Offer of 30,000. The Offer will be done at 4(four) equal batches of 50,000 units each for a total of 200,000 units. Each 50,000 offer will be released upon the completion of the previous offer.

Crypto Currency is a type of digital currency which relies on cryptography, usually alongside a proof-of-work scheme, in order to create and manage the currency. A decentralized network of peer-to-peer computer nodes working in sync creates and verifies transactions of transfer of said currency within the network. Crypto Financial believe that e-commerce needs a fast pace moving currency to match today s global need for speed. A currency for the Internet; and we believe that in the not so distant future Crypto Currencies will prove to be the leaders to become the standard in the e-commerce global trade. So transfers will be smooth and fast without delay. We believe that through our experience and abilities Crypto Financial will be able to partner up with a variety of Crypto Exchange Companies, that will in turn offer our Customers, Merchants, Traders and Investor the opportunity to buy and sale Crypto Currency on the Open Market, without manipulation and intervention. We will offer Exchange Companies an opportunity to operate under our umbrella. Since verification of the Customer Identification will be done through us, the exchange will strictly act as an Exchange Platform and will act as our Agent, not requiring them to Identify and report each of the Exchange s users. 8 All funds provided by our customers will remain in their account. Crypto Financial will not loan any of those funds out. 100% of the funds will remain intact under the customer s account. Our fees and commission will provide for the profits and growth of our company. Customers, Merchants, Traders and Investors will have a broad choice of Exchange platforms to choose from. We will open our Financial services to any qualified proven Exchange Platform company that will be pre-approved to conduct exchange of crypto currency to fiat currency and vice versa. Since all the customers of our approved Exchange will have opened an account with our Financial Services company, all AML/KYC /SAR regulation will be performed by us and therefore negate the responsibility of the Exchange for such regulation. Allowing the Exchanges to concentrate on the technology side of the business and offer better trading platform to accommodate the demand of the global market place. A simple one click integration will allow our customers to integrate with the Exchange Platform, the same way Facebook or Google integrates today with other web sites and services. In essence the Exchange platform will serve our customers when it comes to trading Fiat to Crypto Currency and vice versa, the same way a Stock trading platform company provides the software, but the Financial Services Company ( Broker ) represent the customers and takes care of the regulation side of the business. A need for our Financial Services in the Market Place Many Bitcoin Exchanges and Merchants have been shunned by the current financial industry. Many in the financial industry are not willing to do the due diligence necessary to verify and follow up on any transactions that flows in and out of the Exchange s account or the Merchant receiving funds. It has become easier to just suspend or close those accounts. There is no incentive for the financial industry to support the current Crypto Currency System economy as it only provides them with additional scrutiny from current regulations and regulators. By allowing Customers, Merchants, Exchanges to interact through our Banking platform, we will be able to track, approve and report any suspicious activities, since our core business will only be geared towards the Crypto Currency user. Our incentive will result from the fees and commission charged in the process of conversion from Fiat to Crypto and vice versa. Exchanges Profit Sharing Incentive Many of the current exchanges that deal with Fiat to Crypto Currencies are not currently licensed or equipped to handle the regulatory environment. These Exchanges are great in developing the software platform necessary to carry out and execute a trade between Fiat and Crypto Currency, but are unable to handle the need to verify and manage their customer s funds in an appropriate manner. They were not setup as a Fiduciary Financial Services company and therefore lack the experience needed to comply with Banking rules and laws associated with Fiat Currencies. With the regulation over Crypto Currency

9 ever expanding, the Exchanges need to concentrate on providing the software and not on hiring expensive lawyers, accountants and AML/KYC/SAR personal full time to sift through each transaction coming in and out of their system. Our solution is to provide the Exchanges with preapproved customers that they will not be required to verify. The same way a Stock broker handles and manages their customers account, and the actual trades are performed by a trading platform software provided by a third party; so will we offer our customers the ability to choose their own trading platform provided by the exchanges. As the Exchange companies will only offer software, their liability for reporting and compliance will not be required. We will offer several exchanges the opportunity to open an account with our company. Each Exchange platform company will be able to offer their own rates and fees for access to their platform to our customers. This will encourage competition among the different exchanges and offer our customers a choice when choosing an exchange. This will also encourage innovation for the Exchange Platform as the Exchanges will compete and will want to attract our customers by offering the best Trading Platform and Best Rates. The same way the free market dictates the rates offered by different Stock Brokers or FOREX Exchanges. Initial Public Offering Why sale shares and provide a public offerings of our shares directly to the Crypto Currency community? We wish to offer a global international Credit Union type of approach to the Crypto Currency community because we know that currently Crypto Currencies are in their infancy, and if we put up hurdles and offer our services at high cost to our customers then only a few will benefit and Crypto Currencies will not be able to grow and expand in a natural organic decentralized manner. We want to keep our fees as low as possible, while still being able to cover our expenses. Security & Compliance Disclosure Providing Fiduciary Financial Services should only be handled by responsible licensed capable companies that are able to take on the responsibility of handling customer s fund. All AML/KYC/SAR should be followed without exception. All Exchanges that will provide services to our customers must comply with rigorous third party security tests to ensure the viability of their exchange platform. We will hire a third party company to continuously attempt to find vulnerabilities within the exchange platform to keep them as secure as possible. They must meet or exceed all required security protocols currently required by the FFIEC (Federal Financial Institutions Examination Council) which provide guidance.

10 Crypto Financial is required under law to work with and provide any information and support to enforcement agency or entity in order to comply with the Bank Secrecy Act BSA. DIVIDEND POLICY revised August 16, 2013 On a monthly basis Crypto Financial will distribute dividends solely to unit holders on Havelock until the accumulated dividends total 0.15 per unit. Moving forward from that point, dividends will be distributed equally among Havelock unit holders and private unit holders. One Hundred Percent (100%) of all net income derived from the exchange of Fiat Currency to Crypto Currencies and vice versa by Crypto Financial will be paid out in dividends. VOTING RIGHTS This Virtual Shares do not hold any voting rights BUYOUT or DISSOLUTION In the event that Crypto Financial is bought by another private or public entity, the holders of our virtual shares will be entitled to the equivalent in BTC and be paid at the best market price at the completion of the purchase. In the event that the Crypto Financial Company can no longer stay solvent or can no longer continue its operations for whatever reason that may arise in the future, the company s assets will be liquidated and all remaining Fiat Currency and Crypto Currency after paying any creditors will be converted to Bitcoins at the best rate applicable at that time and distributed to the shareholders holding virtual shares at the time.
