1 NORDIC MONTHLY SURVEILLANCE REPORT MAY 2013 The rules of the exchange as well as the methodology of the surveillance are in substance harmonized between the NASDAQ OMX exchanges in the Nordic countries. Due to national regulations however, there might be differences. For the reader to be able to distinguish the differences, some of the articles will be marked with flags to highlight this circumstance. The Exchange refers to NASDAQ OMX as relevant in each local jurisdiction. All necessary forms and other relevant documents related to listings and issuer specific matters are available on NASDAQ OMX Nordic: or STOCKHOLM Issuer Surveillance NASDAQ OMX has issued criticism toward a company on the Main Market for not properly disclosing notice to attend general meetings of shareholders. Trading Surveillance Five cases have been reported to the Swedish FSA during the month, in accordance with the Exchange s obligation to refer matters of suspected market abuse. Three of these cases concerned suspected illegal insider trading and the other two cases concerned suspected market manipulation. Stonesoft Corporation received observation status due to voluntary public offer from McAfee, Inc. on 6 May, Stonesoft Corporation offer GeoSentric Oyj Uncertainty concerning the company's financial situation. COPENHAGEN The exchange has reprimanded Investeringsforeningen MS Invest for not having disclosed a revised financial calendar in accordance with Rules for issuers of investment undertakings rule Furthermore the exchange has reprimanded that the annual report was disclosed the day after the final approval by the Board of Directors, cf. rule The exchange reprimanded a company for not disclosing the development of the annual general meeting immediately after the completion of the annual general meeting, in accordance with the Rules for issuers of shares rule and rule The exchange reprimanded an investment undertaking, that the notice convening the general meeting was not disclosed in compliance with rule in Rules for issuers of investment undertakings, cf. rule 3.2. The exchange reprimanded a company that the notice to attend the general meeting was brought in a newspaper prior to the disclosure of the notice from the company, cf. section of Rules for issuers of shares. Matching halt was made in the DKIKI fund due to reorganization in the division. The trading was resumed after the problem was resolved. Netop Solution A/S has been transferred to the observation list as the company has announced that the company has sent an application to Nasdaq OMX A/S for deletion of the company's shares from trading on Nasdaq OMX A/S. Viborg Håndbold Klub A/S has been transferred to the observation list as the company has announced having lost more than 50% of the share capital. Østjydsk Bank A/S has been transferred to the observation list as the company has requested the transfer. Sparekassen Faaborg has been transferred to the observation list as the company has announced that Sparekassen Sjælland intends to make an offer to the shareholders in Sparekassen Faaborg. Brøndbyernes IF Fodbold A/S has been removed from the observation list as the company among other things has completed a capital increase. Nordicom A/S has been removed from the observation list as the company has restored its share capital. Netop Solutions The company has applied for delisting. Bonds issued by Eyrir Invest hf. were placed on the Observation list with reference to an offer made by the issuer to purchase all outstanding bonds with the aim of having them delisted. 5 FIRST NORTH On May 24, 2013, the shares of AVTECH Sweden AB ( ) received observation status due to significant uncertainty regarding the company s financial situation. The company published on May 24, 2013, a press release with information regarding the board of directors decision to apply for corporate restructuring. The company's report of annual FastPassCorp earnings figures 2012 shows that the company has lost more than 50% of the share capital. Aktiv Formue Forvaltning Stratego The company has applied for delisting.
