It began in 1876 as a construction camp for the Southern Pacific Railroad and is now home to several aerospace companies and the National Test Pilot School. This Employee Assistance Plan booklet when combined with the separate Other Information booklet serves as your summary plan description (SPD) of the benefits provided under the Phillips 66 Employee Assistance Plan. It is an overview of certain terms and conditions, rather than a description of every detail of the plan. It s written in clear, everyday language that s designed to help you understand how the plan works. Every effort has been made to ensure the accuracy of the information provided in this SPD. However, if there s any discrepancy or conflict between this SPD and the terms of the official plan document, the official plan document will control. Phillips 66 reserves the right to amend, change or terminate the plan at any time without notice, at its sole discretion. Nothing in this SPD creates an employment contract between the company or its subsidiaries or affiliates and any employee.

It s important that you review both this Employee Assistance Plan booklet and the Other Information booklet, which together compose the plan s Summary Plan Description, to fully understand this benefit plan. A couple of technical things The official name of this plan is the Phillips 66 Employee Assistance Plan. But in this booklet, we ll just call it the Employee Assistance Plan, the EAP or the plan. When we say Phillips 66, the company, we or our, we mean Phillips 66 Company and any other subsidiary or affiliated company that has adopted the plan and is a participating employer. 4 Help when you need it. We all have a life outside of work, with ups and downs, good times and bad. Usually we re able to deal with all that, but sometimes things get to be a bit much to handle on our own. When that happens, the EAP is here to help.

5 EMPLOYEE ASSISTANCE PLAN The big picture The EAP provides confidential, short-term counseling and referral services to help you and your family manage the tough times. Do I need to enroll? Who pays? What s covered? See page 8 Anything else? Is my privacy protected? No. Eligible employees and dependents are automatically enrolled. The company pays all costs for covered services. The plan covers five telephonic or face-to-face counseling sessions per person, per problem, per year for such things as: Marital or family concerns. Alcohol or drug abuse. Parenting issues. Emotional difficulties. Grief. Stress-related problems. The EAP also offers: A range of online self-assessment and interactive tools; 24-hour access to self-help information and educational materials; and Webinars, articles and feature stories, which are updated frequently. Yes! The EAP is bound by the same privacy laws that apply to all of your private health information. In particular, the EAP doesn t share your information with the company, unless you specifically instruct the EAP to do so. This means that Phillips 66 doesn t know if or why you used this benefit. That s the big picture. There s a lot more to the plan though, so don t stop reading now! Don t miss! The separate Other Information booklet, which contains additional important legal and administrative information about your EAP benefits. 6 EMPLOYEE ASSISTANCE PLAN Eligibility and enrollment Am I eligible? What about my family? Do I need to enroll? These are just a few of the questions we ll answer in this section. We ll start with information that applies to everybody. Then, we ll tell you what you need to know if you re interested in EAP services for your family. GENERAL INFORMATION Am I eligible? You are if you re: A regular full-time or part-time Phillips 66 employee who works an average of at least 20 hours a week; and A U.S. citizen or resident alien employee working within or outside the U.S. (or on a personal, disability, military or family medical leave of absence) who is paid on the direct U.S. dollar payroll. You re NOT eligible if Your employee classification isn t described above. For example, temporary employees, independent contractors and commission agents aren t eligible. Who pays for coverage? The company pays the entire cost of this coverage. Do I need to enroll? No! You re automatically enrolled at no cost to you on the first day you become eligible. For most of us, that s our first day of work at Phillips 66. If you re on a military leave of absence Federal law provides certain rights for members of the military. See USERRA continuation coverage in the separate Other Information booklet for information. If you go out on a leave of absence-labor Dispute If you re placed on a leave of absence-labor Dispute, coverage will end on the last day of the month in which the leave begins. If coverage ends, you may continue coverage for yourself and your dependents under COBRA (as described in the separate Other Information booklet). I HAVE NO DEPENDENTS. ANYTHING ELSE I NEED TO KNOW? No. You can skip the next part and go directly to How the plan works on page 6. What if I m on a leave of absence? 7 I DO HAVE DEPENDENTS. WHAT ELSE DO I NEED TO KNOW? There s more to think about if you re married, in a domestic partnership or have children. First of all Are my dependents eligible? If your dependents are eligible for Phillips 66 medical or dental coverage, they re probably also eligible for the EAP. Take a look at the chart below. And if you re not sure, contact the Benefits Center for help! Before you can access EAP services for your family, you ll need to be able to prove that they re eligible for coverage. Services won t begin if you can t provide the required documentation upon request from the Claims Administrator. Is my dependent eligible? Yes No For a spouse or domestic partner Your spouse (including your state-recognized common-law spouse) or your domestic partner (as defined in the Glossary, located in the Other Information booklet) Your divorced or legally separated spouse, or a domestic partner after your domestic partnership has ended For a child Your biological, legally adopted or placed for adoption child under age 26* Your stepchild under age 26,* provided: The biological parent is your spouse; and You and your spouse either remain married and live in the same household, or your spouse died while married to you Your domestic partner s biological or legally adopted child under age 26*, provided: The domestic partnership between you and your domestic partner is ongoing; The child receives over 50% of his or her support from you and lives with you for the tax year; and The child has not been claimed as a dependent on anybody else s federal tax return for the year of coverage Your stepchild or child of a domestic partner who does not meet the requirements shown above A grandchild not legally adopted by you or a child placed in your home as a foster child or under a legal guardianship agreement The child of a surrogate mother who does not otherwise qualify as a dependent A child for which the plan has received a Qualified Medical Child Support Order (QMCSO) * Your child age 26 or older may be eligible for coverage, provided he or she was disabled prior to age 26 and coverage is approved by the plan within the deadline. 8 EMPLOYEE ASSISTANCE PLAN Regardless of the table on page 5, your spouse, domestic partner or child is not eligible if he or she is: On active duty in any military service of any country (excluding weekend duty or summer encampments). Not a U.S. citizen, resident alien or resident of Canada or Mexico. In a relationship with you that violates local law. How the plan works The EAP provides confidential counseling and support services designed to help you and/or your eligible dependents resolve issues and problems quickly. Services are provided through ValueOptions,* the plan s Claims Administrator. You can call ValueOptions 24 hours/day, 365 days/year at: (866) (within the U.S.) (972) (outside the U.S. This is not a toll-free number) When you call ValueOptions: You ll speak with an experienced and specially trained counselor who ll assist you in getting the help you need. Depending on your situation, the counselor may suggest additional sessions to help you reach your goals. If the counselor believes that you need specialized or longer-term counseling, you may be referred to another resource in the community or within another Phillips 66 benefit. If you don t call and receive authorization for services, EAP benefits won t be paid! * If you re a U.S. expatriate employee, services may be provided by a local EAP provider rather than by ValueOptions. 9 WHAT CAN THE EAP HELP WITH? ValueOptions counselors can help with a wide range of issues. Here are just a few: Health and wellness Family issues Work Anxiety and stress Chronic pain Coping with illness General health Grief and loss Mental health Nutrition and weight management Sleep disorders Substance abuse Parenting New baby Blended families Caring for an adult Communication Family and marital problems Learning disorders Marriage or divorce Parent-school interaction Career development or transition Changing jobs Living and working abroad Managing change Time management Work/Life balance WHO ARE THE EAP PROVIDERS? The EAP is staffed by a network of highly qualified professionals who have experience providing counseling and EAP services. When appropriate, ValueOptions will arrange for your EAP counseling through one of ValueOptions EAP affiliate providers. These providers must possess at least a Master s level degree and may include: Licensed clinical social workers (LCSW); Licensed professional counselors (LPC, LMHC); Licensed marriage and family therapists (LMFT); Licensed clinical psychologists (PhD, PsyD); and EAP providers. 10 EMPLOYEE ASSISTANCE PLAN WHAT SERVICES DOES THE EAP PROVIDE? Short-term, professional counseling services The EAP provides five telephonic or face-to-face counseling sessions per person, per problem, per year. Those five sessions are often enough to resolve the problem. If they aren t: Your counselor may refer you to other appropriate resources. The EAP doesn t pay for those additional services, but they may be covered by your medical plan. When Melissa s ailing father moved in with her, she was happy to care for him in her home. But she soon realized that it was going to be harder than expected. She worried about him constantly, and it was beginning to affect her concentration and performance at work. A coworker suggested Melissa call the EAP. She did, and it brought her immediate relief. She met with a counselor a few times to help manage her anxiety. With the pressure off, Melissa is able to enjoy spending time with her father. Online information The plan also offers 24-hour access to self-help information available through Achieve Solutions, a website maintained by ValueOptions. By logging on to you can access a library of educational materials on a wide variety of mental health topics including information on: Child care. Elder care. Stress and relationship issues. In addition, the site offers a range of selfassessment tools and interactive trainings, as well as articles, webinars and feature stories, which are updated frequently. WHAT IF I M A U.S. EPATRIATE OR INPATRIATE? If you re a U.S. expatriate employee, your location may have arranged for a local EAP provider instead of ValueOptions. Contact your local HR resource to find out. ValueOptions will provide EAP services at locations without local EAP services as well as to participants who elect to not use local EAP services. If you re a U.S. inpatriate employee, your EAP coverage is through Aetna International. 11 How to file a claim Since there s no cost to you for EAP services, there are no claims to file. However, if you believe that you or a family member was denied benefits, you have specific rights and responsibilities for appealing the denial. See the separate Other Information booklet for details. When does coverage end? Most of the time, all plan coverage for you and all your dependents ends on the last day of the month in which: Your employment ends. You re no longer eligible under the terms of the plan (see page 4). You go out on a leave of absence-labor Dispute. BUT, coverage sometimes ends earlier, as shown below. If you die If Phillips 66 stops offering coverage For a dependent Plan coverage ends on the date of your death. Coverage ends on the day the plan is terminated. Coverage ends on: The date that person is no longer an eligible dependent (see page 5), except: Coverage ends on the last day of the month in which the event occurs if the loss of eligibility is due to a divorce, legal separation, annulment or dissolution of a domestic partnership or to a dependent child s reaching the plan s age limit. The date a dependent becomes eligible for coverage as a company employee. The date of a dependent s death. CAN I CONTINUE MY COVERAGE AFTER I LEAVE THE COMPANY? When coverage ends, you or your dependents may be eligible to continue coverage under COBRA. If you want to continue coverage under COBRA, you must enroll within 65 days of the day coverage ends. This Employee Assistance Plan booklet is intended to help you get the most out of your EAP benefits, but there s also a lot of other important legal information related to the EAP. That information is included in the separate Other Information booklet. In addition to administrative and ERISA information we re required to provide, the Other Information booklet is your source for information on such things as: COBRA continuation coverage. What to do if a claim is denied. Your HIPAA privacy rights. How you re protected if you go on a military leave. And more!
