4 Introduction Diversity and culture play an increasingly important role in tech companies For years, large companies didn t give much consideration to the diversity of their board composition. As times have changed, though, diversity has become an increasingly important issue. The concept of a diverse board is not just an abstract idea research suggests that companies with boards that feature diverse backgrounds and perspectives perform better. Active investors are more interested than ever in ensuring boards reflect a diverse mix of skills, perspectives and backgrounds. A recognition of the value of boardroom diversity and frustration with the slow rate of progress on the diversity front has led a growing number of institutional investors to advocate for change and challenge perceptions of a lack of qualified diverse candidates. Today, some institutional investors are voting against all-male boards of U.S. companies, and in 2017 one of the largest global investors voted against the chair or most senior member of the nominating and governance committee of 400 all-male boards % % Companies that added new directors 38 % Tech boards have mandatory retirement This desire for change has resonated with tech companies, and they are responding by seeking to diversify and broaden their outlook: for instance, 38% of new tech board directors are women, up from 29% last year and 23% in 2015 an increase of 65% over a three-year period. Tech boards also have greater age diversity than S&P 500 boards: 28% of tech board directors are 59 or younger, compared with only 16% of S&P 500 boards. Yet while change is coming, progress is slow in some areas. Board turnover remains low the percentage of companies adding new directors dropped from 49% last year to 42% this year. Average director tenure has also remained largely the same over the past few years, while the percentage of boards with mandatory retirement has dropped from 43% in 2014 to 38% this year. (By comparison, 73% of S&P 500 boards report a mandatory retirement age.) This level of stasis can only hinder progress of women and minorities in boardrooms. 73 % S&P 500 boards have mandatory retirement With these thoughts in mind, Spencer Stuart s sixth annual U.S. Technology Board Index examines trends in board composition, governance practices and director compensation for 200 top technology companies in the United States. Based on 2016 revenues, the companies in this index range in size from roughly $332 million to more than $216 billion, and they represent a broad swath of technology companies, 2 spencer stuart

5 including computer manufacturers, software developers, semiconductor and component makers, telecommunications equipment manufacturers, managed applications and network services, IT services, internet publishing, search and internet retail companies. Highlights from the 2017 U.S. Technology Board Index Technology company boards range in size from four to 16 members, and the average size is 8.9 members. Thirty-eight percent of new tech board directors are women, up from 29% last year and 23% in All told, that s a 65% increase over a three-year period. The percentage of boards with female directors, however, only increased from 82% in 2016 to 82.5% in Eighty-one percent of tech board directors are independent, compared with 85% of S&P 500 directors. Forty-two percent of tech companies added a new director in the 2017 proxy year, down from 49% in In total, 84 companies added 121 directors, compared with 2016, when 98 companies added 168 new directors. Of the 200 technology boards in our index, 72% separate the board chair and CEO roles, compared with 51% of S&P 500 boards. The average tenure for technology company board members is 8.7 years, longer than the S&P 500 average of 8.2 years. Directors are elected annually on 63% of technology company boards, down from 67% in By comparison, 92% of S&P 500 companies have annual director elections. The number of technology company boards that report having a mandatory retirement age stands at 38%. By comparison, 73% of S&P 500 boards report a mandatory retirement age for directors. Among the technology companies that have mandatory retirement, the average age is 73. Technology company directors receive average total compensation of $281,597, up 3% from Stock awards represent 62% of total perdirector compensation for technology company directors, and 7% of tech board director compensation is in the form of stock options. By comparison, S&P 500 boards average 10.8 members. Sixty-five percent of tech boards have nine or fewer members, down from 73% last year and far above S&P 500 boards (24%). Conversely, 35% of tech boards have 10 or more members, compared with 76% of S&P 500 boards. Technology boards have as few as four and as many as 16 members, while S&P 500 boards range in size from five to 18. The average age of independent directors on S&P 500 boards is 61. Twenty-eight percent of technology boards have an average age of 59 or younger, compared with only 16% of S&P 500 boards. Percentage of Female Directors Rises Slightly The percentage of technology company boards with at least one female director rose from 82% last year to 82.5% this year. While this represents a small year-over-year increase, it builds on an upward trend in the number of female directors. Just three years ago, 28% of technology boards had no women directors. Still, technology boards significantly trail the S&P 500 in female representation; 99% of S&P 500 boards have at least one female director. Women represent 17% of the total number of directors on technology boards, up from 16% in By comparison, women represent 22% of S&P 500 directors. The remaining technology companies have three-year terms. The average director term length for technology boards is 1.7 years, the same duration as last year. Sixty-three percent of technology company boards elect directors annually, down from 67% in By Fewer Than 40% of Boards Set a Mandatory Retirement Age* The percentage of technology company boards that have a mandatory retirement age remains at 38% in 2017, unchanged from S&P 500 boards are much more likely to have a mandatory retirement age, with 73% reporting a retirement age. Among the technology companies that have a mandatory retirement age, the average age is 73 unchanged from the last couple of years and the same as the S&P 500 average. More than half (53%) of the boards with mandatory retirement ages set it at 75 or older, compared with 42% of S&P 500 boards. Another 34% set the retirement age at 72 and 12% set the age at 70. The youngest mandatory retirement age is 70, and the oldest is 80. 11 Tech Boards Average Just Under Four Board Committees Technology boards in our index have 3.7 committees on average. By comparison, S&P boards average 4.2 committees. Other than the three core committees audit, compensation and nominating/governance the executive, finance and strategy committees are the most common on technology company boards. Thirteen percent of technology company boards have an executive committee, 12% have a finance committee, and 14% have a strategy committee. By comparison, 32% of S&P 500 boards have an executive committee, 32% have a finance committee and only 2% have a strategy committee. (Per-director total compensation reflects regular director compensation, as well as premiums paid for committee service and board leadership roles.) Total per-director compensation for the S&P 500 averaged $288,909, 3% higher than the technology company average. The $341,365 average for directors of technology companies with revenue of more than $5 billion is 18% higher than the S&P 500 average. Per-director compensation can vary significantly from year to year: compensation increased in all categories. Across the spectrum, average compensation drops as the companies get smaller. 13 Stock Awards Represent the Largest Share of Director Compensation Stock awards represented 62% of total per-director compensation for technology company directors, compared with 55% among S&P 500 companies. Another 7% of compensation is in the form of stock options, compared with 4% of S&P 500 director compensation. Cash fees represent 29% of compensation for technology company directors, but 38% of compensation for S&P 500 directors. Overall trends: Smaller companies tend to rely more on stock options as a percentage of compensation. Larger companies offer other compensation in larger percentages than smaller companies. (Other compensation includes travel/spouse expenses, entertainment/gifts, education programs, extra services and insurance/health benefits.) Thirty-five percent of technology boards offer deferred compensation plans to directors, compared with 74% of S&P 500 companies. 14 Director Compensation Continued Drop in Boards Paying for Meeting Attendance Thirteen percent of technology boards in our index report they provide meeting attendance fees to directors. That number has dropped notably over the years, down from 17% in 2016 and 27% just four years ago. Fourteen percent of S&P 500 boards provide meeting attendance fees. The average board meeting attendance fee for technology boards rose to $6,610 from $5,224 in 2016 and up from $2,491 in (Note: two companies pay much higher fees that skew this number excluding their fees, the 2017 average is $2,152.) The average cash retainer for technology company board chairs is $139,097, a 7% increase over the 2016 average of $130,216. Fewer technology boards provide additional cash compensation to the lead director. Among the 39% of boards that do, the average cash premium is $28,840, down 2% from the 2016 average of $29,493. 15 More than 90% of Boards Compensate Audit Committee Chairs Of the 200 technology boards in our index, 93% provide an additional cash retainer to the audit committee chair, and the average payment is $26,365. Seventy-one percent of tech company boards provide an additional retainer to audit committee members, averaging $12,418. Audit committee meeting attendance fees are far less common than retainers: 13% of technology boards provide meeting fees to audit committee members and 2% to audit committee chairs. Technology company boards are most likely to include restricted stock or restricted stock units to directors in the equity compensation mix: 95% percent of tech boards provide this form of equity compensation. Only 16% of boards have a stock option program that provides options when directors join the board, as part of annual director compensation or both. Among the companies that provide option grants to directors annually, the average value of these grants decreased from the previous year by 12% to $95,997.
