1 Na osnovu člana 48. stav 1. tačka 20. i član 83. stav 2. Statuta Raiffeisen Invest Društvo za upravljanje fondovima d.o.o. Sarajevo, Nadzorni odbor Raiffeisen Invest Društvo za upravljanje fondovima d.o.o. Sarajevo (u daljem tekstu: Društvo) na jedanaestoj sjednici održanoj dana donosi slijedeću: Pursuant to Article 48 Paragraph 1 Item 20 and Article 83 Paragraph 2 of the Articles of Association of Raiffeisen Invest Fund Management Company Ltd Sarajevo, the Supervisory Board of Raiffeisen Invest Fund Management Company Ltd Sarajevo, adopts, at its eleventh meeting held on 04/03/2014, the following: ODLUKU O USVAJANJU IZMJENA I DOPUNA STATUTA RAIFFEISEN CASH OTVORENI INVESTICIJSKI FOND SA JAVNOM PONUDOM RESOLUTION APPROVING THE AMENDMENTS IO THE ARTICLES OF ASSOCIATION OF RAIFFEISEN CASH OPEN- ENDED INVESTMENT FUND WITH PUBLIC OFFERING Član 1. / Article 1 Ovom Odlukom usvajaju se izmjene i dopune Statuta Raiffeisen CASH otvorenog investicijskog fonda sa javnom ponudom broj 51/11 od godine (u daljem tekstu: Statut Fonda). This Resolution approves the amendments to the Articles of Association of Raiffeisen CASH open-ended investment fund with public offering no. 51/11 of 01/12/2011 ( the Articles of Association ). Član 2. / Article 2 U članu 1. stav 2. Statuta Fonda iza riječi " godine" briše se tačka, dodaje se zarez i riječi ", a njegove izmjene i dopune i prečišćeni tekst Nadzorni odbor Društva je usvojio godine. Statuta Fonda briše se poslednja rečenica "Društvo će nastojati da u roku od šest mjeseci od dana stupanja na snagu ovog prospekta strukturira portfolio Fonda prema odrednicama Zakona i Prospekta. ". In Article 10 the Item 8 the following text shall be deleted "The Company shall strive to structure the Fund's portfolio within 6 months from the day this Prospectus becomes effective, in accordance with provisions prescribed by the Law and The Prospectus. ". Član 6. / Article 6 U članu 28. mijenja se tekst koji se odnosi na biografiju Lejle Baljević Ramović koji sada glasi : "Lejla Baljević Ramović, direktor Raiffeisen INVEST d.o.o. Sarajevo. Godine stekla je zvanje magistra ekonomskih nauka Ekonomskog Fakulteta u Sarajevu, te zvanje MBA kod Unverziteta u Delaware, SAD. Posjeduje dogogodišnje iskustvo na tržištu kapitala BiH. Karijeru je započela u Vakufskoj banci dd Sarajevo i UNDP-u, a godine nastavlja karijeru na poziciji rukovodioca Odjela za trgovinu, analize i korporativno upravljanje Raiffeisen BROKERS doo Sarajevo i istu uspješno obavlja sve do kada preuzima funkciju direktora. Pripajanjem društva Raiffeisen BROKERS doo Sarajevo društvu Raiffeisen BANK d.d. Bosna i Hercegovina u maju godine, radni angažman nastavlja na poziciji rukovodioca Odjela tržišta kapitala. Od septembra godine preuzima poziciju direktora društva Raiffeisen INVEST d.o.o. Sarajevo. Dodatnu edukaciju stekla je položivši ispit za investicijskog savjetnika. ". In Article 28, the text related to the CV of Lejla Baljević Ramović shall be changed to read as follows: Lejla Baljević Ramović, CEO of Raiffeisen Invest d.o.o. Sarajevo. In 2008, she attained the Master s degree in economics from the Faculty of Economics in Sarajevo and a MBA degree from the Delaware University USA. She has a long-standing experience in the B&H capital market. She has started her career in Vakufska banka dd Sarajevo and UNDP, and since 2003, has been successfully managing the Trading, Analysis and Corporate Management Department of Raiffeisen BROKERS doo Sarajevo up to 2009 when she took over the position of CEO. After the merger of Raiffeisen BROKERS doo Sarajevo into Raiffeisen BANK dd BiH in May 2011, she became the Head of Capital Markets. In September 2011, she became the CEO of Raiffeisen Invest d.o.o. Sarajevo. She has completed an investment advisory programme and has obtained an investment advisor certificate. Član 7. / Article 7 Otklanja se tehnička greška tako da se iza člana 28. stav 1. Statuta dodaje tekst Član 29., tako da član 29. Statuta obuhvata naslov Nadzorni odbor i biografije članova Nadzornog odbora. U članu 29.Statuta Fonda brišu se imena i biografije Sulejmanovic Reufa i Christe Marie Bernbacher. In Article 28 Item 2, the names and the CVS of Sulejmanovic Reuf and Christa Maria Bernbacher shall be deleted. Mijenja se tekst koji se odnosi na biografiju Karlheinz Dobnigga, koji sada glasi "Karlheinz Dobnigg, zamjenik direktora Raiffeisen BANK d.d. Bosna i Hercegovina, odgovoran za Retail poslovanje, Riznicu, Finansijska tržišta i Investicijsko bankarstvo, član Uprave Raiffeisen BANK d.d. Bosna i Hercegovina, predsjednik Nadzornog odbora Raiffeisen INVEST d.o.o. Sarajevo godine završio Academy of Economics Bruck/Mur, nakon čega uspješno završava i trogodišnji Trainee program u Bank Austria Creditanstalt godine završava i Bank Austria Creditanstalt Cyber School godine stiče zvanje Magistra ekonomije iz oblasti finasija, bankarstva i osiguranja na Internacionalnom Univerzitetu Travnik. The text related to Mr. Karlheinz Dobnigg s CV shall be amended to read as follows: Karheinz Dobnigg, Deputy CEO of Raiffeisen BANK d.d. Bosna i Hercegovina, and Board Member responsible for Retail, Treasury, Financial Markets and Investment Banking, Board Member of Raiffeisen Bank dd BiH, Chairman of the SB of Raiffeisen Invest d.o.o. Sarajevo. In 1992, he graduated from Academy of Economics Bruck/Mur, after which he completed a three-year Trainee Program in Bank Austria Creditanstalt In 2002, he completed the Bank Austria Creditanstalt Cyber School In 2012 he attained the title MSc in Economy in the area of finance, banking and insurance from the Travnik International University. Before joining the Management Board Members of Raiffeisen BANK d.d. Bosna i Hercegovina, he gained working experience at various management positions in Nova Banjalučka Banka, HVB Central Profit Banka and Bank Austria Creditanstalt. He did a PhD at the Faculty of Law in Graz, Austria, in After gaining valuable professional experience in Industry in Austria, he continued his career in Financial Institutions starting with ING Bank, In 1991 he joined the Raiffeisen Group where he has been active until today in different countries , Raiffeisen Zentralbank Östereich A.G., Milan and Paris, Head of Representation Office; , Raiffeisenbank Austria d.d., Zagreb, Member of the Management Board; In 2000 he was appointed Supervisory Board Member of Raiffeisen Bank dd BiH and moved 2001 in the function of Member of the Management Board. Since March 2007, he is the Chief Executive Officer of Raiffeisen Bank dd BiH. From 2001 until 2005 he contributed to the development of Raiffeisen Osiguranje dd Sarajevo as Chairman of the Supervisory Board. ". She obtained the Master's degree from the Faculty of Economics in Ostrava, Czech Republic, From 2007 to 2011, she was Head of Asset Management and Liabilities in Raiffeisen Bank International Vienna. Before joining Raiffeisen Bank International Group, she had gained working experience in various management positions of Erste Bank Group. Član 8. / Article 8 Član 38. Statuta Fonda se mijenja i sada glasi: Izmjene i dopune odredbi ovog Statuta donosi Nadzorni odbor Društva, uz prethodnu saglasnost Komisije za vrijednosne papire FBiH za slučajeve koji su propisani Zakonom i na način određen Zakonom. Article 38 shall be changed to read as follows: Amendments to these Articles of Association must be adopted by the Company's Supervisory Board, upon prior consent by the FBiH Securities Commission, in the cases and in the way prescribed by the Law. Član 9. / Article 9 Član 40.Statuta Fonda se mijenja i sada glasi: "Odobrenje Statuta i njegovih izmjena i dopuna od strane Komisije za vrijednosne papire FBiH u skladu sa Zakonom predstavlja uslov valjanosti i primjene Statuta Fonda Ovaj Prečišćeni tekst obuhvata Statut broj 51/11 od godine na koji je Komisija za vrijednosne papire FBiH dala odobrenje dana godine svojim Rješenjem broj 05/ /11 i izmjene i dopune broj 223/14 od godine koje ne podliježu prethodnoj saglasnosti od strane Komisije za vrijednosne papire FBiH." Article 40 shall be changed to read as follows: The validity and effectiveness of these Articles of Association and its Amendments are preconditioned by their adoption by the FBiH Securities Commission. This Consolidated text consists of the Articles of Association no. 51/11 of approved by the Securities Commission on by its Ruling. no. 05/ /11 and effective as at the same date; as amended by the Amendments no.223/14 of 04/03/2014 which do not require the prior consent of the FB&H Securities Commission." Član 10. / Article 10 Istovremeno ovom Odlukom se usvaja Prečišćeni tekst Statuta Fonda koji obuhvata Statut Fonda broj 51/11 od godine i izmjene i dopune utvrđene ovom Odlukom. Prečišćeni tekst Statuta Fonda iz prethodnog stava se nalazi u prilogu ove Odluke i čini njen sastavni dio. This Resolution also adopts the Consolidated text of the Fund's Articles of Association no. 51/11 of 01/12/2011 and the amendments determined by this Resolution. Stranica 4 od 5

5 The Consolidated text of the Articles of Association referred to above is attached as an integral part of this Resolution. Član 11. / Article 11 Izmjene i dopune Statuta Fonda obuhvaćene ovom Odlukom i prečišćeni tekst iz člana 10. ove Odluke ne podliježu prethodnoj saglasnosti Komisije za vrijednosne papire FBiH. The Amendments to the Fund s Articles of Association made by this Resolution and the Consolidated text referred to in Article 10 above do not require the approval of the FB&H Securities Commission. Ova Odluka stupa na snagu danom donošenja. This Resolution takes effect on the date it is adopted.
