2 ENOI AT A GLANCE We are an independent energy company operating in trading, wholesale and supply of natural gas and electricity at pan-european level. Founded in 2000, we grew with Europe s liberalized markets. Today we work in 19 countries, where we have over 800 counterparties and customers to whom we provide energy with 24/7 assistance. We are working every day with reliability and flexibility to provide optimal solutions for our customers individual needs. For many years we have ranked with top companies for gas import in Italy. We re still the 1st italian independent player for gas import and wholesale volumes. In the last fiscal year, we have sold over 180 TWh between gas and power for a turnover of over 4.3 billion euro. 2

3 GOVERNANCE E RISK MANAGEMENT CORPORATE GOVERNANCE Since years ENOI has implemented a governance system in which the different corporate bodies interact systematically, each with its own functions, ensuring that the company may prosper and sustain all its shareholders. RISK MANAGEMENT Energy trading, sales and supply activities expose us to a certain number of risks such as the oscillation of market prices and currencies, counterparty risk as well as operational risk. A team reporting to the Chief Risk Officer manages all these risks. Daily monitoring of the market exposure risk is an active part of the Risk Management team. The counterparty risk is monitored, managed and minimized through close monitoring of credit limits and analysis of our counterparts. Operational and legal risks are managed through a strict control of internal procedures and contractual policies. 3

5 OUR BUSINESS Our nature as an independent company gives us freedom to move with flexibility, ensuring a 24/7 support system to our customers, with our principal goal of providing only the best of solutions to each of our customers. ENOI, among its various business activities, is specialized in short term contracts (products, services and supplies with a 12 months duration). We provide our know-how and our connections in the European market to each of our clients so that they may benefit from our exceptional opportunities. In addition to trading and sales activities, ENOI has also an operations & logistics team that guarantees the correct operational execution through more than 100 transportation and storage arrangements in 19 European countries in which we operate daily. The "operations & logistics" team coordinates with the sales team and with the origination team in order to create ad hoc products developed for the special needs of each customer. ENOI has vast experience concerning complex products and structured services in main European markets. 5

7 NATURAL GAS Being one of the pioneers in Europe s liberalized gas market, we were among the first independent players to obtain license for operation in all main European markets as well as being the first to provide transport and storage as soon as the opening process of markets permitted. We were also among the main participants in the initial import of LNG in Italy and Europe. We operate in most European markets, those that represent over 95% of business in Europe; apart from the incumbents, ENOI has long been one of the most present and active Italian participants in various European markets. The volume of gas traded in the last fiscal year has reached 180 TWh. For many years we have ranked among the top players of gas import in Italy (4th among approximately 50 competitors), and we re still the 1st italian independent player for gas import and wholesale volumes. We are active in trading and wholesale as well as in direct sales to large companies; ENOI is able to offer its customers several products: from the 'day-ahead' to 'calendar', physical or financial, at fixed or index-linked prices. We offer deliveries such as 'full supply', as well as 'horizontal' or 'vertical' tranches and less common market options (eg. swing', 'call', 'put', 'bermuda',...). Furthermore, we sell structural products especially created according to the requests of our numerous and demanding customers. 7

8 TRANSPORTATION AND STORAGE CAPACITY NATURAL GAS MARKETS We ve been working since more than a decade on all the most relevant energetic markets all across Europe; we boast transportation and storage agreement that allow us to operate with high levels of reliability and flexibility. Each Client benefits from our well known logistic competency. We work on regular basis in: 21 VTP (Virtual Trading Points) 76 interconnection point ENOI has: Short and long term storage capacity has been secured in Italy, Germany, Austria, Holland and Czech Rep. Long term transportation capacity in Holland, Belgium, France, Austria and Germany. 8

9 POWER ENOI was founded in 2000 operating within the electric energy market. In the years that followed, the company focused on natural gas but in 2012 returned with renewed determination to be once again active in electric energy. The company operates in the major European markets: Austria (APCS), Switzerland (Swiss Grid), Italy (Terna), France (RTE) and Germany (Amprion) This allows us to offer our customers interesting options concerning with a wide territorial range as well as various reliable and flexible solutions.. The Sales and Trading departments deal mainly with short-term contracts (expiring within 12 months). In addition, ENOI buys and sells transport capacity through specialized platforms which are at our customers disposal. The huge volume of electricity that ENOI annually imports from foreign markets to Italy, helps to maintain a stable, balanced and well supplied domestic electricity system. Generally, the prices offered in the most advanced European markets are more competitive than those in Italy: i.e. the imports (ENOI contributing) increase the efficiency of the price system at domestic level, all in favour of the end customer who can then access energy at a lower cost. 9

10 SUPPLY TO BIG CUSTOMERS In addition to trading and wholesales activities, ENOI supplies also big industrial customers, both with natural gas and power. ENOI s clients have the opportunity to buy energy with a direct connection with the most relevant and advanced international markets; this means very competitive prices and high efficiency level. Clients with index-linked contracts can choose «fixing options» and manage their supply through our specific and exclusive digital solution named Smart Portfolio Mgmt. 10

11 SERVICES We support our customers with several additional services, for example: Balancing Service: we give the customer the possibility to operate in a market in which he is not registered, offering our own shipping code and assisting him in all operational aspects. Capacity optimization: we help the customer to find solutions which will minimize transport and storage costs, within the various restrictions imposed by national authorities. Support entry into new markets: relying on our international experience, we assist the customer with registration in new markets and in the interpretation of their rules and obligations. Portfolio management: we support the customer in managing his portfolio, supporting them with supply and logistics 11

12 PPAs ENOI is active in the service of buying electricity from production facilities from The service is available for power plants in the range from 1 to 100 MW and for different types: wind, photovoltaic, cogeneration, biomass and hydro. For all these kind of power plants, the PPA Team has capability and the most appropriate solutions. Our proposal is clear and simple: the energy is given maximum value; no administration costs, no imbalance charges, no transportation costs and no obligations of production forecasts. Our experience, expertise and flexibility allows us to offer more competitive and advantageous conditions than the rest of the market - while ensuring maximum reliability to our customers. ENOI is able to offer tailor made proposals, with fixed or index-ranged prices, also structuring them in different areas or for established time periods. The offers are customized to the needs of each single producer and takes into account various risks. Therefore, every year hundreds of manufacturers continue to renew their trust in ENOI, with a high loyalty rate of customers over the years. Our portfolio has more than 600 MW power available, strategically diversified by type of facility and geographical area. 12
