1 Trustee s Annual Report for The Great Western Hospitals NHS Foundation Trust Charitable Fund for the year ending 31 March Foreword The Corporate Trustee presents the Charitable Annual Report together with the Independently Examined Financial Statements for the year ended 31 March The Charity s Annual Report and Accounts for the year ended 31 March 2011 have been prepared by the Corporate Trustee in accordance with Part VI of the Charities Act 1993, and the Charities (Accounts and Reports) Regulations The Charity s Accounts and Report include all the separately established funds from which The Great Western Hospitals NHS Foundation Trust, NHS Swindon and NHS Wiltshire are the beneficiaries. The Charity has a Corporate Trustee; The Great Western Hospitals NHS Foundation Trust (previously Swindon and Marlborough NHS Trust authorisation achieved ). Charitable received by the Charity are accepted, held and administered as funds and property held on trust for purposes relating to the Health Service in accordance with the National Health Service Act 1977 and the National Health Service and Community Care Act 1990, and these funds are held on trust by the Corporate Body. 2 1.2 Trustee The Great Western Hospitals NHS Foundation Trust is the Corporate Trustee of the Charitable governed by the law applicable to Trusts, principally the Trustee Act 2000, and the Charities Act The NHS Foundation Trust Board devolved responsibility for the on-going management of funds to the Charitable Committee, which administers the funds on behalf of the Corporate Trustee. Minutes of the Charitable Committee are presented to the full Trust Board in order to keep them informed of the decisions being made on their behalf. The names of those who served as agents to the Corporate Trustee by being members of the Charitable Committee during the financial year were: Angela Gillibrand Robert Burns Lyn Hill-Tout Maria Moore Non Executive Director and Chair of the Committee Non Executive Director Chief Executive Director of Finance 1.3 Charitable Advice to the Board The Trust Board are advised by the Charitable Committee on all matters relating to Charitable. The Committee must approve all proposed expenditure over two thousand pounds on behalf of the Corporate Trustee. Individual members are delegated to authorise payments over two thousand pounds, but that authority must be ratified and minuted at the next committee meeting. 3 Investment Advisers CCLA Investment Management Ltd 80 Cheapside London EC2V 6DZ (COIF Investments) 2 Structure, Governance and Management The Charity s unrestricted fund was established using the model declaration of trust. The restricted funds were separately registered under the group charity. All funds held at the date of registration either formed part of the unrestricted or restricted funds. Subsequent donations and gifts received by The Charity that are attributable to the original funds have been added to those fund balances within the existing charity. The Corporate Trustee fulfils its legal duty by ensuring that funds are spent in accordance with the objects of each fund and by designating funds, in this way the Trustee is able to respect the wishes of the donors, to benefit patient care and advance the good health and welfare of patients and staff The charitable funds available for spending are held within the thirteen registered charities, which are described in note 14 of the accounts. This includes funds managed on behalf of NHS Wiltshire and NHS Swindon. Non Executive Members of the Trust Board under FT status are appointed by the Governors, and Executive members of the Board are subject to recruitment by the NHS Trust Board. Members of the Trust Board and the Charitable Committee are not individual Trustees under Charity Law, but act as agents on behalf of the Corporate Trustee. The Charity undertakes induction training for newly appointed members of the Trust Board and Charitable Committee. The induction involves a presentation, a pack of information, which includes, copies of the governing documents of the charities, a copy of the latest Annual Report and Accounts, Policies and Procedures and the Charity Commission document The Essential Trustee: What you need to know. Acting for the Corporate Trustee, the Charitable Committee is responsible for the overall management of the Charitable. The Committee is required to: a b Support the Board in its duty to ensure the Trust has the systems to effectively manage Charitable. Ensure the audit processes performed by both external and internal audit in the area of Charitable effectively deal with the traditional requirements of: True and accurate accounting records, Safe guarding assets, Compliance with appropriate accounting policies, standards and Charity Law Detection of fraud and irregularities c Recommend additional policies and procedures to the Board to comply with statutory changes. 4 d e f Review annual financial statements and Trustees Report prior to submission to the Board. Consider any other matters relating to Charitable referred to it by the Board. Receive advice from the Primary Care Trust representatives as to how their funds should be expended. The accounting records and the day-to-day administration of the funds are dealt with by the Finance Department located at The Great Western Hospitals NHS Foundation Trust, Commonhead Offices, The Great Western Hospital, Marlborough Road, Swindon, Wiltshire, SN3 6BB. 3 Risk Management The major risks to which the Charity is exposed have been identified and assessed, with systems being put in place to mitigate those risks. The most significant risk the Charity faces is the fall in value of investments especially equities. The Charitable Committee has mitigated this risk by not investing one hundred percent in equities, but rather taking the view that so far is reasonable the investments should be made to mitigate undue risk to the real value of the capital and income of the portfolio, after allowing for inflation. Expenditure is closely monitored; no fund manager is able to expend funds, without the request first being checked by the Finance Department, who ensure the funds are available. Income is monitored to check whether the levels of income are as expected, and if not the spending plans are amended accordingly. 4 Partnership Working Great Western Hospitals NHS Foundation Trust, being the main beneficiary of the Charity, and is a related party by the virtue of being Corporate Trustee of the Charity. By working in partnership with the Trust and the other beneficiaries, NHS Swindon and NHS Wiltshire, the Charitable are used to best effect. When deciding upon the best use of the Charitable, the Corporate Trustee takes into consideration the main activities, objectives, strategies and plans of the proposed beneficiary. 5 Objectives and Strategy The Charity s group fund has NHS wide objectives as follows: a The Trustee shall hold the trust fund upon trust to apply the income, and at their discretion, so far as may be permissible, the capital, for any charitable purpose or purposes relating to the National Health Service (hereinafter referred to as the objects ) The Charitable Committee has agreed the following Strategic Aims: a b To enhance the environment for staff and patients, in which health services can be delivered effectively. To enable staff and carers, caring for patients to benefit from education and facilities not normally available within the NHS resource envelope. Page 4 of 20

5 c d To donate extra equipment and staffing to the Trust and Primary Care Trusts over and above the NHS resource envelope. To spend funds in accordance with Charity Commission best practice and in support of the Trust and Primary Care Trusts stated values and ten-year vision. The Charitable Committee use the above aims when deciding how and where a proposed project will fit in with those aims. The fulfilment of these aims would not be possible without the support of patients, carers, staff, the local community, voluntary organisations, and local businesses of the Trust and Primary Care Trust s. 6 Annual Review: Our Activities During the year, the funds continued to support a range of charitable and health related activities benefiting both patients and staff, including additional medical equipment to enhance patient care. The purchases were varied and were of a kind that the NHS would not be able to fund. See notes 7 and 8 of the Trustee s Annual Report for further details. The ward and department Charitable receive many donations from patients and relatives as a thank-you to the staff. These donations are used for charitable activities that benefit staff. The Charitable enable nursing, medical and support staff to attend courses that share new ideas; the NHS would not fund these courses. The Great Western Hospital Fund is for the general benefit of patients and staff at the Great Western Hospital and as such has supported an arts project, whose aim is to improve the ambience of the hospital. 7 Grant Making Policy All grants are made from the Charity s Restricted these comprise of three elements: a Firstly - the Registered Restricted General of the Great Western Hospital, NHS Swindon and NHS Wiltshire. These contain gifts and donations, where the restriction is that the funds may be used principally for the benefit of patients and staff at the Great Western Hospital, NHS Swindon and NHS Wiltshire. b c Secondly - other Registered Restricted, these funds have been donated to a particular speciality or purpose. The medical services fund is an example of such a fund. Fund managers that have been authorised by the committee, oversee the dayto-day management of such funds, within clearly defined spending limits. Lastly - Designated or Earmarked Restricted. These funds are not registered, but form part of the other Registered Restricted ; this is done to meet the donor s wishes. The wishes are not binding on the Corporate Trustee who may change the designation or earmarking, if required to do so because of a reorganisation of services or such similar event. An example of such a fund would be a ward fund. Fund Managers are authorised by the committee to oversee the day-today management of such funds, within clearly defined spending limits. Page 5 of 20

6 8 Reserves Policy Reserves may be defined as: a Income which becomes available to the Charity and is expended at the Trustee s discretion in furtherance of any of the Charity s objectives (general purpose income), but which is not yet spent, committed or designated (Charity Commission Booklet Charities Reserves (CC19)). 9 Future Plans No funds that are held currently meet the above definition, but the Corporate Trustee is aware that funds should be spent on charitable activities within a reasonable period of time, and through the Charitable Committee makes sure that funds are spent and not saved, unless a fund manager has a specific purpose for which they wish to save, and have received permission from the committee to do so. The reconfiguration of services, the place of delivery and the redesign of patient care will influence how charitable funds are spent. The Corporate Trustee reviews the spending priorities for each fund annually. The Corporate Trustee has recently reviewed the objects of the Charity and is confident that at present they are appropriate, but will continue to keep them under review. The Charity has requested that each General Manager present their future plans for use of Charitable on a quarterly basis. 10 A Review of our Finances, Achievements and Performance The net assets of the Charitable as at 31 March 2011 were 762,000 compared with 917,000 as at the 31 March Overall net assets decreased by 155,000, this is due to an unrealised gain in the value of investments of 13,000 and overall net expenditure of 168,000. The Charity continues to rely on donations, legacies and investment income as its main source of income they represented 93.5% of total income in 2010/11 compared with 95.1% in 2009/10. Of the total expenditure in 2010/11 of 322,000 compared with 315,000 in 2009/10, charitable expenditure on direct charitable activity, including support costs, was 307,000 compared with 304,000 in 2009/10 on a number of categories of expenditure. 7 11 Purchase of new Equipment The total expenditure on new equipment including support costs was 125,000; this represents a considerable contribution to enhancing patient care. The expenditure included 11,000 on chart workstations for Cardiology patients, 6,000 on photodynamic therapy equipment for dermatology, 6,000 for chairs in the Department for the Elderly and 4,000 for neonatal Optiflow machines used to improve ventilation in the treatment of intensive care babies 2,000 on airway simulators to enhance staff practices, 4,000 on Electrocardiograph machine for DOME. 12 Patients Welfare The total expenditure, including support costs, on patients welfare was 38,000. This included 10,000 to install a footpath around the pond and 5,500 of expenditure to complete the Mother and Baby Courtyard. 13 Staff Education and Welfare The total expenditure on staff education and welfare including support costs was 99,000. This includes 50,000 for external courses to enhance patient care that would not have been funded by the NHS. Expenditure on team building and awards events cost 10,000. Educational materials, books and publications cost 7, Research Before research or patients studies can take place the Trust s Ethics Committee must sanction it. The Charity also relies on the Trust s Research and Development Department. The total spend on Research was 2,000 relating to equipment training. 15 Performance Management The Charity does not employ any Staff, but instead has a Service Level Agreement in place with Great Western Hospitals NHS Foundation Trust for the provision of Accounting and Administration Services. The Charity requires the Fund Manager to supply the Charitable Committee with spending plans where their balances are either not moving or increasing. The Committee will call before them any Fund Manager who they believe is not spending their funds in an appropriate manner. The Committee has the right to remove any Fund Manager they believe is not acting in the best interest of the Charity. The Committee receives at each of its meetings, updates on individual fund balances, which they scrutinise very closely. Where Fund Managers have requested permission to save funds for a specific project, the Committee require them to produce regular updates of their progress. The Committee may require the Fund Manager to revise their plans, if they feel they will not be deliverable. 16 Investments Corporate Trustee Page 7 of 20

8 The Corporate Trustee has determined the investment policy as being, in so far is reasonable, to avoid undue risk to the real value of the Capital and Income of the portfolio, after allowing for inflation. The investment policy also requires that all monies not required to fund working capital should be invested to maximise income and capital growth. The investment may be short term invested in a five star Charity Account or longer term where it will be invested in equities and bonds. The performance of all the investments are clearly monitored and reported on a quarterly basis to the Charitable Committee. The main Fund Manager CCLA Investment Management Ltd is required to attend the Committee on an annual basis to discuss their performance. The Charity invested in COIF in July 2002, the initial investment being split as follows: July March 2011 Charities Investment Fund 420,000 70% 518, % Charities Fixed Interest Fund 180,000 30% 168, % Totals 600, % 686, % Please see Note 10 to the accounts, which detail the other investments. 11 Notes to the Accounts 1 Accounting Policies a Basis of Preparation The financial statements have been prepared under the historic cost convention, with the exception of investments, which are included at market value. The financial statements have been prepared in accordance with Accounting and reporting by Charities: Statement of Recommended Practice (SORP 2005) issued in March 2005 and applicable UK Accounting Standards and the Charities Act b Structure Restricted are funds, which are to be used in accordance with specific restrictions imposed by the donor. Unrestricted Income comprise those funds, which the Trustee is free to use for any purpose in furtherance of the charitable objects. The Charity has one Unrestricted Fund being: The Great Western Hospital NHS Foundation Trust Charitable Fund The major funds are disclosed in note 14. c Incoming Resources All incoming resources are recognised once the Charity has entitlement to the resources, it is certain that resources will be received and the monetary value of incoming resources can be measured with sufficient reliability. d Incoming Resources from Legacies Legacies are accounted for as incoming resources either upon receipt or where the receipt of the legacy is virtually certain; this will be once confirmation has been received from the representatives of the estate(s) that payment of the legacy will be made or property transferred and once all conditions attached to the legacy have been fulfilled. e Resources Expended Expenditure is recognised when a liability is incurred. Grant commitments are recognised when a constructive obligation arises that results in a payment being unavoidable. Grants are only made to related or third party NHS Bodies and Non-NHS Bodies in furtherance of the Charitable objects of the. A liability for such grants is recognised when approval has been given by the Corporate Trustee. The NHS Bodies have full knowledge of the plans of the Trustee, therefore a grant approval is taken to constitute a firm intention of payment, which has been communicated, to the NHS Bodies, and so a liability is recognised. Contractural arrangements are recognised as goods and services supplied. Page 11 of 20

12 f Irrecoverable VAT Irrecoverable VAT is charged against the category of resources expended for which it was incurred. g Allocation of overhead and support costs Overhead and support costs have been allocated as a direct cost or apportioned on an appropriate basis (please see note 6) between Charitable Activities and Governance Costs. Once allocation or apportionment of overhead and support costs has been made between Charitable Activities and Governance costs, the costs attributable to Charitable Activities is apportioned across those activities in proportion to total spend. h Costs of generating funds The costs of generating funds are: NatWest charges for banking Software maintenance and upgrade charges CCLA Investment Management Ltd, cost of managing COIF investment Fundraising Expenses i Charitable Activities Costs of charitable activities comprise all costs incurred in the pursuit of the charitable objects of the Charity. These costs comprise an apportionment of overhead and support costs as shown in note 6. j Governance costs Governance costs comprise all costs incurred in the governance of the Charity. These costs include costs related to independent examination together with an apportionment of overhead and support costs. k Fixed assets investments Investments are stated at market value as at the balance sheet date. The statement of financial activities includes the net gains and losses arising on the revaluation and disposal during the year. The COIF units are included in the balance sheet at the mid market price at 31 March 2011 with the exception of the property fund, which is based on net asset value. l Realised gains and losses All gains and losses are taken to the Statement of Financial Activities as they arise. Realised gains and losses on investments are calculated as the difference between sales proceeds and open market value (purchase date if later). Unrealised gains and losses are calculated as the difference between the market value at the year-end and the opening market value (or purchase date if later). Page 12 of 20

13 2 Related Party Transactions The Great Western Hospitals NHS Foundation Trust, NHS Swindon and the NHS Wiltshire are the beneficiaries of the Charity. The Charity has provided funding to the NHS bodies for approved expenditure made on behalf of the Charity. This funding amounted to 264,000 ( 276, /10) and is included in total direct charitable expenditure of 266,000 as detailed in note 7. During the year none of the members of the NHS Bodies Boards of Directors or key management staff or person(s) related to them have undertaken any material transactions with or been beneficiaries of the Charity.
