2 JUST LOANS GROUP INVESTMENT REPORT OVERVIEW COMPANY NAME Just Loans Group INVESTMENT AIM Provide liquidity to a lender that offers loans to UK SME businesses that struggle to obtain traditional bank overdraft facilities. 3 ABOUT THE INVESTMENT This is an opportunity to invest in either 8.25% p.a. for 3 years or 8.75% p.a. for 5-year debentures from an innovative loans company with a market capitalisation of 10m. The company has a simple business model, lending through three wholly owned subsidiaries offering cash flow, finance and investments and bridging loans. The company, which is a plc, has been strategically formed to add value to the companies it supports. It is a team of business builders whose individual experience encompasses finance, operations, marketing, product development and sales. This enables the three subsidiaries to provide a personable and knowledgeable underwriting service that was described by an existing customer who simply said, it s like business banking used to be. The people behind the company are passionate about finance and enhancing UK businesses. Their objective is to help bridge the corporate funding gap and stimulate the growth of UK businesses. Subsidiary 1 - Cash flow loans are available to established UK limited companies and LLPs that are keen to grow. This is facilitated through a secured flexible revolving credit facility as an alternative to a bank overdraft or business loan. Credit lines are between 10,000 and 500,000 and operate in a similar way to a bank overdraft. Subsidiary 2 - Finance loans and investments subsidiary takes an equity stake in the company in conjunction with longer-term loans, with repayments to suit the individual company profile. Typically, these companies will have demonstrated the ability to invest, grow and successfully manage their existing cash flow credit facility. Subsidiary 3 - The bridging loans subsidiary specialises in providing funding to the commercial property sector. The funds are always 100% secured against real assets and supported by additional security. Funding solutions are between 50,000 to 500,000 and are only provided to experienced, solvent commercial borrowers. The debentures on offer relate to the main Group Plc. 5 INVESTMENT REPORT COMPANY FACTS SENIOR MANAGEMENT TEAM The board of directors feature a wide range of relevant experience and business-building skills. The chief executives have over 30 years of company management, consultancy, and specialisation in business finance. MINIMUM INVESTMENT 10,000 GBP MONEY FLOW The investor acquires the debentures by submitting an application form to the investment provider. Upon processing the application, the investor is subscribed for the number of debentures requested. Within 14 days of the maturity date, the investor s capital will be returned, plus any interest due up to the maturity date. If I need to sell my debentures before maturity am I able to do so? A. Yes. The current debentures are quoted on the Cyprus Stock Exchange and can be sold through the Exchange at any time Q. What security is in place? A. The debentures are secured by first floating charge over all of the assets of the Company held by the Trustee for the benefit of Stockholders. Q. Can I invest through an ISA? A. Yes. You can hold the debentures within an ISA. 3. Q. How do I sell my debentures if I need to do so? A. You just need to give the instruction to your stockbroker, which in most cases is Beaufort Asset Clearing Services Ltd, either by phone or through the secure messaging service on your online account.
