Our plan includes Medical, Dental, Vision, Prescription and Chiropractic benefits. AmeriPlan also has plans that include non-medical discount services. Definition of Certain Terms & Conditions When used by AmeriPlan in any context these terms shall mean: AmeriPlan Benefit Consultant (or simply BC ) a independent contractor of AmeriPlan Corporation ( AmeriPlan ) with an Active AmeriPlan Benefit Consultant Agreement. (Formerly IBO) Active a Membership, Benefit Consultant Agreement and (if applicable) Sales Director Agreement that has not been terminated or cancelled. Benefit Consultant Identification Number You will be issued a Benefit Consultant Identification Number. This ID Number will insure you receive a commission on your enrollments. Bonus - Commission payment, from time to time, for achieving specific sales goals or amount of sales. Team Residual (Builders Bonus) - the percentage Commission payable to a eligable Sales Director based on the Monthly Revenue generated by Sales Director s Sales Group, as set forth in the Sales Director Agreement.. Business on the Books - Monthly Revenues actually collected from a BC s personal enrollments. Personal Enrollments Members or BCs that you personally enroll. Cancellation or Termination - a voluntary or involuntary termination of a Membership, Benefit Consultant Agreement and/or Sales Director Agreement. Chargeback -AmeriPlan reserves the right to recover any Commission paid to you on any Personal Enrollment if the Personal Enrollment cancels within the Termination Period and receive a refund; or the Personal Enrollment s initial fees are uncollected. Commission - money paid to you by AmeriPlan that is based on the sales you obtain, and when eligible, money paid to you by AmeriPlan that is based on the performance of your sales team. Contest Winnings - compensation payable upon the occurrence of a specified event. Independent Business Owner (now known as Benefit Consultant ; or BC ) - any person who has signed a Benefit Consultant Agreement and it is Active. Benefit Consultant Agreement (formally known as Independent Business Owner Agreement ) - the initial contract between AmeriPlan and an independent contractor wherein AmeriPlan appoints and the independent contractor accepts such appointment to solicit and to procure applications for new Memberships and/or new Benefit Consultants as contemplated by the terms the Benefit Consultant Agreement and Policies and Procedures Manual. Benefit Consultant Policies and Procedures Manual (or BC Manual or BCM or Policies and Procedures Manual ) - the most current version of this Benefit Consultant Policies and Procedures Manual as amended from time to time. Lifetime when used in the context of the AmeriPlan, AmeriPlan Benefit Consultant relationship, shall mean, the period of time during which a Benefit Consultant s Benefit Consultant Agreement and (if applicable) Sales Director Agreement is Active, AND the BC continues to have Business on the Books. Personal Residual - the percentage Commission payable monthly from actual recurring receipt of money from personal enrollments. Personal Sales Group - Active Members and/or BCs you personally enrolled. Also commonly referred to as your First Level. Qualified Benefit Consultant - any Active BC who has bought or sold an AmeriPlan Membership and that Membership is Active. 2 A m e r i P l a n B e n e f i t C o n s u l t a n t ( B C ) P o l i c i e s & P r o c e d u r e s

5 Qualified Sales Director - must have a minimum of $100 or more in monthly revenue each month and meet the pin level requirements for their current rank. Sales Director Agreement - the contract between AmeriPlan and a qualifying BC that allows the BC to achieve advanced Pin Levels and receive additional forms of commissions such as Builders Bonus.. Sales Team Monthly Revenue The fees actually collected each month from Members and BCs procured by specified group of Benefit Consultants in a Sales Team Vested when used in the context of the AmeriPlan, AmeriPlan Benefit Consultant relationship, shall mean, a BC s contractual right to receive Commission continues so long as the Benefit Consultant (BC) Agreement and (if applicable) the Sales Director Agreement is active and the BC has Business on the Books. II. The Business Relationship AmeriPlan BCs are independent contractors and are not employees under any circumstance. All BENEFIT CONSULTANTs are subject to the rules and policies set forth in the Benefit Consultant Enrollment and Agreement, the current version of the Policies and Procedures Manual, and when applicable, the Benefit Consultant 's Sales Director Agreement. Each of these Agreements and the Policies and Procedures Manual shall be read together as if they were incorporated into one Agreement. In the event that there is a conflict of terms between the Policies and Procedures Manual and the Benefit Consultant Enrollment and Agreement and/or the Sales Director Agreement, the terms contained in the most recent version of the Policies and Procedures Manual shall control. III. Effect of Cancellation and/or Termination Cancellation or Termination of the Benefit Consultant Agreement and/or the Sales Director Agreement, whether voluntary or involuntary, will result in the immediate termination of all obligations of AmeriPlan to pay Commissions, Bonus or provide any benefits. IV. Monthly Drafting of Membership Fees Bank Drafting All monthly Membership fees, must be paid by credit card or debit card. Membership fees will be drafted/charged on the 3rd or the 18th of each month. This includes your personal membership fee. Pre-paid credit cards and pre-paid debit cards are not accepted by AmeriPlan. Annual Benefit Consultant Fees Annual Benefit Consultant Enrollment fees must be paid by credit card. Initial Annual Benefit Consultant (BC) Enrollment fees are charged upon enrollment. Renewal Annual Benefit Consultant Enrollment fees are charged on the 3rd day of the anniversary month of enrollment. If an (BC) s monthly personal residual and/or team residual is sufficient to cover their Annual Enrollment Fee, and/or Membership fees, if any, such fees will be deducted from the Benefit Consultant s Commission instead of being drafted from the Benefit Consultant s bank account or charged to their credit card. If a Benefit Consultant s Commission is not sufficient to cover the above described fees, AmeriPlan will draft/charge the (BC)s account Pre-paid credit cards and pre-paid debit cards are not accepted by AmeriPlan. Cash Transactions AmeriPlan does not accept cash for any payments. AmeriPlan is not responsible for lost cash payments. As a Benefit Consultant, it your responsibility to make sure your Enrollment Applications are submitted with a valid form of payment. Submitting Enrollment Applications with Pre-paid credit or debit cards is a violation of the Benefit Consultant Policies and Procedure and could result in your termination. 6 Billing Returned Drafts If your Member or Benefit Consultant fee draft fails, or is otherwise returned by the bank for INSUFFICIENT FUNDS, AmeriPlan will send you a letter or with instructions on how to cure the account. AmeriPlan will automatically attempt to re-draft your account within 30 days of the initial failed draft. If the bank draft is uncollectible a second time, the Member or Benefit Consultant (BC) Agreement is Terminated. NO EXCEPTIONS. If the draft is returned STOP PAYMENT, AUTHORIZATION REVOKED or DISPUTED for any reason, the Member or Benefit Consultant (BC) Agreement is Terminated immediately. This also includes STOP PAYMENT, AUTHORIZATION REVOKED or DISPUTED for any reason on any purchase of sales aid items. NO EXCEPTIONS. If a draft is returned for any other reason (account closed, refer to maker, invalid account, etc.) the Member or Benefit Consultant is put on an inactive status. AmeriPlan will automatically mail or a letter with instructions on how to bring the account current. During the inactive period Benefit Consultant (BC) Support Back Office is unavailable. If a Benefit Consultant is inactive due to a returned draft or check, any Commissions due on new business during the inactive period are held and paid only when the Benefit Consultant cures the deficiency and the accountis returned to Active status. Inactive Benefit Consultant participants may not use Commissions held during periods to make their account current. Their existing account must be corrected or new drafting provided. Credit Card Declines If the initial Membership or Benefit Consultant (BC) fee is declined, a letter or is sent to the Member or Benefit Consultant (BC) requesting new credit card or bank draft information. If an annual Benefit Consultant (BC) renewal enrollment fee is declined the Benefit Consultant is put on an inactive status and a letter or is sent to the Benefit Consultant when the credit card is attempted again. If the second charge is declined, the Benefit Consultant (BC) Agreement is Terminated. NO EXCEPTIONS. If a monthly Membership or Benefit Consultant (BC) fee is declined the Membership or Benefit Consultant (BC) participant is put on an inactive status and a letter or is sent notifying the Member or Benefit Consultant (BC) when the credit card is attempted again. If this second charge is declined, the Member or Benefit Consultant (BC) Agreement is Terminated. NO EXCEPTIONS. If a Benefit Consultant (BC) is inactive due to a declined credit card, any direct Commissions due on new business during the inactive period are held and paid only when the Benefit Consultant (BC) is returned to Active status. No bonuses will be held while a Benefit Consultant (BC) is inactive and then later paid if the Benefit Consultant (BC) is returned to Active status. Benefit Consultant (BC)s may not use Commissions held during periods to make their account current. Their existing account must be corrected or new drafting provided. Change of Payment Information If a Member or Benefit Consultant (BC) wishes to change their payment information, they must send a fax or mail written notice of the change to AmeriPlan. The notice must include the Member s or Benefit Consultant (BC) s Identification number, and the new draft/charge information Bank & Credit Card Authorizations Applicants must be authorized to use the method of payment provided for on the application. Only Applicants who are authorized to use the method of payment can sign the Application.. AmeriPlan requires all applications to include the applicant s electronic signature and date stamp, therefore only the prospective Benefit Consultant (BC) or Member applicants may complete and submit their application. You, as the enrolling Benefit Consultant (BC), shall not complete or submit applications on behalf of an applicant. Accuracy of the information is critical. AmeriPlan is not responsible for missing checks, material or any other mailed items due to incorrect address information. AmeriPlan reserves the right to reject any incomplete agreements or applications. As the enrolling Benefit Consultant (BC), it is your duty to ensure that the applicant completes their Benefit Consultant (BC) and Membership Applications/Agreements in its entirety. In order for AmeriPlan to process an application, the applicant s correct, current physical address including apartment number, zip code, phone number and the payment section must be completely and accurately filled out when submitted. P.O. Boxes will not be accepted on Benefit Consultant (BC) Agreements. Additionally, it is your duty to make sure the applicant includes their household members on the application. If there is not enough space on the application for all household members, add any additional household members on a separate piece of paper and attach to the original application. AmeriPlan captures the IP address from which the application was received. If the IP address from which the application was received, does not match the applicant s IP address, the application may be rejected. 7 As a Benefit Consultant, it your responsibility to make sure your Enrollment Applications are submitted with a valid form of payment. Submitting Enrollment Applications with Pre-paid credit or debit cards is a violation of the Benefit Consultant Policies and Procedure and could result in your termination. V. Customer Service Benefit Consultant (BC)S MUST HAVE THEIR Benefit Consultant (BC) IDENTIFICATION NUMBER READY AND AVAILABLE WHEN CALLING Benefit Consultant (BC) OR CUSTOMER SERVICE. Records & Reports As a Benefit Consultant (BC), you truly are an Independent Business Owner, responsible for keeping records of your business income and expenses. You may do this on your own, through a bookkeeper or a Certified Public Accountant. AmeriPlan provides you with all information for verification of Commission and authorized deductions through your check details, in conjunction with both your Income and, Business Builder Bonus reports. At year-end we report to you and the Internal Revenue Service 1099 Income on an actual basis. This means all of your gross income less any charge-backs will be reported in the year it was actually paid to you, which may or may not be the year it was earned. Phone Etiquette When calling the AmeriPlan Headquarters Office in Plano, Texas, Benefit Consultant (BC)/Customer Service is called at If the main AmeriPlan Corporate Office phone number is called by an existing Benefit Consultant (BC), the receptionist directs the call to Benefit Consultant (BC)/Customer Service. The receptionist s primary duty is to answer and direct Customer Service calls to the appropriate departments. When a call is made to Benefit Consultant (BC)/Customer Service, the following information is needed to expedite the call: Benefit Consultant (BC) number The Benefit Consultant (BC)/Member number or name of the person in question Verification of address, phone number and the last four digits of the bank account or credit card number (this is done for protection purposes). Signing Up as a Corporation or Partnership AmeriPlan accepts all Benefit Consultant (BC) Agreements in the name of a corporation or partnership under the following conditions: The incorporation date of the applying corporation or partnership must be at least twelve (12) months prior to the date of the application. This rule does not apply when incorporating to purchase an existing Sales Directorship. The Benefit Consultant (BC) Application/Agreement along with a copy of the corporate charter or partnership agreement must be submitted to: AmeriPlan Corporation Review Department 5700 Democracy Drive, Plano, Texas Attn: Daniel Bloom The Corporate Benefit Consultant (BC) and its shareholders must comply with all AmeriPlan policies and procedures. Each Benefit Consultant (BC) Corporation or Partnership is entitled to one (1) household membership. DO NOT GO ONLINE TO ENROLL AS A CORPORATION FOR A Benefit Consultant (BC). 8 VI. Membership Changes Changing Membership Plan Status Members may change the status of their membership to a different membership plan by notifying the AmeriPlan Corporate Office by or letter. The membership fee is adjusted accordingly on the next draft date. New ID cards reflecting the change will be issued. To change from Member to Benefit Consultant: Complete the Benefit Consultant Enrollment and Agreement. New drafting instructions must be included if the new Benefit Consultant wishes to use a different account. Change of Address It is your responsibility to notify AmeriPlan when your address changes. You may update your address and contact information online through the Member Portal. If you are having difficulty please call Benefit Consultant Services , Option 3. Benefit Consultants MUST HAVE THEIR Benefit Consultant IDENTIFICATION NUMBER READY AND AVAILABLE WHEN CALLING Benefit Consultant OR CUSTOMER SERVICE VII. Provider Relations Provider Referrals AmeriPlan accepts medical, dental and chiropractic provider referrals from Members, Benefit Consultant (BC)s or those considering membership. Each referral must contain the patient s name for each Provider referred. Referrals can be ed to referral@ameriplanusa.com, faxed, or mailed to AmeriPlan. If you send a referral via , please state what type of doctor you are referring, with address and phone number. Vision and Prescription referrals may also be sent to the Provider Relations Department. These referrals are forwarded to the respective companies. Benefit Consultants MUST NOT, UNDER ANY CIRCUMSTANCES, SOLICIT A PROVIDER FOR AMERIPLAN, OR LEAVE LITERATURE IN A PROSPECTIVE PROVIDER S OFFICE. Provider Look Ups Members or Benefit Consultant (BC)s may contact Customer Service to request assistance in locating a network provider or they view providers on the internet at or savewithdiscounthealthcare.com. Regional Fee Schedule AmeriPlan has developed customized fee schedules for different regions. It is your responsibility to review the correct fee schedule with your prospective Members and Benefit Consultants. Out-of-Market Provider Referrals If AmeriPlan receives a Provider referral in a market where we are not currently operating, the referral is held until expansion plans include that area. Provider Complaints Provider complaints should be submitted in writing by the Member to the attention of the Provider Relations Problem Resolutionist at AmeriPlan Headquarters. All information in support of the complaint should be included, i.e., bills, statement of charges or other correspondence from the Provider. All complaints are processed immediately and responded to in a timely manner. PLEASE REFER A MEMBER WITH THESE COMPLAINTS TO AMERIPLAN. Benefit Consultants MUST NOT, UNDER ANY CIRCUMSTANCES, INTERVENE IN A DISPUTE OR COMPLAINT BETWEEN A MEMBER AND A PROVIDER. BENEFIT CONSULTANTS ARE NOT AUTHORIZED TO APPEAR AT A PROVIDER S PLACE OF BUSINESS OR PLACE PHONE CALLSTO THE PROVIDER S OFFICE REGARDING A MEMBER COMPLAINT. VIOLATION OF THIS POLICY WILL RESULT IN THE BENEFIT CONSULTANT S IMMEADIATE TERMINATION. AMERIPLAN PROVIDERS MAY NOT SIGN UP AS AMERIPLAN Benefit Consultant (BC)s, AND AMERIPLAN Benefit Consultant (BC)s MAY NOT SIGN UP AS AMERIPLAN PROVIDERS. NO EXCEPTIONS Contacting Providers A Benefit Consultant (BC) may only contact an AmeriPlan Provider for professional services. Processing of Enrollments Benefit Consultant and Member Benefit Applications Benefit Consultant (BC) and Member Applications/Agreements may be submitted in one of the following manners: Mailed Applications ~ Must be received by 4:00 P.M. (CST) at AmeriPlan Headquarters each and every business day to count for that day s business.* Faxed Applications ~ Must be faxed and received by 4:00 P.M. (CST) at AmeriPlan Headquarters each and every business day to count for that day s business.* (The ONLY phone number that receives faxed applications is ) E-Commerce ~ Must be entered online before 5:00 P.M. (CST) each and every business day to count for that day s business. You must receive confirmation that the application was accepted.* WHEN YOU SUBMIT AN APPLICATION/AGREEMENT BY FAX OR E-COMMERCE, PLEASE DO NOT SEND THE HARD COPY TO AMERIPLAN OR TRY TO RESUBMIT THE APPLICATION BY FAX OR E-COMMERCE. THIS CAUSES MULTIPLE DEBITS TO THE APPLICANT S FINANCIAL ACCOUNTS. On all faxed applications/agreements, the sender assumes responsibility for the fax to be in readable condition. It is also the responsibility of the sender (Benefit Consultant (BC)) to see that the fax is successfully transmitted and received at AmeriPlan. It is recommended to use the downloadable application forms in the Online Benefit Consultant (BC) Support area. The ONLY phone numbers that receive faxed applications are and Faxed applications ARE NOT accepted using any other fax machine at AmeriPlan. Benefit Consultant fee Benefit Consultant (BC) fees are renewed annually in all markets. That includes every state with the exception of the following states that AmeriPlan chooses to not do business in: Alaska, Montana, North Dakota, Puerto Rico, Rhode Island, South Dakota, Utah, Vermont, Washington and Wyoming. The annual fee must be paid in order to maintain an Active Benefit Consultant (BC) status. Benefit Consultant (BC) annual fees will not earn Commissions nor will they add to your monthly revenue. In addition, they will not count towards promotions or contests. Commissions are paid on Membership Sales only. * All Commissions will accumulate until the balance exceeds $ The annual Benefit Consultant (BC) fee will provide: 1) Three (3) personalized, e-commerce enabled websites 2) Benefit Consultant (BC) back office for communications and management of your business 3) E-Kit includes in Benefit Consultant (BC) support, forms, brochures and training materials essential to your business. * Business received on AmeriPlan holidays will count as received on the next business day. IX. Termination Voluntary Termination You may terminate your Benefit Consultant (BC) Agreement and/or Sales Director Agreement at anytime by stating your termination request in writing and mailing it to: AmeriPlan Bank and Credit Card Services, 5700 Democracy Drive, Plano, Texas 75024, or you may fax your written termination request to: , or you may your termination to cancel@ameriplanusa.com. ATTEMPTS TO TERMINATE BY PHONE WILL NOT BE ACCEPTED. AmeriPlan will not accept terminations from anyone other than the terminating Benefit Consultant (BC)/Sales Director. Voluntary Termination of a BC Agreement voids that agreement in its entirety and, consequently, terminates any related Sales Director Agreement as well as any other Agreement that may exist between BC/Sales Director and AmeriPlan. 10 When a BC/Sales Director terminates their BC Agreement, BC/Sales Director knowingly forfeits ALL rights to any future Commissions, including but not limited to, advances, residuals, bonuses, and contest winnings arising from any agreement between BC/Sales Director and AmeriPlan. In the event of a voluntary Termination, the Members and BCs/Sales Directors enrolled by or down line to the Terminated BC/Sales Director shall remain with AmeriPlan and AmeriPlan shall continue to pay Team Residual to eligible up line BC/Sales Directors at the appropriate level. Termination by AmeriPlan Refunds on Voluntary Terminations Any Benefit Consultant (BC) may terminate their Benefit Consultant (BC) Agreement and receive a full refund, of their Annual Enrollment Fee of $24.95, if AmeriPlan receives a written notice of termination within 3 days of the Benefit Consultant (BC) applications receive date. Termination notifications must be sent by mail, fax or , only by the Benefit Consultant (BC) desiring to terminate their Benefit Consultant (BC) agreement. ALL Benefit Consultant (BC) AGREEMENTS ARE ON AN ANNUAL BASIS. Reinstatements A Member who wishes to reinstate their Membership within 6 months after termination may do so by notifying AmeriPlan in writing. They must submit the first month s fees and supply current or credit card or debit card information. The registration fee is not required in this instance. The reinstated membership is effective from the date received by AmeriPlan and remain with the original sponsoring Benefit Consultant (BC)s. A Benefit Consultant (BC) who has terminated their Benefit Consultant (BC) agreement for any reason, including a downgrade, must remain cancelled for a full six (6) months or more before reinstating as an Benefit Consultant (BC). If it has been six or more months since the Member or Benefit Consultant (BC) Agreement termination, that Member or Benefit Consultant (BC) must submit a new Benefit Consultant (BC) application along with all fees, including registration and initial monthly fee. When a Benefit Consultant (BC), whose Benefit Consultant (BC) Agreement has been terminated for more than six months and has a balance due, and then decides to reinstate, they may do so, but all outstanding balances due will be forwarded to the new Benefit Consultant (BC) Agreement. A Benefit Consultant (BC) that has terminated their Benefit Consultant (BC) Agreement and desires to reinstate must do so as a new Benefit Consultant (BC) participant and must re-qualify for each management level. Their original sales group cannot be reinstated. Terminated Sales Directors are given 30 days to reinstate. Involuntary Termination AmeriPlan reserves the right to terminate any agreement with a Benefit Consultant or Sales Director with or without cause. Termination of a Benefit Consultant Agreement automatically terminates any other agreement including a Sales Director Agreement. Should AmeriPlan exercise its right to terminate its agreement with Benefit Consultant/Sales Director, ALL obligations to pay future Commissions including but not limited to, advances, residuals, bonuses, and contest winnings arising from the terminated Benefit Consultant/Sales Director Agreement(s) cease immediately. In the event of an involuntary Termination, the Members and Benefit Consultant (BC)s/Sales Directors enrolled by or down line to the Terminated Benefit Consultant (BC)/Sales Director and all revenues generated thereby, shall be assigned to AmeriPlan. AmeriPlan shall continue to pay Team Residual to eligible up line Benefit Consultant (BC)/Sales Directors at the appropriate level. BENEFIT CONSULTANT - AGREEMENTS TERMINATED BY AMERIPLAN FOR VIOLATIONS OF THE BENEFIT CONSULTANT AGREEMENT, SALES DIRECTOR AGREEMENT, OR THE BENEFIT CONSULTANT POLICIES AND PROCEDURES MANUAL ARE NOT ELIGIBLE FOR REINSTATEMENT. A MEMBER MAY BE UPGRADED TO AN Benefit Consultant BY ANY ACTIVE Benefit Consultant (BC). It is the responsibility of the enrolling Benefit Consultant (BC) to discuss the business opportunity with their members, if there is any interest. If a Member is solicited as an Benefit Consultant (BC) by another Benefit Consultant (BC) the enrolling Benefit Consultant (BC) will lose that member from their downline and it will be transferred to the new enroller. Should this member be the qualifying tagged member of the original Benefit Consultant (BC) that membership must be replaced in order to remain commission qualified. WHEN A MEMBER UPGRADES THEIR MEMBERSHIP THE SPONSORING Benefit Consultant (BC) RECEIVES COMMISSIONS AS-EARNED. 11 Membership Cancellation & Refund Policy If a Member is not satisfied with their AmeriPlan Membership, they may cancel their Membership. Membership canceled within 30 days of the Member s activation date will receive a refund of their Membership fee. The one-time Member Registration Fee is non-refundable. AmeriPlan will not collect additional membership fees once your cancellation request is processed. Please allow 30 days processing time for refunds. Cancellations received after the 30 day deadline will not be eligible for a refund. AmeriPlan is not responsible for money paid for healthcare services and X. Enrolling Group Business All AmeriPlan (full price only) memberships may be sold on a Group basis. AmeriPlan s definition of a group is: Five (5) or more employees/members in a group with a single payor. (Usually an employer) No list billing will be accepted for groups of less than five (5) employees. With certain restrictions an Benefit Consultant (BC) may submit a group of less than 5 employees. Those restrictions being, the company MUST submit payment by company bank draft or company credit card ONLY. All group business may be managed on-line once on the system. The client will have total access to add new/additional employees and delete employees as well as manage the payment process. Benefit Consultant (BC)s are required to complete and return the Employer Acceptance letter along with the applications for all participating employees and the appropriate initial membership fees. Each application must be signed by the employee requesting the plan. It is at the Benefit Consultant (BC) s discretion to waive the registration fee on groups of five (5) or more employees. If the registration fee is waived, all Commissions are paid on an as-earned basis. For enrolled groups of 50 or more, Commissions are paid only on an as-earned basis, even if the one-time registration fee was collected. A group consists of five (5) or more individuals with one common billing address. With certain restrictions, Benefit Consultant (BC)s may submit a group of 3 or 4 employees. The restriction is the company MUST submit payment by company bank draft or company credit card ONLY. No list billing is accepted for groups of less than five (5) employees. Payment for any group must be made in one of the three (3) following forms: pre-printed company check, company bank draft, or company credit card. Personal checks or credit cards, Money Orders or Cashier s Checks are not accepted for signing up group business. If a faxed copy of a pre-printed company check is submitted with the initial paperwork, the Bank Draft Authorization portion of the Employer Acceptance Letter must be completed and signed before the account is drafted. Group business is not active until the completed paperwork and full payment is received and verified. Owners of companies may be an Benefit Consultant (BC) on a list bill. Other employees of a list bill, wanting to become an Benefit Consultant (BC), must do so on their own using their personal drafting information. All list bill statements are mailed by the 10th of each month and are due and payable by the first day of the following month. If the 10th falls on a weekend or holiday, the billing statements are mailed the first regular business day prior to the 10th. If a company currently with AmeriPlan wishes to add a new Member, the employee must complete and SIGN the new application. The company then prints the new Member s name and monthly fee amount on the list bill of the month for which they are requesting benefits. The new Member s fee payment is then included in the check sent for that month, along with the attached signed application. Adding or deleting employees may be done through the group portal. When the company has chosen the billing option of company credit card or bank draft, they add new Members by faxing the new signed application to AmeriPlan. 12 When a company that currently has a list bill with AmeriPlan wishes to delete a member, the company draws a line through the canceling Member s name on the list bill and writes DELETE beside it. The monthly amount of that deleted Member is then subtracted from the total payment for that month. Deleted Members are removed from that month s list bill and their benefits are available ONLY through the end of their covered month. Deleted Members may continue benefits, on their own, outside of the employer group. They only need to submit their debit or credit card information to Bank and Credit Card Services. To change the status of an employee currently signed up through a group, the company must submit a Change of Status Form. This is attached to a list bill payment or faxed to AmeriPlan. Changes are effective upon receipt. Also, if these changes result in a different list billing total, the company must correct the invoice amount and check before submitting payment. When a list bill company becomes 10 days past due, a letter is mailed to the sponsoring Benefit Consultant (BC) notifying them that the list bill is 10 or more days past due. If the account is not brought current by the date specified, the company and its employees become inactive or Terminated. In some cases, a list bill company may have more than one Benefit Consultant (BC) working with the Group. AmeriPlan accepts new list bill groups with up to three (3) Benefit Consultant (BC)s. The Benefit Consultant (BC) on the Employer Acceptance Letter is designated as the achieving Benefit Consultant (BC). Only the achieving Benefit Consultant (BC) counts these list bill Members for pin level, contests, promotions. Only the list bill Members with the achieving Benefit Consultant (BC) s name and ID number on those applications count for such purposes. The achieving Benefit Consultant (BC) and other Benefit Consultant (BC)(s) sharing the business are paid Commission only on those applications having their Benefit Consultant (BC) names and ID numbers on them. Late List Bill Collections When a list bill pays their invoice within the month of the due date, the sponsoring Benefit Consultant (BC) receives full Commission on the list bill. If a list bill pays their invoice after the month of its due date, AmeriPlan will pay full Commission on the list bill to the sponsoring Benefit Consultant (BC) the following month after payment is received Company List Bills A small group consists of five to 500 employees/members, where AmeriPlan is sending one monthly bill to the company and the company is submitting one payment. With certain restrictions, Benefit Consultant (BC)s may submit a group of 3 or 4 employees. Those restrictions being, the company MUST submit payment by company bank draft or company credit card ONLY. No list billing will be accepted for groups of less than five (5) employees. (See page 6 - company list bills) Company Membership The following checklist describes all the paperwork needing to be completed before submitting a new group. Group business will not become active until the date the completed paperwork and full payment is received and verified. Employer Acceptance Letter - completed and signed by an authorized company/group representative. Individual Application - Group - completed and signed by each employee, with their home address and phone number. Payment must be received in one of the following manners: Check ~ This must be a pre-printed company check with the same company information as on the Employer Acceptance Letter. Bank Draft ~ The Bank Draft Authorization portion of the Employer Acceptance Letter must be signed and a void copy of a pre-printed company check must be attached. Credit Card ~ This must be a company credit card. No personal credit card will be accepted. A legible copy of the credit card must accompany the paperwork. When an Benefit Consultant (BC) personally signs up a new group with 5 to 50 members, the Benefit Consultant (BC) has the option to waive the one time, per person registration fee. If you waive the fee, you will be paid Commission on an As-Earned basis only. No advances will be paid. When an Benefit Consultant (BC) personally signs up a new group of 51 to 500 members, you will ONLY be paid As-Earned, whether you waive the registration fee or not. No advances will be paid on this. In some cases small group businesses may have more than one Benefit Consultant (BC) working on them. AmeriPlan accepts new small group business with up to three (3) Benefit Consultant (BC)s. The Benefit Consultant (BC) on the Employer Acceptance Letter is designated as the Achieving Benefit Consultant (BC). 13 promotions. Only the members with the achieving Benefit Consultant (BC) s name and number on those applications count for such purposes. The achieving Benefit Consultant (BC) and other Benefit Consultant (BC)(s) sharing the business are paid Commission on only those applications that have their Benefit Consultant (BC) names and numbers on the application. XI. Sales Aids AmeriPlan materials, (which includes, but is not limited to, all Sales Aids and promotional materials) are under NO CIRCUMSTANCES, to be purchased and resold by any Benefit Consultant (BC). To order Sales Aids: You may place your Sales Aids Order online through your back office. Verify all the required information and your shipping address (NO P.O. BOXES PLEASE.) A phone number where you can be reached during working hours will help us to process your order more quickly if we have to verify something on your order. If you don t have access to the AmeriPlan Corporate Store you may request a copy of the current Sales Aids Order Form by calling Benefit Consultant (BC) support and ask that one be faxed or mailed to you. Faxed orders can only be accepted if payment is made by credit card. The Sales Aids Department cannot draft your bank account for payment. The Sales Aids Department does not keep your credit card information on file. Sales tax is calculated in accordance with the sales tax charged within the zip code of the shipping address. You may estimate 10% of the subtotal for shipping and handling charges, please remember this is only an estimate. The actual shipping charges will depend on the weight of the order and the distance of the shipment. A $5 minimum will be applied for small orders. Shipments Please allow 3 to 10 business days to receive your Sales Aid order after it has been received by AmeriPlan. Sales Aid orders are processed as they are received. SHIPMENTS CANNOT BE MADE TO P.O. BOXES. Repurchases If you choose to terminate your Benefit Consultant (BC) Agreement, upon request, AmeriPlan will repurchase all unopened Sales Aids within six (6) months from the date of Termination at 90% of the original cost. All Sales Aids presented for repurchase must be listed on the current Sales Aids order form and in it s original packaging. All unopened Sales Aids must be returned to AmeriPlan Headquarters at 5700 Democracy Drive, Plano, Texas Sales Aids Orders to Hawaii Please be aware that Sales Aids orders shipped to the state of Hawaii will cost more money due to ground shipping services not being available to this state. Only original Sales Aids materials purchased from AmeriPlan are accepted. ALL AMERIPLAN LITERATURE AND SALES AIDS ARE COPYRIGHTED AND CANNOT BE DUPLICATED IN ANY FORM WITHOUT EXPRESS WRITTEN CONSENT FROM AMERIPLAN. Benefit Consultant (BC)s CANNOT REPACKAGE, RELABEL OR RESELL FOR PROFIT ANY AMERIPLAN SALES AIDS. This restriction includes, but is not limited to, photocopies, graphic reproduction, translated verbiage and copy taken in part and/or out of context. Benefit Consultant (BC)s cannot state or imply that AmeriPlan approves or endorses any privately produced motivational literature or training materials used within their own organization. Benefit Consultant (BC)s can promote AmeriPlan with the condition that the programs are not shown or displayed with any other products that are sold via network marketing or that may conflict with AmeriPlan programs. Commissions, Advances, Overrides and Bonuses In order to activate your Benefit Consultant (BC) business and become eligible to receive Commissions, the new Benefit Consultant (BC) must buy or sell a new Membership. This membership will be tagged as the activating membership and must remain active and on the books for you to remain eligible to receive Commissions. This tagged membership also determines the commission rate you will receive on business you write. (see Compensation Structure). Example: You submit your Benefit Consultant Agreement along with your first Annual Enrollment Fee. You enroll John Doe as a new Paid in Full Member. As long as John s Membership remains active and on the books, you will receive 40% Commissions on any additional Members you enroll. If John should cancel his Membership or becomes Inactive (John s payment fails to clear) at any time during the month, you will have until the 10th day of the following month to replace John s Membership with a new tagged Membership, or reactivate John s tagged account and receive your Commissions. If this is not accomplished on or before that date, you are no longer Commission Qualified and any Commissions during that time period are forfeited. Should the tagged account be replaced or reactivated with a different type qualifying membership your Commission Rate will be effected (see Compensation Structure). Compensation Structure As a Benefit Consultant /Sales Director, your right to receive Commissions and AmeriPlan s obligation to pay Commissions arise solely from the express language set forth in your Benefit Consultant (BC) Agreement, the AmeriPlan Policies and Procedures Manual currently in effect, and (if applicable) your Sales Director Agreement. IF FOR ANY REASON, YOUR BENEFIT CONSULTANT AGREEMENT OR SALES DIRECTOR AGREEMENT IS TERMINATED, YOUR RIGHT TO RECEIVE COMMISSIONS, INCLUDING BUT NOT LIMITED TO, ADVANCES, RESIDUALS, TEAM RESIDUALS, BONUSES AND CONTEST WINNINGS IMMEADIATELY CEASES. In the event there is a conflict between the terms of the Benefit Consultant Agreement, the Sales Director Agreement or the Policies and Procedures Manual,, the most currentversion of the Policies and Procedure Manual controls. You will receive a 40% Commission on Members you enroll after your Tagged Membership is enrolled, for as long as those Members remain on the books and your Tagged Membership remains active. Effective April 1st, 2017 AmeriPlan s compensation plan for Benefit Consultants will pay a 40% 3 month advance commission on the inital payment (excluding the one time registration fee) on all members enrolled. Benefit Consultants will continue to earn a 40% residual commission for as long as the business is in good standing. Chargebacks All unearned advance commissions will be subject to chargebacks. Chargebacks will be deducted from your personal residual commissions, if funds are available. If there is not sufficient personal residual commissions to cover your chargebacks each month, then the deficient amount will be deducted from your Team Residual Commissions* to a maximum of 25%. You will always receive a minimum of 75% of your Team Residual Commissions regardless of the amount of your chargebacks each month. If chargebacks exceed $500 we will begin to deduct 25% from your advanced commissions and/or any bonus. Should your chargebacks exceed $1000 we will deduct 50% from your advanced commissions and/or any bonus. If you receive Commissions on a Member enrollment, but the Member cancels within the termination period, as defined in their membership guide, and receives a refund of their membership fee or if a members initial payment does not clear their bank or is refused by their credit card company, or the charge is otherwise disputed AmeriPlan can recapture Commissions you received. This process is commonly referred to as a Chargeback. Pin Levels To promote to Regional Sales Director (RSD), a Benefit Consultant (BC) must personally enroll 10 new members or 10 new Qualified Benefit Consultant (BC)s or any combination of members and qualified Benefit Consultant (BC)s. Please note no points are awarded for a Benefit Consultant (BC) Annual Enrollment Fee. Senior Regional Sales Director (SRSD) - to attain SRSD you must be an Active Qualified RSD and must have at least three (3) Qualified first level Active, RSDs. Executive Sales Director (ESD) - to attain ESD you must be an Active Qualified SRSD and must have at least six (6) Qualified first level Active, RSD. Senior Executive Sales Director (SESD) - to attain SESD you must be an Active Qualified ESD and must have at least nine (9) Qualified first level Active, RSDs. National Sales Director (NSD) - to attain NSD you must be an Active Qualified SESD and must have at least twelve (12) Qualified first level Active, RSDs. Vice President Pin Levels: To qualify to start on the Journey to NVP you must be an Active National Sales Director and a member of the President s $50,000 Club. Regional Vice President: Personally be a President s $50,000 Club member and have two (2) President s 25k club or higher members in your first four levels. One (1) of the two must be on your first level. Senior Regional Vice President: Personally be a President s $50,000 Club member and have four (4) President s 25k club or higher members in your first four levels. Two (2) of the eight must be on your first level. National Vice President: Personally be a President s $50,000 Club member with $10,000 in Personal MR and have: Four (4) National Sales Directors on your first level, Three (3) National Sales Directors on your second level, Two (2) National Sales Directors on your third level and One (1) National Sales Director on your fourth level. New National Vice Presidents earn a 1% override on the 5th generation and below Sales Group Monthly Revenue. The 1% override pays downline to the 3rd generation of NVPs. Team Residual (Builders Bonus) Regional Sales Director 5% Commission on business of your first frontline RSD promoted when your second frontline RSD is promoted you will earn 10% Commission on your first and second RSDs Senior Regional Sales Director - 15% Commission on 1st level Sales Group Monthly Revenue. Executive Sales Director - 10% Commission on 2nd level Sales Group Monthly Revenue. Senior Executive Sales Director - 5% Commission on 3rd level Sales Group Monthly Revenue. National Sales Director - 3% Commission on 4th level Sales Group Monthly Revenue. National Vice President - 1% Commission on 5th level and below (infinity) Sales Group Monthly Revenue. The 1% Commission is paid downline to the third generation of NVPs.* * Beginning with the third generation NVPs and below, the 1% override is not paid. Builders Bonus are paid on the 18th of each month. However, in the event the 18th falls on a Saturday, Sunday, or holiday, Builders Bonus are paid on the following business day. Fast Track Program When the new Benefit Consultant (BC) has to their credit one hundred (100) RSD points, by enrolling 10 members or 10 qualified Benefit Consultant (BC)s), within thirty (30) days or less from the Benefit Consultant (BC) s active date they are a Fast Track RSD. As a Fast Track RSD they will be prequalified for a Fast Track Bonus of $300. Checks will be issued and mailed following verification and audit. The audit process may take up to 30 days to complete. Jump Start Program Defined Terms AmeriPlan Jump Start Benefit Consultant - Is a Benefit Consultant who has chosen to enroll and actively participate in AmeriPlan s Jump Start business opportunity as contemplated by the terms and conditions set forth in the AmeriPlan Benefit Consultant Agreement and the Benefit Consultant Policies and Procedures Manual then in effect. Specifically, AmeriPlan Benefit Consultants are authorized to solicit and procure applications of prospective Members by sharing information about AmeriPlan s affordable, money saving, discounted health benefit plans with interested parties. Additionally, Benefit Consultants are authorized to solicit and procure new Benefit Consultant applications by introducing AmeriPlan s business opportunities with interested parties. Jump Start Pack - A Benefit Consultant (BC) purchase of 5 pre-purchased Dental Plus Memberships. Jump Start Bonus - A $ bonus paid to a Benefit Consultant (BC) for enrolling a new Benefit Consultant (BC) who is qualified and active and has pre-purchased 5 Dental Plus memberships. Allstar - You must personally recruit 3 Benefit Consultants (BC), who are qualified and active and have purchased a Jump Start Pack, containing 5 Dental Plus Memberships. If you do this in your first 30 days you will earn a $ Allstar Bonus. Superstar - You must personally recruit 5 Benefit Consultants (BC) who are qualified and active and have purchased a Jump Start Pack, containing 5 Dental Plus Memberships. If you do this in your first 30 days you will earn a $ Superstar Bonus. Qualified and Active - Any Jump Start Benefit Consultant who has bought or sold a Dental Plus membership. Jump Start Bonuses $ Jump Start Bonuses are paid daily and are based on the sale of Jump Start Packs which cost $ and consist of 5 pre-paid Dental Plus memberships with registration fees. Jump Start Bonuses are triggered throughout the week as you recruit Benefit Consultants (BC) who are qualified and active and that purchase a Jump Start Pack. This bonus is only paid when the Dental Plus pre-paid membership is sold to a Jump Start Benefit Consultant (BC) who is qualified and active. Jump Start bonuses are paid to the recruiter of the new Benefit Consultant (BC) who is qualified and active and that purchases a Jump Start Pack. A Jump Start Benefit Consultant (BC) may also sell a pre-purchased Dental Plan membership to a non-jump Start Benefit Consultant (BC) or a retail customer, but will receive only the commission of 100% of the first month s membership fee. Allstar & Superstar Bonuses If you personally recruit 3 Benefit Consultants (BC) who are qualified and active and have purchased a Jump Start Pack, containing 5 Dental Plus Memberships within your first thirty days you will earn a $ Allstar Bonus. If you personally recruit an additional 2 Benefit Consutlants (BC), for a total of 5 new Jump Start Benefit Consultants, within your first 30 days you earn a $ Superstar Bonus. If your credit card or debit card information is used to pay for the initial or recurring fees of any of your Jumpstart Benefit Consultants, you may NOT use any of that business to qualify for the $500 Superstar Bonus. 18 Jump Start Qualifications All unsold pre-purchased Dental Plus memberships will expire if not sold within 12 months of the Jump Start Benefit Consultants (BC) start date. A Jump Start Benefit Consultant (BC) may request a refund of any unsold Dental Plus memberships within 90 days of their termination date. All registration fees accompanying pre-purchased Dental Plus memberships are non-refundable, as there will a $20.00 restocking fee on each unsold refunded Dental Plus membership. If a traditional Benefit Consultant (BC) (Non-Jump Start Benefit Consultant (BC)) recruits a new Benefit Consultant (BC) that is qualified and active and purchases a $225 Jump Start Pack, the existing traditional Benefit Consultant (BC) will receive a one-time Jump Start Bonus of $100 and their standard commissions on the new Benefit Consultants (BC) membership. All new traditional Benefit Consultants (BC) recruited by traditional Benefit Consultants (BC) (Non-Jump Start Benefit Consultants (BC) will have a 30 day grace period from their start date to purchase a Jump Start Pack. If a Jump Start Benefit Consultant (BC) recruits a traditional Benefit Consultant (BC), the traditional Benefit Consultant (BC) will have the opportunity to purchase a Fast Track to Jump Start option for $100. This Fast Track to Jump Start option is non- commissionable and will be for 30 days from the traditional Benefit Consultants (BC) start date and is also non-refundable if the traditional Benefit Consultant (BC) does not Fast Track to Regional Sales Director (RSD) by personally enrolling 10 memberships and/or active and qualified Benefit Consultants (BC) within 30 days of their start date. If the new traditional Benefit Consultant (BC) does Fast Track to RSD, the $100 option fee will be refunded, along with a $225 Jump Start Pack plus $75 in lieu of the $300 Fast Track Bonus. The recruiting Jump Start Benefit Consultant (BC) will also receive a $100 bonus when the traditional Benefit Consultant (BC) Fast Tracks to RSD. The new Benefit Consultant (BC) will be required to pay an enrolling fee of $24.95 and must sell a Dental Plus membership to a retail customer and purchase a $225 Jump Start Pack within 72 hours of their start date, at which time the $24.95 enrollment fee will be refunded. 19 Get 4 Pay No More: This program is effective August 1, 2016 and is only for NEW Jump Start Benefit Consultants recruited after the effective date. As a Jump Start Benefit Consultant (BC) when you have personally enrolled 4 memberships, AmeriPlan will begin paying for your personal Dental Plus membership each month (a $24.95 value). You must maintain a minimum of 4 active personally enrolled memberships at the end of each calendar month or you will be charged for your personal Dental Plus membership for that month. You must maintain a minimum of 4 active members whose membership fee is not being paid by AmeriPlan. Company Approval AmeriPlan must approve in writing all advertising copy including, but not limited to, using the AmeriPlan name, trademark or logo for any media including newspapers, posters, flyers, promotional items, etc. It is each Benefit Consultant (BC) s individual responsibility to obtain approval from AmeriPlan for any advertisement to be used. NO Benefit Consultant (BC) SHOULD ACCEPT AD COPY FROM ANYONE AND ASSUME IT HAS BEEN APPROVED. FAILURE TO OBTAIN WRITTEN APPROVAL CAN RESULT IN TERMINATION OF THE Benefit Consultant (BC) AGREEMENT. Testimonials cannot include Provider names or locations. Company Names, Trademarks & Logos AmeriPlan employee names, corporate names, trademarks, and logos are proprietary and cannot be used in any manner, including reproduction of literature or in any advertisement without prior written approval from AmeriPlan. Any approved use of such corporate names, trademarks or logos must indicate that the Benefit Consultant (BC) is an Independent Business Owner of AmeriPlan. Advertisements to attract Benefit Consultant (BC) or business opportunity advertising must be run blind, i.e. without reference to AmeriPlan unless approved by AmeriPlan. AmeriPlan strictly prohibits the use of its corporate name, logo or trademark or any statements with respect to AmeriPlan business or operations in any banking activity by an AmeriPlan Benefit Consultant (BC). VIOLATION OF THIS POLICY COULD RESULT IN THE TERMINATION OF THE Benefit Consultant (BC)S AGREEMENT. Public or Electronic Advertising Media All Benefit Consultant (BC)s must be familiar with, and follow all local and state laws that govern advertising in their areas. AmeriPlan strictly prohibits Benefit Consultant (BC)s attaching fliers, signs or other forms of advertisements on to or in public property. Benefit Consultant (BC)s are not permitted to attach advertisements to street signs, trees, park benches, or any other public property. Violations of this provision can subject the Benefit Consultant (BC) to fines and or termination. Advertising in national publications cannot include any samples of our fee schedules and must also state that AmeriPlan does not conduct business in the states of Alaska, Montana, North Dakota, Puerto Rico, South Dakota, Utah, Vermont or Wyoming. Pop-up or banner advertising on the Internet is allowed only AFTER final advertising copy is approved by AmeriPlan. Pop-up advertising must not appear on ANY official AmeriPlan websites (see listing under website section below). In most cases Benefit Consultant (BC)s using pop-up advertising employ the services of a third party vendor to make sure the pop-up ad appears on as many websites as possible. Benefit Consultant (BC)s using pop-up advertising must provide a list of official AmeriPlan websites to the vendor. It is the Benefit Consultant (BC) s responsibility to ensure that the vendor takes the appropriate steps to prevent the pop-up ad from appearing on ANY official AmeriPlan website. Benefit Consultant (BC)s whose pop-up ads appear on ANY official AmeriPlan website are subject to Termination of the Basic Benefit Consultant (BC)s Agreement. AmeriPlan Benefit Consultant (BC)s may access Benefit Consultant (BC) Support at the following URLs: Consultant (BC) Consultant (BC)plus.com (click on Benefit Consultant (BC) Support login) and your Make Money sites (click on Benefit Consultant (BC) Support login) using their unique Benefit Consultant (BC) ID#s and passwords. 21 An AmeriPlan Independent Business Owner (Benefit Consultant (BC)) who wishes to conduct business over the Internet for the purpose of enrolling Benefit Consultant (BC) Participants, or enrolling Members may do so through the use of the AmeriPlan Internet Commerce Package, (ICP). ICP consists of: Personalized e-commerce enabled Membership application URLs: username.savewithdiscounthealthcare.com Business-building Benefit Consultant (BC) recruiting URLs: username.ameriplanopportunity.com And a combination landing page: Modifications to the ICP websites can be made through online Benefit Consultant (BC) Support. AmeriPlan will provide the support for ICPs. All questions regarding an ICP site should be directed to AmeriPlan Benefit Consultant (BC) Services at , option 3. Benefit Consultant (BC) ICP URLs cannot contain trademarks of AmeriPlan or any other discount health card companies. Benefit Consultant (BC)s are solely liable for any trademark infringement of other discount health card companies. Alternate Websites AmeriPlan recognizes the significant role the Internet may play in building an Benefit Consultant (BC) s business and needs to ensure that this resource accurately promotes AmeriPlan, the Benefit Consultant (BC) s relationship with the company and the AmeriPlan marketing philosophy. AmeriPlan Corporation or AmeriPlan -approved alternate websites are the only websites on the Internet that may use the AmeriPlan Trademarks and/or Copyrighted materials including, but not limited to, names, slogans, logos, service marks and/or trade names. An alternate website is any website used by an AmeriPlan Benefit Consultant (BC) to promote AmeriPlan other than the AmeriPlan Corporate sites. In order for AmeriPlan to comply with regulation requirements, AmeriPlan will order non-compliant sites to adhere to its published policies or be removed from the Internet. AmeriPlan will enforce this policy by taking legal steps to protect the use of its intellectual property. For this reason AmeriPlan has issued the following guidelines regarding alternate websites to protect the AmeriPlan professional image, promote consistency in the AmeriPlan message and ensure that it is protected from unauthorized, untruthful, or exaggerated claims. Benefit Consultant (BC)s who use alternate websites, URLs, redirecting URLs and/or Meta tags which promote their business over the Internet through the use of trademarks of other discount health card companies, are solely liable for any infringement of such trademark. In addition, the Benefit Consultant (BC) may be subject to termination. Website registration does not constitute approval of any trademark infringement. Also, if you are using images from an AmeriPlan corporate website, please be aware that such images have not been authorized for third-party (your) use. In the event your use of such images causes damages or claims to AmeriPlan, you agree to hold AmeriPlan harmless and indemnify it from any damages and liabilities resulting from your use of the images. AmeriPlan reserves the right to refuse any site. Any unauthorized site changes or violations of policy is cause for withdrawal of the approval. Spam is the indiscriminate mass posting and distribution of unsolicited electronic messages over the Internet in an attempt to force the message on people who would not otherwise choose to receive it. Upon review and proof of sufficient evidence of an Benefit Consultant (BC) using spam techniques, an Benefit Consultant (BC) can be immediately terminated for violation of the AmeriPlan anti-spamming policy. Can-Spam Advertising of the AmeriPlan services or opportunity by sending messages to wireless devices without prior permission is prohibited. This prohibited activity covers messages sent to cell phones if the message uses an Internet address that includes an Internet domain name. 22 AmeriPlan Benefit Consultant (BC)s cannot advertise AmeriPlan services online for sale as an auction item. Listing or promoting AmeriPlan services for sale on an online auction constitutes a violation of AmeriPlan s Internet Policy & Procedures. Restrictions on Telephone Solicitation Federal and state laws restrict the use of telephone equipment for advertising AmeriPlan member benefits and business opportunity and prohibit certain unsolicited telephone calls and wireless text messaging regarding AmeriPlan member benefits and business opportunity. AmeriPlan charges back to the offending Benefit Consultant (BC) any costs or expenses paid or incurred by AmeriPlan as a result of any violation of this telephone solicitation policy. This chargeback policy is strictly enforced ROBO DIALING, Fax Blast, texting and Auto-Dial Advertising is PROHIBITED Telephone calls to telephone numbers on a DO NOT CALL List: Federal and State DO NOT CALL laws restrict unsolicited telephone sales calls to persons who have registered their telephone number on a Federal or State DO NOT CALL list. It is a violation of law to call any person on a DO NOT CALL list for the purpose of soliciting the sale of an AmeriPlan membership or recruiting an Benefit Consultant (BC). Violations of the Federal DO NOT CALL list can result in fines starting at $11,000. Any Benefit Consultant (BC) that solicits any person for their AmeriPlan business by making telephone calls to numbers on a DO NOT CALL list is subject to immediate terminates of the Basic Benefit Consultant (BC)s Agreement. Telephone Number Database It is the responsibility of the Benefit Consultant (BC) to obtain written verification that the telephone number is NOT registered on a DO NOT CALL list, prior to making an unsolicited telephone call to any person for the purpose of soliciting business. DO NOT CALL telephone numbers can be checked through you state government office or the National Do Not Call site. Outgoing Calls Prohibited Unsolicited Calls Unsolicited calls to a person on a DO NOT CALL list maintained by a government agency or AmeriPlan may ONLY be made if AmeriPlan (1) has received an express signed written consent that clearly states that such person has authorized an AmeriPlan Benefit Consultant (BC) to call about an AmeriPlan Member benefit plan or an unsolicited consent to call about the AmeriPlan opportunity and identifies the phone number that may be called, or (2) AmeriPlan has an established business relationship with the person, and that person has not stated to any AmeriPlan Benefit Consultant (BC) that they do not want to receive calls from an AmeriPlan Benefit Consultant (BC). An established business relationship is that person s purchase of the AmeriPlan Member benefits plan within the last 18 months, or the person has made an inquiry regarding AmeriPlan s Member benefits plan within three months prior to the call. Required Disclosures If the number called is a person NOT registered on a DO NOT CALL list, the Benefit Consultant (BC) must make clear and understandable the disclosures to the person called regarding AmeriPlan s Member benefits and/or business opportunity. Call Soliciting Membership If the number called is for the purpose of soliciting a person to become a Member, the required disclosures the Benefit Consultant (BC) must make during the phone call are all of the statements set forth in the AmeriPlan membership application brochure, including but not limited to, the monthly recurring cost of the plan and the 30-day satisfaction guarantee. The Benefit Consultant (BC) must state the membership agreement is for a one (1) year period, but may be terminated on 30 days written notice and there are no refunds. Call Soliciting Membership If the number called is for the purpose of soliciting a person to become a Member, the required disclosures the Benefit Consultant (BC) must make during the phone call are all of the statements set forth in the AmeriPlan membership application brochure, including but not limited to, the monthly recurring cost of the plan and the 30-day satisfaction guarantee. The Benefit Consultant (BC) must state the membership agreement is for a one (1) year period, but may be terminated on 30 days written notice and there are no refunds. Request to be put on DO NOT CALL List If a person is called whose number is NOT on a DO NOT CALL list and that person tells you to put their name and telephone number on the AmeriPlan DO NOT CALL list, the Benefit Consultant (BC) must immediately report such person s name and telephone number to AmeriPlan through their Benefit Consultant (BC) Support website. 20 A m e r i P l a n B e n e f i t C o n s u l t a n t ( B C ) P o l i c i e s & P r o c e d u r e s

23 Authorization for Credit Card or Bank Draft When a verbal authorization is obtained to charge a credit card or draft a bank account, the sponsoring Benefit Consultant (BC) must obtain at least one of the following forms of authorization: Written signature on a Member or Benefit Consultant (BC) application/agreement, by fax or mail or A tape recording of the authorization clearly stating the person s identity, authorization, date, amount, bank name, account/routing number and that the charges/drafts are recurring monthly on the 3rd or 18th of each month. Times for Permitted Calls Calls to persons NOT on a DO NOT CALL List or permitted calls to a person on a DO NOT CALL List must be made between 8:00 AM and 9:00 PM local time at the called person s location. Some states have more restrictive hours during which calls can be made. It is the responsibility of the Benefit Consultant (BC) to determine the permitted hours of the state being called. Caller ID All telephone calls must be made with a caller identification service that allows the receiver of the call to display, at the time of the call, the telephone number and (where available) the name of the person calling. Required Record Keeping For telephone solicitations to persons NOT on a DO NOT CALL List or permitted calls to persons on a DO NOT CALL List, it is the responsibility of each Benefit Consultant (BC) to keep the following records for 24 months from the date of the call: The name and address of each customer, the AmeriPlan services purchased, the date of which such services are purchased, and the amount paid for the services. The name, address, and telephone number of each person directly involved in telephone sales. All written or recorded authorizations for ACH or credit/debit card transactions. Exception to DO NOT CALL Rule: The only exception to the DO NOT CALL List laws are telephone calls in which the sale is not completed and no payment authorization is obtained until you make a face-to-face sales presentation to the prospective Member or Benefit Consultant (BC). A WORD OF CAUTION: Most people do not know that this is an exception to the DO NOT CALL list law, and will most likely claim a violation for the call. Because of this, it is strongly advised for each Benefit Consultant (BC) to record each telephone call. Doing this serves as evidence that an attempt was made to set an appointment for a face-to-face sales presentation, and that an attempt to sell over the telephone was not made. Incoming Calls Calls in Response to Advertising for Business Opportunity The DO NOT CALL laws prohibit an AmeriPlan Benefit Consultant (BC) from receiving a telephone call from a person, who is registered on a DO NOT CALL list, in response to an advertisement in any media including direct mail relating to recruiting, becoming an Benefit Consultant (BC), or the business opportunity of AmeriPlan. Direct mail includes fax transmissions and on the Internet. THIS LAW APPLIES UNLESS AN EXISTING BUSINESS RELATIONSHIP IS ALREADY ESTABLISHED. Leads Prospecting websites or print advertising collateral needs to contain the following opt-in language: (Press radio button or sign return card.) Calls in Response to Advertising for Membership An Benefit Consultant (BC) can receive a telephone call from a person in response to an advertisement in any media, except direct mail, for membership for AmeriPlan discount plan, provided all the disclosures discussed above are made during the phone call. Calls in Response to Direct Mail for Membership An Benefit Consultant (BC) can receive a telephone call from a person in response to a direct mail advertisement for membership in the AmeriPlan discount benefit as long as the mailing clearly states the required disclosure described above. 24 Upsell During Membership Call An Benefit Consultant (BC) receiving a call about membership is prohibited from attempting to upsell such person to the AmeriPlan business opportunity. Calls in Response to Direct Mail for Membership An Benefit Consultant (BC) can receive a telephone call from a person in response to a direct mail advertisement for membership in the AmeriPlan discount benefit as long as the mailing clearly states the required disclosure described above. Upsell During Membership Call An Benefit Consultant (BC) receiving a call about membership is prohibited from attempting to upsell such person to the AmeriPlan business opportunity. Benefit Consultant (BC)s/Sales Directors must comply with all federal, state and municipal laws relating to independent contractor businesses, and not engage in any unlawful or illegal trade practices or business activity. Benefit Consultant (BC)s/Sales Directors are expected to conduct their business in a manner that reflects the highest standards of honesty, integrity, and responsibility toward customers, fellow Benefit Consultant (BC)s/Sales Directors, AmeriPlan and its staff. Unethical Activitiy AmeriPlan does not permit its Benefit Consultant (BC)s/Sales Directors to participate in any activity that is unethical, and intercedes when unethical behavior is evident. 25 may, at its sole discretion, Terminate the Benefit Consultant (BC) s/sales Director s Agreement(s), thus ending the Benefit Consultant (BC) s/sales Director s right to receive Commissions including but not limited to, advances, residuals, builder s bonus, bonuses and contest winnings. Examples of unethical activity include, but are not limited to: Any use of the AmeriPlan name, logo, or trademark without prior written authorization relating to advertisement for signing up Benefit Consultant (BC)s and signing up Members. Any use of the AmeriPlan name, logo, or trademark in any banking activity (i.e. credit card or bank accounts). Writing bad checks to AmeriPlan. Unauthorized use of a credit card. Misrepresenting AmeriPlan. Misuse of the AmeriPlan name or misuse of the efforts of corporate personnel. Engaging in any deceptive or unlawful activity. Unauthorized duplication of AmeriPlan literature. Failure to submit advertisements or proprietary sales material bearing the AmeriPlan name for approval prior to publication. Any use of the AmeriPlan name or logo in print or electronic media advertising. Soliciting AmeriPlan employees, Benefit Consultant (BC)s or Members to other direct sales or network marketing organizations, and/or conducting these activities in the offices/meeting locations of AmeriPlan, or in close proximity of said places. Fraudulent alterations of a sponsoring Benefit Consultant (BC) s numbers on a Member application or Basic Benefit Consultant (BC)s Agreement. Delayed submission of a Member or Benefit Consultant (BC) application for any reason. Soliciting existing clients of any Provider in or near their place of business. Contacting a Provider or Provider s employees for any reason other than for personal services as a patient. Soliciting AmeriPlan employees to become AmeriPlan Benefit Consultant (BC)s. Directly or indirectly soliciting existing AmeriPlan Members or Benefit Consultant (BC)s with any other product or service without prior written consent from AmeriPlan. (This provision excludes insurance agents from selling other health benefits to their clients.) Any activity that AmeriPlan, in its sole discretion, deems to be contrary to the spirit of the terms and conditions set forth in the Benefit Consultant (BC) Agreement, the version of the AmeriPlan Policies and Procedures Manual then in effect, and/or (if applicable) the Sales Directors Agreement. 26 XVI. General Provisions Minimum Age An Benefit Consultant (BC) must be at least 18 years of age. Territorial Limits AmeriPlan recognizes no exclusive territories. Therefore, Benefit Consultant (BC)s are not limited in conducting business in any state or markets (opened) by AmeriPlan. All states (except Alaska, Montana, North Dakota, Puerto Rico, South Dakota, Utah, Vermont and Wyoming) are open for Medical, Dental, Vision, Prescription and Chiropractic. Assigning/Purchasing/Selling your AmeriPlan Business Sales Directors may assign, purchase or sell their AmeriPlan business. AmeriPlan reserves the right to approve the final outcome on all assignment, purchasing, and selling of AmeriPlan businesses. Procedure for selling a Sales Directorship 1. Sales Directors wanting to offer their Directorship for sale must notify AmeriPlan in writing (refer to sample letter). 2. Once AmeriPlan receives a letter of intent to sell, AmeriPlan notifies all of the selling Director s direct upline Sales Directors. The direct upline Sales Directors have ten days from the date of the notification letter to contact the selling Director if they choose to make an offer. The selling Director can sell to any existing Sales Director in their upline that has the same pin level or above with AmeriPlan s approval. 3. The purchasing Sales Director is required to incorporate (this is the only exception to the 12-month incorporation date policy) the purchased Directorship, and then apply for and receive an Employer Identification Number (EIN) by completing a copy of the IRS form SS The sale is consummated when a copy of the Letter of Agreement is signed by both seller and buyer, and submitted to AmeriPlan with a copy of the completed Form SS-4. A check for $100 made payable to AmeriPlan (a Sales Directorship transfer fee), along with drafting authorization/credit card information from the buyer for the acquired Directorship should also be included. 5. The purchasing Sales Director is not allowed to sign up any new Benefit Consultant (BC)s or Members into the acquired Sales Director s first level. All future activities must be generated by the existing Benefit Consultant (BC)s in the acquired Sales Group after it has been purchased. Amendments IN ORDER TO MAINTAIN A VIABLE MARKETING COMPANY, AMERIPLAN SPECIFICALLY RESERVES THE RIGHT TO MAKE ANY AMENDMENTS OR ADJUSTMENTS IT DEEMS NECESSARY WITH RESPECT TO THE RULES, REGULATIONS, POLICIES, PROCEDURES, COMPENSATION PLAN AND/OR PRICING. ANY CHANGES WILL BE INCORPORATED AS PART OF THE POLICIES AND PROCEDURES MANUAL AND/OR ALL AGREEMENTS BETWEEN AMERIPLAN AND ITS Benefit Consultant (BC)s. Channels of Communication It is the responsibility of the Benefit Consultant (BC) to answer all questions asked by their downline Benefit Consultant (BC)s. In the event the question cannot be answered at this level, the question should be directed to the next upline Benefit Consultant (BC). From there, any unanswered questions should be directed to AmeriPlan Benefit Consultant (BC) Services. This system of communication is established to allow efficient corporate operations. Please follow this procedure. RSD Roll-Ups In keeping with our philosophy of rewarding leadership, AmeriPlan has a qualification period for Regional Sales Director. In order to maintain the integrity of an Benefit Consultant (BC) s management team and sales group, the following applies: When an Benefit Consultant (BC) promotes to Regional Sales Director prior to their upline Benefit Consultant (BC), the upline Benefit Consultant (BC) is given 45 days from the Regional Sales Director promotion date to qualify as a Regional Sales Director themselves. Accomplishing this keeps the new Regional Sales Director within the same downline. If this is not accomplished within the 45 day period, the new Regional Sales Director rolls up to the next available Sales Director. RSD Roll-ups do not count for contests. Be aware the business that rolls up will include the $24.95 Benefit Consultant (BC) Annual Enrollments and the qualifying memberships associated with them. These must be replaced in order for the original enroller to be Commission Qualified. No Income Representations Actual or potential income representations or claims regarding the AmeriPlan program are strictly prohibited. Changing Sponsoring Benefit Consultant (BC) Changing your sponsoring Benefit Consultant (BC) is not allowed. AmeriPlan believes it necessary to preserve the security of every Benefit Consultant (BC) s business as well as the relationships Benefit Consultant (BC)s have worked to build with their sales organizations. Benefit Consultants (BC)s wishing to change sponsoring Benefit Consultants (BC)s must voluntarily cancel and then remain out of AmeriPlan for at least six (6) months from their termination date before re-joining under a different Benefit Consultant (BC). Benefit Consultant (BC)s exercising this option must pay all applicable fees, including the one time registration fee, as if joining as an AmeriPlan Benefit Consultant (BC) for the first time. Additionally, any outstanding liability from their previous Benefit Consultant (BC) account must be paid. Presenting AmeriPlan s Program to Prospects When offering AmeriPlan s programs to prospective Benefit Consultant (BC) participants or Members, you must present each program in its entirety, without omission, distortion or misrepresentation. Any additional offers, representations or agreements made by an Benefit Consultant (BC) in connection with AmeriPlan programs are prohibited and may result in termination of the Benefit Consultant (BC)s Agreement. 28 Disputes over Prospects A prospect has the right to choose their sponsoring Benefit Consultant (BC). Occasionally, one or more individuals may attempt to sign up the same prospect, resulting in a dispute. In some cases, Benefit Consultant (BC)s who believe they have successfully signed up a prospect may discover that the prospect is signed up under a different sponsoring Benefit Consultant (BC). AmeriPlan processes all applications as received, in the order received, whether by mail, facsimile, or Internet. Once the application has been entered into the AmeriPlan system, the sponsoring Benefit Consultant (BC) cannot be changed. If two or more applications are received for one prospect, the one received and processed first is recognized. AmeriPlan does not mediate any dispute arising over recruiting rights. No Benefit Consultant (BC) may have managerial or operational interest, nor derive any benefit directly or indirectly from any Benefit Consultant (BC) under a different sponsoring Benefit Consultant (BC) than the one assigned when the Benefit Consultant (BC) initially signed up with AmeriPlan. Multiple Benefit Consultant (BC)s in a Household When an Benefit Consultant (BC) s spouse, child, parent or other household resident wants to also become an AmeriPlan Benefit Consultant (BC) and is living in either the same or a separate household, they must sign up under the same sponsoring Benefit Consultant (BC) as the existing Benefit Consultant (BC). Stacking Stacking occurs when an Benefit Consultant (BC) assigns Members or Benefit Consultant (BC)s they have personally signed up under another Benefit Consultant (BC). Stacking is done for purposes that may include, but are not limited to promotion, monetary gain and qualification for awards or contests. Signing up new Benefit Consultant (BC)s and Members results from development of a personal, professional relationship based on trust between the sponsoring Benefit Consultant (BC) and the prospect. Stacking constitutes a breach of that trust. Further, stacking is a violation of AmeriPlan s policies and procedures and is strongly discouraged. When discovered, any applications found to have been stacked are disqualified for any promotion, awards, contest or bonuses. Additionally, Benefit Consultant (BC)s, who in the company s sole judgment are found stacking are subject to termination of the Benefit Consultant (BC) and /or Sales Director Agreement Agreement (if Sales Director Agreement). Cross-Recruiting Benefit Consultant (BC)S/SALES DIRECTORS CANNOT SIGN UP OR ATTEMPT TO SIGN UP ANOTHER AMERIPLAN Benefit Consultant (BC) INTO OTHER NETWORK MARKETING COMPANY, BUSINESSES OR OPPORTUNITY. IN ADDITION, NO Benefit Consultant (BC)/SALES DIRECTOR CAN BENEFIT FROM OR PARTICIPATE IN, DIRECTLY OR INDIRECTLY, ANY ACTION THAT ATTEMPTS TO SIGN UP OR CAUSES ANOTHER Benefit Consultant (BC) TO BE SPONSORED THROUGH SOMEONE ELSE INTO ANOTHER NETWORK MARKETING COMPANY, BUSINESSES OR OPPORTUNITY. AN IMPORTANT INVESTMENT IS MADE WHEN SPONSORING OCCURS, THUS FORMING A VALUABLE BUSINESS RELATIONSHIP BETWEEN Benefit Consultant (BC)S/SALES DIRECTORS (AS WELL AS A VALUABLE BUSINESS RELATIONSHIP BETWEEN Benefit Consultant (BC)S/SALES DIRECTORS AND THE COMPANY). AMERIPLAN HAS THE RESPONSIBILITY TO PROTECT THESE RELATIONSHIPS AND REGARDS CROSS- RECRUITING AS GROUNDS FOR IMMEDIATE TERMINATION OF THE Benefit Consultant (BC) S/SALES DIRECTOR S AGREEMENT(S), THUS ENDING THE Benefit Consultant (BC) S/SALES DIRECTOR S RIGHT TO RECEIVE COMMISSIONS, INCLUDING BUT NOT LIMITED TO, ADVANCES, RESIDUALS, TEAM RESIDUAL, BONUSES AND CONTEST WINNINGS. Additionally, the Members and Benefit Consultant (BC)s/Sales Directors enrolled by or down line to the Terminated Benefit Consultant (BC)/Sales Director and all revenues generated thereby, shall be assigned to AmeriPlan. AmeriPlan shall continue to pay Builders bonus to eligible up line Benefit Consultant (BC)/sales directors at the appropriate level. Affiliate Programs AmeriPlan Independent Business Owners (Benefit Consultant (BC)s) can approach other AmeriPlan Benefit Consultant (BC)s on their first level about affiliate programs that sell business-building products or services (example: leads, auto-responders, services, materials). 26 A m e r i P l a n B e n e f i t C o n s u l t a n t ( B C ) P o l i c i e s & P r o c e d u r e s

29 These Benefit Consultant (BC)s cannot receive monetary compensation (cash or any item negotiable or convertible into cash) from the sponsors or others associated with these programs. Benefit Consultant (BC)s can receive non-monetary compensation, such as products or services in kind; however, these cannot be converted into cash. Violation of this policy can, at AmeriPlan s discretion, result in termination of the Benefit Consultant (BC) Benefits Agreement. National Sales Director Agreement All Sales Directors, upon promotion to National Sales Director, agree to not participate or engage in any business that, in the sole opinion of AmeriPlan, is competitive with AmeriPlan, without the prior written consent of the Chief Executive Officer or President of AmeriPlan. Participation in a competitive endeavor without prior written consent from the Chief Executive Officer or President of AmeriPlan shall be grounds for the immediate Termination of the offending Benefit Consultant (BC) s/sales Director s Agreements, thus ending the Benefit Consultant (BC) s/sales Director s right to receive Commissions, including but not limited to, advances, residuals, team residual, bonuses and contest winnings. Additionally, the Members and Benefit Consultant (BC)s/Sales Directors enrolled by or down line to the Terminated Benefit Consultant (BC)/Sales Director and all revenues generated thereby, shall be assigned to AmeriPlan. Arbitration of Disputes Any issue, dispute, claim or controversy (collectively, the "Claim") between AmeriPlan or any officer, director, employee, manager, member, affiliate, legal counsel and/or advisor of AmeriPlan and Benefit Consultant (BC) / Sales Director, arising out of or relating to the Policies and Procedures Manual then in effect, the Benefit Consultant (BC) and/or Sales Director Agreements or any of the other documents, shall be resolved by binding arbitration at the AmeriPlan headquarters in Plano, Texas. The Claim shall be governed by the laws of the State of Texas. (a) A party alleging a Claim shall send to the party against whom the Claim is asserted a written notice of its intention to submit the Claim to confidential and binding arbitration (the "Demand") under the Commercial Rules of Arbitration of the American Arbitration Association (AAA). The Demand shall be sent to the other party no later than ten (10) business days prior to filing the Demand with the AAA office authorized to administer the arbitration. (b) A total of three arbitrators shall be appointed to resolve the Claim in accordance with this paragraph. Within 15 days after confirmation of notice of filing of the Demand is sent by the AAA to the parties, the parties filing a Claim and the parties against whom the Claim is asserted, shall each appoint one arbitrator, and the two arbitrators so chosen shall select a third arbitrator within 15 days of the expiration of the 15-day period. Each arbitrator shall have at least 10 years of experience in an industry or profession related to the subject matter involved in the Claim, and all arbitration proceedings shall be held, and a transcribed record shall be prepared, in English. No party involved in the arbitration shall have the right to conduct discovery of the other (except as the arbitrators may so order on the application of another party), but shall furnish to the arbitrators such information as the arbitrators may reasonably request. The arbitrators shall send the award in writing to the parties within one (1) year from the date of the selection of the third arbitrator, or such later date as the parties may agree upon in writing. All parties to the arbitration shall bear their own expenses of the arbitration, including those relating to the arbitrators, attorney's fees, experts and presentation of proof with respect to the Claim. (c) Any award granted by the arbitrators shall not include factual findings and legal reasoning. (d) Following the entry of any award granted by the arbitrators, a party may move to confirm the award in any court having jurisdiction. Should the award be confirmed by a court of competent jurisdiction, the right of either party to appeal confirmation of the award shall be governed by the provisions of the Federal Arbitration Act. (e) Nothing in this Agreement shall limit a party's ability to seek injunctive relief in a court of competent jurisdiction. (f) Any award granted by the arbitrators against AmeriPlan shall be satisfied no later than 10 years from the date of such award. (g) Any award to an Benefit Consultant (BC)/Sales Director through the arbitration process will be strictly limited to the complaining Benefit Consultant (BC) s/sales Director s actual damages. Under no circumstances will AmeriPlan be held responsible for punitive damages and/or any extra-contractual damages and/or consequential damages. Furthermore, parties agree that the Arbitration Tribunal has the authority to award compensatory damages ONLY. 30 (h) Parties agree that a material breach occurs if a party circumvents this Arbitration Provision by seeking remedies through a court of law. In such instance, the breaching party shall bare all costs of court, attorneys fees, and any other fees arising from the breach, until the Claim conforms to terms of this Arbitration provision. (i) As a condition precedent to filing a Claim under this Arbitration Provision, Claimant is required to deposit $25, cash into an escrow account designated and controlled by the AAA. Respondent is also required to deposit $25, into the same escrow account and the total amount of the deposited escrow funds shall be applied to the costs of the arbitrators. (j) Any modification of this agreement to arbitrate shall not apply retroactively to a Claim of which AmeriPlan had notice on the day of the amendment. (k) Any termination of this agreement to arbitrate shall not be effective until 10 days after reasonable notice of termination is given to Benefit Consultant (BC) or as to Claims which arose prior to the date of termination. Severability If any provision of this Policies and Procedures Manual is held to be unenforceable, the unenforceability of such provision shall not be held to invalidate any other provision in this Policies and Procedures Manual. Interest Associated with Benefit Consultant (BC) Business Except as otherwise provided, all rights and interests associated with a Benefit Consultant Agreement belong solely to the individual that signs the Benefit Consultant Application/Agreement and provides his/her Social Security number in conjunction therewith. All 1099 income earnings will be reported in accordance with the above. A name (applicant spouse, partner, or otherwise), if entered below or next to a Benefit Consultant (BC) applicant s signature or Social Security number, is only used for household membership and recognition purposes. The inclusion of such name and/or Social Security number does not indicate a joint ownership or right of survivorship in any way. Joint ownership can only be accomplished through Partnership or Corporate Agreement. If ownership by a corporation or partnership is desired, please refer to the above section for details about signing up as a Corporation or Partnership for guidance. If a Benefit Consultant Agreement is in good standing, and the Agreement is in the name of an individual, upon death of the Benefit Consultant, it will be assigned to the heir named in the will of the Benefit Consultant. If the Benefit Consultant dies intestate (without a will) the Agreement will be assigned according to the laws of the state where the decedent Benefit Consultant s residence.. AmeriPlan is not bound by any agreement, promise or representation, oral or otherwise, made prior to the acceptance of a Benefit Consultant (BC) Agreement. 28 A m e r i P l a n B e n e f i t C o n s u l t a n t ( B C ) P o l i c i e s & P r o c e d u r e s

31 XVII. General Contest Rules & Regulations 1. All applications must be submitted in one of the following manners: Mailed Applications - Must be received by 4:00 P.M. (CST) at AmeriPlan on the final business day of the contest.* Faxed Applications - Must be faxed and received by 4:00 P.M. (CST) at AmeriPlan on the final business day of the contest.* E-Commerce - Must be entered online before 5:00 P.M. (CST) on the final business day of contest. You must receive confirmation that the application is accepted.* * Business received on AmeriPlan holidays counts as received on the next business day. 2. Applications must be active accounts when the contest period ends in order to count for the contest. 3. Applications pending due to declined credit cards, incomplete applications, no drafting information, no money sent, bad account numbers, or any other reason that delays processing, do not count toward the contest. 4. Applications sent in without a sponsoring Benefit Consultant (BC) number or an illegible Benefit Consultant (BC) number do not count for the contest. 5. Postmark dates are not used for qualification deadlines. ALL APPLICATIONS MUST BE PHYSICALLY RECEIVED AT AMERIPLAN. 6. Upgrades and reinstatements do not count for the contest. An upgrade is an existing Member upgrading to an Benefit Consultant (BC). A reinstatement is any terminated Member or Benefit Consultant (BC) that reinstates within six (6) months of their termination date. Downgraded Benefit Consultant (BC)s to Members also do not count under any circumstances. 7. Benefit Consultant (BC)s cannot re-assign any active Members or Benefit Consultant (BC)s in their personal downline to other downline Benefit Consultant (BC)s for any reason. Once the application is received and processed by AmeriPlan, the sponsoring Benefit Consultant (BC) on the application is not, UNDER ANY CIRCUMSTANCES, changed. 8. AmeriPlan may hold any prize money until all business is verified as good business. If business used to win a contest does not stay active for a minimum of six (6) months, AmeriPlan reserves the right to chargeback all prize monies paid out or the monetary equivalent of prizes won. 9. When contest winners either have an inactive status or debt liability, they receive the prize money less any money due. 10. Benefit Consultant (BC)s acting in any unethical manner can be disqualified from the contest at any time by AmeriPlan. 11. Rollups do not count for any contest. 12. Stacking is prohibited and against company policy. When discovered, it disqualifies those applications from counting toward any awards, contests or bonuses. Stacking is defined as assigning Members or Benefit Consultant (BC)s that you have personally signed up under another Benefit Consultant (BC). 13. Member(s) paid for by other Members do not count for contests and promotions. 14. Members of a list bill not assigned to the Benefit Consultant (BC) of Record do not count for contests or promotions. 15. Any commissions or bonuses paid for new business that is activated, but then cancels and receives a full refund, will be charged back 100% to the sponsoring Benefit Consultant (BC) or any Benefit Consultant (BC) who receives compensation for the piece of n ew business. This also applies to any disputed credit card refund that was made but not due to any action or no-action on the part of AmeriPlan.
