5 VIRIDIAN NETWORK RESIDUAL FUNDRAISING PROGRAM AGREEMENT This Viridian Network Residual Fundraising Program Agreement ( Agreement ) is by and between Viridian Network, LLC, a limited liability company organized under the laws of the State of Delaware and having its principal place of business at 1055 Washington Blvd., 7th floor, Stamford, CT (hereafter Viridian Network ) and a religious organization, school or 501(c) entity organized under the laws of the State located at with offices (hereafter the Residual Fundraising Organization or Organization ). WHEREAS, Viridian Energy markets electric and/or natural gas services (collectively referred to as Energy Services ) to residential and commercial customers in selected deregulated markets in the United States; WHEREAS, Viridian Network offers religious organizations, schools and 501(c) entities the ability to sell Energy Services through the Viridian Network Residual Fundraising Program as independent contractors and compensates such independent contractors pursuant to the Viridian Network Compensation Plan ( Compensation Plan ); WHEREAS, Organization is desirous of marketing such Energy Services through the Viridian Network Residual Fundraising Program as a means to augment its fundraising activities to support the Organization s purposes; NOW THEREFORE, in consideration of the mutual promises set forth herein, the sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Definitions. a. Agreement. The term Agreement includes this Viridian Network Residual Fundraising Program Agreement, which incorporates the Viridian Network Statement of Policies and Procedures, as may be amended from time to time ( Policies and Procedures )and the Compensation Plan, as may be amended from time to time. b. Authorized Representative. The term Authorized Representative means the individual authorized by the Organization to execute this Agreement on behalf of the Organization and who will passed Viridian University and be designated by the Organization to: (a) promote the sale of Energy Services to residential and small commercial customers on behalf of the Residual Fundraising Organization; and (b) to enroll other individuals or entities as Viridian Network Independent Associates and thereby build a marketing organization on behalf of the Residual Fundraising Organization. c. Contact Person. The term Contact Person means the individual who will communicate with Viridian Network on behalf of the Residual Fundraising Organization to facilitate the aims and objectives of this Agreement and shall have the authority to make decisions on behalf of the Residual Fundraising Organization and otherwise bind the Organization to such decisions and representations. d. Sponsor. The term Sponsor means the Viridian Network Independent Associate who introduced the Residual Fundraising Organization to Viridian Network, and who has agreed to fulfill the duties of a Sponsor as described in the Policies and Procedures. 2. Compensation. The Residual Fundraising Organization shall receive compensation from Viridian Network pursuant to the Compensation Plan, as amended from time to time. All compensation will be reported on an IRS 1099 form. Organization understands and agrees that Viridian Network is not raising funds on behalf of the Organization. In promoting and marketing the Energy Services and in promoting the Viridian Network opportunity, Residual Fundraising Organization agrees to adhere to the Policies and Procedures, as amended from time to time and made a part of this Agreement. 3. Status of Organization. Organization represents and warrants that it is a recognized religious organization, school or 501(c) entity. Organization shall provide Viridian Network with documentation confirming such status at the time of enrollment. 4. Website, Forms and Sales Aids. Viridian Network will provide Organization, at no charge or fee, a marketing website through which Organization may promote the sale of Energy Services and enroll Viridian Network Associates. Such website shall be an Associate Replicated Website as described in the Policies and Procedures. Viridian Network shall also provide Organization access to Viridian Network approved marketing and promotional materials which may require payment of applicable fees or purchase prices. All customer and Associate enrollments shall be submitted and processed as set forth in the Policies and Procedures. 5. Relationship of the Parties. Organization is an independent contractor, and not an employee, partner, legal representative, or franchisee of Viridian Network or its parent or affiliates. 6 Network opportunity to prospective Viridian Network Associates. Organization has no authority, express or implied, to bind Viridian Network to any obligation or agreement. 6. Policies and Procedures and Compensation Plan. Organization acknowledges that the Authorized Representative and Contact Person have read, understand and agree that Organization shall abide by the Policies and Procedures and the Compensation Plan. Organization agrees that it must be in good standing and not in violation of this Agreement, to be eligible for receipt of payments as provided in the Compensation Plan. Organization understands and agrees that the Policies and Procedures and Compensation Plan may be amended at the sole discretion of Viridian Network, and agrees to abide by all such amendments. 7. Term and Termination. This Agreement shall continue until terminated as provided in the Policies and Procedures. If the Agreement is terminated for any reason, Organization will lose all rights under the Agreement and shall not be eligible to promote the sale of Energy Services or the enrollment of customers or Viridian Network Associates. All rights to compensation under the Compensation Plan shall likewise terminate. Organization may terminate this Agreement at any time, and for any reason, upon written notice to Viridian at the address for notices set forth below. 8. Assignment. Organization may not assign any rights under the Agreement without the prior written consent of Viridian Network. Any attempt to transfer or assign the Agreement without the express written consent of Viridian Network shall render the Agreement voidable at the option of Viridian Network. 9. Laws. Organization represents it is in compliance with all applicable laws, regulations, policies and ordinances. Organization assumes all responsibility for compliance with all applicable laws, regulations, policies and ordinances related to being a Viridian Network Residual Fundraising Organization selling Energy Services and enrolling other individuals or entities as Viridian Network Independent Associates and building a marketing organization. 10. Release. ORGANIZATION HEREBY RELEASES, INDEMNIFIES AND HOLD HARMLESS VIRIDIAN NETWORK AND ITS PARENT, SUBSIDIARIES AND AFFILIATED COMPA- NIES, AS WELL AS ALL OF THEIR DIRECTORS, OFFICERS, SHAREHOLDERS, MEMBERS, EMPLOYEES, SUCCESSORS, ASSIGNS, AND AGENTS (COLLECTIVELY REFERRED TO AS AFFILIATES ) FROM ANY AND ALL CLAIMS, CAUSES OF ACTION, OR DAMAGES (DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY), KNOWN OR UNKNOWN ARISING OUT OF OR RELATED TO THIS AGREEMENT, THE PROMOTION OR OPERATION OF THE ORGANIZATION S VIRIDIAN NETWORK BUSINESS AND ANY ACTIVITIES RELATED. 11. Entire Agreement. This Agreement which includes the Policies and Procedures, and the Compensation Plan constitutes the entire agreement between Organization and Viridian Network. Any promises, representations, offers, or other communications not expressly set forth in the Agreement are of no force or effect. 12. Waiver. Any waiver by either party of any breach of the Agreement must be in writing and signed by an authorized officer of the waiving party. Waiver by a party of any breach of the Agreement by the other party shall not operate or be construed as a waiver of any subsequent breach by the other party. 13. Invalidity. If any provision of the Agreement is held to be invalid or unenforceable, such provision shall be severed, and the severed provision shall be reformed only to the extent necessary to make it enforceable. The balance of the Agreement shall remain in full force and effect. 14. Notices. Any notice or communication permitted or required by this Agreement shall be deemed effective when personally delivered or deposited, postage prepaid, by first class mail with proof of delivery, or sent by federal express addressed to the other party at their respective addresses as set forth below. 15. Miscellaneous. A signature by facsimile or scanned on this Agreement shall be as legally binding as an original signature. I authorize Viridian Network to use the Organization s name, and related photographs, and purpose, in advertising or promotional materials and waive all claims for remuneration for such use. 16. I represent that I have carefully read, understand, and agree to this Agreement. I understand that I must be in good standing and not in violation of the Agreement to be eligible for bonuses or commissions from Viridian Network.
