7 Notice of the 47 th Annual General Meeting Notice is hereby given that the 47 th Annual General Meeting of the Shareholders of Eastern Housing Limited will be held at Officers Club, 26, Baily Road, Dhaka on Thursday, November 24, 2011 at 10:30 AM to transact the following business: 1. To confirm the proceedings of the 46 th Annual General Meeting of the shareholders of the company held on December 22, To receive and adopt the Audited Accounts of the company for the year ended July 31, 2011 and the report of the Directors and Auditors thereon. 3. To declare Cash and Stock Dividend for the year ended July 31, To elect Directors. 5. To appoint Auditors and fix up their remuneration. 6. Before drawing your attention to the financial statements and report of the company I avail myself of the opportunity to pay homage and respect to my beloved father Late Jahurul Islam and the illustrious founder of Eastern Housing Limited. We also mourn for the shareholders who have passed away since our last Annual General Meeting. Dear Distinguished Shareholders, It is indeed a pleasure for me to present the 18 th Annual Report of the Directors and the audited financial statements of your company for the year ended 31 st July 2011 along with the auditors report thereon complying with the Companies Act, 1994, Securities and Exchange Commission, Stock Exchanges Rules and Regulations. Economic Scenario Dear Shareholders, You are aware of the global economic condition which has had an impact on our economy. The ongoing debt crisis in Europe and deceleration of growth in USA have created wide spread apprehension, uncertainties and nervousness in the global economy. World economy is unlikely to return to pre-crisis normalcy level. World trade economy may have serious effect on energy, food and other commodities. The current crisis is of different dimension from the previous one of Domestic economy Bangladesh economy has been consistently depending on RMG and expatriates remittance. The devaluation of our currency against US Dollar causes a rise of inflation which may lead to increase in cost of inputs of particular concern is cost of food grain and petroleum imports. We are pleased to note that Bangladesh economy attained a GDP growth of 5.6% during the financial year It is expected to attain GDP growth of 6.7% in provisionally and around 7% in The per capita income is estimated to stand at US $ in 2011 as per budget announcement. We are pleased to note that the Finance Minister has recognized the Real Estate Sector as a potential of the country s economy. Bangladesh Foreign Exchange Requirement and Remittance Expatriates mostly invest in residential plots and flats. Political upheaval and battle to over through Gaddafi in Libya compelled many Bangladeshi employees to come back and also diminished the possibilities of the hope of expatriates. Similarly political unrest in Syria, Egypt, Yemen and Afghanistan also reduced the increase of expatriate s remittance. The economic situation in Malaysia and the Middle East are also reducing. Domestic Capital Market Right from the beginning of the year under review specially during the first 5 months stock market had been continuing with bullish trend. Thereafter, capital market started a downward trend which affected the trading attitude of retail investors. During the year under review, the highest price of our share was Tk.2,080/- per share of Tk.100/- each on and the lowest Tk.582/ , the current rate is Tk closing on which is stable. Dear Distinguished Shareholders Eastern Housing Limited is a part of the Islam Group of Companies having diversified into real estate, construction, pharmaceuticals, poultry feeds, hatchery, mosques, educational and philanthropic institutions viz. school, college, medical college, madrasha and hospital. He passed away on October 19, 1995 in Singapore while he was undergoing treatment. Eastern Housing Limited started in 1964 as private company in Real Estate Development. Eastern Housing Limited was the pioneer in the Real Estate Sector. The company was converted into a Public Limited Company listed with stock exchanges in Over the years, the company has been delivering steady growth by distributing plots of land and apartments. It sales grew 40% during the year and under review. David Bloom, Professor of Economics and Demography at Harvard University, said the increase will bring unprecedented global demographic upheaval putting strains on space, labor and environment. By the year 2100, the earth could be home to a staggering 15.8 billion people. By 2050 nearly all of 2.3 billion projected increase will be in the less developed regions, with nearly half in Africa. By contrast, the populations of more developed countries will stay flat but will be aging, with fewer working-age adults to support retires living on pensions. The price of building materials like MS. Rod, Cement, Coarse Sand, Bricks, Stone Chips etc. are in upward trend directly affecting on profitability. Real Estate business is suspected to embrace new challenges in the upcoming Fiscal Year while the sector has been struggling to find a balance between decline of sales and getting utility connections to the newly built buildings. Biggest concern is to get power, gas and other utility connection. The rate of tax at source for registration of flat, shops, office/commercial spaces of real estate developers have been raised from existing Tk.2000/- per sqm to Tk.8000/- per sqm. (300% increase) for Gulshan, Banani, Baridhara, Motijheel and Dilkusha Area, and for Dhanmondi, Lalmatia, Uttara, Bashundhara, DOHS, Mohakhali, Dhaka Cantonment, Kawran Bazar of Dhaka Metropolitan area and Khulshi, Agrabad, Nasirabad Panchlaish of Chittagong from Tk.2000/- to Tk.6000/- per sqm (200% increase) also the rate for others area from Tk.800/- to Tk.2000/- per sqm. (ie. 150% increase) are discouraging for the real estate business. It will hang heavy on the real estate sector. The population of Dhaka city now stands at 1.50 crore which may reach at 2.00 crore by 2020 if we conservatively estimate. Housing will remain a challenge for the residents of Dhaka City. Dear distinguished shareholders, In the recent months, over all sales of land and apartments have dropped by 30% for want of electricity, gas and water supply connections to the completed projects. Insiders claimed that the realtors have failed to deliver nearly 10,000 ready apartments worth Tk.8000/- crore to the clients in time. Inconsequence of tax increase and unfavorable tune of foreign exchange remittance, the fate of around many under construction high rise buildings with commercial complex became uncertain. The banks have raised the rate of interest, banks funding for purchasing flats has been squeezed in recent times. As stated expatriates are the important buyers of land and flats but, due to economic down turn in the developed countries are affecting the real estate business. Even in the public sector construction activities have been very slow. We would suggest that government should give green signal to the projects which were stared before the announcement of DAP and also suggest to review the DAP. Dear Shareholders, Maya Kunjo Project Eastern Housing Limited s Maya Kunjo was a RAJUK approved earth filling land developed project of acres of land divided into plots and the plots were sold to the buyers was acquired by the government for Begunbari- Hatirjheel combined project during the emergency period. Consequently we sustained heavy losses. We lodged claim for compassion. On our continuous persuasion government agreed in principle to pay us compensation against the said project. In the meanwhile we had been under heavy pressure mountained by the buyers for refund of their money with interest. We had the no other alternative to insist the authority to help us. Finally, the authority approved to release fund to enable us to pay off our clients pending final settlement. We have been paying of our customers under pressure. However, we could not recognize such receipt in our revenue account since the deal was not finalized. We hope, we may be able to finalize our claim with the government in the next year. As soon as the disputes finally recorded on mutual understanding we would recognize the same as our revenue income. Maya Kanon Project There has been no progress of a big chunk of land at Maya Kanon project at Aminbazar area of Mirpur. It was one of the largest land area. We developed considerable area by earth filling sold to many plots to the buyers. Unfortunately, the area was marked as water bodies under DAP and on the height of that we had to stop development work in the project area. In the meanwhile our clients have been mounting enormous pressure for refund of money. We have been pursuing the concerned authority for release of the area but of no avail. So, this project has been hunting us as well as our clients. We assumed the RAJUK to develop the project as per their desire but of no avail. Shareholders recording attendance in the 46 th annual general meeting POSITION OF OUR ONGOING PROJECTS Aftabnagar (NEW): It is a small part of our biggest land projects situated in Aftabnagar, Dhaka. This phase has 165 plots and an area of katha. There are different types of plot size varying from 1.5 to 7 katha. 25% of the total plots has already been allotted. RAJUK has not yet approved our project on raising different issue. We have been trying meet up their issues. Eastern Panthachaya: It is a 15 storied Apartment complex project on katha of land. It is situated at 152/2/G/1-2, Panthapath. It consists of 260 flats of different sizes varying from 1475 sft. to 2250 sft. 29 Eastern Dhalia: It is a 14 storied Apartment complex project on katha of land. It is situated at Plot # 405 C, Holding # 24 & 24/A, Road # 16, Dhanmondi 27 (old) and named as Eastern Dhalia having 48 apartments on an average 2120 sft. It has total area of 1,01,760 sft. Eastern Kamalapur: It is a 18 storied Commercial cum Residential complex project on katha katha of land. It is at 64, 66, 67, 68 North Kamalapur and style Eastern Kamalapur having 88 apartments and 113 office spaces. It has total area of 2,62,225 sft. Both construction work and allotment of the flats and office spaces have been going on. More than 80% flats and office spaces have been allotted so far and construction work is going on in full swing. Eastern Karim: It is a 14 storied Apartment complex project on katha 12.5 of land. 30 LAND BANK: For the last a few years our land bank have been continuing to decrease. We could purchase only acres against 17 acres in the previous year. Our stock of undeveloped land has depleted to acres only and stock of developed land is acres and acres are under progress. The company has been constantly in search of low laying land and purchase whenever available. There is dearth of land in Dhaka and in its adjacent area whenever available the price demand are beyond economic development. Due to imposition of embargo in certain low-lying areas in and around Dhaka on environment ground and water bodies are mainly under DAP restricted zone. As stated in the last year DAP (Detailed Area Plan) imposed many restrictions, on earth filling which negate expansion of land project instead of encouraging the trade. It has become difficult to find land mass for big project. Further, government has been contemplating to impose embargo on filling any agricultural land. These will further complicate the availability of low cost of low lying land. DEVELOPMENT OF LAND During the year under review, the company could purchase only acres of undeveloped land and at the end of the year we have acres of undeveloped land. The company has another acres of land at different stages of development. And we have completed 40 apartments in the last year. 33 Responsibilities for implementing the company s strategy and day-to-day operations are delegated to the Executive Committee, which meets monthly. The Executive Committee is chaired by the Managing Director. Relationship with Shareholders: Good corporate governance encourages dialogue with shareholders and the Annual General Meeting encourages participation of shareholders through quarterly updates of performance. Accountability and Audit: The Board reviews in detail the contents of the annual consolidated Financial Statements and Directors Report in order to satisfy itself that the presentation is balanced and that the Company s position is communicated clearly to the shareholders. The Board of Director considers, in conjunction with the external auditor, the accounting policies adopted in the accounts and examines internal control which has been put in place in the company. Compliance with Legal Requirements: The Board through the Legal & Secretarial function makes every endeavor to ensure that the business of the company complies with the laws and regulations of Bangladesh. Additionally, necessary controls are in place to ensure that the policies of the Board are complied with. The Board of Directors requires that in all possible aspects, the financial statements are prepared in accordance with the Bangladesh Accounting Standards (BAS) and requirements of Securities and Exchange Commission. Maximum information is provided to shareholders and full discloser is made subject only to any sensitive information which could directly impact the company. 34 Statement of Internal Control The internal control system of Eastern Housing Limited is designed to manage risks that may impede the achievement of the company s business objectives rather than eliminates these risks. The ultimate facilitator of the internal control system is the Board of Directors in order to ensure that the importance of internal controls is understood across the company and that adequate resource allocations are available. Internal control is the process by which the company s directors, management and staff obtain reasonable assurance as to the achievement of specified objectives including:- Efficiency and effectiveness of operations, maintenance of assets, reliability of financial and other management information, the prevention of fraud, compliance with relevant national laws and company Act. SEC Rules, Stock Exchanges Rules and Regulations. Eastern Housing Limited continues to ensure the presence of the following components that would create an effective internal control system. Control Environment The Board of Directors sets the tone for an effective control environment through regular exchange views and reviews of the processes for identifying, evaluating and managing the significant risks. An effective control environment is set by top management that cascades across all business functions. Before selecting a site for land or apartment projects utmost attention and arrangement is ensured for environment. Risk Assessment The company has an ongoing risk management process to identify key business risks. Process risks are also assessed at the planning stages whereby objectives are reviewed along with the associated risks that may potentially affect the achievement of objectives. Appropriate risk responses are articulated to enable the company to achieve its objectives effectively. Control Activities Control activities are the policies and the procedure to help ensure that management directives are carried out, and the necessary actions are taken to minimize the risks of failing to meet objectives. Policies and procedures are affectively established within the company and continuously reviewed for compliance, adequacy and improvement. Information and Communication The company ensures the effective flow of information on internal activities and external factors across the management levels. All individuals receive a clear message from senior management that control responsibilities must be taken seriously. Monitoring The system of internal control is monitored regularly through both ongoing activities and separate evaluations. Ongoing monitoring activities are conducted through regular management activities. The internal audit function is responsible for providing an objective and independent view of the effectiveness of operational and financial controls and procedures, as well as management action in dealing with issues of control. The internal audit function monitors the presence of the components of internal control system and reports to the audit committee. Development of Awareness The Board through the Audit Committee ensures that an awareness of internal control is enhanced throughout the company. This occurs through management self assessment of controls, discussion of internal control issues at management meetings, off the job education on internal control and through creating an environment and control attitude within the company that is challenging, proactive, and considers the worst case scenarios to gauge the appropriateness of controls. 34 Eastern Housing Limited

35 The Board has delegated the process of reviewing the effectiveness of internal controls to the Audit Committee. The Audit Committee, whose functions are described in the Audit Committee Report, met 4 times during The committee monitored and reviewed independent assessment of business process within the company. Audit Committee Report Introduction The Audit Committee of Eastern Housing Limited is a sub-committee of the Board of Directors and is appointed and authorized by the Board in pursuance of SEC Circular to review the activities of business. The role of the Audit Committee is to monitor the integrity of the financial statements of the company and review when appropriate, make recommendations to the Main Board on business risks, internal controls, governance issues and compliance. The committee satisfies itself by means of suitable steps and appropriate information, that proper and satisfactory internal control systems are in place to identify and contain business risks and that the company s business is conducted in a proper and prudent manner. Membership and Meetings The Audit Committee comprises of three members and out of them, one is independent director. The directors for 2011 were: 1. Mr. Md. Abdul Wadud, Chairman Audit Committee 2. Mr. Sarwar Boudius Salam, Member, Audit Committee and 3. Mr. Md. Mostafizur Rahman, Member, Audit Committee. The committee met 4 times during Invitees to the meeting are the Managing Director, Finance Director, Legal Director, Head of Audit and Senior Partner of the External Auditors, who have regularly attended all the meeting of the year. The Company Secretary is also Secretary to the Audit Committee prepares all minutes and documents for circulation and is responsible to provide feedback on effective implementation of action plans arising from the meetings. Responsibilities and Objectives The operating procedure of the Audit Committee is governed by a Terms of Reference which is reviewed by the committee and ratified by the Board. The major responsibilities of the Audit Committee are: 1. Monitor the integrity of the financial statements of the company and any formal announcements relating to the company s performance, reviewing significant financial reporting judgments before their submission to the Main Board for approval. 2. Review the effectiveness of the accounting policies, internal control and business risks systems of the company. 3. Monitor and review the effectiveness of the company s internal audit function. 4. Consider and the discuss with the external auditors of the company the scope of their audit prior to its commencement and, subsequently the results, and review the effectiveness of the process, taking into consideration relevant professional and regulatory requirements; Activities of the Audit Committee In the year ended July 31, 2011, the Audit Committee carried out the following activities: 1. Reviewed the financial statements and related schedules to ensure that these reflect a true and fair view of the company s state of affairs for the year Approved the Internal Audit Plan and reviewed all independent assessments carried out by the internal audit function. 3. Reviewed the risk management process adopted by the company and the major risks facing the business along with related mitigation plans. 4. Reviewed and approved the External Auditor s Strategy Memorandum, i.e. the scope of their work, reporting schedule and the resources for the audit. Eastern Housing Limited 35

36 5. Reviewed all management findings from the external audit and the effectiveness evaluation of the services of the external audit. 6. Reviewed the Audit Committee Terms of Reference. 7. Reviewed the management of self-assessment of the key controls of the business and the actions plan put forward to address any issues. 8. Reviewed the Confirmation Statement on the Standard of Internal Control and the Standards of Business Conduct signed by the Managing Director and the Chief Financial Officer. 9. Reviewed issues within the following areas. However no such occurrences were reported to the Board of Directors: a. Report on conflicts of interests; b. Suspected or presumed fraud or irregularity or material defect in the internal control system; c. Suspected infringement of laws, including security related laws, rules and regulations. Audit Committee Report for the Year ended July 31, The terms of reference of the Audit Committee has been determined by the Board of Directors in accordance with the Code of Corporate Governance. The Committee is appointed and responsible to the Board of Directors. Audit Committee consist of 3 members of the Board one of them is independent director. They are Mr. Md. Abdul Wadud, Director, Chairman of the Audit Committee, Mr. Md. Mostafizur Rahman, Member, and Mr. Sarwar Boudius Salam, Independent Director and Member of the Audit Committee. Audit Committee met 4 (four) times during the year and all the members of the Committee and Acting Chief Financial Officer attended the meeting. Activities carried out during the year: In the committee worked on follows: 1. Checked and verified the construction schedules and earth filling activities. 2. Checked the purchase proposal, proposals of construction materials and capital expenditure. 3. Verified the Quarterly and Final Accounts of the company. 4. Reviewed the effectiveness of internal financial control and also reviewed audit objection of Chief Internal Auditor. 5. Reviewed points or suggestions and amendments by the Internal Auditor. 6. Notified the adequacy of corporate governance. 7. Finally reported the irregularities detected to the Board. 8. Met the members of the external auditors and had discussion on financial statements. The committee is of the opinion that adequate controls and procedures are there to provide reasonable assurance that the company s assets are safeguarded, the liabilities are properly accounted for and financial position of the company is well and adequately managed. 37 DIRECTORS As per Article 138 of the Articles of Association of the Company one third of the Directors for the time being shall retire at the every Annual General Meeting of the company. In pursuance of Article- 139 of the Articles of Association of the Company those who have been longest in the office since their last re-election are to retire by rotation. 39 Auditors Report To The Shareholders of Eastern Housing Limited We have audited the accompanying financial statements of Eastern Housing Limited which comprise the statement of Financial Position as at July 31, 2011, and the Statement of Comprehensive Income, Statement of Changes in Equity, Statement of Cash Flows for the year then ended and a summary of significant accounting policies and other explanatory information. Management s responsibility for the Financial Statements Management is responsible for the preparation and fair presentation of these financial statements in accordance with Bangladesh Financial Reporting Standards (BFRS) and the Companies Act, 1994 and for such internal control as management determines is necessary to enable the preparation of financial statements that are free from material misstatements, whether due to fraud or error. Auditors Responsibility Our responsibility is to express an opinion on these financial statements based on our audit. We conducted our audit in accordance with Bangladesh Standards on Auditing (BSA). Those standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the financial statements are free from material misstatement. An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statements.
