1 QUEEN ALIA INTERNATIONAL AIRPORT ADDENDUM NO. 1 TO REQUEST FOR PROPOSALS for Distinguished Visitor s Lounge Meet and Assist Services Valet Parking Services A pre-proposal meeting was held on July 30, 2009 at approximately 1100 local time at the Golden Tulip Hotel, Amman, Jordan for the above Requests for Proposals. Mr. Curtis Grad, CEO of Airport International Group, presented a powerpoint presentation providing an overview of the airport, its stakeholders, mission, air service development and commercial operations past and present plans.(currently posted on website. Mr. Harry G. Steele and Dr. Patricia Ryan, Business Development Consultants, provided an overview of the specific elements of each RFP and answered questions during the meeting (which are captured as much as possible within the following responses). The powerpoint presentation is available on the website as well. A tour was offered to the current VVIP lounges, meet and assist departure location, and valet parking. Further, at that meeting, the following questions were asked or received in writing. The responses follow each question. Distinguished Visitor s Lounge, Valet Parking and Meet and Assist 1. Does the passenger traffic count noted in the RFP include transit passengers? Yes. The number of transit passengers, however, transit and transfer passengers account for an average 25% of the total traffic. 2. What are the operating hours required? The operating hours are dependent upon the airlines flight schedules. AIG would expect the DVL to be open to meet specific passenger requirements, but in nay event, at least two and one-half hours prior to the first airline s departure until the last airline s departure, or as may be otherwise required. These hours of operation should be fluid enough to ensure adequate coverage to meet all business requirements. 1
2 3. What are the numbers of passengers per hour? Per day? We do not have specific information about the number of passengers per hour or per day that is available at this time other than the airline schedule provided. Additionally, the number of passengers per hour differ from day to day dependent upon the airline s schedules. 4. How many government staff use the VIP area? For the six first month of 2009 we have had more than What is AIG s view of competing operations? This particular business opportunity is for one operator. 6. What are the peak hours? For terminal 1, On departure, 2 peak hours, 7 am and then 11 am, than a small peak at 17 pm On arrivals, 1 peak at 9 am and then no peak during the day time For terminal 2, On departure, a peak at 11 am, then at 19 pm On arrivals, no peak until 15 pm Then, higher business days are Tuesday, Wednesday and Sunday for both terminals, And also Saturday for Terminal 1 7. How many international scheduled flights are there? Almost all flights are international Very few charters flights, with actually previous information on seasonal program (estimated to an average one flight per week). 8. Does the business have to be incorporated in Jordan at the time of submittal of the RFP? The business must have a Jordan incorporation at the time of award. 9. What type of services does AIG see that the DVL provider should offer for the nonpaying guests? AIG has not made a list of the type of services; however, It would be anticipated that the operator would maintain and expand this service and augment it through innovation and experience to provide additional services as would befit Distinguished /Premium level passengers and visitors alike who are prepared to pay premium prices for the unique level of services offered. 10. Where is the support space located? How much space is available? 2
3 There are closest and kitchen areas as well as adjacent storage space as noted on the tour. If additional space is required, AIG will try to accommodate. 11. What services could be offered in addition to the room? i.e. could showers and massage or spa be offered as well? AIG is looking to an experienced operator to create new or imaginative services; however, there may be limitations due to the age of the building in creating additional plumbing required for showers and/or spa arrangements. 12. Could the extension period extend into the new terminal? It is anticipated that this business opportunity is for the existing terminal only, and any business model proposed should only contemplate this period of operation. 13. Does AIG have a liquor license for the VIP? If not, could the DVL provider offer food/beverage and perhaps food off a menu for a price to not only the DVL, but to the Royalty and/or Government as well? AIG does not hold a liquor license. If the DVL provider can secure a liquor license and wishes to offer additional beverages, liquor and/or food and offer a menu, the provider may propose such idea for consideration but is ultimately responsible to secure the necessary approvals and licenses where required. However, AIG makes no assurances that a liquor license or menu may be accepted. 14. What are the specific operational benchmarks for the provider to meet in the DVL and VIP areas? The RFP listed general requirements rather than specific benchmarks in terms of customer service and operational benchmarks. Specific benchmarks have not been developed, but logic and awareness of time restrictions for travelers must be considered in terms of desired service, i.e. Hosts and Servers should be respectful and aware of DVL and/or royal and government staff in the area and assist them within a timely manner of their arrival. Utensils, service items, plateware and napkins should be available and well maintained. The facility should be maintained impeccably clean. Guests should be escorted in a timely manner. Processing of luggage, airline tickets, visas, security etc. should be accomplished through relationship and coordination with airlines, government officials, and AIG in addition to any other Authority responsible for various clearing and processing activities. 15. In the new terminal, does AIG plan to operate the VIP area or will they look for a commercial venture? 3
4 At this time, AIG anticipates offering this opportunity as a commercial venture in the future for the new terminal. 16. Could AIG give the operator a first right of refusal to operate in the new terminal? At this time, AIG does not anticipate offering any first rights of refusal for this opportunity in the new terminal. 17. Can they have more than two locations since there is a departure requirement and an arrival requirement? Yes. AIG will explore the possibility of a podium or kiosk in the departures area and in the arrivals area. 18. Is there any curbside space allocated only for valet parking? If so, how much is it? Current curbside congestion has prevented any allocations. However, we are assured that at least one large vehicle parking space will be made available for the Valet Operations area by the curb. Proponents should identify their anticipated requirements and AIG will determine if it is possible to implement. 19. How can we be assured that the parking operator will negotiate with the valet parking operator reasonably? AIG will ensure that the Valet Parking operator will be provided with the support space required on a demand basis and at prevailing parking rates. Proponents are encouraged to identify their anticipated parking space requirements for which AIG will determine if this can be accommodated. 20. If there is no opportunity with the current parking operations and an area has to be paved, who pays for the pavement? If it is the operator, do we have to pay for the m2 charge as well? AIG may prepare or have the valet parking operator prepare any proposed area to be allocated for this purpose. AIG will determine the locations and allocate on a demand basis. 21. What is the number of cars using the car park? We do not have this information. 22. How many spaces are available in each car park? (By location, i.e. between the terminals and long term (individual numbers for each). Due to the ongoing state of flux in the construction, and the possible adjustments required from time to time, the following estimates are offered. Short term is approximately 660 lots in total 4
5 Long term is approximately 640 lots in total 23. Does the Department of Security overseeing parking approve of this Valet Parking idea? AIG oversees the airport and its operations and will ensure that all responsible departments are advised of any changes in tenants, and procedures as required including, but not limited to the Department of Security. 24. What is the foot fall and circulation around the terminal? No studies have been made of the footfall at this time. 25. Would you favor the service and passengers or users for all the RFPs as one response more favorably than the individual responses to the individual RFPs? Each proposal will stand on its own merit; however, AIG would look very favorably on a comprehensive proposal for all three concepts that maximizes the synergies and provides added value as a result. 26. Can we do a market survey to find out more about the passengers at the airport? You may conduct all the market surveys you wish, just please do not use the airport s premises for such activities unless it 27. Can the operator have ramp assistance? The ramp assistance is part of the DVL area; therefore, if the operator can fulfill all security requirements and arrange such ramp assistance through the DVL ramp access location then the operator may do so subject to all approvals by the responsible authorities. 28. What is the preferred model for these services? There is no preferred model contemplated at this time. 29. What is AIG doing to stop the other meet and greet services that have access to the immigration and other areas? This practice is an on-going issue for AIG as well. Continued cooperation between security and the airport continues to try to abate the problem as much as possible. 30. Does all the staff need to be Jordanian? No as long as everyone meets all the security and employment standards requirements. 31. Are taxes applicable? Do we pay AIG gross revenue for amounts collected 5
6 including tax? The operator must collect applicable taxes from the users of the service and pay all appropriate taxes for the operation of its service. However, the percentage payment to AIG is for a percentage of gross revenues net of taxes (less all taxes). 32. Is there a special arrangement for a fast track lane for the departure guests of the meet and greet? There is no official fast track lane at this time. AIG would support this idea, but cannot guarantee agreement by all the parties to create this type of service. This type of arrangement must be negotiated by the operator. 33. Can a special counter be designated for the meet and greet operator before security in addition to the kiosk in immigration? The meet and assist location before departure was envisioned as the point of contact for this type of service. If another counter is desired, and if space is available at or near the location desired, it will be made available at the prevailing rates in the area for the type of use. 34. Are there any special arrangements for fast track with the airlines? This type of arrangement is up to the operator to negotiate with the airlines. 35. What are the arrangements made with immigration to assist in handling the visa requirements for meet and assist? It would be in the best interest of all for a special fast track lane for all meet and assist and/or DVL users; however, no progress has been made at this time on this idea. It should be noted that there is currently an E Gate facility within the immigration area. 36. What assurances do we have that if we add some services that they will be approved? AIG can not give any assurances that services beyond what is now being offered will be approved; however, anything to improve the current level of service will be looked upon with favor. AIG will support appropriate new ideas for improving service levels. 37. How far can the meet and assist service go? We have not defined any boundaries for the level of service for any of these three rfp services. We encourage the proposers to use their experience to show the level of service that may be offered. 38. Can we bid on all three and will that be considered more favorable than individual bids? Each proposal will be evaluated on its own merit. If a proposer has proposed on all 6
7 three proposals but has a weak element, it may not be considered as favorably as the individual proposal that may be superior. On the other hand, if a proposer proposes on all three proposals, but has a strong element on all three proposals, the proposer could win the right to win all three opportunities. 39. Sales tax and income tax, Is the company revenue at the airport subjected to Sales Tax and Income Tax. See response to # 33 above/ 40. Basic lease terms (page 15 of RFP) Please explain what is meant by last sentence (Minimun rents and percentage rents (as applicable) will apply during this period). Rental payments of any nature are not to be due until the agreed upon dates, which in any event will not occur during the approved period for construction or refurbishment. 41. Minimum Annual Guarantee & percentage rent (P. 16 of RFP) The percentage minimum fee in this clause is specified at 20% whilst in other parts of the RFP the percentage minimum is specified at 10.%. Please advise which is the correct one. Ten (10.0%) percent is the correct minimum percentage 42. Special Security Consideration (P.18 of RFP) Will security clearance requirements apply for the DVL commercial users I potential customers as well as concessionaire staff. It must be stressed that all security and legal clearance requirements regardless of area or passengers will always be required unless otherwise advised or approved by the appropriate authorities. For the purposes of ensuring a common understanding, it is expected that a successful DVL operator would be able to provide a dedicated, or at least a minimized obstruction and easy facilation process to ensure a premium service offering, all under the approval of the responsible authorities. 43. Development process (p. 23 of RFP) Will AIG provide satellite I cable TV connections~ Telephone & Internet connections to DVL. AIG will provide the technical support to assist in the installation of these services where permitted and required. 44. Royalty I Royal Court Officials Senior Government Officials and Guests. Is there a definition for the seniority level of Government Officials and Royal Court Officials who are entitled to use the DVL i e Minister I Undersecretary etc... There are various levels of government requiring the lounge utilization. As stated in the answer to question 4, for the six first month of 2009 we have had more than We will try to obtain more details to follow. 45. Is there and estimate for the expected number of official users of DVL? 7

We will try to obtain more details to follow. 48. Are we expected to separate lounges areas allocated for government usage from areas allocated for commercial usage or make one lounge for government are not covered by MAG payments. At this time, only those lounges identified as Commercial locations, are available for the opportunity. This other areas are available to qualified government or Royal court dignitaries. We will try to obtain more details to follow. 49. Is there any requirements for the type of food and beverage to be served at DVL.The RFP does not mention food/ beverage requirements for DVL bearing in mind that there are no cooking facilities available as back room preparation are. Please note the response to # 9 and # 14. 8
