3 CHAIRMAN S MESSAGE Dear Stakeholder, Group Profit Before Tax (PBT) of Rs billion for the quarter and Rs billion for the first six months of the financial year 2010/2011 reflect increases of 281 per cent and 167 per cent respectively, over the PBT of Rs. 905 million and Rs billion in the corresponding periods in the previous year. Recurring PBT, excluding the gains from the sale of stakes in Asian Hotels and Properties PLC (AHPL) and John Keells Hotels PLC (KHL), grew by 83 per cent for the quarter and 71 per cent for the first six months. The profits attributable to Equity Holders for the quarter and first six months, ended 30 September 2010, of Rs billion and Rs billion respectively, reflect an increase of 409 per cent and 221 per cent over the corresponding periods in the previous year. The revenues at Rs billion and Rs billion in the second quarter and the first half of 2010/2011 were 24 per cent and 26 per cent above the Rs billion and Rs billion recorded in the corresponding periods in the previous year. The Company PBT of Rs billion for the quarter and Rs billion for the first six months of 2010/2011 reflect an increase of 1,330 per cent and 70 per cent above the PBT of Rs. 162 million and Rs billion in the corresponding periods in the previous year. This PBT includes the gain on the sale of shares of John Keells Hotels PLC (KHL) and Asian Hotels and Properties PLC (AHPL), during the quarter. Transportation PBT of Rs billion for the first six months of 2010/11 was an increase of 18 per cent, over the first six months of 2009/10 which recorded Rs billion. The quarterly PBT decreased by 11 per cent to Rs. 556 million [2009/10 Q2: Rs. 627 million.] While SAGT performed to expectations, the Airlines and Logistics business units, in particular, performed significantly above the corresponding period in the previous year. The bunkering business, whilst maintaining market leadership, was adversely affected by volatile world oil prices during the quarter. In line with expectations, Leisure recorded a PBT of Rs. 323 million for the first six months of the financial year compared to a loss of Rs. 174 million recorded in the same period last year, despite the full and partial closure of some hotels for refurbishment and upgrades. The second quarter PBT was Rs. 337 million [2009/10 Q2: Loss Rs. 127 million]. This improvement in performance is mainly due to better results achieved by both the Sri Lankan resorts and our city hotels, Cinnamon Grand and Cinnamon Lakeside. As I had mentioned in my first quarter message, Coral Gardens has been closed for a complete refurbishment and is scheduled to be re-opened as Chaaya Tranz in Winter 2011/12. The construction of the new hotel in Beruwela Chaaya Bey is progressing as planned. The Chaaya Lagoon Hakuraa Huraa in the Maldives has been operational since September 2010 after the completion of its refurbishment. During the quarter, we exited the loss making Cinnamon Alidhoo and acquired the head lease of Chaaya Island, Dhonveli, which have and will substantially improve the profitability of the Maldivian resorts. Property recorded a PBT of Rs. 290 million for the first six months, a 175 per cent increase over the Rs. 105 million recorded in the same period last year. The PBT of Rs 145 million for the quarter was an increase of 103 per cent over the corresponding period last year [2009/10 Q2: Rs. 71 million]. The cyclical nature of the revenue recognition of the projects is the main reason for the variances from the previous year. At the end of October, we officially launched a 475 apartment development on Union Place in the heart of Colombo and market surveys indicate encouraging interest from potential buyers and expressions of interest have already been received for over 50 per cent of the units. Consumer Foods and Retail PBT of Rs. 307 million for the six months was 237 per cent higher than the Rs. 91 million recorded in the same period last year. The PBT of Rs 137 million for the quarter was an increase of 175 per cent over the second quarter last year [2009/10 Q2: Rs. 50 million]. The soft drinks, ice creams and processed meats businesses saw strong volume growth while the super market business had a significantly better quarter on the back of higher same store sales and better margins. 1

4 John Keells Holdings PLC ~ Interim financial statements Financial Services PBT for the six months ended 30 September 2010 at Rs. 685 million was 79 per cent higher than the Rs. 382 million recorded in the same period last year. The PBT of Rs. 308 million for the quarter is a 87 per cent increase over the same period last year [2009/10 Q2: Rs. 165 million]. John Keells Stock Brokers and the Group s banking associate, Nations Trust Bank were the main contributors to this increase. The contribution from Union Assurance (UA) was in line with expectations. It should be noted that profits of the life segment are recognised only at the end of our 3rd quarter, which is the end of UA s financial year. Information Technology (IT) had an improved performance for the first six months on the back of an improved performance by the Office Automation and BPO segments. IT recorded a PBT of Rs. 35 million for the first six months, compared to the loss of Rs. 35 million in the corresponding period in the previous year. The second quarter PBT of Rs. 34 million was a significant improvement over the same period last year [2009/10 Q2: Loss Rs. 3 million]. The acquisition of a number of new customers by the BPO business, which though resulting in extra costs due to relocation and associated expenditure in the next two quarters, augurs well for the future. Others comprising of Plantation Services, John Keells Capital and the Corporate Centre recorded a PBT of Rs 1.98 billion for the six month period, which is 484 per cent higher than the Rs. 339 million PBT recorded in the same period last year. The gain on the sale of shares of KHL and AHPL during the quarter, contributed towards this significant growth. The second quarter PBT was Rs billion [2009/10 Q2: Rs. 122 million]. John Keells English Language Scholarship Programme was reintroduced in 2010/11, as English for Teens. A total of 1000 scholarships are on offer to school children aged years from various Districts. The first intake with 547 registered students is currently in progress and the process for the second intake has also been initiated. The Final Step, a five-day series of soft skills workshops designed to groom university undergraduates for employment was successfully conducted at the University of Sri Jayewardenepura in August 2010 in collaboration with the Career 2 Guidance Unit of the University. The programme attracted an enthusiastic response, with an average attendance of 260 participants per session. The John Keells HIV/AIDS Awareness Campaign has educated a total of 4,323 persons in 17 sessions during the second quarter resulting in a cumulative total of 8437 persons via 36 sessions including members of the security forces and the LTTE rehabilitation centre, Thriconamadu. Plans are underway to have the HIV/AIDS Workplace Policy adopted by the various sectors of the Group by AIDS Day falling on 1st December Under the John Keells Vision Project, a total of 241 cataract operations were carried out during the second quarter. This included collaboration with the Lions Club. A total of 282 spectacles have also been donated to deserving individuals. The BPO operation at Mahavilachchiya in the Anuradhapura District is progressing well, with 16 youths engaged in transaction processing during the second quarter, supporting our Group company, InfoMate (Pvt) Ltd. This operation continues to record healthy volumes, translating to increased income levels to its shareholder - employees. InfoMate has already initiated plans for a second BPO operation at Seenigama in the Southern Province in collaboration with the Foundation for Advancing Rural Opportunities (FARO) and Foundation of Goodness. Four youths from the village are being trained for this purpose. Planning the infrastructure development, including securing the necessary approvals, is currently in progress for Mangalagama, the second village selected for development under the Villlage Adoption Program. Work on this project complements a Ceylon Cold Stores PLC (CCS) strategic business drive to develop the cashew farmers of the village towards securing a substantial part of its cashew requirements under a sustainable model with a direct benefit to the community. 16 John Keells Holdings PLC ~ Interim financial statements NOTES TO THE FINANCIAL STATEMENTS 1 Corporate Information John Keells Holdings PLC, is a public limited company incorporated and domiciled in Sri Lanka and listed on the Colombo Stock Exchange. Ordinary shares of the company are listed on the Colombo Stock Exchange and Global Depository Receipts (GDRs) are listed on the Luxembourg Stock Exchange. The interim financial statements of the Group and the Company for the six months ended 30 September 2010 were authorised for issue by the Board of directors on 2 November Basis of preparation The interim financial statements of the group and of the company have been prepared on the basis of the same accounting policies and methods applied for the year ended 31 March 2010 and are in compliance with Sri Lanka Accounting Standard 35 - Interim Financial Reporting. Highest Lowest Last traded A final dividend of Rs per share for the financial year ended 31 March 2010 was paid on 10 June In August 2010, John Keells Holdings PLC (JKH) disposed of 11.6 million shares held in Asian Hotels and Properties PLC (AHPL), for a consideration of Rs. 2 billion. The resultant capital gain of Rs. 1.3 billion has been reflected in the consolidated income statement. 6 In September 2010, JKH disposed of 37.5 million shares held in John Keells Hotels PLC, for a consideration of Rs. 0.8 billion. The resultant capital gain of Rs. 0.5 billion has been reflected in the consolidated income statement. 7 South Asia Gateway Terminals (Private) Limited (SAGT) As a follow up to note 30.8 in the annual report of John Keells Holdings PLC (JKH) relating to SAGT, an associate of JKH, it can now be confirmed that the Board of Investment of Sri Lanka (BOI) has affirmed that SAGT has fully complied with the BOI agreement and therefore that its tax exempt status remains. 8 Contingencies, capital and other commitments There has been no significant change in the nature of the contingencies, capital and other commitments, which were disclosed in the annual report for the year ended 31 March Post balance sheet events There have been no other events subsequent to the Balance sheet date, which require disclosure in the interim financial statements. 10 All values included in these financial statements are in Rs.'000s unless othewise stated. 15
