General Terms and Conditions / Opšte Odredbe i Uslovi 1. Purpose The purpose of this document is to set out the terms, conditions, limitations, risks and costs of the processing, testing, cryopreservation and storage in an authorized cellular processing and storage unit (a»unit«) and release of the Product obtained from the Specimen collected at the time of birth of the Child(ren) of the Client. In this agreement, dependent on the Services chosen, the following definitions shall have the following meaning: Service CryoCord: Specimen : umbilical cord blood Product : cryopreserved stem cells extracted from the cord blood Service CryoCord+: Specimen : umbilical cord tissue and umbilical cord blood Product : cryopreserved umbilical cord and cryopreserved stem cells extracted from the cord blood By signing this Service Agreement the Client agrees to be legally bound to CRYO-SAVE for the processing, testing, cryopreservation and storage of the Specimen in any Unit. The Client also acknowledges that he/she/they has/ have been fully informed, and accept(s) and agree(s) to the conditions, risks, limitations and associated costs of such activities, in accordance with these terms and conditions. 2. Services of CRYO-SAVE CRYO-SAVE's obligations and liabilities are expressly limited to the services described in this agreement; no other services will be provided by CRYO-SAVE to the Client and CRYO-SAVE expressly disclaims any responsibility to provide any other services, including but not limited to the collection and the transportation of the Specimen. CryoCord: Upon receipt of the Specimen, CRYO-SAVE will endeavour to process and cryopreserve stem cells from the Specimen for the purpose of direct application to humans, provided a sufficient number of viable stem cells can be identified. CRYO-SAVE will store the Product for the Initial Storage Period (as defined in Section 6 below) or longer as agreed in accordance with Section 6. In the event that there are insufficient stem cells in the Product or CRYO-SAVE is unable to collect stem cells from the Specimen or if CRYO-SAVE determines that storage is for other reasons not possible, no storage will take place and the Client will not be obliged to pay CRYO-SAVE the Service Fee related to this Product. The Subscription fee is not refundable. CryoCord+: The umbilical cord blood: see the section above CryoCord. The umbilical cord: on receipt of the Specimen, CRYO-SAVE will endeavour to prepare it for cryopreservation and storage. In the event that the umbilical cord has not been collected following the instructions, or if CRYO-SAVE determines that storage is for other reasons not possible, no storage will take place and the Client will not be obliged to pay CRYO-SAVE the Service Fee related to this Product. The Subscription Fee is not refundable. 3. Responsibilities of Client Client agrees to complete all necessary forms accurately and in a timely manner, as CRYO-SAVE may from time to time reasonably consider as required or deemed beneficial to the Service in view of applicable legislation or industry standards. Client is responsible for arranging the collection of the Specimen by the physician, obstetrician or other medical staff at the birth of the child. Following the instructions received, Client will either contact the CRYO-SAVE office or the courier company immediately after the Specimen has been collected. CRYO-SAVE will arrange for transport of the Specimen to the CRYO-SAVE designated Unit by a courier company, on the Client s behalf, immediately 1. Svrha Svrha ovog dokumenta jeste da se utvrde odredbe, uslovi, ograničenja, rizici i troškovi obrade, testiranja, krioprezervacije i čuvanja u autorizovanom i za to namjenski predviđenom prostoru za obradu i čuvanje (u Bankama ) Produkata dobijenih od uzetih Uzoraka prilikom rođenja djeteta/djece, odnosno, od Klijenta. U ovom Ugovoru, u zavisnosti od izbora Usluge, sljedeće odredbe treba da imaju sljedeće značenje: Usluga CryoCord: Uzorak : krv iz pupčane vrpce Produkt : krioprezervirane matične ćelije izdvojene i sačuvane iz krvi iz pupčane vrpce Usluga CryoCord+: Uzorak : tkivo pupčane vrpce i krv iz pupčane vrpce Produkt : krioprezervirana pupčana vrpca i krioprezervirane matične ćelije izdvojene i sačuvane iz krvi iz pupčane vrpce Potpisivanjem ovog Ugovora Klijent daje svoju saglasnost CRYO-SAVE-u za obradu, testiranje, krioprezervaciju i čuvanje Uzoraka u jednom od autorizovanih i za to namjenski predviđenih prostora. Klijent takođe izjavljuje da je/su on/ona/oni potpuno informisani, da prihvataju i da su saglasni sa uslovima, rizicima, ograničenjima kao i sa pripadajućim troškovima navedenih aktivnosti, u skladu sa ovim odredbama i uslovima. 2. Usluge CRYO-SAVE-a Obaveze i odgovornosti CRYO-SAVE-a su izričito ograničene na usluge opisane u ovom ugovoru; CRYO-SAVE osim toga neće pružiti nikakve druge usluge Klijentu i CRYO-SAVE se ograđuje od odgovornosti za pružanje bilo kakvih drugih usluga od trećih strana među koje spadaju i usluge koje se odnose na uzimanje i transport Uzorka. CryoCord: Nakon prijema Uzorka, CRYO-SAVE će nastojati da obradi i sačuva matične ćelije iz Uzorka u svrhu direktne primjene na čovjeku, da obezbjedi dovoljan broj od raspoloživih matičnih ćelija. CRYO-SAVE će čuvati Produkt u Inicijalnom Vremenskom Periodu (kao što je opisano u tački 6) ili na duži period kao što je opisano pod tačkom 6. U slučaju da u Uzorku ne bude dovoljan broj matičnih ćelija ili da je CRYO- -SAVE onemogućen da izvrši uzimanje matičnih ćelija iz Uzorka, ili u slučaju da CRYO-SAVE utvrdi da čuvanje iz bilo kog drugog razloga nije moguće, neće doći do čuvanja i Klijent neće biti obavezan da plati CRYO-SAVE-u Troškove Usluge vezano za predmetni Produkt. Troškovi Depozita se ne mogu refundirati. CryoCord+: Krv iz pupčane vrpce: vidi prethodni dio Cryo-Cord. Pupčana vrpca: prijemom Uzorka CRYO-SAVE će nastojati da pripremi sve za krioprezervaciju i čuvanje. U slučaju da uzimanje uzorka pupčanika nije obavljeno u skladu sa instrukcijama ili ako CRYO-SAVE ustanovi da čuvanje nije moguće iz bilo kojeg drugog razloga, neće doći do čuvanja i Klijent nije obavezan da plati CRYO-SAVE-u Troškove Usluge vezano za predmetni Produkt. Troškovi Depozita se ne mogu refundirati. 3. Odgovornosti Klijenta Klijent je obavezan da tačno i na vrijeme popuni sve potrebne formulare, koje bi CRYO-SAVE mogao koristiti u slučaju opravdane potrebe vezano za Uslugu, a u pogledu važećih zakona ili standarda industrije. Klijentova je odgovornost da sve oko uzimanja Uzorka prilikom porođaja dogovori sa ljekarom, akušerom i drugim medicinskim osobljem. U skladu sa dobijenim instrukcijama, Klijent će nakon što je uzet Uzorak odmah kontaktirati kancelariju CRYO-SAVE-a ili kompaniju prevoznika. CRYO-SAVE će obezbijediti transport Uzorka do CRYO-SAVE-ove Banke, u ime Klijenta putem kompanije prevoznika, odmah nakon što od Klijenta dobije obavijest o uzetom Uzorku. CRYO- -SAVE expressly excludes all liability for the collection and transportation of the Specimen. Client hereby authorizes CRYO-SAVE to contract in Client s name a courier company who will transport the collection Kit, containing the Specimen, to the CRYO-SAVE unit. The Fee includes the cost of the transport. Client agrees to act at all times in accordance with all applicable legislation and regulations, and will be responsible for obtaining all necessary documents and permits if so required for the collection and export of the Specimen to the Unit. 4. Fees and payment The fee for the Service (the Fee ) and the payment conditions applicable to the Service are laid down in the attached Fee Schedule. The Fee consists of a non-refundable Subscription Fee and a Service Fee, as further described in the Fee Schedule. Client agrees to pay the Fee on time and in accordance with the Fee Schedule. Parent(s) and/or Legal Guardian(s) (as applicable) are jointly and severally liable for the payment of the invoiced fees. 5. Storage The Specimen and Product will be processed, tested, cryopreserved and stored in accordance with the following terms: a) CRYO-SAVE stores the Product in an authorised Unit. The Product will be split and stored separately. The processing and storage Unit are located in 19 Galileilaan, 2845 Niel, Belgium. b) CRYO-SAVE may assign and transfer any or all of its rights and obligations under this Agreement to any third party, for which the Client hereby gives consent. c) CRYO-SAVE does not give, nor does it purport to give, any medical advice, or otherwise perform any other function for the Client other than the services expressly described in these terms and conditions. d) Client hereby consents to the collection, transport and testing of the Specimen and to the processing, cryopreservation and storage of the Specimen in and to a Unit as stated by these terms and conditions. e) The Client s right to storage and release of the Product is subject to the timely and full payment of all Fees by the Client in accordance with these terms and conditions. 6. Term and termination These terms and conditions come into force on the date of receipt by CRYO- -SAVE of the Service Agreement signed by the Client, and will continue for a period indicated in the Fee Schedule as from the date of the birth of the Child (the Initial Storage Period ). Six months prior to the end of the Initial Storage Period an agreement can be made in the event that Client (or Child) wishes CRYO-SAVE to continue to store the Product on its behalf for a further period (the Extended Storage Period ), and such extended storage shall be at the market prices valid at that time. If 30 days before the expiry of this Agreement Parties have not agreed the terms of an Extended Storage Period of the Product, or upon termination of this Agreement by CRYO-SAVE in accordance with this Clause 6, Client relinquishes all rights in and waives all rights to the Product and CRYO-SAVE shall have the right to dispose of the Product, in accordance with, and subject to, the restrictions and conditions imposed by applicable legislation at the relevant time. This Agreement may be terminated by written notice with immediate effect: a) By Client at any time prior to the collection of the Specimen at birth. In this case a minimal Fee will be charged as indicated in the Fee Schedule. b) By CRYO-SAVE if the Specimen and/or Product are not suitable for storage, whether for medical, safety, practical or any other reason (e.g. the Specimen is damaged or contaminated; the collected Specimen volume is too small). In these situations CRYO-SAVE will not store the Specimen and/or Product. CRYO-SAVE retains the sole right to make this decision. c) By CRYO-SAVE if CRYO-SAVE does not receive the payments within the time limits specified on the invoice. CRYO-SAVE izričito odbacuje svaku odgovornost za uzimanje i transport Uzorka. Ovim dokumentom Klijent ovlašćuje CRYO-SAVE da sklopi ugovor sa kompanijom prevoznikom koji će transportovati set za prikupljanje uzorka, uključujući i Uzorak u prostor CRYO-SAVE za obradu i čuvanje. Troškovi transporta Uzorka su uračunati u cijenu. Klijent se obavezuje da će sve svoje aktivnosti preduzimati u skladu sa važećim zakonima i uredbama, i da će biti odgovoran za pribavljanje svih potrebnih dokumenta i dozvola koji se zahtijevaju za postupak uzimanja i transporta Uzorka do Banke. 4. Cijene i plaćanje Cijena Usluge i uslovi plaćanja ( Cijena ) koji se odnose na Uslugu su navedeni u nastavku u posebnom dodatku Plan Plaćanja. Ukupna Cijena uključuje Depozit koji se ne može refundirati i Troškove Usluge, kao što je definisano u nastavku u posebnom dodatku Plan Plaćanja. Klijent je obavezan da Cijenu usluge plati na vrijeme i u skladu sa Planom Plaćanja. Roditelj(i) ili staratelj(i) je(su) i zajedno i pojedinačno odgovorni za plaćanje faktura. 5. Čuvanje Uzorak i Produkt će biti obrađeni, testirani, krioprezervirani i sačuvani u skladu sa sljedećim uslovima: a) CRYO-SAVE čuva Produkt u autorizovanom i za to namjenski predviđenom prostoru. Produkt će biti podijeljen i sačuvan na fizički odvojenim lokacijama. Laboratorije za obradu i pohranjivanje se nalaze na adresi 19 Galileilaan, 2845 Niel, Belgium. b) CRYO-SAVE može dodijeliti ili prebaciti bilo koja ili sva svoja prava i obaveze u okviru ovoga Ugovora bilo kojoj trećoj pravnoj strani na šta Klijent daje saglasnost. c) CRYO-SAVE ne pruža, niti se podrazumijeva da pruža bilo kakav ljekarski savjet, niti da obavlja bilo koju drugu djelatnost osim onih koje su izričito opisane u opštim odredbama i uslovima. d) Klijent je saglasan sa uzimanjem, transportom i testiranjem Uzorka radi obrade, krioprezerviranja i čuvanja Uzorka u Banci kao što je definisano u opštim odredbama i uslovima. e) Pravo Klijenta na čuvanje i preuzimanje Uzorka je u relaciji sa tačnim i urednim plaćanjem ukupne Cijene od strane Klijenta u skladu sa opštim odredbama i uslovima. 6. Uslovi i zaključivanje Ove odredbe i uslovi postaju punovažeći od onog datuma kada CRYO-SAVE dobije Ugovor o Usluzi koji je Klijent potpisao i važiće na period koji je naznačen u Planu otplate od datuma rođenja djeteta ( Inicijalni Period Čuvanja ). Šest mjeseci prije isteka Inicijalnog Perioda Čuvanja moguće je dogovoriti produženje Ugovora u slučaju da Klijent (ili dijete) želi da CRYO-SAVE nastavi da čuva Produkt u njegovo ime u narednom periodu ( Produženi Period Čuvanja ), a troškovi Produženog Perioda Čuvanja biće u skladu sa cjenovnikom važećim u tom momentu. Ako se 30 dana prije isteka Ugovora strane ne slože oko Produženog Perioda Čuvanja Produkta ili po isteku Ugovora sa CRYO-SAVE-om u skladu sa Tačkom 6, Klijent se odriče svih svojih prava na Produkt i CRYO-SAVE ima pravo da se oslobodi Produkta u skladu sa ograničenjima i uslovima koji su određeni primjenjivim zakonskim propisima u to određeno vrijeme. Ovaj Ugovor može da se raskine na pisani zahtjev sa trenutnom važnošću: a) Klijent može da raskine Ugovor u bilo koje vrijeme prije uzimanja Uzorka. U tom slučaju minimalna cijena će biti naplaćena kao što je navedeno u Planu Plaćanja. b) Ugovor može da raskine CRYO-SAVE ukoliko Uzorak i/ili Produkt ne bude pogodan za čuvanje ili zbog medicinskih, bezbjednosnih, praktičnih ili bilo kojih drugih razloga (npr. Uzorak je oštećen ili inficiran; količina Uzorka je previše mala). U ovim situacijama CRYO-SAVE neće sačuvati Uzorak i/ ili Produkt. CRYO-SAVE zadržava isključivo pravo da donese takvu odluku. c) Ugovor može da raskine CRYO-SAVE ukoliko CRYO-SAVE ne primi novac na ime Depozita ili na ime Troškova Usluge u dogovorenom roku, navedenom na fakturi. Rights to Product Unless otherwise defined by applicable law, the Product remains the property of the Child throughout. Until the Child reaches legal age, the Parent(s)/Legal Guardian(s) has/have the right and responsibility to consent to the collection, storage, use and disposal of the Product. 8. Release request In the event that the Product is required for treatment or manufacturing of a medicinal product, the Client shall provide written notification of the same to CRYO-SAVE. Any request for release has to be addressed to Cryo-Save AG, P.O. Box 207, 8808 Pfäffikon SZ, Switzerland, to the attention of the Qualified Person. The notice shall include the name and address of the physician and hospital to which the Product must be sent or the appropriately accredited cgmp manufacturer. CRYO-SAVE shall then provide the authorised hospital or manufacturer with a release form (the Release Form ) which must be returned to CRYO-SAVE. CRYO-SAVE will arrange for transport of the Product to the hospital, on the Client s behalf. CRYO-SAVE expressly excludes all liability for the transportation of the Product. CRYO-SAVE will charge reasonable cost involved with the transport of the Product to the destination indicated on the Release Form. 9. Acknowledgement The Client understands that the actual collection of the Specimen is not part of CRYO-SAVE s service and that the relevant doctor, obstetrician or other medical staff may under certain circumstances refuse, be unable or fail to collect and/or adequately pack the Specimen and that neither CRYO-SAVE nor its officers, shareholders, employees, agents and contractors bear any responsibility for any mistakes or damages caused by such doctor, obstetrician or other medical staff. In addition, the Client hereby releases the hospital, the doctor, obstetrician and other medical staff from any and all liability. The Client also understands and confirms that CRYO-SAVE, its officers, directors, employees, shareholders, agents and consultants have not made any representations and bear no responsibilities and obligations with respect to the possibility to collect stem cells successfully from the Specimen, the suitability of the stem cells for the contemplated treatment, the successful treatment of any diseases through stem cell transplantation or therapies, and the advantages of umbilical cord blood stem cell usage over other therapies using stem cells. 10. Limitation of liability CRYO-SAVE s responsibility towards the Client and/or the persons whose Product is being stored is limited to the Service described in this Agreement. Client agrees that should he/she/they make any claim against CRYO-SAVE, CRYO-SAVE s liability shall, to the extent allowed under applicable law, regardless of the basis of such claim, whether in contract, tort or otherwise, be limited in total and in aggregate to the amount of the Fee paid by the Client to CRYO-SAVE under this Agreement. 11. Data protection Client agrees to the processing and storage of personal data (including personal data of the Child), by CRYO-SAVE or its agent, affiliate or subcontractor, which has come to CRYO-SAVE s knowledge in the course of performing the services and otherwise under this Agreement. CRYO-SAVE will use Client s personal data only to the extent required by its contractual obligations hereunder and in accordance with the applicable laws and regulations. Raskid ovog ugovora neće uticati na odgovornost Klijenta u vezi sa potpunom isplatom fakturisanog iznosa i sa svim administrativnim i zakonskim troškovima u vezi sa prikupljanjem cjelokupnog preostalog iznosa. 7. Prava na Produkt Produkt ostaje u vlasništvu djeteta ukoliko se drugačije ne odredi primjenjivim zakonskim propisima. Sve dok dijete ne postane punoljetno, roditelj(i) i/ ili staratelj(i) ima/imaju pravo i odgovornosti da donesu odluku vezano za uzimanje, čuvanje, korištenje i raspolaganje Produktom. 8. Zahtjev za uzimanje Produkta U slučaju da je Produkt potreban za liječenje ili za proizvodnju medicinskog proizvoda, Klijent treba da o tome pošalje pisanu obavijest CRYO-SAVE-u. Bilo koji zahtjev za preuzimanjem mora da bude adresiran na Cryo-Save AG, P.O.Box 207, 8808 Pfaffon SZ, Switzerland, na pažnju kvalifikovanoj osobi. Obavijest treba da sadrži ime i adresu ljekara i bolnice gdje Produkt mora da se pošalje ili ime akreditovanog proizvođača medicinskih proizvoda. CRYO- -SAVE će nakon toga dostaviti Obrazac o Preuzimanju ( Release Form ) navedenoj ovlaštenoj klinici ili proizvođaču koji moraju potpisan vratiti nazad CRYO-SAVE-u. CRYO-SAVE će organizovati transport Produkta do bolnice, u ime Klijenta. CRYO-SAVE se ograđuje od bilo kakve odgovornosti za transport Produkta. Cryo-Save će naplatiti razumnu cijenu na ime troškova za transport Produkta do destinacije naznačene u Obrazcu o Preuzimanju. 9. Potvrđivanje Klijent potvrđuje da razumije da samo uzimanje Uzorka nije dio usluge koju obavlja CRYO-SAVE i da određeni doktor, akušer ili bilo koje drugo medicinsko osoblje mogu da pod određenim uslovima odbiju ili budu u nemogućnosti ili ne uspiju da uzmu i/ili adekvatno upakuju određenu količinu Uzoraka i da ni CRYO-SAVE niti njihovi službenici, partneri, zaposleni, agenti ili saradnici ne snose nikakvu odgovornost za bilo koje greške ili oštećenja prouzrokovana od strane doktora, ginekologa ili drugog medicinskog osoblja. Klijent, takođe, razumije i potvrđuje da CRYO-SAVE i njegovi službenici, direktori, zaposleni, partneri, agenti i konsultanti nisu ni na koji način bili u mogućnosti da utiču na stvarno stanje matičnih ćelija u Uzorku, samim tim ne mogu uticati ni na stvarni kvalitet matičnih ćelija uzetih iz Uzorka, na podesnost predmetnih matičnih ćelija za liječenje određene bolesti, uspješno liječenje bilo koje bolesti kroz transplataciju matičnh ćelija ili terapiju, kao i za načine prednosti korištenja matičnih ćelija iz krvi pupčane vrpce za terapeutske ili neke druge svrhe u odnosu na druge matične ćelije. 10. Ograničenje odgovornosti Odgovornost CRYO-SAVE-a prema Klijentu ili prema osobama čiji se Produkt čuva je ograničena samo na uslugu koja je opisana u ovom Ugovoru. Klijent se slaže da ukoliko on/ona/oni ima/imaju bilo kakvu žalbu prema CRYO-SAVE-u, odgovornost CRYO-SAVE-a će biti u okviru primjenjivih zakonskih propisa, bez obzira na zahtjev iz žalbe, odrednica Ugovora, priznavanje krivice ili bilo šta drugo biće svedeno na ukupan iznos Cijene usluge koju je Klijent platio CRYO- -SAVE-u u skladu sa ovim Ugovorom. 11. Zaštita podataka Klijent je saglasan da CRYO-SAVE ili njegov agent, podružnica, partner ili saradnik obrađuju i čuvaju lične podatke (uključujući lične podatke djeteta) koji su povjereni CRYO-SAVE-u u cilju pružanja usluga u skladu sa ovim Ugovorom. CRYO-SAVE će koristiti navedene Klijentove lične podatke isključivo za realizaciju ugovorenih obaveza i u skladu sa primjenjivim zakonskim propisima i uredbama. FORM TB BAbs CS dbv3 page 5 of 8

Force majeure CRYO-SAVE cannot be held liable for, and expressly excludes all liability for, any possible loss or damage due to natural disasters, act of war or terror, riot, strike, vandalism, acts or omission of authorities or any events beyond CRYO- -SAVE s control which cause destruction of, or deterioration to the Specimen and/or Product. 13. Notice The Client shall immediately notify CRYO-SAVE in writing of any changes in the information provided, including relocation and/or change of address. All notifications to CRYO-SAVE shall be sent to: CRYO-SAVE AG, P.O. Box 207, 8808 Pfäffikon SZ, Switzerland. CRYO-SAVE may completely rely on the data made available in writing by the Client, without any obligation to make further inquiries with respect to the correctness or actuality of such data. 14. Governing law This Agreement shall be governed by, and construed in accordance with Swiss law. The parties hereby agree to the jurisdiction of the courts of Switzerland. This does not affect the right CRYO-SAVE may have to take action in any court of competent jurisdiction. 15. Headings The headings contained in this Agreement are for reference purposes only and shall not affect the meaning or interpretation of this Agreement. 16. Severability Should any provision of this Agreement be invalid or unenforceable or should this Agreement contain an omission, the remaining provisions shall remain valid. In the place of an invalid provision or an omission, a new, valid provision - which comes economically closest to the one actually agreed upon provision or, in the event of an omission, the intentions set forth in this Agreement is presumed to be agreed upon by the Parties. 17. Language This Agreement has been construed in the English language. For the Client s benefit, this document may contain a translation of this Agreement in local language. However, only the English text will be binding and prevail in the event of any inconsistencies and/or interpretation disputes. 12. Viša sila CRYO-SAVE ne može da snosi odgovornost i ograđuje se od preuzimanja bilo kakve odgovornosti za bilo koji mogući gubitak ili oštećenje usljed prirodnih nepogoda, čina rata ili terora, demonstracija, štrajkova, vandalizma, čina odsustva vladavine zakona ili za bilo koji događaj izvan kontrole CRYO-SAVE-a koji prouzrokuje uništenje, propadanje Uzorka i/ili Produkta. 13. Obavještavanja Klijent je dužan da odmah obavijesti CRYO-SAVE u pisanom obliku o bilo kakvim promjenama dostavljenih informacija, uključujući i premještaj i/ili promjenu adrese. Sva obavještenja treba poslati na adresu: Cryo-Save AG, P.O.Box 207, 8808 Pfäffikon SZ, Switzerland. CRYO-SAVE može u potpunosti da se osloni na podatke koje je poslao Klijent u pisanoj formi, bez bilo kakve obaveze da provjerava ispravnost i validnost dostavljenih podataka. 14. Primjenjivi zakoni Ovaj Ugovor je koncipiran u skladu sa Švajcarskim zakonom i na njega će se primjenjivati Švajcarsko zakonodavstvo. Samim tim strane su saglasne da prihvate nadležnost sudova Švajcarske. Ovo ne utiče na pravo CRYO-SAVE-a da može preduzeti određene aktivnosti pred drugim kompetentnim nadležnim sudom. 15. Zaglavlja/Naslovi Zaglavlja/Naslovi sadržani u ovom Ugovoru se isključivo koriste u svrhu naslovljavanja i ne utiču na značenje i interpretiranje u ovom Ugovoru. 16. Kredibilitet Ukoliko bilo koja odredba ovog Ugovora ne bude validna ili punosnažna ili ukoliko ovaj Ugovor sadrži propuste, ostale odredbe ostaju validne. Umjesto nevažeće odredbe ili propusta, ugovoriće se nova, validna odredba koja je ekonomski najbliža onoj koja je stvarno dogovorena ili u slučaju propusta, nova odredba će biti ubačena u Ugovor tek nakon usaglašavanja od obje strane. 17. Jezik Ovaj Ugovor je koncipiran na engleskom jeziku. Da bi olakšali Klijentu, ovaj Ugovor sadrži prevod na jedan od lokalnih jezika. Fee schedule / Plan plaćanja SUBSCRIPTION FEE: An initial deposit of EUR 210,00 for enrolment (the Subscription Fee ) is payable before the birth of the Child. Upon receipt of the signed Agreement by CRYO-SAVE, the Collection Kit will be sent to you. The Total Fee includes the administration, usage of Collection Kit, transport, processing, testing, cryopreservation and storage during the Initial Storage Period. This Agreement may be terminated by written notice with immediate effect by CRYO-SAVE if CRYO-SAVE does not receive the payments within the time limits specified on the invoice. Termination of this agreement will not affect Client s responsibility for payment in full of all amounts invoiced and of all additional administrative and legal costs related to collecting the outstanding amounts. In case of overdue payment, interest will be charged on the outstanding amounts at a yearly rate of 12%. ADDITIONAL FEES: Additional Fees may be charged if additional testing is required; e.g. because of abnormal lab test results, or if required by local or international regulations (e.g. eventually required maternal blood tests). REFUNDS: 1. If no Specimen arrives at the Unit, independent of the reason why, Client will only have to pay a fixed amount of EUR 100,00 to cover cost incurred thus far (provided the Collection Kit is sent back, unopened and undamaged). This means that the Subscription Fee, reduced by this fixed amount, will be reimbursed. 2. In the event that there are either insufficient stem cells in the Specimen or CRYO-SAVE is unable to collect stem cells from the Specimen no storage will take place and Client will have no further liability to pay CRYO-SAVE any further fees. The Subscription Fee is not refundable under any circumstances. SPECIAL REDUCTIONS: 1. A returning Client is eligible for the loyalty reduction of EUR 150 on the Service Fee when saving stem cells of a subsequent newborn child with CRYO-SAVE. 2. In case of twins Client is entitled to receive a 50% reduction on the Service Fee for the second twin. A combination of these two reductions offers is not possible. Po prijemu potpisanog Ugovora, CRYO-SAVE će Vam dostaviti Set za uzimanje i transport Uzorka. TROŠKOVI USLUGE: Iznos računa za Troškove Usluge zavisi od usluge koju ste izabrali: CryoCord Nakon što je Produkt uspješno sačuvan na Inicijalni Period Čuvanja od 20 godina U slučaju da ste se opredijelili za dodatnih 5 godina čuvanja, dodatni troškovi će iznositi CryoCord+ EUR 1.775,00 EUR 200,00 Nakon što je Produkt uspješno sačuvan na Inicijalni Period Čuvanja od 20 godina EUR 2.090,00 U slučaju da ste se opredijelili za dodatnih 5 godina čuvanja, dodatni troškovi će iznositi EUR 250,00 U slučaju da samo Produkt Krioprezervirane matične ćelije izdvojene i sačuvane iz krvi iz pupčane vrpce, ili samo Produkt Krioprezervirana pupčana vrpca, bude uspješno sačuvan na Inicijalni Period Čuvanja od 20 godina, primjenjivat će se cijena CryoCord usluge. U slučaju da ste se opredijelili za dodatnih 5 godina čuvanja, primjenjivat će se dodatni troškovi za CryoCord uslugu. Ukupna cijena Usluge uključuje troškove administracije, seta za uzimanje i transport Uzorka, transport, obradu, testiranje, krioprezervaciju i čuvanje u toku Inicijalnog Perioda Čuvanja. Ugovor može da raskine CRYO-SAVE ukoliko CRYO-SAVE ne primi novac na ime Depozita ili na ime Troškova Usluge u dogovorenom roku, specificiranom na fakturi. Raskid ovog Ugovora neće uticati na odgovornost Klijenta u vezi sa potpunom isplatom fakturisanog iznosa sa svim administrativnim i zakonskim troškovima u vezi sa prikupljanjem cjelokupnog preostalog iznosa. U slučaju kašnjenja u plaćanju, obračunaće se kamata na neotplaćeni dio iznosa po godišnjoj kamatnoj stopi od 12%. DODATNI TROŠKOVI: Dodatni troškovi mogu da iskrsnu ukoliko su potrebna dodatna testiranja npr. zbog abnormalnih laboratorijskih rezultata testova ili ako je to regulisano lokalnim ili međunarodnim propisima (npr. ako su potrebni testovi krvi majke). REFUNDIRANJA: 1. Ukoliko ne dođe do uzimanja Uzorka matičnih ćelija, neovisno o razlozima, Klijent će platiti samo fiksni iznos od EUR 100,00 za pokriće već nastalih troškova (uz vraćanje Seta za uzimanje i transport Uzorka, neotvorenog i neoštećenog). Ovo znači da će se Depozit, umanjen za fiksni iznos, vratiti Klijentu. 2. U slučaju da nema dovoljno matičnih ćelija u Uzorku ili da CRYO-SAVE ne može da uzme matične ćelije iz Uzorka, neće doći do čuvanja i Klijent nema nikakve dalje obaveze da plaća bilo kakve račune CRYO-SAVE-u. Troškovi Depozita u iznosu od EUR 210,00 se ne mogu refundirati ni pod kojim uslovima. SPECIJALNI POPUSTI: 1. Klijent dobija popust od EUR 150,00 na Troškove Usluge za uspješno sačuvane matične ćelije narednog novorođenčeta D kod DCRYO-SAVE-a. M M Y Y Y Y 2. U slučaju blizanaca kljent dobija 50 % popusta na Troškove Usluge za drugo dijete. Kombinacija ova dva popusta nije moguća.

U slučaju neispunjavanja navedenih obaveza, čak i u slučaju samo jedne rate, Klijent se obavezuje da izvrši plaćanje ukupnog preostalog zaduženja u cjelini jednom uplatom.
