1 Pool Lease Frequently Asked Questions 1. How did leasing the pool come about? The board of directors was concerned about the membership no longer being able to enjoy the use of the pool facilities as was the case for many years. It was strongly believed that the use of the facility would increase the property values within the community. After that, two (2) board members approached Mike Boyce several times to convince him to consider leasing the pool to the Association. Finally, he agreed to do so. 2. Why are we voting on leasing the River Ridge pool? In order to make amendments to the Documents that in turn effects the Association, the Board must allow the Membership to vote on it. 3. Who decides the terms of the lease? The River Ridge Board of Directors can negotiate the terms of the lease. 4. What communities will be a part of the lease? The associations that will be joining us in this lease will be River Ridge Country Club, Edge Water, and Edgewood. 5. What happens if other associations want to join our lease? The other associations, which previously enjoyed the use of the pool, will be afforded an opportunity to join. 6. Will the pool be leased to other Associations? No, the River Ridge County Club will be the sole lease. 7. Can individuals join? River Ridge Country Club, HOA will not allow individuals to join, that would constitute a commercial enterprise and possibility negate the Association s not-for-profit tax status.

2 8. Who will pay for maintaining the pool? River Ridge Country Club, HOA will be responsible for maintaining the pool. 9. What liability will the River Ridge Country Club, HOA be held to? Any liability will be covered under our insurance policy. 10. Will the golf course be involved with the pool lease? The golf course is a separate entity and it will have nothing to do with our agreement with the pool lease. 11. How will we have access to the pool? An entry keycard system is being explored at this time. 12. How many Owners were on the pool committee? Eight (8) individual Owners of the River Ridge Country Club, HOA served on the pool committee. 13. The cap of $300 per year per home includes what? The leasing fee and all necessary pool maintenance, operating expenses and costs. Note: A one-time lawyers fee of $3, (for both lawyers) to put a contract together between the two (2) parties.

3 Below are additional questions that were ed after the meeting Will the homeowners have access to the exercise room as before? No, the lease is only for the swimming pool. 15. Will residents of Tall Pines have access to the pool? Tall Pines will not have access to the pool as they are not a part of the lease agreement. 16. Will residents of any of the other River Ridge communities be able to participate in the lease and access to the pool? Will their involvement reduce our individual costs? No 17. Will residents of the Edgewood be able to have access to the pool if their HOA elects to participate in the lease? Will their involvement reduce our individual costs? River Ridge Country Club, HOA has invited the Edgewood community to join the lease. Their involvement will reduce the overall costs to individuals. 18. Will residents of Waters Edge have access to the pool if their HOA elects to participate in the lease? Will their involvement reduce our individual costs? River Ridge Country Club, HOA has invited the Water s Edge community to join the lease. Their involvement will reduce the overall costs to individuals. 19. What will be the financial impact to the RRCC HOA fees if these other HOA s participate in the lease agreement? Will RRCC lease assessments be reduced by an equal and corresponding amount? Yes 20. What happens if monthly expenses exceed the monthly assessment to members of the participating HOAs? How will shortfalls be made up? The RRCC Pool Committee has reviewed past pool expenses, as provided by Mike Boyce. As a result, the committee estimated higher expenses to help eliminate any shortfalls.

4 21. Can anyone purchase daily or monthly access to the pool? As answered in question #7, River Ridge Country Club, HOA will not allow individuals to join, that would constitute a commercial enterprise and possibility negate the Association s not-for-profit tax status. Liability, Insurance, and Legal Related Concerns 22. Who will be responsible for providing the liability insurance? The River Ridge Country Club, HOA will be responsible for providing liability insurance. 23. What are the limits of the liability insurance policy coverage? At this point the limits are not finalized but Umbrella insurance in the amount of 5 million dollars I being considered. 24. How much will liability insurance cost annually? This is expressed on the expense sheet in this packet. 25. Who will be responsible for providing the liability umbrella policy? The River Ridge Country Club, HOA will be responsible for providing the liability umbrellas policy. 26. What are the limits of the liability umbrella insurance policy coverage? The limits for the liability umbrella insurance is $5M. 27. How much will the liability umbrella insurance policy cost annually? The annual cost will be approximately $ Will RRCC homeowners be held harmless for any damages or claims? The RRC will be held harmless for any damages or claims. 29. Will the pool owner, Mike Boyce be held harmless for any damages or claims? The owner of the swimming pool, Mike Boyce, will not be held responsible for any damages or claims.

5 30. Are a health department pool permit and inspections required? The pool will require pool permits and inspections. 31. Is the pool required to be ADA compliant? The pool is not required to be ADA compliant as statutes currently exempt HOA s 32. If so, who is responsible to install, pay for and maintain the required lift? Because the pool is not required to be ADA compliant this question does not apply. Operational Concerns 33. Who will provide and maintain the pool furniture and required safety equipment? Contract cleaning services will maintain furniture; the pool contractor has the responsibility to maintain the safety equipment. Who will ensure that mandatory safety equipment is not misused and abused? The Pool Committee will inspect the equipment periodically. 34. Who will maintain the cleanliness of the pool deck and how often will it be cleaned? A pool service contract will be hired to maintain the pool. Bathroom cleaning contract will include pool decks and chairs. 35. Who will maintain the public rest rooms and how often will they be cleaned? The pool will be serviced daily. Contract cleaning services, daily. 36. How will pool access be controlled? Will there be posted hours of operation? Who will ensure that the pool is secured at the end of the day? The committee is exploring the use of key cards. The hours of operation will be posted,..a time lock system will prohibit entry after closing time and cameras will also be installed to observe the pool 24/ Will there be a controlled access system installed? Who will be responsible for paying for the access system?

6 A controlled access system will be involved, and this will be paid by the HOA. 38. Who will ensure that pool access system integrity is maintained? The board of directors will ensure that the integrity is maintained. Who will control access to key cards and ensure cards are not stolen, given or loaned to unauthorized users? Each owner will be given one (1) key card, and it is the responsibility of that owner to make ensure it is not stolen or loaned to unauthorized users. If the key card is lost or stolen, the owner can purchase an additional one at $35. The old key card will then be disabled. 39. Will there be any security related staffing or on-site volunteers provided? Residents using the pool, along with volunteers, will be responsible for overseeing activities while they are there. Will alcoholic beverages be allowed in the pool area? At this point is being considered. Will personal coolers be allowed in the pool area? Person al coolers will be allowed. Who will ensure that there are no glass containers or underage consumption of alcoholic beverages in the pool area? Residents using the pool, along with volunteers, will be responsible for overseeing activities while they are there. 40. Who will control and prevent after-hours access to pool area? A security system will be in place.

7 Pool Service and Equipment Concerns 41. How much will the regular pool maintenance service cost per month? Please review the expense sheet. How often will the pool be serviced? A cleaning service will be scheduled. Please see question # Does the cost include all of the chemicals required to maintain the pool to health department standards? The cost includes chemicals. 43. Is the pool contractor licensed, pool certified, insured and bonded? The pool vendor hold he required licenses as required by the State. 44. The pool equipment, including pumps and motors is old and in poor condition. It is old and may be inefficient. Who is responsible to replace equipment when it is no longer operational or requires replacement? The HOA will be responsible for replacing the equipment. 45. Does the pool, pool equipment, fencing and life safety equipment meet all health department requirements? The State requires health inspections. 46. Who is responsible for the cost of electricity and water for the pool? The HOA is responsible for the utilities. 47. Current golf course employees are aware of a significant pool leak near the putting green side of the pool. It has been suggested that the pool leak is responsible for the inability to grow grass on the putting green. This is speculative and will be professionally determined and resolved. The putting green is not part of the lease.

8 48. Who is or will be responsible for fixing the existing pool leak? If it is determined by the licensed pool contractor there is a leak, it will depend on whether it s a major or minor repair. This will be determined prior to a contract being negotiated/signed. The existing pool service company, along with an additional pool service company, will both do inspections and provide findings prior to a contract. 49. Who is or will be responsible for damages caused by the leak, including repairing the putting green? This has been answered above.
