2 INVITATION TO BID FOR A TRACTOR AND PULL TYPE SCRAPER Sealed bids will be received by the County of Harnett, Finance Department, North Carolina for the furnishing of a tractor and a pull type scraper for its Solid Waste Department as described and specified herein, until 10:30 a.m. on November 22, 2005, at the Finance Department, 102 East Front Street, Lillington, N.C , at which time the bids received will be publicly opened and read aloud. 3 INSTRUCTIONS TO BIDDERS BID NUMBER SW Sealed proposals will be received by the County of Harnett, Lillington, NC at the Finance Office, P.O. Box 760, 102 East Front Street, Lillington, NC 27546; until 10:30 a.m. on November 22, 2005, and at which time, said bids will be publicly opened and read aloud. 2. All bidders are instructed to use the Bid Packet for all responses to specifications. 3. All specifications are specific determining criteria. The County feels it is necessary to obtain equipment that will provide service ability, repair ability, and operational longevity. 4. Acceptance of equipment at delivery will be based upon the County s interpretation of the requested bid specifications. 5. The County of Harnett has the right to reject any and/all bids received, or to select the bid which, in our opinion, is in the best overall interest of the County based on the lowest responsible bidder or bidders, taking into consideration quality, performance and the time specified in the proposals for the performance of the contract. FAILURE TO FOLLOW ALL INSTRUCTIONS INCLUDED IN THE BID PACKET MAY RESULT IN REJECTION OF BID. 6. This Invitation to Bid and all proposal responses are considered public information, except for trade secrets specifically identified in writing by the Bidder, which will be handled according to State Statute or other laws. Any section of the Bidder s response package that is deemed to be a trade secret by the Bidder shall be submitted in a separate envelope clearly marked TRADE SECRET INFORMATION-DO NOT DISCLOSE. 7. Equipment must meet all minimum specifications and be the kind and type specified, or an approved equivalent. Price quoted must be on the basis of delivery to the Harnett County Solid Waste Facility, State Road 1724, Daniels Road, Erwin, N.C Quoted price should not include any sales taxes, but should only reflect the actual bid price of the equipment. The sales tax should be quoted as a separate line item on the Request for Proposal Form.

5 GENERAL TERMS AND CONDITIONS 1. Sealed Bids, subject to the Instructions and General Conditions of this bid listed below and any special conditions set forth herein, will be received at the Harnett County Finance Department, 102 East Front Street, Lillington, N.C until 10:30 a.m., November 22, 2005 (as shown on the official clock in the Harnett County Finance Department) on the bid opening date for a tractor and pull type scraper shown on the attached bid form. Bids shall include all charges for delivery to the location designated in the bid package. 2. Bidders must (a) use the bid form provided herein when submitting bids; (b) return the Invitation for Bids and the Bid Form: and (c) give unit price, applicable itemized sales tax, extended totals, and sign the bid. Put the bid in an envelope and identify on the face of the envelope your bid by number, articles, and date of opening. Faxed bids will not be accepted. 3. Identify the item you will furnish by brand, manufacturer s name, and model number(s). Also furnish specifications and descriptive literature and/or brochures on item(s) bid. By submitting this required information, vendor warrants that the equipment will perform in accordance with its noted performance specifications, as well as with the performance criteria and representation indicated in any or all documentation which describes said equipment. 4. Whenever products or materials of any particular producer or manufacturer are mentioned in our specifications, such product or material mentioned is intended to be descriptive of quality and not restrictive to those mentioned. 5. Prices must be stated in units of quantity specified and must be firm. Prices must include all freight/delivery charges to the location designated in the bid package, and risk of loss shall be borne by successful bidder until final acceptance of equipment by County. Bidder shall calculate that portion of the price which is subject to the seven percent (7%) North Carolina sales and/or use tax, which amount shall be itemized and shown on proposal on a separate line. 6. Bidder shall indemnify and hold harmless the County for any loss, cost, or expense incurred by, levied upon or billed to the County as a result of successful bidder s failure to pay any tax type due in connection with this agreement. The County of Harnett is exempt from paying Federal Excise Tax. 7. The delivery date(s) shall be stated in definite terms, as delivery is one of the factors considered when making the award. The County desires the earliest reasonable delivery time but requests a maximum of ninety (90) days from date of award. Failure to deliver by the date promised or failure to comply with the specifications may disqualify bidder from future bidding.

6 8. The County of Harnett reserves the right to cancel all or any part of orders if delivery is not made as represented on the bid. In case of delay, the successful bidder must notify the Director of Solid Waste as soon as the delay is discovered. 9. In case of default by the successful bidder, the County of Harnett will procure from other sources and hold the successful bidder responsible for any excess cost(s). 10. The laws of North Carolina shall govern this bid. 11. Bids will be analyzed and the award made to the lowest, responsive and responsible bidder(s) whose bid conforms to the specifications and/or whose bid is considered to be the best value in the opinion of the County. The County reserves the right 1) to reject any or all bids and any part of a bid; 2) to waive informalities, technical defects, and minor irregularities in bids received; and 3) to award the bids on the basis of individual items or groups of items or the entire list of items. The signed bid shall be considered an offer on part of the Bidder; such offer shall be deemed accepted upon the issuance by the County of a Purchase Order. 12. The Bidder shall not discriminate against any individuals based upon age, sex, race, or religion and shall abide by the requirements contained in Federal Executive Order Number 11246, as amended, including specifically the provisions of the equal opportunity clause. 13. The Bid submission shall be accompanied by a notarized affidavit of noncollusion, executed by the Bidder or in the case of a corporation, by a duly authorized representative of said corporation. The Non-Collusion Oath is provided herein. 14. The County of Harnett reserves the right to require a list of users of the exact equipment offered. The County of Harnett may contact these users to determine acceptability of the quote. Such information may be considered in the evaluation of the quote. 15. Pursuant to General Statute and Executive Order #150, the County of Harnett invites and encourages participation in the procurement process by businesses owned by minorities, women, disabled, disabled business enterprises and non-profit work centers for the blind and severely disabled. 16. The Bidder shall hold and save the County, its officers, agents, and employees, harmless from liability of any kind, including all claims and losses accruing or resulting to any other person, firm, or corporation furnishing or supplying work, services, materials, or supplies in connection with the performance of this contract, and from any and all claims and losses accruing or resulting to any person, firm, or corporation that may be injured or damaged by the Bidder in the

7 performance of this contract and that are attributable to the negligence or intentionally tortuous acts of the Bidder provided that the Bidder is notified in writing within 30 days that the County has knowledge of such claims. The Bidder represents and warrants that it shall make no claim of any kind or nature against the County s agents who are involved in the delivery or processing of Bidder goods to the County. The representation and warranty in the preceding sentence shall survive the termination or expiration of this contract. 17. The Bidder warrants to the County that all equipment furnished will be new, of good material and workmanship, and agrees to replace any items which fail to comply with the specifications by reason of defective material or workmanship under normal use, free of County s negligence or accident, for the duration of the initial warranty period, which shall be a minimum of 12 months from date the equipment is put into operation, or any extended warranty period. Such replacement shall include transportation costs free of any charge to the County. This statement is not intended to limit any additional coverage, which may normally be associated with a product. Any item offered or shipped in response to this proposal shall be the same model indicated by its external label and source of manufacture. All component parts inside the system must be manufacturer approved. Any exceptions to this requirement must be made to the County prior to delivery and such goods or materials shall be considered non-conforming goods subject to rejection until written notice of acceptance is provided by the County. The items offered must represent the labeled manufacturer s products and specifications and be subject to the warranty provisions provided in the RFP. Any substitutions, alterations or modifications, internal or external, must be noted and described in detail. The County reserves the right to request an inspection by a representative of the manufacturer whose label appears on the item to verify its authenticity. 18. Prices quoted herein shall remain firm for a period of sixty (60) days from time of bid opening.
