7 Bidders may contact Ed Venini (617) or (617) if they have any questions. One opportunity to inspect the vehicle(s) will occur during the site visit. All markings, MBTA or otherwise, must be removed before the contractor removes the item(s) from the property. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, THERE ARE NO WARRANTIES, EXPRESSED OR IMPLIED, BY OPERATION OF LAW OR OTHERWISE. THE AUTHORITY SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. The Authority makes no guarantee, warranty or representation, expressed or implied, as to the condition of the vehicles. Upon transfer, the purchaser shall be solely responsible for any and all liability associated with the vehicles, and will indemnify and hold harmless the Authority from any and all claims against the Authority, arising from their use. All Vehicles are to be removed within ten days after notification by the MBTA, weather and logistics permitting. Vehicles may be removed Monday through Friday, excepting holidays, between the hours of 7:00 a.m. and 3:30 p.m. The Authority will not allow any vehicles to be removed, from its property, until full payment has been received at the Procurement and Logistics Department, 10 Park Plaza, Room 2810, Boston, MA Bids must be valid for a minimum of sixty (60) days from the bid opening date. It shall be understood that any bid submitted to the MBTA is made without collusion with any other bidder submitting a bid on the same item(s), and is in all respects fair and without fraud. All bids must be accompanied by a bid deposit in the form of a certified, treasurer s or cashier s check payable to the MBTA in the amount of ten percent (10%) of the total amount of the bid. Payment in the form of a certified, treasurer s or cashier s check payable to the MBTA of the balance of the purchase price, as accepted by the Authority, must be received within ten (10) days from the date of acceptance and prior to removal. If after acceptance, the bidder fails to pay the balance of the purchase price, or otherwise fails to perform any of its obligations, he/she will thereby lose all right, title and interest in the vehicle(s) and the Authority may retain the bid deposit for the delay and expense caused by the failure. If the purchaser fails to remove vehicles within the specified time, the Authority may charge the purchaser storage costs, at the rate of $15.00 per vehicle per day. Page: (7)

8 REQUIREMENTS FOR REMOVAL OF MBTA ARMORED VEHICLES 1. Bidder must include proposed work schedule to remove Vehicles from MBTA property including work start and end dates, and that flaggers are required to enable safe work activity. 2. 9 The MBTA may re-sell vehicle should the amount of storage costs equals the sale value. The purchaser shall be solely responsible for all injuries to persons or damage to property occurring on account of, or in connection with any work performed hereunder on the premises of the MBTA and shall indemnify and save harmless the Authority from and against liability, loss and expense (including, but not limited to, loss and expense because of liability for the payment of Workmen s Compensation and the workmen s Compensation Law of the State of Massachusetts) arising out of such injuries (including death) to persons (including, but not limited to, employees of the Authority and employees of the purchaser)or damage to property (including, but not limited to, property of the Authority) occurring on account of, or in connection with, any work performed hereunder on the premises of the MBTA irrespective of the actual cause of the accident and irrespective of whether it shall have been due to negligence of the purchase or negligence of the Authority, their respective agents, servants or employees. The liability of the purchaser under this contract is absolute and is not dependent upon any question of negligence on the part of the purchaser, or on the part of the Authority, or their respective agents, employees, servants or contractors. The purchaser agrees to indemnify the Authority from any and all liability; loss or damage the Authority may suffer as a result of claims, demands, costs or judgments against it by third parties arising out of the contract. The purchaser is required to furnish labor that can work in harmony with all other elements of labor employed or to be employed at the work sites. It is the responsibility of each bidder to insure compliance with the Massachusetts Conflict of Interest Law, M.G.L., C.268A. No Board Member, officer or employee of the MBTA, officer or employee of any independent authority or political subdivision of the Commonwealth of Massachusetts, officer, employee or elected official of the Commonwealth of Massachusetts, executive or legislative of any city, county, or town within the cities and towns serviced by the MBTA during his/her tenure shall have any interest, direct or indirect, in any contract issued pursuant hereto or to any benefit arising there from. No member or delegate to the Congress of the United States shall be admitted to any share or part of any contract or to any benefit arising there from. The right is reserved to waive any and all informalities and to reject any or all bids, wholly or in part. No officer or agent of the Authority is authorized to waive this reservation.
