2 This MEMORANDUM of UNDERSTANDING (hereinafter MoU ) is made on the... day of between: 1. The UNIVERSITY OF NORTHAMPTON, The United Kingdom of Great Britain and Northern Ireland, together with its assignees and successors, and 2. CHUKAUNIVERSITY, an institution for university education, established under The Universities Act No. 42 of 2012, P. O. Box , Chuka, Kenya, together with its assignees and successors. The provisions recorded below establish the principles and conditions by which the University of Northampton and Chuka University agree to cooperate in academic exchanges, programme development and research. Such a cooperative agreement will be realised as established in the following articles: ARTICLE I: LEGAL FRAMEWORK OF BOTH UNIVERSITIES Both the Vice-Chancellor of the University of Northampton and the Vice- Chancellor of Chuka University may, in accordance with their respective laws and rules, initiate agreements to enhance international goodwill and understanding and to further contribute to the achievement of their mutual goals and objectives. ARTICLE II: THE UNIVERSITY OF NORTHAMPTON AND CHUKA UNIVERSITY MUTUAL INTERESTS AND OBJECTIVES By reason of their very essence as universities, the University of Northampton and Chuka University share interests and objectives in academic exchange and scientific research matters. Both institutions are interested in establishing academic co-operation MoU with institutions of a similar nature to assist in the achievement of their goals and objectives in such matters. 3 ARTICLE III: PURPOSE OF THE AGREEMENT The University of Northampton and Chuka University jointly agree to subscribe to a cooperative Memorandum of Understanding to promote some or all of the following activities between both universities: (a) (b) (c) (d) (e) (f) Exchange of teaching and research personnel. Exchange of students. Exchange of books and literature for teaching and research purposes. Co-operative development of courses and academic programmes. Development of joint scientific, technological research projects/proposals. Any other activity of mutual interest regarding academic, scientific and technological research matters. ARTICLE IV: EXECUTION OF THE AGREEMENT The specific activities to be carried out under this MoU will be stated in corresponding specific sub-agreements. The sub-agreement will be signed by the Vice-Chancellors of the University of Northampton and Chuka University and witnessed by the relevant Schools of both Universities. Such specific subagreements, once signed by the two parties, will be attached as annexes to this Memorandum of Understanding. ARTICLE V: SPECIFIC SUB-AGREEMENTS The specific agreements between both Universities will specify their objectives, conditions and methods of execution, financial support, term of validity, and administrative responsibility within each University. 4 ARTICLE VI: TERM AND TERMINATION This MoU will be effective on the day, month and year first herein above written, and it will be in effect for a period of five (5) years. The MoU can be renewed for additional five (5) year periods by mutual consent of the parties to the MoU. Both parties reserve the right to terminate this MoU upon written notice given three (3) months prior to the termination date becoming effective. The termination will be subject to the terms of applicable specific sub-agreement. ARTICLE VII: ADMINISTRATION OF THE MOU The parties agree that (i) In the University of Northampton, the School of Science and Technology will spearhead the administration of this MOU, while in Chuka University it will be under the Faculty of Agriculture and Environmental Studies. (ii) Contact persons for management of the MOU will be as follows: the Dean of the School of Science and Technology for the University of Northampton, and the Head of the Department of Environmental Studies and Resources Development for Chuka University. (iii) The role of the contact person will be (a) Coordination of project activities (b) Compilation of both quarterly and annual reports (c) Co-ordination of activities in both institutions for joint project identification and sourcing for funds. (d) Advising of the parties chief executives (or their appointed representatives) through written reports on the progress of the collaboration or on any need to amend or review the same. (e) Any other relevant activity to this collaboration Page 4 of 6

5 ARTICLE VIII: INDEMNITY (a) Each party shall be solely responsible for payment of any and all claims for loss, personal injury, death, property damage, or otherwise, arising out of any act or omission of its employees or agents in connection with the performance of this MOU. (b) Each party agrees to indemnify the party against, and hold it harmless from, any claim for damages, demand for performance or any other matter or thing arising out of any act or omission of such party, its employees or agents with respect to this MOU. ARTILCE IX: DISPUTE RESOLUTION In the event of any dispute arising between the parties touching on any provision of this MOU, the parties shall use their best endeavours in good faith to resolve it. ARTICLEX: FORCE MAJEURE (a) For the purposes of this Agreement, a Force Majeure event shall mean any circumstance beyond the reasonable control of the party affected thereby. (b) No party shall be liable to the other for any delay or non-performance of its obligations under this MOU arising from any cause beyond its reasonable control, unless conclusive evidence to the contrary is provided. (c) The party claiming the Force Majeure event shall promptly notify the other party in writing of the reasons for the delay or stoppage, and the likely duration of such delay or stoppage, and shall take all reasonable steps to overcome the delay or stoppage. 6 (d) Neither of the parties shall be entitled to relief under this clause in any circumstances where it has caused or substantially contributed to any delay or failure in the performance of its obligations by any default on its part In witness whereof, the parties have executed this Memorandum of Understanding on the day, month and year first herein above written.
