1 henceforth Guelph, represented henceforth Ca Foscari, represented Memorandum of Understanding Between Universita Ca Foscari Venezia, by the Rector, Prof. Michele Bugliesi, located in Venice, Italy, Dorsoduro 3246 and the University of Guelph by the Provost, Dr. Charlotte Yates, and the Associate Vice President Academic, Dr Serge Desmarais, located in Guelph, ON, Canada (hereinafter named THE PARTIES) The Parties agree to establish the following Memorandum of Understanding (hereinafter referred to as MOU) considering: - the importance of establishing cultural and scientific relations in orderto achieve their and institutional promote aims international understanding - the areas of common interest and similar academic goals in teaching and research the interest in enhancing educational opportunities for their students, faculty and administrativestaff Article 1 The Parties agree to exchange information on their respective academic programmes and research activities, for the purpose of facilitating some, or all, of the following: 1. Student Mobility - exchange of students; - study abroad programmes and summer schools; - language training; - internships. 3. Knowledge Transfer - exchange of publications and other academic materials; - exchange of academic staff for teaching; - conferences and seminars; - exchange of administrativestaff. 4. Research Collaboration - exchange of faculty members, graduate students and postdoctoral fellows; - development of collaborative research; - joint research programmes; - collaborative scholarly publications. Other cooperation opportunities can be jointly agreed upon by the Parties in the future. Article 2 For the implementation of each programme or activity among those outlined above, the Parties hereby agree to draw up a separate agreement and to implement the programme or activity within the framework of the rules and regulations of both Parties, and subject to availability of funds and resources of each.

3 Exchange identification Exchange Agreement between Université Ca Foscari Venezia and the University of Guelph UniversitaCa Foscari Venezia, henceforth Ca Foscari, represented Universityof Guelph, henceforth Guelph, represented in Venice, Italy, Dorsoduro3246 and by the Rector, Prof. MicheleBugliesi, located by the Provost, Dr. Charlotte Yates, and the Associate Vice President Academic, Dr Serge Desmarais, located in Guelph, ON, Canada (hereinafter named THE PARTIES) in regard to the objectives of the Memorandumof Understandingsigned by the Parties, agree to engage in a student, academic and administrativestaff exchange programme as follows. Definitions Home lnstitution shall mean the party from which the Exchange students have come. Host Institution shall mean the party which has agreed to receive the Exchange students. Article 1 of the Parties and value of preambles The identificationof the Parties and the preambles are relevant for the proper interpretation of the provisions. 5 Responsibility Responsibility Article 5 Learning Agreement Upon completion of exchange term, the Host institutionshall transmit to the Home Institutionan official Transcript of Records or grade report. The study activities completed at the host institutionwillbe then recognized by the Home Institution,in accordance with the applicable procedures of the Home institution. Article 6 The Parties willprovide of the Parties towards exchange students Exchange Students with informationand assistance concerning accommodation and meals, academic courses, and any other information needed for the exchange. During the exchange period, exchange students shall enjoy the same services as any other student enrolled at the host institution, according to the rules and policies in force. Article 7 of Exchange students towards the Parties of the Exchange Student. Exchange Students will be responsible for applying for and obtaining the appropriate visa and immigration documents.the host institutionwill provide all necessary documents. Exchange Students willbe governed by the academic and disciplinaryregulations of the host institution,in addition to adhering to the host institution sstandards of conduct. Exchange Students shall bear the costs of the followingexpenses, 0 travel, accommodation and meals; including but not limited to: Students to purchase - Medicalinsurance and any other medical or associated expenses. Guelph requires incoming Exchange medical coverage through the UniversityHealth insurance P/an (UH/P); Ca Foscari requires incoming exchange students purchase accident insurance coverage; ~ textbooks and other teaching material to be used at the host institution; - passport, visa, stay permit and any other necessary immigration document. 6 Each programme supervisor will cooperate with the administrativeunits of his/her home University for the organization and scheduling of the exchange programme. Article 9 Insurance and liability Each Party will bear the costs for accident insurance and third-party liabilityfor their own personnel participatingin the exchange activities foreseen in this agreement. and students Article 10 - Force Majeure Agreement for its delay, failure or inabilityto meet any of its obligations under this Agreement (other than any obligation to pay money) caused by or arising from any cause which is unavoidable or beyond the reasonable control of such party, includingwar, warlike operations, riot, insurrection,orders of government, strikes, lockouts, public health emergencies, quarantines, disturbancesor any act of God or other cause which frustrates the performance of this Agreement. Article 11 Term and validity The present agreement shall be drawn up in English, with each of the copies being equally authentic. The present agreement willcome into effect upon signing and willbe valid for a period of five (5) years. At the end of this period, it can be renewed, by mutual written agreement of both Parties. The terminationof the agreement shall not affect any activity that is already in progress and formallyagreed upon. Each Party will be responsible according to the rules and regulations for any fiscal charge related to the execution of this SupplementaryAgreement, of each institution. Article 12 Withdrawal Article 13 Controversy resolution The Parties agree to settle amicably any dispute arising from or in connection with this agreement. in the event that the disagreement cannot be resolved, the Parties agree to submit the issue(s) to an arbitration panel composed by an arbitratorappointed by each party and one member chosen by mutual consent.

7 Article 14 - Use of Logos and Names 15.1 officers, agents or employees Ca Foscariagrees to indemnifyand hold harmless Guelph, its officers, agents and employees from any and all claims, demands, or actions, that may arise out of the negligent acts or omissions of Ca Foscari, its officers, agents or employees in the performance of this Agreement, unless such negligent acts or omissions are at the direction of or occasioned by Guelph, its officers, agents or employees. Article 16 - Privacy and ProtectionofPrivacy Act (Ontario) applies and agrees to cooperate with Guelph from time to time with respect to Guelph's compliance with that statute and any regulations passed thereunder.
