1 JACKSONVILLE BEACH COMMUNITY REDEVELOPMENT AGENCY SPECIFICATIONS FOR SIGN INSTALLATION AND REPAIR WORK REQUEST FOR UNIT PRICE QUOTATIONS The Jacksonville Beach Community Redevelopment Agency ( Agency ) is requesting unit price quotations for furnishing all labor, materials, and equipment for removing, repairing, refurbishing, and installing or reinstalling certain signs in the Downtown Community Redevelopment District. The work will include other sign work, including fabricating and installing new or replacement signs as needed; and putting up and taking down street light banners on a seasonal basis. In 2001, the Agency adopted a wayfinding sign system consisting of a family of signs. Sign types included gateway units; 1-, 2-, 3-, and 4-panel directional and informational units, locator units, large kiosk units, beach rules units, parking lot rules units, and event/attraction units that were originally manufactured by Guidance Pathways Systems, Inc. Copies of the specification sheets for these signs are in included in the full set of specifications for the work. Periodically, it is necessary to remove an existing sign to be refurbished and then be reinstalled, or a sign needs to be replaced due to theft or irreparable damage. The Agency is seeking an on-call vendor or vendors to assist in this removal, repair, installation, and/or replacement process, and other sign maintenance or repair services as needed on a unit price basis. The initial, non-exclusive agreement(s) will be for one year with the Agency retaining an option to renew the agreement for two additional one year periods. Each separate activity required by the Agency under the agreement will be requested via a work order. It is expected the unit prices quoted will remain constant for the full period, including the two option years. The Agency prefers to contract with a single firm capable of performing all of the required services, but will select multiple firms if necessary to ensure the best unit price for each of the tasks. A copy of the Form of Agreement is included in the packet for this Request for Unit Price Quotations. The response to the request for price quotes shall include unit prices as follows: o Labor per sign to remove, transport, and re-install the various signs by type. o Sandblasting to bare aluminum, and refinishing finials, base caps, and poles. Price quotation should specify pricing for 11-foot and 16-foot poles. Refinishing of poles to utilize DuPont Corlar 2.1-ST industrial grade high solids epoxy mastic primer on all aluminum surfaces (or equal) and DuPont Imron 3.5 SG semi-gloss polyurethane industrial grade high solids paint (or equal) on all primed surfaces. Color standard semi-gloss black. o Strip printed graphics from sign panels and refinish using DuPont Corlar 2.1-ST industrial grade high solids epoxy mastic primer on all aluminum surfaces (or equal) and DuPont Imron 3.5 SG semi-gloss polyurethane industrial grade high solids paint (or equal) on all primed surfaces. Color PMS #327 green. Apply a digitally printed and laminated sign graphic with text per CRA instructions to the sign panel. The graphic may applied to one-side or both sides of the sign; and the price quote should specify the cost per side for each of the Family of Sign types. Cast vinyl preferred with a life expectancy of 5-8 years. The selected vendor will be asked to research and advise the CRA staff on ways of mounting the sign panels to deter their unauthorized removal. 3 TASK #2 INSTALLATION OF WAYFINDING SIGNS FROM INVENTORY The CRA has a number of 2- and 3-panel informational/directional signs in storage at the Operations and Maintenance Facility at 1460 Shetter Avenue. Responders are requested to provide a unit price quotation to install these signs on existing poles are various locations where the existing sign has been removed without authorization. TASK #3 MANUFACTURE AND INSTALLATION OF NEW SIGNS Unit price quotes are requested for the preparation of shop drawings for the CRA s approval utilizing the general guidelines contained in the attached Family of Signs specification sheets followed by fabrication and installation of the new sign at a location to be determined by the CRA. The quote must include an out the door price to fabricate the sign, providing the necessary poles, adequate concrete footing, mounting hardware, obtain any required permits, and installing the new sign. Finishes used for new signs and poles must conform to the general specifications applicable to Task #1 Refurbishing Existing Wayfinding Signs. TASK #4 INSTALLATION OF AGENCY-OWNED STREETLIGHT BANNERS The City s streetlight banner program consists of X 60 decorative banners mounted on streetlight poles on 3 rd Street (SR A1A) between 2 nd Avenue South and 6 th Avenue North. The original 41 banners have been installed for the CRA by Beaches Energy Services. Vendors are requested to provide a unit price quote for removing and delivering for storage (at 1460 Shetter Avenue in Jacksonville Beach), the banners as necessary when extraordinary high wind conditions are predicted. In addition, the CRA has 31 Christmas Holiday banners. Thirty-one of the year-round banners are to be taken down and stored, and the 31 Holiday banners to be installed during the mid-november to New Year s timeframe, at which time the year-round banners are to re-mounted. The mounting of the banners will include securing the banners to the bracket mounts at the top and bottom with a 14 pull up cable lock seal [American Casting and Manufacturing Model #CL-99/14 ] to deter theft of the banner. These cable locks cannot be reused once they are removed, and will need to be replaced each time a banner is taken down and remounted. 9 SIGN MAINTENANCE AND REPAIR SERVICES AGREEMENT THIS NON-EXCLUSIVE AGREEMENT made and entered into this day of, 2011, by and between the CITY OF JACKSONVILLE BEACH COMMUNITY REDEVEL- OPMENT AGENCY, a dependent agency of a municipality organized and existing under the laws of the State of Florida, hereinafter called the AGENCY, and, whose address is, hereinafter called CONTRACTOR: WITNESSETH: The AGENCY and CONTRACTOR, in consideration of the mutual covenants hereinafter set forth, agree as follows: Article 1: Scope of Work CONTRACTOR shall complete all work as specified or indicated in the REQUEST FOR UNIT PRICE QUOTATIONS, including the Unit Prices quoted, and these CONTRACT DOCUMENTS. The Work is generally described as follows: SIGN INSTALLATION AND REPAIR WORK All Services shall be provided in accordance with the Specifications prepared by the City of Jacksonville Beach Community Redevelopment Agency (AGENCY), c/o Planning & Development Department, which requirements, scope of services, and unit prices are detailed in the Request for Unit Price Quotations. Article 2: Owner s Responsibility The AGENCY has the responsibilities set forth within this Agreement, to include the following: 2.1 Access to Wayfinding Sign Specifications and Other Sign Program Documents: The AGENCY shall provide the CONTRACTOR access to all records of the City of Jacksonville Beach or the AGENCY relevant to the work set forth in the Request for Unit Price Quotations. Article 3: Project Locations Public right of ways, primarily in the area bounded by 13 th Avenue South, North and South 3 rd Street, 9 th Avenue North, and the Atlantic Ocean, but my also include other right of ways or public property throughout the city. 10 Article 4: Terms of Agreement 4.1 This Agreement shall be effective from, 2011, and will continue in effect for one (1) calendar year. At the sole discretion of the Agency Administrator, the Agreement may be extended for up to two (2) additional one (1) year periods. 4.2 With the consent of the AGENCY and CONTRACTOR, in writing prior to the expiration date of the current Agreement, subject to the approval of the Agency Administrator, this Agreement may be extended for two (2) additional one year periods. Article 5: Payment to Contractor The CONTRACTOR agrees to provide services as described in the Request for Price Quotations and these CONTRACT DOCUMENTS and comply with the terms therein. 5.1 For Basic Services: The AGENCY shall pay CONTRACTOR for Contractual Services requested by written work order and performed or furnished under the Request for Unit Price Quotations. 5.2 Invoices Preparation of Invoices: Invoices will be prepared in accordance with CONTRAC- TOR S standard invoicing practices and will be submitted to the AGENCY by CON- TRACTOR, unless otherwise agreed. The amount billed in each invoice will be calculated as set forth herein. Invoices are to be issued by the 10 th of the month for services rendered in the previous month Disputed Invoices: In the event of a disputed or contested invoice, only that portion so contested may be withheld from payment, and the undisputed portion will be paid. All disputed invoices shall be resolved within twenty (20) days of original submittal. 5.3 Payment upon Termination: In the event of termination, CONTRACTOR will be entitled to be paid in accordance for all services performed or furnished through the effective date of termination. 5.4 Records of CONTRACTOR S Cost: Records of CONTRACTOR S cost pertinent to CON- TRACTOR S compensation under this Agreement shall be kept in accordance with generally accepted accounting practices. Upon the AGENCY S request, copies of such records will be made available by the CONTRACTOR to the AGENCY, at no cost to the AGENCY. Article 6: Standards of Performance CONTRACTOR and the AGENCY shall comply with applicable Laws, Regulations, and AGENCYmandated standards. This Agreement is based on these requirements as of its Effective Date and includes the Request for Unit Price Quotations. Changes to these requirements after the Effective Date Page 2 of 9

11 may be the basis for modifications to CONTRACTOR S scope of work, times of performance, or compensation. Article 7: Contractor as Independent Contractor It is expressly agreed and understood that the CONTRACTOR is, in all respects, an independent contractor as to the work and is in no respect an agent, servant, or employee of the AGENCY. This Agreement specifies the work to be done by the CONTRACTOR, but the method to be employed to accomplish the work shall be the responsibility of the CONTRACTOR. Article 8: Subcontracting CONTRACTOR may subcontract services to be performed hereunder with prior approval of the AGENCY. No such approval will be construed as making the AGENCY a party of or to such subcontract, or subjecting the AGENCY to liability of any kind to any subcontract. No subcontract shall, under any circumstances, relieve the CONTRACTOR of its liability and obligation under this Agreement; and despite any such subcontracting, the AGENCY shall deal through the CONTRAC- TOR, and subcontractors will be dealt with as workers and representatives of the CONTRACTOR. Article 9: Authorized Project Representatives Contemporaneous with the execution of this Agreement, CONTRACTOR and the AGENCY shall designate specific individuals to act as representatives with respect to the services to be performed or furnished by CONTRACTOR and responsibilities of the AGENCY under this Agreement. Such individuals shall have authority to transmit instructions, receive information, and render decisions relative to the work on behalf of each respective party. Article 10: Inspection of Work The CONTRACTOR shall furnish the AGENCY or the AGENCY S representative with every reasonable opportunity for determining whether or not the WORK is performed in accordance with the requirements of this Agreement. The AGENCY may appoint persons to inspect the CONTRAC- TOR S operations, equipment, and performance, and the CONTRACTOR shall permit these persons to make such inspections. Article 11: Right to Require Performance The failure of either the AGENCY or CONTRACTOR at any time to require performance by the other party of any provisions hereof shall in no way affect the right of the performing party thereafter to enforce the same. Nor shall waiver by such party of any breach of any provision hereof be taken or held to be a waiver of any succeeding breach of such provision or as a waiver of any provision itself. Article 12: Extraordinary Occurrences It is agreed that in no event shall the AGENCY or CONTRACTOR be liable or responsible to each Page 3 of 9

12 other or to other persons for damages resulting from deficiencies or delays in the work herein provided for, where such deficiencies or delays result from acts of God, fire, natural disaster, or any other cause not within reasonable control of the AGENCY or the CONTRACTOR. The CON- TRACTOR recognizes the essential nature of the services to be performed hereunder and will use its best efforts to discharge its functions despite such extraordinary occurrences. Article 13: Insurance 13.1 General Provisions Hold Harmless: The AGENCY shall be held harmless against all claims for bodily injury, disease, death, personal injury, and damage to property or loss of use resulting there from, to the extent caused by the CONTRACTOR, unless such claims are a result of the AGENCY S sole negligence Payment on Behalf of the AGENCY: The CONTRACTOR agrees to pay on behalf of the AGENCY, the AGENCY S legal defense, for all claims described herein. Such payment on behalf of the AGENCY shall be in addition to all other legal remedies available to the AGENCY and shall not be considered to be the AGENCY S exclusive remedy Loss Control/Safety: Precaution shall be exercised at all times by the CONTRAC- TOR for the protection of all persons, employees, and property. The CONTRACTOR shall comply with all laws, regulations and ordinances related to safety and health, shall make special efforts to detect hazardous conditions, and shall take prompt action where loss control and safety measures should reasonably be expected Proof of Carriage of Insurance & Naming AGENCY as Additional Insured The CONTRACTOR shall furnish the AGENCY with satisfactory proof of carriage of insurance required herein The CONTRACTOR shall name the AGENCY as additional insured on the CON- TRACTOR S, and any subconsultants or sub-contractor s Public Liability, Property Damage and Comprehensive Automobile Liability Insurance Policies. The additional insured shall be provided the same coverage as the primary insured for losses arising from work performed by the CONTRACTOR or its sub-consultant s or subcontractor s. The proof of carriage or a copy of all policies shall be required prior to commencement of any work under this Contract The AGENCY agrees to maintain appropriate property insurance and does hereby waive all rights (and, to the extent required, shall require its insurers to waive all right of subrogation) against CONTRACTOR for claims covered under any insurance which the AGENCY may carry. 13 13.3 Insurance Requirements: Basic Coverages Required: During the term of this Contract, the CONTRACTOR shall procure and maintain the following-described insurance and/or self-insurance except for coverage s specifically waived by the AGENCY. All policies and insurers must be acceptable to the AGENCY These insurance requirements shall not limit the liability of the CONTRACTOR. The AGENCY does not represent these types of amounts of insurance to be sufficient or adequate to protect the CONTRACTOR S interests or liabilities, but are merely minimums. A. Workers Compensation Coverage is required. The CONTRACTOR shall purchase and maintain worker s compensation insurance for all workers compensation obligations imposed by state law with employers liability limits of at lease $100, each accident, $100, each employee, and $500, policy limit for disease. The CONTRACTOR shall also purchase any other coverage s required by law for the benefit of employees. B. General Liability Coverage is required. Commercial General Liability-Occurrence Form or Claims Made Form is required if Commercial General Liability coverage is provided. Coverage A shall include premises, operations, independent contractors, and property damage resulting from explosion, collapse, or underground (x,c,u) exposures. Coverage B shall include personal injury and is required. Coverage C, medical payments, is not required. If Comprehensive General Liability coverage is provided, it shall include at least: Bodily injury and property damage liability for premise, operations, products, completed operations, independent contractors, and property damage resulting from explosion, collapse, or underground (x,c,u) exposures. Broad Form Comprehensive General Liability coverage, or its equivalent, is required with at least broad form contractual liability covering this Contract, personal injury liability, and broad form property damage liability. Amounts: Bodily Injury: $1,000, Each Occurrence $1,000, Aggregate Property Damage: $1,000, Each Occurrence $1,000, Aggregate Page 5 of 9

14 C. Business Auto Liability Coverage is required. Business Auto Liability coverage shall include bodily injury and property damage arising out of ownership, maintenance, or use of any vehicle, including owned, nonowned, hired, vehicle, and employee non-ownership use. Amounts: Same as General Liability Umbrella Liability insurance is preferred, but an Excess Liability equivalent may be allowed. Whichever type of coverage is provided, it shall not be more restrictive than the underlying insurance policy coverage s. D. Tail Coverage is required. If any of the required liability insurance is provided on a claims made form, tail coverage will be required at the completion of this Contract for a duration of 60 months. Continuous claims made coverage will be acceptable in lieu of tail coverage, provided that the retroactive date is on or before the effective date of this Contract. If continuous claim made coverage is used, CONTRACTOR shall be required to keep the coverage in effect for a period of not less than 36 months following the completion of the Contract Certificates Of Insurance: Required insurance shall be documented in Certificates of Insurance which provide that the AGENCY shall be notified at least thirty (30) calendar days in advance of cancellation, nonrenewal, or adverse change. New Certificates of Insurance are to be provided to the AGENCY at least fifteen (15) calendar days prior to coverage renewals. If requested by the AGENCY, the Contractor shall furnish complete copies of the CON- TRACTOR S insurance policies, forms, and endorsements. For Commercial General Liability coverage, the CONTRACTOR shall at the option of the AGENCY, provide an indication of the amount of claims, payments, or reserves chargeable to the aggregate amount of liability coverage. NOTE: Any sub-contractors approved by the AGENCY shall be required to provide proof of insurance identical in amounts as required by the contact to perform related services. All coverages shall name the AGENCY as additional insured. Receipt of certificates or other documents of insurance or policies or copies of policies by the AGENCY, or by any of its representatives, which indicate less coverage than required will not constitute a waiver of the successful proposer(s) obligation to fulfill the insurance requirements herein. 15 Article 14: Termination The obligation to provide further services under this Agreement may be terminated: 14.1 For cause. By either the AGENCY or CONTRACTOR upon 30 days written notice in the event of substantial failure by the other party to perform in accordance with the terms hereof through no fault of the terminating party For convenience. By the AGENCY, effective upon the receipt of notice by the CONTRAC- TOR. The AGENCY'S performance and obligation to pay under this Agreement is contingent upon an annual appropriation by the AGENCY and approved by the Jacksonville Beach City Council. Article 15: Indemnification To the fullest extent permitted by law, the CONTRACTOR shall indemnify and hold harmless the AGENCY, the AGENCY S officers, directors, partners, and employees from and against any and all costs, losses, and damages (including but not limited to all fees and charges of engineers, architects, attorneys and other professionals, and all court or arbitration or other dispute resolution costs) caused by negligent acts or omissions of the CONTRACTOR or CONTRACTOR S officers, directors, partners, employees, or subcontractors, in the performance and furnishing of the CONTRAC- TOR S services under this Agreement. Article 16: Notices Any notice required under this Agreement will be in writing, addressed to the appropriate party at its address on the signature page and given personally, or by registered or certified mail postage prepaid, or by a commercial courier service. Notices shall be deemed to be given on the earlier of either its delivery or the expiration of five (5) business days after it is deposited in the mail in the manner described above. Article 17: Survival All express representations, indemnifications, or limitations of liability included in this Agreement will survive its completion or termination for any reason. Article 18: Severability Any provision or part of the Agreement held to be void or unenforceable under any Laws or Regulations shall be deemed stricken, and all remaining provisions shall continue to be valid and binding upon the AGENCY and the CONTRACTOR, who agree that the Agreement shall be reformed to replace such stricken provision or part thereof with a valid and enforceable provision that comes as close as possible to expressing the intention of the stricken provision. 16 Article 19: Waiver Non-enforcement of any provision by either party shall not constitute a waiver of that provision, nor shall it affect the enforceability of that provision or of the remainder of this Agreement. Article 20: Headings The headings used in this Agreement are for general reference only and do not have special significance. Article 21: Contract Documents The Contract Documents which comprise the entire Agreement between the AGENCY and the CONTRACTOR consist of the following, which are made a part thereof: 1. Contract Agreement 2. Request for Unit Price Quotations 3. Unit Price Quotation Form 4. Contractor s current certificate(s) of insurance. 5. Addendum numbers through, inclusive. 6. Change Orders, Field Orders or written amendments duly delivered after execution of Agreement. All applicable provisions of State and Federal Law and any modification, thereof, and State of Florida Contract Provisions. There are no Contract Documents other than those listed above in this Article 21. The Contract Documents may only be altered, amended, or repealed in accordance with the Terms and Conditions. Article 22: Governing Law This agreement shall be governed by the laws of the State of Florida. Both parties agree that the courts of the State of Florida shall have jurisdiction of any claim arising in connection with this Agreement. In the event of litigation arising out of this Agreement, the prevailing party shall be entitled to the award of attorney s fees and costs at both the trial and appellate level. Page 8 of 9
