2 REQUEST FOR QUALIFICATIONS for Engineer of Record; Professional Engineering Services for the Town of Belleair, Florida I. Introduction Prospective Consultant: The Town of Belleair is issuing this Request for Qualifications (RFQ) for Engineer of Record; professional engineering and associated technical services to the Town of Belleair. The Town of Belleair is situated directly south of downtown Clearwater along the western coast of mainland Pinellas County. Belleair is primarily a residential community consisting of approximately 1,300 single-family homes. There are also several townhomes, condominiums, a golf club, a country club, and a small hotel that is nearing completion. There are some commercial properties within town limits, however the town is predominantly residential. There is roughly 22 miles of roadway in the Town of Belleair, the vast majority of which is publicly owned and the maintenance responsibility belongs solely to the town. The town has its own full-service Water Department that pumps water from town wells to its water treatment plant, then after water has been treated it is distributed to customers in the town, as well as a limited number of residences in its neighboring community, Belleair Bluffs. The wastewater treatment and distribution system is owned and managed by Pinellas County Utilities. In addition to the Water Treatment Plant the town has three other buildings: a recently renovated Town Hall, the Dimmitt Community Center, and the John. J. Osborne Public Works Building. There are also many parks in the town as well as athletic fields that serve as recreational amenities to the general public. As a coastal community there are seawalls and several bridges throughout the town. There are emerging needs that the town expects to face in the next five years. These include: 1) Stabilization and erosion control of the receding bluff, which is located directly west of Bayview Drive along Hallett Park; 2) Restoration and management of Belleair Creek which collects and conveys water in town; 3) Maintenance and rebuilding of bridge infrastructure; 4) Maintenance, management and restoration of seawalls; 5) Water quality improvement to mitigate the effects of high chloride levels; 6) Roadway, drainage and water utility improvements along Ponce de Leon Blvd; 7) Other roadway, drainage and water utility improvements throughout town. 2 of 16

General Terms Qualifications and all correspondence relating to this RFQ shall be submitted in a sealed envelope or other enclosure marked Qualifications for Engineer of Record; Professional Engineering Services mailed or delivered to: ATTN: Procurement Officer Town of Belleair 901 Ponce de Leon Blvd Belleair, FL Consultants requiring additional information or clarification relative to the RFQ shall direct inquiries to Keith Bodeker, Construction Project Supervisor at bids@townofbelleair.net. All questions shall be in writing and received no later than 10 business days prior to the opening date so that the questions and answers may be shared with all firms wishing to submit Qualifications. In an effort to be fair to all firms, individual meetings will not be granted to firms wishing to propose for these services. Qualifications must be received no later than 2:00 p.m. on Thursday May 31, Qualifications received after that date and time, or not in accordance with the requirements set forth in this Request for Qualifications, will not be accepted or considered by the Town. The Town will not reimburse recipients of the RFQ for the cost incurred in preparing the RFQ response or any oral presentation. The Town reserves the right to reject any and all RFQ response either in its entirety or in parts, received as a result of the RFQ. The Town reserves the right to award a contract(s) to the consultant(s) as the Town deems in its best interest. The Town reserves the right to modify this RFQ at any time up to 5 business days prior to the opening date by sending notice of such modifications to all interested parties who have contacted the Construction Project Supervisor wishing to submit a proposal and/or by posting a notice of these modifications on the Town of Belleair web site The Town reserves the right, at its sole option, to reject any or all RFQ responses, to waive any irregularities in the RFQ responses or the procedures, to elect for any reason not to enter into a contract for services, and to seek new RFQ responses if the Town determines such a procedure is in its best interests. The Town also reserves the right to request additional information and/or clarifications from any consultants responding to this RFQ. Any award of contract(s) by the Town for professional engineering services would be for a three (3) year period with the Town reserving the option to extend such contract(s) for an additional three (3) year period, or portions thereof, if the Town determines that extending the contract(s) would be in its best interest. After the initial contract period the town may provide a notice of intent to cancel any of the contracts signed pursuant to this RFQ process 60 or more days prior to contract expiration. If the town does not provide notice of intent to cancel, the contract(s) will automatically extend for an additional 12-month period, unless a separate contract extension was signed by both parties for the upcoming 12-month period or beyond. A successful contract award by the Town does not necessarily guarantee any amount of engineering services as the Town intends to use the selected consultant on an as needed basis. 3 of 16

4 The Consultant shall submit Five (5) hard copies of the Proposal and One (1) electronic (PDF) format. Consultants are informed that, once delivered to the Town, consultant s RFQ response are considered public information and, as such, are available for public review as provided in the Freedom of Information Act (Act 442 of 1976, as amended). Written notice should be included with the proposal if there is any intent to take exception to any requirement of this RFQ. Once submitted, consultant s Qualifications may not be withdrawn. Any RFQ response or proposal submitted shall constitute an irrevocable offer for a period of ninety days, to provide the services set forth in the proposal. The Scope of Work, Schedule, Insurance, Content of Proposal, Short Listing/Oral Presentation, Evaluation Criteria, and Qualifications Questions sections, in regards to the RFQ, are listed herein. III. SCOPE OF WORK General Overview This RFQ seeks general professional and technical engineering services including civil design, construction inspection, project administration for the following disciplines; general civil/stormwater engineering, traffic engineering, geotechnical engineering, water/wastewater engineering, pavement management, architectural services, etc. The types of professional and technical services that the Town is seeking may be specific to a discipline or any combination of these tasks. Additionally, the consulting duties may be project specific or general in nature. These services will be provided on an as needed basis as determined by the Town Manager. Prior to beginning any project, the Town will review the scope of work, including the proposed schedule with the Consultants and the Consultants will then provide the Town with a "not to exceed" amount for that project. The professional engineering services that the Town is seeking are anticipated to fall within the following disciplines: A. Design Engineering; B. Construction Engineering / Inspection C. Project Administration; D. General Civil/Stormwater engineering (plan review, cost estimating, surveying, mapping, project conceptualization, etc.) ; E. Traffic Engineering; F. Water/Wastewater Engineering; G. Geotechnical Engineering services; Pavement Management, as further described in this RFQ. As a part of these phases, the Consultant will collect, review, and verify existing information as well as other information provided to the Consultant by the Town of Belleair, such as, but not limited to, surveys, utility plans, topographical maps, right-of-way maps, record drawings, preliminary conceptual plans/drawings, other plans/drawings and available soils investigations; and be responsible for appropriately utilizing any such information in connection with services performed. Additionally, stormwater/soil erosion control measures, as required for the proper design and construction of the project and enforcement of such measures during the construction and inspection phase the enforcement of such measures, shall be part of the Consultant's responsibility in providing professional services for a project. 4 of 16

5 A. Design Phase Services These services will consist of competent professional and technical engineering services required to prepare construction drawings, specifications, and bid documents for a project(s) or other research and/or study activity, together with a detailed estimate of the construction costs. These duties shall include the generation or acquisition of field surveys, underwater surveys, materials testing, geotechnical and soils investigations, underwater investigations, investigations for contaminated soils and other pertinent information if required for the proper design of a project. These necessary tasks shall be provided by or obtained by the Consultant as a part of the responsibility to provide professional engineering services for any project. The design services shall be consistent with sound engineering practices and shall meet all applicable codes, regulations, grant or funding requirements and appropriate standards. These services may include administration of the bidding process including bidder prequalification, plan disbursement, processing and preparation of addendums, participation in bid opening, analysis of bids, and bid award recommendations as directed by the Town Manager or designee. All design engineering will be in a current version Auto CAD. Specifications shall be prepared using the Town's current format for word processing (Microsoft Word). All drawings shall be prepared on 22" x 34" sheets and at a 1" 40 scale, unless otherwise approved by the Town Manager or designee. All plans, original drawings, electronic files, specifications, reports, photographs, and other documents relative to a project which the Consultant prepares or causes to be prepared in connection with services performed shall be delivered to and become the property of the Town. Also, all sketches, charts, and other data prepared by the Consultant shall be available to the Town upon request. The Consultant shall be responsible for the preparation of any required permit applications, including any necessary drawings and supporting information and shall assist the Town in obtaining the permits. At each phase of the design, The Consultant shall provide two (2) 22 X 34 sets of plans for review and mark up. Consultant shall provide the following 100% plan packages: sign/sealed drawings of one (1) 22 X 34 set of plans; one (1) 11 X 17 set of plans; one (1) AutoCAD set of plans; one (1) PDF format set of plans. B. Construction and Inspection Phase Services These services will consist of competent professional construction and inspection services to adequately assure that the work has been completed in compliance with the approved construction drawings and specifications. The construction and inspection services shall be consistent with sound engineering practices and shall include, but not necessarily be limited to, construction administration, inspection services and shop drawings review and approval processes. Field surveys, materials testing, geotechnical and soil investigations, subaqueous investigations, investigations for contaminated soils, and other pertinent information if required for the proper construction of a project shall be provided or obtained by the Consultant as part of the responsibility of providing professional services for a project. Under this phase, the Consultant shall consult with and advise the Town on all aspects of the project and act as the Town's professional representative for the project, and perform the duties as the project engineer under the direction of the Town Manager or designee. 5 of 16

6 The Consultant shall review/approve advise and consult with the Town regarding shop drawings, change orders, guarantees, pay estimates, and other related matters. Under this phase, the Consultant shall provide to the Town record drawings and computer digital data of the complete "as built" construction work no later than (3) months after the completion of the Project, and in some cases greater expediency may be required in conformance with scheduled deliverables in cooperatively funded projects. Also, in accordance with sound engineering practices, the Consultant shall certify to the Town that the construction work was completed according to the plans and specifications, and that the completed Project is acceptable for its intended purposes. That acceptance shall be in the form of a final project report and certification prepared by a professional engineer licensed in the State of Florida. C. Project Administration When working on a specific project, the consultant will act on behalf of the Town, as an agent of that municipality, in providing all administration for the project. This administration shall include all the items listed in parts A & B above. During the Design Engineering phase this may include, but not limited to, coordinating the advertising of a project for bidding, attending bid openings, tabulating bid tabs, and recommending an acceptable bidder in compliance with all applicable laws, regulations and rules, including without limitation the Town purchasing policy. During the construction engineering / inspection phase of a project administration may include, but is not limited to, conducting preconstruction meetings, holding progress meetings, preparing meeting notes and progress reports, updating progress on web sites, preparing pay estimates, and coordinating all parts of the project on behalf of the Town Manager. D. General Civil/Stormwater Engineering General Civil/Stormwater Engineering services shall include a variety of engineering & technical duties. These duties may vary from simple technical tasks supporting staff to participating in the design of large projects. These duties may also include working closely with the Construction Project Supervisor to conceptualize and analyze future public improvements in the form of Pre- Design Engineering. General Civil/Stormwater Engineering may also be understood to include the potential to provide other technical services such as landscape design, architectural services, environmental analysis as well as any other support services that may aid the Construction Project Supervisor in performing the duties of the Public Works Department as well as providing support to other City departments. The duties listed in General Civil/Stormwater will generally fall outside of the category of Construction & Inspection Phase Services as those duties will generally be performed on a project by project basis and under individual contract. E. Traffic Engineering All traffic related work including but not limited to traffic calming analysis, data collection traffic calming design and safety measures. Any consultant with qualified staff of Traffic Engineers will highlight that ability as part of their proposal. For the purposes of this Request for Qualifications, a qualified Traffic Engineer shall be licensed within the State of Florida, have 10 years of professional experience. 6 of 16

7 F. Water/Wastewater Engineering All water related engineering including but not limited to master planning, management consulting, water supply facilities, transmission and distribution systems, treatability studies, instrumentation and control systems and treatment facilities. G. Geotechnical Engineering These duties may be project specific in providing soil borings, reviewing pavement design, etc. They may also involve general civil support services such as reviewing developer reports, density and material testing on privately funded public projects, aiding in public works road maintenance, or providing general technical advice on soils and materials issues, as directed by the Town Manager or designee. Most engineer firms are not equipped to provide these types of services and as a result, we rely on specialized geotechnical engineers to work as consultants on projects in order to provide those services. Any consultant with qualified staff of Geotechnical Engineers and their appropriate support staff will highlight that ability as part of their proposal. H. Pavement Management Provide turnkey solutions in road infrastructure condition evaluation and pavement management. Assess conditions in order to prioritize our needs and establish technically justified and cost effective maintenance and rehabilitation programs. Evaluate the current pavement condition and predict future behavior in order to perform life-cycle cost analysis and determine the most effective maintenance and rehabilitation alternative aiming at maintaining or increasing the assets service life. Establish policies, priorities, schedules and budgets thus defining the development and implementation of an effective and sustainable pavement management solution. Provide custom tailored GIS solution allowing the production of a wide variety of reports. I. Geographic Information Systems Services (GIS) Providing expertise and services in the subject of Geographic Information Systems (GIS), including needs assessment, CAD to GIS Conversion, training of town staff, base mapping, and other similar work. The town currently uses ArcGIS Desktop and ArcGIS Online. J. Grant Administration Provide project management services related to administering grants, which may include publication of reports, coordination with cooperative partners, compilation and reporting of expense information, and other administrative tasks. K. General Engineering Consultation / Peer Review / Quality Assurance Review The town may request that your engineering firm provide general engineering consultation, as well as secondary review of plans or other deliverables rendered by another firm in connection 7 of 16

8 with any of the services above in the effort of verifying the constructability of plans or the accuracy of reports and other information. IV. SPECIFIC PROVISIONS A. SCHEDULE The Town will identify a proposed schedule(s) and scope of work based on the work to be performed when requesting support or services associated with a specific project. B. INSURANCE The Consultant shall acquire, continuously maintain during the period in which the Consultant is performing services pursuant to a contract, and provide the Construction Project Supervisor with acceptable proof of the types and amounts of insurance coverage as noted in Exhibit "A". A minimum of thirty (30) days notice to the Town prior to cancellation of, or material change in, any such insurance shall be noted on each certificate. C. PROHIBITION AGAINST CONTINGENT FEES In submitting a response to the Request for Qualifications all prospective consultants acknowledge a prohibition against contingent fees in any professional service agreements with the town. As required by F.S The architect (or registered surveyor and mapper or professional engineer, as applicable) warrants that he or she has not employed or retained any company or person, other than a bona fide employee working solely for the architect (or registered surveyor and mapper, or professional engineer, as applicable) to solicit or secure this agreement and that he or she has not paid or agreed to pay any person, company, corporation, individual, or firm, other than a bona fide employee working solely for the architect (or registered surveyor and mapper or professional engineer, as applicable) any fee, commission, percentage, gift, or other consideration contingent upon or resulting from the award or making of this agreement. For the breach or violation of this provision, the agency shall have the right to terminate the agreement without liability and, at its discretion, to deduct from the contract price, or otherwise recover, the full amount of such fee, commission, percentage, gift, or consideration. D. CONVICTED VENDORS NOTICE A person or affiliate who has been placed on the convicted vendor list following a conviction for a public entity crime may not submit a proposal on a contract to provide any goods or services to a public entity, may not submit a proposal on a contract with a public entity for the construction or repair of a public building or public work, may not submit proposals on leases of real property to a public entity, may not be awarded or perform work as a contractor, supplier, subcontractor, or consultant under a contract with any public entity, and may not transact business with any public entity in excess of the threshold amount provided in Section , Florida Statutes, for CATEGORY TWO for a period of 36 months from the date of being placed on the convicted vendor list. 8 of 16

9 The Town of Belleair does not award publicly funded contracts to those who knowingly employ unauthorized alien workers. The Town shall consider this a violation of Section 274A(e) of the Immigration and Nationality Act. Such violation shall be cause for unilateral cancellation of this contract. As required by Section , Florida Statutes (2000) [Chapter , Section 6, Laws of Florida], an entity or affiliate which has been placed on the discriminatory vendor list may not submit a bid or proposal on a contract to provide any goods or services to a public entity, may not submit a bid or proposal on a contract with a public entity for the construction or repair of a public building or public work, may not submit bids on leases of real property to a public entity, may not be awarded or perform work as a contractor, supplier, subcontractor, or consultant under contract with any public entity, and may not transact business with any public entity. E. POINT OF CONTACT AND DECISION AUTHORITY In submitting a response to the Request for Qualifications all prospective consultants acknowledge that the Town Manager is the sole authority to approve proposals for professional services of the nature described in this RFQ, as well as the sole authority to approve project plans and project plan modifications. The Town Manager may assign approval permissions to other staff members by providing the consultant a written delegation of authority. Duly authorized representative(s) of the town may periodically provide written instruction to its consultants for certain project elements to be added or removed. In such cases deviation from those written instructions may only occur if: a. The instruction is, in the judgment of the engineer, not in the best interests of the town, in which case the consultant will promptly notify a duly authorized staff member and the reason(s) b. The instruction cannot be reasonably fulfilled, in which case the consultant will promptly notify a duly authorized staff member and the reason(s) c. The instruction is modified or removed through express written consent of a duly authorized staff member. V. CONTENT OF PROPOSAL Firm Identification. Complete the attached Questionnaire - Exhibit B. Statement of Understanding. State your understanding of the scope of services presented in the RFQ and your role in accomplishing the scope of services. VI. SHORT LISTING/ORAL PRESENTATION After a review of the written Qualifications, the firms will be "short listed". The "short listed" firms may be invited to make oral presentations of their Qualifications. The intent of the oral presentation is to provide the Consultant an opportunity to clarify the proposal and assure a mutual understanding. The Town Manager will assemble a small review team to review the Qualifications, hear "short list" oral presentations, and make a recommendation to the Town 9 of 16

10 Commission on which firm(s) should be selected. After confirmation by the Town Commission, the successful consultant will have 30 days to work with the Town Attorney, and the Town Manager to create a mutually agreeable 3-year contract for these professional services. That contract will then be forwarded to the Town Commission for formal adoption. VII. EVALUATION CRITERIA The criteria, which will be considered in the evaluation of the firm Qualifications, shall include, but not necessarily be limited to, the following: A. Avoidance of personal and organizational conflicts of interest. B. Past record of performance in the provision of similar services, including such factors as a control of cost, quality of work, and ability to meet schedules. C. Project organization and management, including staffing, management control and subcontractor utilization. D. Qualifications and utilization of the firm's employees assigned to the provision of these services, including previous work experience, technical management experience, education and training. In addition to project specific experience, the Town will take into account any consultant experience in providing general municipal services in a support capacity (to other various government agencies). E. Firm s expertise and experience in each or all of the disciplines outlined in the RFQ F. Geographical location in relation to the Town of Belleair. G. Familiarity and experience with the City of Clearwater Engineering Department, City of Largo Engineering Department, Pinellas County Engineering Department, Florida Department of Environmental Protection, Southwest Florida Water Management District and Florida Department of Transportation. H. Firm s certification as a minority business enterprise I. Listing of current project workload and known future projects for the firm 10 of 16

Questions by the Town to prospective consultants and their accompanying answers may be exempt from disclosure pursuant to F.S if an exemption is requested in writing at the time that the question is submitted. 11 of 16

12 EXHIBIT A INSURANCE REQUIREMENTS The Engineer shall, at its sole expense, acquire and continuously maintain during the period in which the Engineer is performing services and provide the Town with acceptable proof of the following types and amounts of insurance coverage: Statutory Workers Compensation Insurance meeting Florida statutory requirements and employer s liability with minimum limits of $100,000 for each accident or disease for each employee, and $500,000 policy limit for disease. Comprehensive General Liability Insurance Written in a comprehensive occurrence form and shall protect consultant and the Town against all claims for personal and bodily injuries to members of the public, damage to Town premises and equipment, property of others, and products and completed operations arising from any act or omission of consultant, its officers, employees, agents, and representatives with separate limits of not less than $500,000 per occurrence coverage against bodily injury and $500,000 per occurrence coverage against property damage, or with a combined single limit against both bodily injury and property damage of not less than $1,000,000 per occurrence. Comprehensive Owned and Non-Owned Automobile Liability Insurance The liability limits shall not be less than: $500, per person/$1,000, per accident bodily injury; and $500, per occurrence property damage; or A combined single limit of $1,000,000 per occurrence. Professional Liability Insurance Coverage with an annual aggregate of not less than $1,000,000 and per occurrence coverage of not less than $1,000,000 covering acts, errors, or omissions of a professional nature committed or alleged to have been committed by the consultant or any of its subcontractors as a part of its performance of professional engineering services. Coverage shall remain effective for a period of three years after the date of final payment for services, and shall include all prior acts related to the engineering project. General Insurance Requirements 1) Certificates of insurance evidencing that the Engineer has secured all of the foregoing insurance must be provided to the Town. All certificates shall list any policy exclusions which are non-standard within the industry. The Town may require consultant to file with the Town 12 of 16

13 certified copies of the insurance policies required hereunder. A minimum of thirty (30) days notice to the Town prior to the cancellation of, or change in, or expiration of any such insurance shall be endorsed on each policy and noted on each certificate. 2) Except with respect to workers compensation and professional liability insurance, each insurance policy required herein shall name the "Town of Belleair, a municipal corporation of the state of Florida and all associated, affiliated and subsidiary entities of Town, now existing or hereafter created, and their respective officers, boards, commissions, councils, employees, agents and consultants, as their respective interests may appear" as additional insureds (herein referred to as the "Additional Insureds") providing coverage for the Additional Insureds to the same extent as provided to consultant. Each policy which is to be endorsed to add Additional Insureds hereunder, shall contain cross-liability wording, substantially as follows: "In the event of a claim being made hereunder by one insured for which another insured is or may be liable, then this policy shall cover such insured against whom a claim is or may be made in the same manner as if separate policies had been issued to each insured hereunder." In addition, each insurance policy shall include a severability of interest endorsement covering all named insureds individually and collectively. (3) All insurance shall be effected under valid and enforceable policies, insured by insurers licensed to do business by the state of Florida. (4) As between Town and/or Additional Insureds and consultant, if more than one policy of insurance does or may apply to a given claim or matter, then the policy maintained by consultant shall be deemed the primary policy, and that policy shall contain a provision that states that it is the primary policy as opposed to any other policy of insurance that may apply to Town and/or Additional Insureds on any given claim or matter. 13 of 16
