Gallagher has been working in close partnership with the Australian sports industry for over thirty years developing insurance and risk protection programs that identify and address the risks associated with sport. We are delighted to work in partnership with Football Federation Australia to provide a program designed to improve all aspects of a football member s physical, legal and financial safety. The handbook provides: 1. An outline of the insurance covers provided. 2. Explanation of the procedures to make a claim. 3. Information on other important matters in regard to the insurance program The insurance program was developed to provide insurance protection to those participants associated with Football Federation Australia who incur financial loss or liability exposure through an incident whilst participating in football activities. The program seeks to provide insurance benefits to those exposed to these risks as efficiently and cost effectively as possible. 4 Sport Insurance Program Handbook 2015/16 Football Federation Australia Limited Section 1 - Insurance Program 1.1 Sports Injury - Group Personal Accident Insurance Period of insurance: 30th June 2015 at 4pm Local Standard Time to 30th June 2016 at 4pm Local Standard Time Insured Persons: Category 1 Category 2 Category 3 Category 4 Category 5 Category 6 Hyundai A-League Players National Team Players - who are not contracted with a Hyundai A-League Club National Youth League Players Westfield W-League Players All other insured person s (non-playing) including but not limited to team officials, coaches, trainers, managers, administrators, voluntary workers, selectors, medical officers, physiotherapists, match officials (referees and other match officials), ball boys, ambulance officers, and all directors, officers, employees, executive officers, office bearers, members and committees of the insured All trial players with any of the above Leagues in categories 1, 3 and 4 (benefits will be as per the category of insured person for the relevant league of the lub for whom they are trialling with). When is cover provided? Insured persons are covered when: a. Engaging/playing in official club matches/activities including championship, club, country or other State representative matches/activities (including A-League All Stars fixtures; Asian Champions League; Exhibition matches; National Premier Leagues and FFA Cup); b. Engaging in training or practice for activities as described in (a) above; c. Travelling directly between the matches/activities in (a) or (b) above, and the insured person s residence or place of employment or the premises of the insured; d. Staying away from the insured person s home district during a tour for the purpose of participating in representative and/or club matches/activities; e. Engaging in administrative or organised social or promotional activities of the insured; f. Participating in trials with an oversea club which has been sanctioned or approved by the Player s current A-League club, until such time the player is registered by the overseas club on loan or full transfer. Payable for 104 weeks maximum following Bodily injury, other than for Player s 35 years of age or over at the date of injury whereby the maximum benefit period is 52 weeks. 2. To be paid as per the annual contract amount, divided by 52 (weeks), win/draw and appearance bonuses to be averaged out for the period of incapacity. Nonplaying football duties income, divided by 52 (weeks). 3. No allowance is made for sign on fee. 4. Weekly payments are to continue beyond the expiration of the annual contract up to a maximum of 104 weeks inclusive of the weeks paid during the contract period. The player will be paid directly (rather than by the club) after the contract expiration period unless a new contract is signed with an A-League Club. Weekly payments will continue on the same level as the contract at the time of the bodily injury, that is if the player signs a higher contract the weekly benefits will not be increased to the new contract. The weekly payments will stop once the player is declared fit to resume normal training and/or playing duties. Page 5

6 Sport Insurance Program Handbook 2015/16 Football Federation Australia Limited Additional Benefits Student Tutorial Costs Where a benefit is payable under the policy and where the insured person requires home tuition by a qualified tutor to replace existing tutorage outside the home, when certified by a Doctor the Insurer will pay 80% of all actual reasonably incurred charges for the cost of a tutor to a maximum weekly benefit of $500. The benefit period is limited to a maximum of 26 weeks. An excess period of 7 days applies. Non Medicare Medical Benefit If during the insurance period and within twelve (12) months of the date of injury the insured person incurs medical expenses, upon production of actual receipts, the Insurer will pay a benefit up to $10,000 in the aggregate per any insurance period. An excess of $50 applies per claim. The benefits do not include: payment for any health services which within the meaning of the Commonwealth Private Health Insurance Act 2007 or the Private Health Insurance (Health Insurance Business) Rules 2009 would constitute the carrying on of health insurance business. This includes the gap between any Medicare or Private Health Insurance rebate and the actual expense incurred. any expense which is claimable against Medicare or any private health insurance fund. Medical Expenses Incurred Overseas/Medical Evacuation for all Competitions In the event medical expenses and or medical evacuation expenses are incurred by an insured person whilst overseas participating in competition the policy will pay a maximum benefit of $100,000 per insured person. An excess of $500 applies. Kidnapping In the event an insured person be kidnapped whilst covered by the policy, the insurer will pay 10% of the Permanent Total Disablement as listing in the schedule of benefits. Domestic Help Expenses Benefit Where a benefit is payable under the policy and where the insured person requires domestic assistance as certified by his or her treating doctor, the Insurer will pay 80% of all actual and reasonable expenses for the services of a recognised and licensed provider of domestic home help services as applicable to the insured person up to a maximum weekly benefit of $1,000. The benefit period is limited to a maximum of 26 weeks. An excess period of seven (7) days applies. For the purposes of this benefit, domestic assistance means the usual and normal duties undertaken by the insured person as a homemaker, sole provider for dependent children such as child-minding, cleaning, cooking, school pick up and drop offs. Funeral Benefit If during the insurance period an insured person suffers accidental death, the Insurer will pay all reasonably incurred funeral charges. The maximum amount they will pay is $10,000. Parents Inconvenience Allowance It is hereby noted and agreed if an insured person under 20 (twenty) years of age and wholly dependent on his/her parents for maintenance and support is hospitalised as a result of an injury, the Insurer will pay the insured $25.00 (twenty five dollars) per day. Benefit period 104 weeks other than players 35 years or older whereby maximum benefit period is 52 weeks Geographical Limits Worldwide Law & Jurisdiction This Insurance shall be governed by and construed in accordance with the laws of Australia and the exclusive jurisdiction of the courts of Australia. 7 1.2 Career Ending Injury Insurance (Hyundai A-League Players) Period of insurance 30th June 2015 at 4pm Local Standard Time to 30th June 2016 at 4pm Local Standard Time Insured Persons: Category 1 Scope of Cover: Category 1 Sums Insured: Covered Events Covered Event 1 Covered Event 2 Lump Sum Benefits All contracted players of the Football Federation Australia Limited being part of the Hyundai A-League competition (including Marquee players) 24 hours per day, 365 days per year Accidental Death Maximum Sum Insured $500,000 Permanent Total Disablement Maximum Sum Insured $500,000 Category 1 To a maximum of $500,000 Aggregate Limit of Liability Covered Event(s) $5,000,000 Further endorsements attaching to the policy: 1. It is hereby noted and agreed that Permanent Total Disablement means Total Disablement which has lasted for at least 12 consecutive calendar months from the date of first diagnosis and which is certified by a doctor to entirely prevent the insured Person from ever again participating in his occupation as a professional football player or being no longer able to secure fulltime employment as a footballer at an annual wage of at least the prevailing minimum remuneration payable in the Hyundai A-League. 2. Lump sum benefit - Event 2 is payable in respect of Accident and Sickness. 3. There is no benefit payable in the event of death of an insured person if caused by sickness. 4. Contract Value means a player s remuneration and other entitlements payable to the player under the FFA Standard Player Contract and other entitlements payable to the player as set out in any Additional Services Agreement as approved by FFA including win/ draw and appearance bonuses. All Official or Players as defined whilst undertaking activities in such capacity to the extent that they are not more specifically insured. Any Principal in respect of the liability of such Principal arising out of the performance by the Insured designated above, which is above any contract or agreement for the performance of work for such principal to the extent required by such agreement. Any incorporated or unincorporated association or organisation including their office bearers and members organised by the Insured or their employees with the consent of the Insured for the purpose of providing canteen, social, sports, welfare and or child care organisations or first aid, medical, fire or ambulance service. Business description: Principally the peak body for the promotion, development and control of the game of football in Australia, event promoter, training and accreditation of officials and players, provision of medical and other health practitioners, enforcement of football statutes, regulations and laws of the game including through judicial and disciplinary committees, transportation and accommodation co-ordination services, seller of sporting merchandise, property owner and occupier, landlord tenant, venue hirer, social and fund raising activities, owner of a football club and charitable foundation. Scope of cover: Legal liability to third parties in respect of bodily injury or property damage arising from the business of the Insured. Limit of Indemnity $20,000,000 Public Liability Any One Occurrence $20,000,000 Products Liability Any One Period of Insurance Sub limits $500,000 for any one Occurrence and in the aggregate in respect to Property in Physical or Legal Control of the Insured $20,000,000 any one Occurrence in respect of Advertising Liability $2,000,000 for any period of Insurance and in the aggregate in respect of sexual abuse/molestation. Retroactive date is 30/06/2012 $10,000,000 for any one Occurrence and in the aggregate in respect to Professional Liability. (Cover limited to employees including full time physiotherapist, officials, coaches and referees. 9 Geographical limits: Worldwide All trips to the USA and/or Canada are to be declared to Insurer Insurer: 100% Lloyd s Underwriters Endorsements AIDS/HIV exclusion This Policy does not cover liability in respect of Personal Injury or Property Damage arising out of or caused by or in connection with - 1. The human immune deficiency virus (HIV) or any mutation, derivation or variation thereof: 2. Any HIV related illness including but not limited to acquired immune deficiency syndrome (AIDS) or any mutation, derivation or variation thereof. Construction limitation This Policy does not cover Personal Injury or Property Damage arising out of or in any way connected with the construction, erection, alteration, demolition of and/or addition to buildings by or on behalf of the Insured. However, this exclusion shall not apply to the construction, erection, alteration, demolition of and/or addition to buildings by or on behalf of the Insured where the total value of such works does not exceed $100,000. Service providers vicarious endorsement This Policy does not cover liability in respect of Personal Injury or Property Damage arising out of or caused by or in connection with the Insured s service providers. A service provider means anyone engaged by the Insured to provide goods or perform a service. Service providers include but are not limited to security services, amusement operators, pyro technicians, entertainers, food vendors, stall holders, sound & lighting companies & Contracted Labour but does not include volunteers or the Insured s employees. However, this exclusion shall apply to the Insured s vicarious liability arising from an act, error or omission of service providers that have provided the Insured with proof of liability insurance. Professional Indemnity Endorsement Notice to the insured - The terms and conditions of this Endorsement provide that: 1. A Claim (as defined within this Endorsement) must be made against the Insured during the Period of Insurance for this Policy to apply; and 2. The Insured must immediately notify the Insurer in writing of such Claim(s). Such notification must be given to the Insurer during the Period of Insurance for this Policy to apply. If any circumstances or facts come to the attention of the Insured during the Period of Insurance which are likely to give rise to a Claim(s) being made against them or which the Insured should reasonably expect to give rise to a Claim(s) being made against them, the terms and conditions of this Endorsement provide an option as to whether or not to notify the Insurer. However, failure to notify may affect Policy indemnity, i.e. All or part of any subsequent Claim(s) may not be covered. Assuming the option to notify the Insurer is chosen such notification must be given in writing during the Period of Insurance for this Policy to apply. The time of the happening of the negligent act, error or omission which gives rise to a Claim(s) or a possible Claim(s), is not of relevance provided they occur after the Retroactive Date specified in the Schedule. Upon expiry of the Period of Insurance, no further Claim(s) can be made under this Policy and therefore the maintenance of insurance provided by this Endorsement is essential. Cover applicable to this endorsement - The Insurer, to the extent and in the manner hereinafter provided, hereby agrees to pay to or on behalf of the Insured up to the Limit of Liability as stated in the Schedule as applying to this Endorsement against all sums which the Insured shall become legally liable to pay as Compensation for Personal Injury and/or Property Damage as a result of a Claim or Claims first made against the Insured and reported to the Insurer during the Period of Insurance arising out of an act, error or omission committed or alleged to have been committed by or on behalf of the Insured in breach of the Insured s Professional Duty in connection with the Business. Limit of liability and excess applicable to this endorsement - The Insurer hereby agrees to pay all costs in the defence of a Claim for which indemnity is available under this Endorsement provided Page 9

10 Sport Insurance Program Handbook 2015/16 Football Federation Australia Limited that the total aggregate liability (including Supplementary Payments) shall not exceed the Limit of Liability specified in the Schedule as applying to this Endorsement notwithstanding the number of Claims made. The Excess shown in the Schedule as applying to this Endorsement shall be the amount first payable by the Insured in respect of any one Claim and shall be borne by and at the Insured s own risk. The Insurer s liability shall only be in excess of this amount. Exclusions applicable to this endorsement - This Endorsement does not cover liability: 1. Which is already excluded under the Policy. 2. Which is more specifically insured against in any other section of this Policy. 3. Arising out of acts, errors or omissions which occurred or allegedly occurred prior to the Retroactive Date specified in the Schedule. 4. Arising out of any facts or circumstances of which the Insured was aware of prior to the commencement of the Period of Insurance or which a reasonable person in the Insured s position would have considered may give rise to a Claim. 5. Assumed under contract or agreement unless such liability would have attached in the absence of such contract or agreement. 6. Arising from an Occurrence which is inevitable having regard to the circumstances and nature of the work undertaken. 7. Arising from or in connection with advice, consultancy, specification, supervision or other Professional Duty given or undertaken by the Insured not in relation to the Business 8. Arising out of conspiracy, conversion, deceit, inducement, breach of contract, injurious falsehood or fraudulent, criminal or malicious act or omission of the Insured. 9. Arising in North America or in respect of any Claims which would be subject to the jurisdiction of the Courts of North America. 10. Incurred by or caused by a Director or Officer of the Insured whilst acting within the scope of their duties in such capacity. Definitions applicable to this endorsement Claim or Claims means i. Any writ, statement of claim, summons, application or other originating legal or arbitral process, cross claim, counterclaim or third or similar party notice issue against or serviced upon the Insured or, ii. The receipt by the Insured of any written or verbal notice of demand for compensation made by a third party against them. Professional Duty means the duty owed in a professional capacity by employees, officials, coaches & referees. Conditions applicable to this endorsement 1. The Insured shall, as a condition precedent to their right to be indemnified under this Endorsement give to the Insurer as soon as practicable notice in writing during the Period of Insurance: iii. of any Claim(s) made against the Insured. iv. of the receipt of notice from any person of an intention to make a Claim against the Insured. 2. The Insured shall give to the Insurer, as soon as practicable, notice in writing during the 3. Period of Insurance of any circumstance of which they become aware during the Period of Insurance, likely to give rise to a Claim against them. If, during the Period of Insurance, the Insured becomes aware of any circumstances which might subsequently give rise to a Claim under this Endorsement and elect, during the Period of Insurance, to give written notice to the Insurer of such circumstances, then any such Claim which might subsequently arise out of such circumstances will be deemed to have been made during the Period of Insurance. 11 Specific endorsements All Clubs are to maintain their own liability Insurance in respect to non-game day activities. It is hereby noted and agreed that all declared doctors, physiotherapists and masseurs utilised by the various National Teams are to be appropriately qualified and carry their own insurance, unless specifically noted. It is hereby noted and agreed that strict protocols are in place in respect to what is and isn t allowed into venues. It is further agreed it is the responsibility of the venue operator and the contracted security to check for prohibited items being brought into the venues. Definitions agreed as per FFA Statutes: Official means a Club Official, Match Official or Team Official, an employee, officer or director of FFA or a Member Federation, a District Association or a Competition Administrator or a member of a standing committee or other council, committee, panel or body constituted by FFA, a Member Federation, a District Association or a Competition Administrator. Club Official means any person involved with the administration, management or organisation of a Club (whether paid or unpaid), including employees, officers and directors and representatives. Match Official means a referee, assistant referee, fourth official, match commissioner, referee, inspector, selector, any person in charge of safety or any other person appointed by FFA or a Competition Administrator to assume responsibility in connection with the Match. Team Official means any personnel involved with the management preparation or participation of a Clubs Team (whether paid or unpaid), including the coaches, managers, medical staff (including team or match day doctor), physiotherapist, gear persons and other support staff. Player means any person who is registered with FFA as a player in accordance with the National Registration Regulations from time to time or is selected as a member of a Representative Team. Personal Injury means: (a) bodily injury, death, sickness, disease, disability, shock, fright, mental anguish or mental injury; (b) false arrest, false imprisonment, malicious prosecution and humiliation; (c) libel, slander, defamation of character (other than Advertising Liability) (d) wrongful entry or wrongful eviction or other invasion of the right of private occupancy; (e) assault and battery not committed by or at the direction of the Insured unless committed for the purpose of preventing or eliminating danger to persons or property which occurs during the Policy Period. Territorial Limits Worldwide Memoranda attaching to and forming part of Policy: Participants Liability The insured is indemnified in respect of claims for Personal Injury or Property Damage brought by or in respect of a participant competing in and/or practising a covered activity. This Policy does not apply to claims brought by one participant against another participant for Personal Injury or Property Damage occurring whilst competing in and/or practicing a covered activity. For the purpose of this clause covered activity means the sport referred to in the Schedule and/or activity in the nature of the Business. Provided further that nothing contained herein shall be deemed to increase the limit of the Insurer s liability specified in the Schedule. All Memoranda are subject otherwise to the terms, conditions, limitations and exclusions of the Policy. Geographical Limits Law & Jurisdiction This Insurance shall be governed by and construed in accordance with the laws of Australia and New Zealand (in respect of the Wellington Phoenix) and the exclusive jurisdiction of Australia and New Zealand (in respect of the Wellington Phoenix). Subjectivities All persons working with minors having undergone satisfactory background checks. The insured is required to have a suitable child protection policy (procedures) in place. Insurer 100% Lloyd s Underwriters Professional Liability Endorsement: 1. Insuring clause By this endorsement the Insurer agrees to indemnify the Insured against liability to pay compensation or damages for personal injury and/or property damage arising from a claim first made against the Insured and notified to the Insurer during the Period of Insurance and resulting from breach of Professional Duty in connection with the Insured s business. 2. Definitions Professional Duty means: A duty owed in a professional capacity by the categories of professionals referred to in the Schedule. 3. Limit of liability The limit of the Insurer s liability in respect of any one claim and in respect of all Indemnities provided by this endorsement shall not exceed the limit of liability stated in the Schedule. The total aggregate liability of the Insurer during any one period of insurance for all claims shall not exceed the limit of liability stated in the Schedule. Worldwide excluding USA/Canada Page 15

Exclusions (in relation to this endorsement) The Insurer shall not indemnify the Insured in respect of any claim against the Insured: e. arising out of any legal liability of whatsoever nature directly or indirectly arising out of any breach of duty whether by way of act, error or omission within the territorial limited of the United States of America, its territories and possessions or the Dominion of Canada notwithstanding the Geographical limits of the Main Policy; f. arising out of claims and circumstances noted on the proposal form for the current period of cover or on any previous proposal form; g. for damages or compensation in respect of injury to any person or damage to property or advertising liability for which indemnity is provided under the Main Policy; i. made or threatened or in any way intimated to the Insured prior to the inception of this endorsement; ii. arising from any circumstance or circumstances of which the Insured had become aware prior to the endorsement inception and which a reasonable person in the Insured s position would at any time prior to endorsement inception have considered may give rise to a claim or claims against the Insured in respect of a liability covered under this endorsement; c. any claims arising out of an act, error or omission committed or alleged to have been committed by a director, trustee or officer of the Insured in the course of their duties in such capacity; d. as a result of the insolvency, bankruptcy or liquidation of the Insured; e. by reason of any negligent act, error or omission committed or alleged to have been committed prior to the retroactive date as stated in the Schedule; f. for provision of finance or advice in relation to financial matters; g. for costs guarantees or estimates of probable costs or cost estimates being exceeded; h. brought about or contributed to by the dishonest, fraudulent, criminal or malicious act or omission of the Insured (and/or any Insurer or entity which has a beneficial interest in the Insured) or their predecessors in business; i. subject to the Insurance Contracts Act 1984 (Cth) the Insurer shall not be liable in respect of any claim or claims for which the Insured is or would be entitled to indemnity under any other insurance required by law to be in effect or any other insurance, statutory fund or fidelity fund of any description. j. in respect of any claim made against the Insured which relates to any duty or obligation assumed by the Insured which is not assumed in the normal conduct of the Insured s business. k. arising out of any activities in which the Insured is engaged as a joint venture or as a partner unless such liability arises directly out of the negligent acts, errors or omissions of the Insured as defined in this endorsement. For the purpose of this exclusion joint venture means an enterprise carried on in common by the Insured with a third party or parties not being an Insured under this endorsement. 5. 21 Section 3 - Claims Procedures General Information The following basic rules will assist in the smooth and speedy settlement of all claims: Notify claim to the appropriate person/party as soon as possible. At no stage should liability be admitted. All summons/writs concerning insurance must be sent to Arthur J. Gallagher & Co (Aus) Limited. When a criminal act is involved or suspected, the police must be notified. Receive insurer s authorisation prior to repairing/ replacing damaged property or equipment, except in instances where there is potential for further loss or damage, whereupon immediate action should be taken. See below for more detailed instruction for specific claim types: -- Sports Injury -- Public Liability and Professional Indemnity -- Corporate Travel How to make a Sports Injury (Personal Accident) claim 1. Obtain a claim form from your Club, or Arthur J. Gallagher. 2. Complete the claim form in its entirety, all sections are mandatory. Attach all supporting documents (player contract, all medical reports, rehabilitation programs etc) prior to submission. 3. A claim form should be submitted within 30 days from the date of the injury. 4. All claims are submitted to Arthur J. Gallagher: sportingclaims@ajg.com.au or; postal: Attention: Sporting Claims GPO Box 1113 BRISBANE QLD 4001 Note All correspondence to go through Arthur J. Gallagher unless otherwise advised. Arthur J. Gallagher will liaise with your Insurer, and provide a monthly update to your nominated contact. Liability and Professional Indemnity Claims In the event that a demand is made upon a player, club or association claiming negligence resulting in personal injury, property damage or financial loss, refer all details immediately to Arthur J. Gallagher. It is a condition of your policy that you do not admit liability. This must be left to the insurance underwriter and their legal representatives to conclude. Any writ, summons, letters of demand, etc, must be forwarded to Arthur J. Gallagher immediately. You must assist the underwriter with their investigations and co-operate with any potential recovery actions. Corporate Travel Claims Notification As soon as reasonably possible advise Arthur J. Gallagher of any incident/loss. Acknowledgment Arthur J. Gallagher will respond with a claim form for completion and advise the following: -- the insurer s investigating/assessing requirements -- the supporting documentation required -- the repair/replacement procedure Records You must keep detailed accurate records of: -- items lost/stolen/damaged -- medical treatment and accounts -- action taken -- costs incurred Criminal Acts Any claim you know or suspect involves a criminal act must be reported to the police. Medicare is a Federal Government initiative that provides Australian residents with free or low-cost medical care. The Medicare Benefits Schedule (MBS) lists every treatment available through Medicare including each associated rebate (financial reimbursement available). What is the Medicare gap? The Medicare Benefits Schedule allocates a reimbursement amount for each Medicare item. Example: A consultation with a doctor at their consulting rooms = $16.95 Medicare Rebate (ref. p116 MBS April 2015) However, your doctor may charge you more than the MBS rebate amount. The difference between your doctor s invoice and the Medicare rebate is called the Medicare Gap Example: Your doctor charges $60.00 for your consultation; however the Medicare rebate is only $16.95 so your Medicare Gap is $ Please note, some doctors bulk bill which means they only receive payment as listed in the MBS. This means you are not charged any additional costs. You should speak to your doctor s office about bulk billing prior to your consultations. Why won t our Sport Injury insurance program cover the Medicare gap? The Health Insurance Act 1973 (Cth) strictly prohibits any general insurer from providing cover for any item listed on the MBS. This means that if you receive treatment for your injury and any of your treatments or consultations are listed on the MBS, your sport s Insurer is not allowed to reimburse you for those costs. This includes the Medicare Gap. If your invoice does not contain any Medicare Item Numbers, you may be eligible to claim reimbursement through the FFA Sport Injury Insurance Program. Will you pay my bills up front? All accounts must be paid and private health insurance claimed prior to sending them to Arthur J Gallagher. What are non-medicare medical expenses? Non-Medicare medical expenses are those medical expenses that are not subject to any full or partial Medicare rebate. Examples of expenses that are not claimable under this section include - Doctor s fees Surgeon and anaesthetists fees X-Ray costs Examples of expenses that are generally claimable under this section are - Private hospital accommodation fees and theatre costs Physiotherapy and chiropractic treatment (these expenses must be incurred on the advice of a registered doctor) Ambulance expenses Dental Orthotics, splints and prosthesis Where can I find more information? Medicare eligibility information Medicare Benefits Schedules and updates How do I know what is claimable by insurance? In most circumstances, you will receive a Tax Invoice from your medical provider that will identify the Medicare Item Number (MIN) for each consultation or treatment you have received. Arthur J. 23 Key Definitions Certain words used in the Sport Injury policy have special meanings, key definitions used in relation to Pre Existing Condition and Bodily Injury as follows: Pre Existing Condition What is the definition of Pre-Exisitng Condition under the Sport Injury program? Pre-Existing Condition means physical and/or psychological impairment, defect, infirmity or degenerative process which existed and was diagnosed during the five years immediately prior to the commencement of the Covered Person s initial Operative Period of Cover, and for which medical treatment was rendered, recommended or prescribed by a Health Care Practitioner, or in the event that it has not been so diagnosed, in the opinion of a Health Care Practitioner, the Covered Person could reasonably have been expected to be aware of its existence at the commencement of the Policy. Bodily Injury What is the definition of Bodily Injury condition under the Sport Injury program? Bodily Injury means a specific injury solely and directly caused by an Accident and is not the accumulation of a series of Accidents and/or traumas and is not contributed to or aggravated by any Pre-Existing Condition. Bodily Injury date means the earlier of: the date the Covered Person s Health Care Practitioner reasonably diagnoses as the most likely date of the Bodily Injury; the date Our Health Care Practitioner reasonably diagnoses as the most likely date of the Bodily Injury; the date the Covered Person first became aware of the Bodily Injury or a reasonable person in the circumstances would have been aware of the Bodily Injury; the date the Covered Person first received medical treatment for the Bodily Injury; and the date the Bodily Injury is first diagnosed by a Health Care Practitioner. Accident What is the definition of Accident under the Sport Injury Program ACCIDENT (AL) means a single, sudden and unexpected event, which occurs at an identifiable time and place during the Covered Person s Operative Period of Cover and which directly and independently causes BODILY INJURY or death. Players on Trial Are Trialists covered undert the Sports Injury? Triallists are covered under the Sports Injury policy; however benefits payable exclude Loss of Income. Overseas Cover The Sports Injury and Liability policies extend to cover insured players, coaches and officials whilst overseas on sanctioned activities. Liability cover for USA and/or Canada is subject to insurer acceptance. Under the Sports Injury policy in the event medical expenses and or medical evacuation expenses are incurred by an insured person whilst overseas participating in competition the policy will pay a maximum benefit of $100,000 per insured person. An excess of $500 applies. Also players are covered whilst participating in trials at an overseas club which has been sanctioned by the player s current A-League club, until such time the player is purchased by the overseas club on loan or full transfer. 24 Sport Insurance Program Handbook 2015/16 Football Federation Australia Limited Minimising Claims and Injuries Insurance is quite often one of the largest expenses for a sporting organisation. Premiums for sports insurance are largely based on claims experience. This means that if the number and amount of claims increase each year, it is most likely the premium will increase accordingly or cover will need to be reduced. The only way to avert premiums increasing each year is to contain or reduce the number of claims you have. But effective management of risk, involving avoiding unwanted surprises, minimising losses and maximising opportunities goes much further than controlled insurance premiums. It is critical to the ongoing development of any organisation. These include: 1. Ensure that people who handle claims for your organisation understand that the claims paid have a direct result on the premium your club pays. 2. Ensure all claims are genuine and that they are not pre-existing or occurred at activities other than whilst representing your organisation. 3. Keep an eye out for members who are obtaining a high amount of medical rehabilitation treatment. This idea of trying to minimise injuries is not only for the benefit of your insurance premiums, but more importantly, to reduce a potential loss to your member. Effective risk management requires a structured program that provides a systematic approach to managing risk, ensuring that the highest quality of football is delivered via best practice management. It addresses physical, financial, legal and political risk in areas such as safety, compliance, finance, program operation and image and reputation. It is an ongoing process subject to continual monitor and review. Arthur J. Gallagher is committed to working with Football Federation Australia and its affiliates to assist them in delivering football using best practices and will provide risk management resources in this regard. From the insurance aspect this includes providing regular claims and injury reports with the aim of identifying injury intervention strategies. This data is useful to you, but there are many other ways that your organisation can aid in reducing losses and help prevent injury. 25 Section 4 - Other Matters Certificates of Currency A Certificate of Currency is contained in the Appendix of this handbook and can be obtained by contacting Football Federation Australia or Arthur J. Gallagher. The Duty of Disclosure Before you enter into a contract of general insurance with an insurer, you have a duty under the Insurance Contracts Act 1984, to disclose to the insurer every matter that you know, or could reasonably be expected to know, is relevant to the insurer s decision whether to accept the risk of the insurance and, if so, on what terms. You have the same duty to disclose those matters to the insurer before you renew, extend or reinstate a contract of general insurance. Your duty, however, does not require disclosure of a matter: that diminishes the risk to be undertaken by the insurer; that is of common knowledge; that your insurer knows or, in the ordinary course of his business, ought to know; as to which compliance with your duty is waived by the insurer. Non-Disclosure If you fail to comply with your duty of disclosure, the insurer may be entitled to reduce his liability under the contract in respect of a claim or may cancel the contract. If your non-disclosure is fraudulent, the insurer may also have the option of avoiding the contract from its beginning. N.B The disclosure is especially important in matters relating to the physical risk, past claims, cancellations of insurance covers, the imposition of increased premiums etc. and any matters that might affect the acceptance of the risk (such as insolvency or criminal convictions). Your duty of disclosure must be taken seriously as it may affect your right to claim. Disclosure is not limited to matters applying to the insured named in the policy but includes other past businesses or private insurances. The Average Clause (under insurance) Many policies contain a Co-insurance (or average) provision whereby you may be required to bear a rateable proportion of the loss in the event that the sum insured is less than the value of the insured property at the commencement of the insurance. Sums insured should be such as to ensure you are not penalised by this provision. Hold Harmless Agreements You will prejudice your rights of a claim if, without prior agreement from your insurer, you make any agreement that may prevent the insurer from recovering the loss from a third party. These hold harmless clauses are often found in leases, in maintenance or supply contracts (e.g. from burglar alarm or fire protection installers), building or repair contracts and sales agreements. If you are in doubt consult us. This notification requirement applies to all Property insurances and also to Public Liability insurance. It has a special connotation in Products Liability where you must not without the insurer s agreement, indemnify or hold a supplier harmless. Insuring the Interest of Other Parties If you require the interest of any additional parties to be covered you MUST request this. Most policy conditions will exclude indemnity to other parties (e.g. mortgagees, lessors, principals etc.) unless their interest is properly noted on the policy. Utmost Good Faith Insurance contracts are subject to the doctrine of Utmost Good Faith and this is part of the Law. Both parties must strictly adhere to utmost Good Faith and if you fail to do so, you may prejudice any claim. Page 25

It is imperative you advise us of location changes, of new business activities, radical departure from your normal form of business or change in products as such have a tremendous bearing on the adequacy of your insurance program. Your insurers have assessed and accepted your risks on the basis of information given - any variation of those details could lead to an uninsured loss if they are not disclosed. For example, an insurer may well accept an engineering risk but no longer give cover if a woodworking activity is entered into. Where there are potential conflicts of interest in our remuneration arrangements or in our dealings with related parties, they are managed in accordance with our conflicts of interest policy which all staff and representatives must comply with. Our services AJGCo, AJGPL and AJG2 each hold an Australian Financial Services Licence which authorises the Licensee to deal in (including to issue and arrange for others to deal in), and provide personal and general advice concerning, general insurance products. We are committed to providing sound advice based on our market knowledge. How we provide our services to you Our relationship with you The services provided to you will be provided by one or more of AJGCo, AJGPL or AJG2. At the time of providing services to you we will let you know which broking entity you are dealing with and the Australian Financial Services Licence they are operating under. We are general insurance brokers. This means we normally act as your agent when dealing with insurers. In some circumstances we will act as an agent of the insurer. When this occurs we will clearly notify you that we are not acting as your agent. When we act as an agent of the insurer we may act under a binder agreement which may allow us to offer, vary or cancel policies and manage claims as if we were the insurer. When we act under a binder we cannot provide you with independent advice about the appropriate insurance cover for your needs - you must make your own decision about what cover is appropriate for you. When you do business with us, you will usually deal with our employees, however you may also deal with our Authorised Representatives. When you deal with an Authorised Representative, they will provide you with information about their business and their relationship with us. Each of our Authorised Representatives is authorised by us to issue this FSG on our behalf. Our advice When we provide you with services we may provide you with general advice or personal advice. If we provide you with general advice we will give a general recommendation or opinion about a product which is not based on a detailed consideration of your individual needs, objectives or financial situation. We will agree with you if we are providing you with personal advice and will explain what it covers. Our relationship with insurers We work closely with a range of insurers and underwriting agencies to arrange high quality benefits, competitive pricing and superior service levels for our clients. Wherever possible we will recommend that clients deal with insurers that are authorised under the Insurance Act 1973 (Cth) to carry on insurance business in Australia and are subject to oversight by the Australian Prudential Regulation Authority. We will warn you when we recommend an unauthorised foreign insurer. Please note that we do not guarantee the solvency of any insurer. How we can receive your instructions In order for us to act on your behalf you must provide us with instructions and other information about the services you require. You can give us instructions using the contact details in this FSG or in the relevant Authorised Representative Schedule. In some circumstances it may be necessary for you to give us instructions in writing. We will tell you when this is the case. Your Duty of Disclosure and when we rely on you We rely on you It is important you understand that we will rely on the accuracy and completeness of the information you provide to us. We do not independently verify the information you provide before sending it to the insurer. Keeping your information up to date Once your insurance cover has commenced, you should tell your broker about any changes to your circumstances when they occur. This will allow us to ensure your cover remains appropriate. Your duty of disclosure Before you enter into an insurance contract with an insurer, you have a duty under the Insurance Contracts Act 1984 to tell the insurer all information that is known to you or a reasonable person could be expected to know, is relevant to the insurer s decision to insure you and on what terms, having regard to the nature and extent of the insurance cover to be provided and the class of people who ordinarily apply for it. If you are applying for insurance in relation to your motor vehicle, home building and/or contents, residential strata, travel, personal accident or sickness and consumer credit products you must answer the specific questions on the application form truthfully and accurately. You must tell the insurer all information that s known to you and that a reasonable person would be expected to provide in answer to the questions. Non-disclosure If you fail to comply with your Duty of Disclosure, the insurer may cancel your contract or reduce the amount it will pay you if you make a claim, or both. If your failure to comply with the Duty of Disclosure is fraudulent, the insurer may refuse to pay a claim and treat the contract as if it never existed. People you represent You must make sure you explain the Duty of Disclosure to any person you represent when we arrange any insurance cover for you. Alternatively, you may ask any person you represent to contact us and we will explain their Duty of Disclosure to them directly. Contact your broker If you are unclear about your Duty of Disclosure or require more information about how to comply with your Duty of Disclosure, please refer to the information provided by the relevant insurer in relation to your Duty of Disclosure in the relevant PDS or policy wording. Alternatively, you can call your broker, your nearest branch or our Toll Free Client Inquiry Line, Our remuneration, including how we and our representatives are paid Commissions and professional fees Typically, we will charge you a professional broking fee and/or obtain a commission from the insurer based on the service we provide. Our professional fees will vary depending on the level of service we provide and whether we also receive a commission. The amount of commission varies depending on the market and the risk, but is generally calculated at a rate that is between 5% and 30% of the insurer s base premium (i.e. excluding government charges, taxes, fees or levies). Often an insurer will agree to pay us by allowing us to deduct the value of the commission from the premium paid by you before we pass the balance of the premium on to the insurer. We may also charge separate service fees to cover any related administration and processing costs. Our service fees vary depending on the costs associated with providing the services you require. Where applicable, our professional fees and service fees will be detailed on your invoice, and provided to you at the time you receive advice or as soon as practical after that time. Our remuneration is payable on the terms of our invoice and is considered fully earned at the time that we issue the invoice. If your insurance contract is cancelled or varied before the expiry of the period of insurance, you will be paid any refunded premium received from the insurer. We will retain all our commission, fees and other remuneration in full in the event of any early cancellation or variation of your insurance contract or downward adjustment of premium. We may charge an additional fee for processing your request to cancel or vary your insurance contract and you agree that this fee may be offset against any premium refund you are entitled to. How we remunerate our employees Our remuneration arrangements provide incentives to our brokers to ensure our clients receive practical and effective advice and service. Our employees receive a salary and may also receive a performance bonus based on both the value and quality of the work they do for our clients. In limited circumstances, some employees may also receive additional payments related to clients they have referred to a third party. From time to time, our employees may also be invited to an annual conference, receive sponsorship for conferences, functions, meals or other non-monetary benefits from external parties such as insurers, underwriting agencies or reinsurers. You do not bear the cost of sending our employees to these events and such relationships are managed under our conflicts of interest policy. How we remunerate our Authorised Representatives If your broker is an Authorised Representative, he or she is generally paid a retainer fee that may also be supplemented by an additional payment based on performance. Any additional payment will be calculated on the level of the retainer and will be between 5% and 50% of the commission we receive in respect of business originated by the Authorised Representative. Alternatively, the Authorised Representative may be paid a flat recurring fee. If an Authorised Representative provides you with personal advice, he or she will give you documents explaining how they are remunerated at the time the advice is provided or as soon as practical after that time. Remuneration arrangements within the Arthur J. Gallagher Group If your broker recommends a product or service of a company in the Arthur J. Gallagher Group or refers you to another company within the Gallagher Group, we may receive benefits as a result of the referral or the business you subsequently do with that company. The benefits include: If we refer you to AJGLS, we may receive a share of any commission generated by the referral and a share of AJGLS s overall profits. If we refer you to MPF, we may receive a commission of up to a maximum of 5% of any funding provided by MPF. We may also be entitled to a bonus paid as a percentage of the premiums funded and a share of MPF s profit. If we recommend a product offered by Pen or any other company within the Arthur J. Gallagher Group, the company may pay us an annual bonus based on premium growth and/or a payment based on the profitability of the products we recommend to you. These payments will be in addition to any commissions the company may pay us and any service or other fees we may charge you. Remuneration from other relationships We sometimes enter into specific arrangements with a limited number of insurers where we receive fees or other remuneration for the development of insurance solutions or the growth of various insurance portfolios. The remuneration we receive from these arrangements is variable and is determined by the profitability of the recommended insurance products. We will only recommend these products where they meet your needs and are in your best interests. We may also earn remuneration where we act as an agent for an insurer under a binder authority. The remuneration we receive from these arrangements is generally a mixture of a flat processing fee and variable performance fees and commissions. The performance fees and commissions are determined by the nature of the arrangement and, in the case of the performance fees, may be influenced by the profitability of the relevant portfolio. Some insurers give other benefits such as sponsorship of annual conferences, training and invitations to social business functions. These benefits may change from year to year. Occasionally, your broker may also receive small gifts and gratuities. It is our policy that gifts or gratuities may be accepted only if they are of an incidental nature. Referral fees paid to third parties If you were referred to us by a third party, we may pay the referrer a referral fee. This fee is calculated as a percentage of the commission earned from the referral and can be up to 50% of the commissions we receive. 45 Call us toll free on Visit our website ajg.com.au How detailed information about remuneration will be provided to you If your broker provides you with personal advice, they will give you documents explaining what fees, commissions, benefits, bonuses, payments to third parties or other remuneration will be paid or received in relation to their advice, if you accept it. This information will be provided at the time the advice is provided or as soon as practical after that time. Invoices We will invoice you for the premium (which may include our commission), relevant statutory charges (including GST) and any fee we charge you for arranging your insurance cover. You must pay us by the due date shown on the invoice. Once you have paid an invoice, we hold the premium you pay on trust for you until we pass it on to the insurer. If there is any delay between you paying an invoice and us passing your premium on to the insurer, we may retain any interest earned on the premium during that period. Where a premium remains unpaid, an insurer may have the right to cancel the policy and you may not be insured. The insurer may also charge a premium for the time on risk. If the premium remains unpaid, your broker may contact the insurer and the insurer may cancel your policy. Billing Check your invoice for payment options. Please note that a surcharge may be applied to payments made by credit card, and that surcharge may change from time to time. Your broker may be able to arrange for you to pay your premium in instalments. Instalment billing is not always available and there is usually a charge for this service. To discuss this option please contact your broker for details. Questions about invoices, fees, commissions and other remuneration If you have any questions, or if you want more information about how we or our Authorised Representatives are paid, please ask your broker or call your local branch. Your rights as our client, including privacy and your complaints and dispute resolution procedures Privacy We are committed to protecting your personal, including sensitive, information (together referred to as Personal Information). When we collect, hold, use, disclose, or otherwise handle your Personal Information we must comply with the Privacy Act 1988 (Cth), which includes the Australian Privacy Principles. We collect, hold, use or handle your Personal Information to perform our functions of providing, managing and administering the insurance broking and risk management services outlined in this FSG. Occasionally we may provide your Personal Information to overseas recipients to facilitate the services outlined in this FSG. Prior to disclosing your information to overseas recipients, we will, where required by law, take steps to ensure that the recipient does not breach the Australian Privacy Principles. Our Privacy Statement also contains information about how you may access, update and correct the Personal Information you have provided to us.
