BY ACCESSING OR PARTICIPATING IN THE BFGOODRICH EXTREME REWARDS PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS OF USE AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS OF USE, DO NOT PARTICIPATE IN THE BFGOODRICH EXTREME REWARDS PROGRAM. These Terms of Use apply to your access to, and participation in, the BFGoodrich Extreme Rewards Program ( Program") which is operated by Michelin North America Inc., or its respective subsidiaries, licensees and affiliated companies (collectively, Michelin") in Washington D.C., and the fifty (50) United States of America. These Terms of Use do not alter in any way the terms or conditions of any other agreement you may have with Michelin for other products and services. Michelin reserves the right to change, modify and/or eliminate the Program and/or all or any portion of these Terms of Use or any policy, FAQ, or guideline pertaining to the Program at any time and in its sole discretion. Any changes or modifications will be effective immediately upon posting the revisions to and you waive any right you may have to receive specific notice of such changes or modifications. Your participation in the Program confirms your acceptance of these Terms of Use and any such changes or modifications; therefore, you should review these Terms of Use and applicable policies and FAQs frequently to understand the terms and conditions that apply to the Program. If you do not agree to the Terms of Use, you must stop participating in the Program. The Program is a trade promotion offered and open only to legal residents of the fifty (50) United States the District of Columbia, or the U.S. Territories (Puerto Rico, Guam, and U.S. Virgin Islands ( United States ) who, at time of participant registration, (a) are eighteen (18) years of age or older; (b) own or are employed by a Michelin dealer within the SRA, RTR, AAD or WRAD channel with access to the Program; and (c) reside in the United States. Employees, officers and directors of Michelin, and those entities involved in the preparation of materials and/or administration of this Promotion, and their

2 immediate family members (spouse, siblings, children and parents) and those living in the same household as such individuals (whether or not related) are not eligible to enter. Void wherever prohibited by law. IMPORTANT NOTICE: Participants have the responsibility to review and understand their employer s policies regarding eligibility to participate in promotions. If an individual is participating in violation of their employer s policies, that individual and its employer may be disqualified from this Promotion, or from receiving prizes. Michelin disclaims any and all liability or responsibility for disputes related to this matter. Please read the Privacy Policy carefully to understand how Michelin collects, uses and discloses information about customers and how to update or change your personal information and how we communicate with you. This Program is one way in which Michelin endeavors to reward and thank loyal customers for promoting and educating consumers about their tires. Registered participants of the Program are able to earn and accumulate Reward Points ( Points") that can be accumulated for merchandise and/or chances to win other prizes. JOINING THE PROGRAM To join the Program, eligible Dealers must: 1. Log onto the Website 2. Create a Profile 3. Enter Sales Claim Information The registration process may require that you provide the following information: dealer ship to number and dealer business name, username, password, address (required in order to receive all eligible Rewards), physical address, telephone number, social security number, name, date of birth, and marketing preferences. If you change your account address to one that is not located within the United States your account will be inactivated. You will no longer be able to earn Points or receive benefits under your account. Previously earned Points will expire as described below.

3 OPTING OUT Dealer Owners have the right to opt-out of the SPIFF Rewards or the Program in its entirety. To opt-out the Dealer Owner must submit a request to their Michelin Sales Manager. Allow 3 5 business days for the request to be completed. Dealer Bill To and all affiliated Dealer Ship To locations that opt-out of the SPIFF Rewards will be assigned a User Role of Semi-Participation. Dealer Bill To and all affiliated Dealer Ship To locations that opt-out of the Program in its entirety will be assigned a User Role of Non- Participation. VENDOR INCENTIVE RESTRICTIONS Dealer Bill To and affiliated Dealer Ship To locations with Vendor Incentive Restrictions prohibiting employees of the Dealer from receiving compensation from vendors can request Direct Pay Fulfillment. Dealer Owners will be required to submit all SPIFF Rewards submissions and distribute payments to the employees of the dealer. Merchandise and Sweepstakes Rewards will be sent directly to the employees of the dealer by Michelin. To request Direct Pay Fulfillment, the Dealer Owner must submit a request to their Michelin Sales Manager. Allow 3 5 business days for the request to be completed. Dealer Bill To and all affiliated Dealer Ship To locations that request Direct Pay Fulfillment will be assigned a User Role of Direct Pay Full Participation. Dealer Bill To and affiliated Dealer Ship To locations have the right to participate in SPIFF Rewards Only and opt-out of the Merchandise and Sweepstakes Rewards. Dealer Owners will be required to submit all SPIFF Reward submissions and distribute payments to the employees of the dealer. To request Direct Pay Fulfillment SPIFF only, the Dealer Owner must submit a request to their Michelin Sales Manager. Allow 3 5 business days for the request to be completed. Dealer Bill To and all affiliated Dealer Ship To locations that request Direct Pay Fulfillment SPIFF Only will be assigned a User Role of Direct Pay SPIFF Only.

4 EARNING POINTS The rewards that are available to you through the Program are based on the number of Points that you earn. You can earn Points by submitting qualifying sales information for any BFGoodrich tire. You will earn Points based on the number of tires sold at the rate of ten (10) Points for each qualifying tire sold. You will earn an additional ten (10) for each tire sold with a rim size equal to or greater than eighteen (18) inches. Points for qualifying sales are automatically added to your account after sales verification. From time to time, we may offer special promotions that offer you Promotional Points". Promotional Points will be awarded as described in the applicable promotional offer and will be subject to any additional terms set forth in that promotional offer. We may also offer the opportunity to earn Action Points by performing specific actions as outlined on the website, such as creating a profile, taking a new Michelin Learning Institute (MLI) course, or uploading a profile picture. Action Points will be awarded as described in the applicable action offer and will be subject to any additional terms set forth in the action offer. Points accumulate and are valid only during that current Promotion Period. If the Dealer becomes inactive during the Promotion Period, Points will no longer be valid after 30 days. PROMOTION PERIOD Promotion starts on or about 12:01 am Eastern Time (ET) on January 1, 2017 and ends at 11:59 pm ET on December 31, 2017 ( Promotion Period ). All time referenced herein is Eastern Time. Michelin s (or its representative s) clock is the official time keeping device for the Promotion. REWARDS Rewards will be sent to the address listed on your profile after reaching certain Tiers throughout the Promotion Period: Tier 1 will be reached at 50 Points, Tier 2 will be reached at 150 Points, and Tier 3 will be reached at 300 Points, Tier 4 will be reached at 500 points, Tier 5 will be reached at 1,500 points, Tier 6 will be reached at 3,000 points, Tier 7 will be reached at 4,500 points and Tier 8 will be reached at 6,000 points. Bonus Rewards will be reached at increments of 2,000 points starting at 8,000 points. Tier 1 Reward has an Approximate Retail Value (ARV) of $5 each. Tier 2 Reward has an ARV of $10 each.

5 Tier 3 and 4 Rewards have an ARV of $15 each. Tier 5 Reward has an ARV of $30 each. Tier 6 Reward has an ARV of $50 each. Tier 7 Reward has an ARV of $60 each. Tier 8 Reward has an ARV of $120 each. Bonus Reward has an ARV of $15 each. Rewards for each Tier and Bonus Rewards will be described on the website. Michelin reserves the right to substitute a reward of equal or greater value as needed. In addition, for every two hundred fifty (250) validated points, you will receive one (1) automatic entry into the Quarterly Sweepstakes. All entries must be received during the applicable Quarterly Sweepstakes Promotion Period to be eligible for that Quarterly Sweepstakes drawing. See the BFGoodrich Extreme Rewards Quarterly Sweepstakes Official Rules document for complete sweepstakes rules. MISCELLANEOUS There are no membership fees associated with the Program. Points accumulated under the Program are promotional and have no cash value. Your Points, Rewards, and your profile account under the Program are personal to you and may not be sold, transferred or assigned to, or shared with, family, friends or others, or used by you for any commercial purpose. You may have only one (1) Program account that is personal to you. Without notice to you, Michelin reserves the right to terminate your account and/or your participation in the Program if Michelin determines in its sole discretion that you have violated these Terms of Use, you have more than one (1) account, or that the use of your account is unauthorized, deceptive, fraudulent or otherwise unlawful. Michelin may, in its sole discretion, suspend, cancel or combine accounts that appear to be duplicative. In the event that your participation in the Program is terminated, then all accumulated Points in your account are void. Without notice to you, Michelin also reserves the right to unregister" and make ineligible for the Program any account that has been inactive for two (2) consecutive years. Inactive is defined as no Points earned. In the event that your account is unregistered or rendered inactive, then all accumulated Points in your account are void. Michelin reserves the right to terminate, discontinue or cancel the Program at any time and in its sole discretion without notice to you.

6 2017 BFGoodrich Extreme SPIFF Program Terms & Conditions Offer valid for owners and employees of Dealers within the SRA, RTR, AAD or WRAD channel with a current Authorized Dealer Agreement signed with TCAR for BFGoodrich brand products. Dealer Owners within the SRA, RTR, AAD or WRAD channel may choose to Opt-Out of the offer. To opt-out the Dealer Owner must submit a request to their Michelin Sales Manager. The 2017 BFGoodrich Extreme SPIFF program ( Program ) is open to sales associates of eligible dealers only. Sales associates are required to submit W-9 information and sell a minimum of twelve (12) eligible tires in order to qualify for the reward. Sales must be completed between January 1, 2017 and December 31, IMPORTANT NOTICE: Entrants have the responsibility to review and understand their employer s policies regarding eligibility to participate in promotions. If an individual is participating in violation of their employer s policies, that individual and its employer may be disqualified from this Promotion, or from receiving prizes. Sponsor disclaims any and all liability or responsibility for disputes related to this matter. Dealer sales associates may qualify for $2 per tire sold of the following eligible BFGoodrich brand tires from January 1 March 31, 2017: Advantage T/A Advantage T/A Sport Long Trail T/A Tour g-force Sport COMP-2 Commercial T/A All-Season 2 Mud Terrain T/A KM2 (starting 3/1/2017)

7 Dealer sales associates may qualify for $4 per tire sold of the following eligible BFGoodrich brand tires from April 1 August 31, 2017: Advantage T/A Advantage T/A Sport Advantage T/A Sport LT Long Trail T/A Tour g-force Sport COMP-2 Commercial T/A All-Season 2 Mud Terrain T/A KM2 (starting 3/1/2017) Dealer sales associates may qualify for $5 per tire sold of the following eligible BFGoodrich brand tires from September 1 December 31, 2017: Advantage T/A Advantage T/A Sport Advantage T/A Sport LT Long Trail T/A Tour g-force Sport COMP-2 Commercial T/A All-Season 2 Mud Terrain T/A KM2 (starting 3/1/2017) All Terrain T/A KO2 (starting 9/1/2017)

8 The total number of units eligible for SPIFF claims from all sales participants from an eligible dealer Bill To account cannot exceed the total number of eligible tires sold by that account between January 1, 2017 and December 31, All claims must be entered online ( on or before January 7, Tampering with, altering or falsifying purchase information constitutes fraud. Michelin North America, Inc. ( Michelin ) reserves the right to confirm the identity of purchaser and verify purchase details and any irregularities may result in disqualification from this and future SPIFF programs. All decisions made by Michelin (or its authorized representatives) relating to the validity of any claims are final and binding. Allow four (4) to six (6) weeks after reaching the minimum required valid sales for delivery of your U.S. Bank Focus Card reloadable prepaid debit card (Focus Card). All participants will be responsible for taxes on any money earned. All claims will be validated and require copies of dealership sales receipts (invoices) reflecting the receipt number, date of sale, customer s name and address, BFGoodrich tire name and/or MSPN of tires sold, and quantity of tires sold. Sales to Lease Management, National Account, Rent-A-Car, Government Fleet Sales, Military Exchange, Public Utility, and OE Dealer Support Programs are not eligible for this program. Manufacturer or dealer warranty documents, bank card receipts, work orders, estimates, delivery orders, or a cash register or other receipt/report that does not reflect the required customer and product information will not be accepted for validation of claims. This Program is subject to all Federal, State and local laws and regulations. Michelin reserves the right to modify or discontinue this program, products and/or services at any time for any reason. No cash refunds. Please retain copies of the materials you submit. All claims become the property of Michelin and will not be returned. Michelin is not responsible for any lost, late, stolen, damaged, misdirected, incomplete, incorrect or illegible submissions. No postage-due requests. For questions regarding this

HOW TO ENTER: To enter, during a Quarterly Sweepstakes, log onto the BFGoodrich Extreme Rewards Program website ( and follow the directions to submit qualifying tire sales. Earn 10 Points on the sale and submission of any BFGoodrich brand light truck or passenger tire, plus an extra 10 Points when the tire rim size is greater than eighteen (18) inches. For every two hundred fifty (250) validated Points during a Quarterly Sweepstakes Period, you will receive one (1) automatic entry into the corresponding Quarterly Sweepstakes. All entries must be received during the applicable Quarterly Sweepstakes Promotion Period to be eligible for that Quarterly Sweepstakes drawing. You may enter sales using only one name/ address. Enter using only an address subscribed to and registered in your name. In the event of a dispute about entries submitted by multiple individuals using the same , entry will be deemed to have been submitted by the authorized subscriber of the account used to enter the Sweepstakes at the actual time of entry. The authorized account subscriber is deemed to be the natural person who is assigned an address by an Internet-access provider, online-service provider, or other organization that is responsible for assigning addresses or the domain associated with the submitted address. Multiple entries per person/ address account in excess of the stated entry limits or any use of robotic, repetitive, automatic, programmed, or similar entry methods or agents (including, but not

Once submitted, entry cannot be modified, deleted or cancelled. Entries become the property of Sponsor and will not be returned. Sweepstakes Entities assume no responsibility for lost, late, incomplete, inaccurate, stolen, misdirected, or illegible entries; nor for any computer, telephone, cable network, electronic or Internet hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt, or jumbled transmissions; nor service provider, Internet, Web site, user net accessibility or availability, traffic congestion, or unauthorized human intervention or any technical error; nor for unauthorized human intervention, human error, or the incorrect or inaccurate capture of entry or other information; nor for the failure to capture any such information. 3. DRAWINGS/ODDS/NOTIFICATION: On or about twenty (20) business days following the end of each Quarterly Sweepstakes Period, a random drawing will be held by Sponsor (or its authorized representative) from all eligible entries during the applicable Quarterly Sweepstakes Period, to select one (1) Grand Prize winner, six (6) First Prize winners and six (6) Second Prize winners for that Quarterly Sweepstakes. Potential prize winners will be notified on or within approximately ten (10) business days of the drawing by at the address provided at time of entry and may be required to complete, have notarized and return an Affidavit of Eligibility, Liability and, where legal, Publicity Release (collectively, Eligibility and Release Documents ) within ten (10) business days of notification. All potential prize winners also must supply Sponsor with any information or certifications needed by Sponsor, in its sole discretion, for tax reporting purposes. All notifications will provide the potential winners with instructions on how to electronically submit their contact information to allow Sponsor (or Sponsor s representative) to verify their eligibility and prize-winning status. Each potential winner must follow the instructions to provide the required information within forty-eight (48) hours of notification, or the prize may be forfeited and an alternate potential winner selected through another random drawing from among all eligible entries for that Quarterly Sweepstakes. 4. PRIZES/APPROXIMATE RETAIL VALUE (ARV): Grand Prizes (4): 2017 Jeep Wrangler Unlimited Rubicon Hard Rock 4x4 with 5-speed Automatic Transmission and BFGoodrich Mud-Terrain T/A tires,

13 Approximate Retail Value (ARV): $44,040 each. First Prizes (24): Trip for one (1) to a select BFGoodrich Motorsports Event including hotel, airfare, transportation and event credentials, ARV: $3,000 each. Second Prizes (24): YETI Cooler Approximate Retail Value (ARV): $300 each. The total ARV of all prizes offered in each Quarterly Sweepstakes: $63,840. The odds of winning any of the Quarterly Sweepstakes depend on the number of eligible entries received for such Quarterly Sweepstakes; only one (1) Grand Prize, six (6) First Prizes and six (6) Second Prizes will be awarded per Quarterly Sweepstakes. Winners will be responsible for all gratuities, and any other incidental costs or expenses not identified in these rules. No transfer, assignment or substitution of Grand Prizes and Second Prizes (in whole or in part) is allowed, except Sponsor reserves the right to substitute a prize of equal or greater value. Grand Prize is not redeemable for cash or otherwise. If the winner of a First Prize cannot attend the event, they may elect to transfer the trip to an employee or substitute for a onetime payment of Five Hundred US Dollars ($500.00). All Federal, State and local taxes are the sole responsibility of the winner. GENERAL: By participating, entrants agree to abide by and be bound by these Official Rules and the decisions of Sponsor, which are final and binding in all respects. Failure to timely return or properly complete all required Eligibility and Release Documents or any required tax information, release documents (as described herein), or if a prize notification or any prize is returned as non-deliverable, or if potential winner is not eligible or does not comply with these Official Rules prize forfeiture will result and an alternate potential winner may be selected by a random drawing from among all eligible entries for that Quarterly Sweepstakes. If the active Michelin dealer becomes inactive, in no longer in good standing, or opts out of BFGoodrich s Extreme Rewards Program, or if you become unemployed or fall from good standing by the active Michelin dealer, between the time of your entry and time of the drawing, you are no longer eligible to be a winner of this sweepstakes, and an alternate potential winner will be selected by a random drawing from among all eligible entries for that Quarterly Sweepstakes. These Terms of Use do not alter in any way the terms or conditions of any other agreement you may have with Michelin for other products and services. Michelin reserves the right to change, modify and/or eliminate the Program and/or all or any portion of these Terms of Use or any policy, FAQ, or guideline pertaining to the Program at any time and in its sole discretion.
