3 General Terms and Conditions To be eligible for 2018 Woofs for Wellness, the following conditions must be met. 1. Application Process Vendor must have product or service associated with canine dogs Complete application, Page 1 and return to the mailing address at the bottom of the application Full payment is due at the time of registration (see details below) Insurance must meet requirements and submitted before the event 2. Fees FULL PAYMENT IS DUE AT TIME OF REGISTRATION. Credit cards can be taken over the telephone or by stopping in with your application to the St. Charles Parks and Recreation Administration Office in Blanchette Park, 1900 West Randolph Street 3. Event Date Vendors are required to participate for the entire event 4. Set-up Support vehicles dropping off items to a booth may enter and exit at First Capitol and Riverside Drive gate at the Jaycee Stage Vendors will be allowed to begin on-site set-up at 8:00am day of event. All vehicles must be removed from the park no later than 11:30am for safety of event participants. Late arrivals using support vehicles will not be allowed to enter and will not be issued any type of refund Necessary inspections will begin no less than 1 hour prior to opening All vendors must have 10BC rated fire extinguisher 5. Booth Information Please keep all packaging materials out of sight Vendors will be self contained providing their own tents, tables, chairs, fans, lighting, extension cords, canopies, etc 6. Utilities 20amp service available at each booth Trash receptacles will be available including a large dumpster 7. Clean-up Please leave your booth space and surrounding area free of trash and debris Spaces needing to be cleaned after the event could result in prohibition of participation in future events Vendors may begin departure 30 minutes after event closing or as crowd disperses and Parks and Recreation Staff deems it is safe to exit the park 2018 Woofs For Wellness Page 3

4 8. Inclement Weather Depending on weather, vendors may park on plywood instead of on the grass If weather prohibits event from taking place, 100% of the vendor fee will be refunded 9. Waivers of Liability Requirements Vendors retain sole responsibility for their merchandise throughout St. Charles Parks and Recreation Department s Woofs for Wellness event. Vendors shall release, indemnify, defend and hold harmless City, its elected and appointed officials, successors, assigns, legal representatives, officers, employees and agents (collectively, indemnities ) for, from and against any and all claims, liabilities, cost damages, losses, causes of action, suits, demands, judgments and expenses (including, without limitation, court costs, attorneys fees and costs of investigation or otherwise (collectively liabilities ) of any nature, kind or description of any person or entity directly or indirectly arising out of, resulting from or related to (in whole or in part) merchandise loss or property damage of any kind whatsoever resulting from or connected to the operation of Vendor s Truck. Minimum Liability Insurance: The minimum liability insurance policy limit is $2,804,046 for all claims arising out of a single accident or occurrence. Because insurance policies may not be issued in the exact dollar amount of the liability limit shown above, the policy amount may need to be $3,000, for all claims arising out of a single accident or occurrence. The required minimum policy limit can be provided by commercial general liability insurance or by such policy in combination with an umbrella excess policy. Certificate of Liability Insurance: You are required to provide the City with a Certificate of Liability Insurance. The Certificate must be provided to the City of St. Charles, Parks and Recreation Department thirty (3) days before the date of the event. The Certificate must name the City of St. Charles, Missouri as 1.) The certificate holder with the correct address of 200 North Second Street, St. Charles, Missouri, 63301; and 2.) An additional primary insured and include the substantially the following words on the Certificate: "The insurance is primary to the insurance coverage of the City of St. Charles, Missouri which shall be non-contributory." Additional Insured Endorsement: You are required to obtain an Additional Insured Endorsement to the liability insurance policy. The Endorsement shall name the City of St. Charles, Missouri as an additional insured and contain substantially the following words: "This insurance is primary to the insurance coverage of the City of St. Charles, Missouri which shall be non-contributory." 2018 Woofs For Wellness Page 4
