2 REQUEST FOR QUALIFICATION PROPOSALS FOR A GUARANTEED ENERGY SAVINGS PERFORMANCE CONTRACT OVERVIEW Poth Independent School District (the OWNER ) seeks statements of interest and qualifications from qualified energy services companies (ESCOs) to identify, develop, and implement one or more phases of guaranteed energy savings performance contract projects, including the planning, design, rehabilitation, efficiency, alteration, expansion and addition of district facilities. The OWNER s objective in issuing this Request for Qualifications is to select a qualified ESCO provider to develop and implement one or more phases of projects as described above, pursuant to Texas Education Code chapter and Texas Government Code chapter Responses should be limited to 50 pages of content, printed double-sided on letter-size paper. Covers and tab pages do not count toward the limit. Late or incomplete responses will not be reviewed. The OWNER intends to enter into one or more contracts with the selected ESCO based on the criteria outlined in this request that provides the best overall value to the OWNER. The OWNER reserves the right to reject any and all responses and to be the sole judge of the value and merit of the responses. The OWNER reserves the right to select an ESCO based upon the responses received, or to short-list the respondents and request an interview with the short-listed ESCO s. ESCO s notified should be available for an interview within ten (10) days of notification. The OWNER will not reimburse selected or non-selected respondents for costs incurred in preparing their proposals or participating in interviews, and/or any/all work or effort related to such. The OWNER will not acknowledge or receive responses that are delivered by telephone, facsimile (fax), or electronic mail (e mail). Properly submitted responses will not be returned to Respondents. Responses must be enclosed in a sealed envelope (box or container); the package must clearly identify the submittal deadline and the RFQ title along with the name and return address of the respondent. All information, documentation, and other materials submitted in response to this solicitation are considered non confidential and/or non proprietary and are subject to public disclosure under the Texas Public Information Act (Texas Government Code, Chapter , et seq.) after a contract is awarded. The OWNER strictly complies with all statutes, court decisions, and opinions of the Texas Attorney General with respect to disclosure of RFQ information. Poth ISD makes no representations of any kind that an award will be made as a result of this RFQ. The OWNER reserves the right to reject any and all Qualification Proposals and re solicit for new Qualification Proposals, or to permanently abandon the Project. The OWNER reserves the right to waive

3 any formalities or minor technical inconsistencies, or delete any item/requirements from this RFQ when deemed to be in the OWNER's best interest. PROPOSAL CONTENT AND FORMAT Qualified respondents should submit their proposal responses in a format that follows the outline below. Responses that do not follow this correct proposal format may be eliminated from consideration. Table of Contents Responses shall include a table of contents properly indicating the section and page numbers of the requested information. Executive Summary Responses shall include a concise Executive Summary describing the respondent s primary qualifications. 1. Company Qualifications 1.1. Company Overview: Provide general information including company name, address, contact information, years in operation, company headquarters location, location of principal office servicing this project, and most recent financial report to include three years of balance sheets and the name and contact information of the preparer Company Ownership Changes: Has respondent ever been owned or affiliated with a different parent company? If yes, please explain changes that occurred and the timeframe Legal Grievances: The qualified respondent shall describe in detail any litigation related to any projects, past or present, with a public entity in the State of Texas Project Team Qualifications: List the primary personnel employed by the company that will be involved with this project. Include a resume on each person listing his/her name, title, education, experience, work history and responsibilities with this project References: Past performance is a critical component in the selection process of this RFQ. Therefore, each respondent must include a summary of all guaranteed energy savings performance contract projects performed with a public entity. In addition, each respondent must have completed a minimum of five (5) recent guaranteed energy savings performance contract projects (with at least one year of reported guaranteed energy savings results) with public entities. The five recent references should include: Customer name, contact, telephone number Description of project scope of work Completion date of construction or installation phase of the project Annual guarantee and actual measured guarantee results 1.6. Certifications: Provide information on certifications and licenses that are relevant to this project including both company and individual licenses. At a minimum provide the following: Provide company registration number with the Texas Board of Professional Engineers Provide name and license number of all current Texas Registered Professional Engineers that are directly employed by the respondent Provide evidence of respondent s NAESCO accreditation

4 1.7. Insurance: Provide a certificate of insurance with at least minimum coverage amounts as listed below and to remain in full force and effect at all times until all Work has been completed COVERAGES LIMITS OF LIABILITY General Liability $1,000, General Aggregate $2,000, Product & Completed Operations Aggregate $2,000, Personal & Advertising Injury $1,000, Each Occurrence $1,000, Workman s Compensation $1,000, Umbrella Policy in addition to individual coverage $20,000, Technical Approach 2.1. Engineering Approach: Describe the range of services that respondent provides with in-house personnel, and those services that will be sub-contracted or out-sourced Project Management: Describe respondent s approach to managing the project from selection/award through development, construction, measurement and verification, and the energy guarantee period Contractor and Equipment Selection: Describe the processes involved to make contractor and equipment selections and the criteria used to procure the equipment and services. How does the respondent ensure the OWNER approves of subcontractors, equipment and material procurement selections for the project? 2.4. Describe respondent s affiliation with any particular product, subcontractor, vendor, or supplier expected to be involved with the project Describe respondents approach to change orders along with pricing methodologies and typical mark-up structures Does company offer or provide any energy and sustainability education/outreach program? Please describe Does respondent offer any solar or other renewable energy solutions? Describe the range of renewables offerings OWNER Training: Explain the plan for providing training and support services to the OWNER Performance Assurance: Describe in detail the processes that will be used to ensure the optimal performance of systems and equipment installed. Additional Information: Provide any additional information about respondent s technical approach to the project that is relevant and not requested in other sections of this RFQ. 3. Performance Guarantee 3.1. Energy Savings: Describe respondent s approach to energy calculations, determination of utility baseline, and methods used to determine actual energy savings. Will energy savings be guaranteed? How will respondent perform measurement and verification of savings? 3.2. Operational Savings: Describe respondents approach to calculating and determining operational cost savings. Any methods used in determining actual operational savings shall be clearly identified in the performance guarantee. If stipulated or agreed to values are included with the calculations that determine actual savings than those stipulated or agreed upon values shall be clearly identified in the performance guarantee Describe respondent s warranty period services and how warranty claims are managed.

5 3.4. Bonds: Provide evidence of respondent s bonding capabilities to ensure that both Payment and Performance Bonds will be issued in accordance with Texas laws and statutes before the construction/implementation phase begins. Can respondent provide an Energy Guarantee Bond? 4. Financial Considerations 4.1. Describe respondent s approach to project financing, and the range of options respondent is able to provide OWNER for funding and financing projects Describe respondent s approach to determining Energy Conservation Measure (ECM) pricing. What amount of mark-up will be added to subcontractor costs? 4.3. Describe respondent s performance guarantee? Include a sample copy of the typical terms and conditions of performance guarantee. Describe how respondent will compensate the OWNER for any energy savings shortfalls experienced during the guarantee period Has respondent ever been sued by a customer for an energy savings guarantee shortfall on a performance contract? What was the outcome? Evaluation Criteria The OWNER intends to select the most Qualified ESCO Respondent in relation to the anticipated work. The OWNER will likely reject any response that does NOT meet the minimum criteria described in this RFQ. For responses meeting or exceeding the minimum criteria, the OWNER will score the responses based on the criteria shown below. 1. Ability to Successfully Implement Program (35 points) 1.1. Reputation of the Qualified ESCO Respondent Provider for implementing guaranteed energy savings performance contract projects with other K-12 School Districts Background and qualifications of the people responsible for implementing this planned guaranteed energy savings performance contract. This means the actual ESCO Respondent personnel directly responsible for providing this project s anticipated ECM solutions along with other engineering, construction, and technical requirements References of the company and people responsible for implementing this project Licenses and Certifications of the ESCO Respondent s personnel NAESCO Accreditation status of the ESCO Respondent. Preference will be given to ESCO Respondent that demonstrates strong local, in-house capabilities with the experience and reputation for successfully implementing guaranteed energy savings performance contracts. 2. Technical Approach (30 points) 2.1. ESCO s approach to the depth, quality and creativity in determining proposed Energy Conservation Measure (ECM) solutions 2.2. ESCO s approach to project management, contractor and equipment selection, and OWNER involvement in the development and implementation of the project(s) 2.3. ESCO s approach to training and performance assurance Preference will be given to proposals that include a detailed and sound technical approach to meeting the OWNER s objectives. 3. Performance Guarantees (15 points) 3.1. Strength of the Qualified ESCO Respondent s approach to energy and operational savings determination and ESCO s warranty services 3.2. Strength of the Qualified ESCO Respondent s Bonding capabilities and ability to provide appropriate insurance coverages

6 4. Other Financial Consideration (20 points) 4.1. Pricing structure and methodologies to be utilized for pricing any ECM Solutions or other work negotiated by the ESCO Respondent Project Financing Solutions for anticipated work. Minimum Criteria Checklist All responses will be reviewed to confirm that the following minimum criteria are included. If any one of these minimum criteria is not met, the response(s) not meeting these minimum criteria will be returned to the Respondent(s) without being scored and those response(s) will NOT be considered for this project. A yes response to the following questions indicates compliance with the minimum criteria. 1. Was the proposal delivered on time? Yes No 2. Has the ESCO Respondent been involved in litigation Yes No in he past 10 years that was not disclosed? 3. Has the ESCO Respondent provided 5 reference Guaranteed Performance Yes No Contracts with at least one full year of energy savings results? 4. Have there been any energy savings shortfalls on Guaranteed Performance Yes No Contracts over the past ten years that have not been disclosed by the Respondent? 5. Are there any Guaranteed Performance Contracts executed Yes No within the past ten years that were not disclosed by the respondent? 6. Did the ESCO Respondent submit the name and PE license number of a full-time Yes No employee who is a professional engineer registered in the State of Texas? 7. Did the ESCO Respondent submit the insurance Yes No requirements requested by this RFQ? 8. Did the ESCO Respondent submit proof they can meet the bonding requirements? Yes No
