1 Part 1 Covering letter Invitation to Tender Activity: IDINO-0206 Strategic Education Research Services Dear Tenderer, As managing contractor for Innovation for Indonesia s School Children (INOVASI) and Technical Assistance for Education System Strengthening (TASS), Palladium invites eligible organisations to tender Strategic Education Research Services. This tender is open to both Indonesian and international organisations. INOVASI is an ambitious four-year program (with the possibility of an extension for another four). It collaborates closely with and provides required support to the GOI at the district, provincial and national level to develop and implement action-oriented research and pilots to answer the broad question: What works to improve student learning outcomes in Indonesia? It focuses on three sub-topics of investigation: the quality of teaching in the classroom, the quality of support for teachers, and learning for all. INOVASI is managed by Palladium on behalf of the Government of Australia through the Australian Department of Foreign Affairs and Trade (DFAT), and formally started on 18 th January TASS is a responsive, demand driven technical assistance facility funded by the Australian Government. Working with the Indonesian Ministry of Education and Culture, the Ministry of Religious Affairs and the National Development Planning Ministry (Bappenas), TASS is helping contribute to a stronger education system in Indonesia. It does this by working with the Government of Indonesia to bring about sustainable changes in education systems, policies and practice. 4 1. Background Over the past decade, Indonesia has substantially increased its spending on education and now many more millions of children are in school. There is a significant void in knowledge about what teachers in Indonesia are teaching in the classroom, what the primary constraints they are facing, and how teaching quality can be more efficiently and effectively improved. The Government of Australia (GOA), through the Australian Department of Foreign Affairs and Trade (DFAT), is seeking to assist the Government of Indonesia (GOI) to fill this void by establishing Innovation for Indonesia s School Children (INOVASI). INOVASI is an ambitious four-year (with the possibility of an extension for another four), AUD 49million program. It will collaborate closely with the GOI at the district, provincial and national level to develop and implement action-oriented research and pilots to answer the broad question: What works to improve student learning outcomes in Indonesia? It will focus on three sub-topics of investigation: the quality of teaching in the classroom, the quality of support for teachers, and learning for all. TASS is a responsive, demand driven technical assistance facility funded by the Australian Government. Working with the Indonesian Ministry of Education and Culture, the Ministry of Religious Affairs and the National Development Planning Ministry (Bappenas), TASS is helping contribute to a stronger education system in Indonesia. It does this by working with the Government of Indonesia to bring about sustainable changes in education systems, policies and practice. The program began in January 2017, and will continue until January INOVASI and TASS are managed by Palladium on behalf of DFAT. 2. Purpose of Assignment To support program implementation, INOVASI and TASS are planning to establish a panel of research organisations, hereafter called as the Research Panel. The Research Panel is open to both Indonesian and international organisations. The purpose of Research Panel is to engage reputable and credible research organizations to implement various research and evaluation activities as tasked by the Education and Research Advisor. Organisations selected in the Research Panel will be contracted through a Blanket Service Agreement with INOVASI and will be tasked specific pieces of work through a Task Order mechanism. There are four main purposes for this research activity: 1. Situational analysis: to generate knowledge of local contexts, essential in designing and implementing contextually-relevant pilots. In most areas, there is still insufficient knowledge about the local contexts. INOVASI therefore needs to create or collate evidence on relevant contexts in our partner areas, especially as an input for pilot design. Such studies might include, for example, political economy analyses, studies of local socio-cultural matters, past development experience and outcomes, as well as educational research to help identify needs, local problems and potential solutions in policy and practice. From time to time, INOVASI may update these studies, as required. 2. Technical updating: to review current literature and practice and identify technical tools and methodologies needed to develop, implement, sustain, and evaluate the pilots. It is critical that pilots that aim to directly impact on teachers' knowledge, skills and behaviour and thus improve learning outcomes, are informed by (1) the latest knowledge in early grades literacy and numeracy learning and teaching, and (2) the latest approaches to measuring learning outcomes. INOVASI will generally outsource research to address these issues, as required. Part 2 TOR 2 / 6

5 3. Issues-based research: to fill knowledge gaps, explore issues identified in the pilots or meet specific needs in response to requests from stakeholders. Examples of this type of research include: (1) the stocktake study conducted to identify effective innovations in East Java; (2) technical research or case studies to explore the impact of teacher and school effects on student learning or to investigate the 'what, why and how' gaps revealed by the pilot processes and results, as well as through policy deliberations with partners; (3) policy research in response to demands from the districts, such as mapping teacher clusters or financial analysis; and (4) policy research in response to requests from the Ministry of Education and Culture (MoEC), such as investigating the implementation of national policy in schools and districts. 4. Evidence building: to build on the data and evidence base developed by INOVASI for randomised control trial type research and analysis, to produce a more robust evidence base. INOVASI aims to build a body of evidence on which approaches are successful in improving literacy and numeracy outcomes in particular contexts. INOVASI s approach enables an exploratory type of action-research to answer this question and to build a body of persuasive evidence. In order to build a more robust body of evidence, some of the INOVASI pilots may become the subject of higher-level, randomised control trial type research. This may involve strategic partnerships with other DFAT-funded projects such as Research for Improving Systems of Education (RISE), the World Bank Trust Fund, KIAT Guru and Technical Assistance for Education System Strengthening (TASS) or may be conducted by sub-contracted agencies. The results of such research may, in due course, contribute to national and international policy dialogue. 5. Evidence use: Educational policy processes are complex and rarely a linear process from evidence to policy. Simply presenting information to policy-makers and expecting them to act upon it is very unlikely to work. Policy is commonly weakly informed by research-based evidence due to political expediency, information gaps, the need for speedy responses, and the fact that education policy makers are rarely trained researchers or, in some cases, professional educators. Research in this domain will assist in understanding policy processes to assist in gaining maximum benefit for stakeholders from INOVASI s research and development activities or TASS activities. This research agenda will be managed by the Education and Research Adviser in consultation with the Monitoring, Evaluation, Research and Learning (MERL) manager. Research will draw on data and preliminary analysis generated through the pilot process. In this way, INOVASI creates space for technical and policy research which aims to contribute to policy dialogue and support decision makers at district, provincial, and national levels. 3. Duties/Services Under the direction of Education and Research Advisor, the Research Panel organization(s) will implement various research and support activities including, but not limited to: 1. Providing technical advice on the design and implementation of baseline and related surveys, including student learning assessment; providing advice on matters such as: a. Application of sampling theory. b. Development of data collection tools, for both quantitative and qualitative enquiry. c. Survey team training and management. d. Pre-testing of data collection methods and tools. e. Data recording, quality assurance, entry and statistical analysis. f. High quality report production (Indonesia and English), with a clear focus on stakeholder information needs (effective communication and use of information being a primary focus). 2. Providing technical advice on the design and implementation of research and pilot activities, including approaches to: a. Needs identification and local capacity assessment. b. Establishment and management of research and pilot teams. Part 2 TOR 3 / 6

6 c. Research and pilot activity design. d. Quality assurance of research and pilot activity process and product, including management of technical peer reviews. e. Statistical analysis. f. Ongoing analysis of progress and communication of results. 3. Providing support for the analysis and interpretation of evidence and findings of pilot and research activities, including analysing data from large and small-scale educational surveys, pilot studies and other research activities: a. Use of relevant technical tools and expertise. b. Generation of user-friendly reports and analysis. c. Provision of training and capacity support to local teams and personnel. 4. Providing technical advice on the development/adaptation and production of teaching and learning materials, or student assessment instruments, materials and approaches, and related guidance for use in research and/or pilot activities; including a. Providing advice to MoEC and other GoI agencies on issues such as formative and summative assessment to inform policy and practice. b. Developing or verifying instruments for research or student assessment. 5. Conducting situational analyses and diagnostics, aimed at understanding the local context in INOVASI s partner provinces, districts, schools, and communities including but not limited to: a. Mapping of formal and informal relations among different stakeholders, including their interest in education, influence and identifying preferred communications methods for each stakeholder. b. Constructing a synopsis of good practices and local innovations at the school, community, or district levels through consultations with education stakeholders from school level to district and province level. c. Supporting the program district baseline and follow up data collection activities at this level. d. Organizing consultation sessions / events to identify local problems and create solutions that could be tested. e. Other data collection and analysis as requested. 6. Undertaking literature surveys and desk studies for technical updating, aimed at ensuring pilots are based on (1) the latest knowledge in early grades literacy and numeracy teaching, and (2) the latest approaches to measuring learning outcomes, including: a. Literature surveys, desk reviews and preparation/presentation of reports. b. Reviewing pilot designs and providing consultation and advice on the design of pilots and other activities. c. Other data collection and analysis as requested. 7. Conducting qualitative and/or quantitative issues-based research, either in a leading or a supporting role, on various innovations or promising practices and other relevant research topics as identified by INOVASI or TASS, including: a. Studies to explore the impact of teacher and school effects on student learning or to investigate the 'what, why and how' gaps revealed by the pilot processes and results, as well as through policy deliberations with partners. b. Policy research in response to demands from the districts, such as mapping teacher clusters or financial analysis. Part 2 TOR 4 / 6

7 c. Policy research in response to requests from the Ministry of Education and Culture (MoEC), such as investigating the implementation of national policy in schools and districts. 8. Conducting large-scale studies to generate robust evidence of what works to improve learning outcomes in Indonesian schools. 9. Collaborating, as required, with other programs and agencies, such as RISE to, for example, conduct studies, and review designs and results. 10. Other services related to research as reasonably required by INOVASI or TASS. As part of the above activities, the subcontractor may be required to undertake some or all of the below tasks: a) Recruit skilled and experienced consultants such as researchers and/or enumerators. b) Provide adequate training and quality assure the fieldwork through regular supervision and monitoring. c) Conduct child protection training and ensure implementation of DFAT s child protection policy throughout the activity. d) Manage all aspects of contract and performance management of personnel, including researchers and enumerators. e) Provide adequate personnel to undertake contract management, including preparation of research reports and financial reports, and other administrative and financial tasks as required. INOVASI reserves the right to approve or assign suitable personnel. f) Present research findings using a diversity of media such as print, videos, and social media. 4. Outputs/Deliverables The outputs and deliverables of Research Panel would likely include, but not limited to: 1. Research designs, including finalizing the research plan and questions, determining methods, sampling approach, and data collection instruments, identifying respondents, budget preparation and organizing the required permits (such as research permit from the local area, ethics clearance). 2. Research reports addressing the research questions. 3. Submit raw and processed datasets, including codes used in the analysis, where relevant. 4. Clean data as requested. 5. Presentations in diverse media as agreed with INOVASI s communications team or with TASS. 6. Financial reports and other ad-hoc reporting as required by INOVASI or TASS. 7. Other materials, instruments, or reports as required for specified tasks. INOVASI and TASS will review and approve each step of deliverable, as detailed in the Work Order document to be issued to organisations that are tasked to deliver work as part of the Reseach Panel. 5. Duration The duration of contract for Research Panel is 12 months with possible contract extension based on budget availability and performance review. Part 2 TOR 5 / 6

8 6. Membership of the Panel The membership of the Panel provides no guaranteed minimum work to be awarded to the organisations. The terms and conditions of the Panel are as follows: a. The Panel will operate in accordance with the Commonwealth Procurement Rules. b. Duration of the panel from establishment is 12 months, with further 12 month extensions based on performance review. c. INOVASI is not required to issue any Work Orders during the contract period. d. INOVASI may, but is not obliged to, seek quotes or proposals from one or more of the suppliers on the Panel before issuing Work Orders to one of the suppliers. e. Any quote or proposal prepared by the Panel members must be in the form required by INOVASI, and must include Management Fees equal to or less than the upper limit set in the Services Agreement. Further: i. In accordance with DFAT guidelines and the basis of payment in the Services Agreement between INOVASI and Panel Members, Management Fees cannot be applied to the fees of International Advisers engaged under DFAT Adviser Remuneration Framework (ARF) rates; ii. Management Fees applied to Work Order budgets (all items except for ARF Advisers costs) should not exceed the upper limit that would be specified in the Blanket Service Agreement. f. INOVASI reserves the right to negotiate the technical and financial proposals to ensure value for money of services procured. INOVASI does not commit to the unit costs provided by your organisation during the selection process. g. The panel is non-exclusive. INOVASI is able to procure the research activities through other procurement processes, including through competitive open market tender. In this instance, the Panel members will be invited to submit a proposal. h. If and when your organization is selected to provide specific work, INOVASI will issue a Work Order. The Work Order will be considered as a new contract between INOVASI and your organisation in relation to the services to be provided. It will incorporate with all the terms of the Blanket Service Agreement. Part 2 TOR 6 / 6

9 Part 3 Conditions of tender 1. Tender content 1.1. The tender must contain the following: A cover letter to the tender for the activity (IDINO-0206); A technical submission; A financial submission Every Tender shall state in the submission: In the case of an individual, full or given names, surname and address; In the case of a business name, the names and address of all proprietors, the address of the registered place of business and registered business number; In the case of a trust, the full names and addresses of each trustee of the trust; In the case, of registered business, the Business Number of the Tenderer. 2. Tender Assessment Process 2.1. Tenders must comply with the requirements of the Terms of Reference (TOR). Failure to submit a Tender including the information required by the TOR will factor into Palladium s assessment of the level of compliance of the Tender and may result in rejection of the Tender Palladium will evaluate Tenders on the following basis: A technical assessment; A financial assessment; Other factors, which may impact on the Tenderer s performance The Procurement Committee will assess Tenders based on the Technical Assessment Selection Criteria specified in Part 4, and will provide a list of ranked technically suitable tenders Palladium will undertake a financial assessment in accordance with Part Palladium reserves the right: To accept or reject any tender, and to annul the tendering process thereby rejecting all tenders, at any time prior to the award of contract; To cancel or vary the Invitation to Tender process at any time whether before or after the closing date; ITT Pack template - 3 Conditions of tender 1 / 6

10 To reject any tender that does not adhere to the structure and content requirements as outlined in these Terms and Conditions; To recall tenders from any source including those tenderers who have already submitted tenders, without thereby incurring any liability to the affected tenderer or tenderers or any obligation to inform the affected tenderer or tenderers of the grounds for this action; To accept Tenders for the whole or any part of the requirement; To negotiate with the most favourable tenderer should it be deemed that the offered prices are unreasonable or greater than the targets set in the planning process, as per indicative budget that stated in the part 6; To verify past performance and conduct reference check for the tenderer Palladium shall not be bound by any oral advice given or information furnished, but shall be bound only by written advice or information The conduct of this Invitation to Tender is not intended to give rise to any legal or equitable relationship A Tender will not be considered in the Tenderer or a representative of the Tenderer gives or offers anything to an employee or agent of Palladium as an inducement or reward, which could in any way tend to influence the actions of that employee or agent. 3. Technical Assessment 3.1. The Technical Assessment will be undertaken by an internal Procurement Committee The Technical Assessment of the Tender will account for 80% of the overall score using the following formula: Technical Score = Tender s Weighted Technical Score (out of 100) x 80% Highest Weighted Technical Score (out of 100) 3.3. The Procurement Committee, in assessing the technical part of the Tender, will consider the Selection Criteria specified in Part Requirements for the Technical Submission 4.1. The Technical Submission must: Indicate the Tenderer s nominated contact person on the front page; Be in a type font of no less than 12 points; Be in a single column format; Provide attached up-to-date CVs that relevant to the activity of the preferred consultant/s (no longer than 5 pages), including contact details for two referees who can comment on recent experience relevant to the application Provide a capability statement addressing the anticipated scope of assignment in Part 2 Term of Reference point 2, and the technical selection criteria as outlined in Part 4 of this ITT Pack Provide tenderer details including company profile and details of similar works completed by the tenderer including appropriate referee contacts The tender submission must be submitted in English language and contain the following information: ITT Pack template - 3 Conditions of tender 2 / 6

11 5. Financial Assessment A completed Schedule A.1, up to ten pages, providing a capability statement addressing the anticipated scope of assignment in Part 2 Term of Reference point 2, and the technical selection criteria as outlined in Part 4 of this ITT Pack A completed Schedule A.2, up to seven pages, providing tenderer details including company profile and details of similar works completed by the tenderer including appropriate referee contacts Following consideration of the technical merit of Tenders, the financial assessment will represent 20% of the overall score Tenderers should note that financial submissions for those Tenders assessed by the Procurement Committee as not technically acceptable will not be subject to financial assessment The financial component of the Tender in Part 6 must be an unconditional offer and fixed for the duration of the Project A completed Schedule B providing the rate for personnel and management fee. The management fee is not applicable for international position/adviser hired under ARF (Australian Remuneration Framework). A completed Schedule B providing the rate for personnel and management fee Application of Management Fees will be in accordance with DFAT Adviser Renumeration Framework (ARF) available through which states that Management Fees will not be applied to the fees of International Advisers engaged under DFAT ARF rates. Management Fees are only to be applied to eligible costs, including operational costs, travel costs, and/or locally engaged staff costs. 6. Acceptance of Tenders 6.1. Palladium is not bound or required to accept the lowest priced Tender or any Tender A Tender will not be deemed to be accepted unless and until a Contract based on the Contract Conditions and acceptable to Palladium, is signed by Palladium Palladium reserves the right to enter into negotiation with any other Tenderer if contract negotiations cannot be concluded with the preferred Tenderer. 7. Alternative Tenders 7.1. Palladium reserves the right to accept and consider alternative Tenders providing they: Are submitted with a compliant Tender; Clearly identify the differences and improvements offered in the Alternative Tender Alternative Tenders will be considered only after completion of the Technical Assessment of compliant Tenders. 8. Non-Compliant Tenders 8.1. Tenders will be regarded as non-compliant if they do not comply with any part of the requirements of the TOR Palladium may however, in its absolute discretion evaluate any non-compliant Tender. 9. 12 9.1. It is the responsibility of the Tenderer to ensure that the Tender is received at Palladium by the closing date and time prescribed in this Invitation to Tender. A Tender lodged after the closing date is a late Tender A late Tender will normally not be considered unless it can be demonstrated by the Tenderer that the Tender would have arrived at the tender point by the required date and time as prescribed in this Invitation to Tender. Palladium may allow a late Tender to be assessed at its absolute discretion Palladium will not consider or entertain any queries about a decision to assess or reject a late Tender Tenders are to be in English and all pricing and costs are to be in AUD and provide the exchange rate of IDR 10,000 that will used for currency in IDR. 10. Tenderer Costs Tenderers are responsible at their own cost for: Making all arrangements and obtaining and considering all information relating to the TOR; The preparation, delivery and lodgement of their tender; Dealing with any issues, including disputes that may arise out of the tendering process. 11. Competitive Neutrality Tenders submitted by government owned organisations must comply with the Commonwealth government s policy in respect of competitive neutrality. All government tenderers must read and return a signed copy of the attached Statutory Declaration (Part 7). 12. Basis of Payment Payments will be based on points discussed in Part 10: Schedule B. Payments will be made in Australian dollars or Indonesian rupiah and subject to performance as identified by milestones or deliverables specified in the Contract All Tenders should be aware that under A New Tax System (Goods and Services Tax) Act 1999 (GST Act), Palladium will be treated as a taxable enterprise Implications of the GST for the Contractor include: All Australian consultants hired as sub-contractors must have an ABN number; All contracts that the sub-contractor enters into in relation to the performance of the services (after July 1, 2000) will need to include GST in pricing; Invoices for goods and services provided by the sub-contractor after July 1, 2000 need to comply with the ATO requirement for Tax Invoice in order to obtain payment from Palladium. 13. Confidentiality Tenderers must keep any discussions or contact with Palladium in connection with the Invitation to Tender and any Contract negotiations, confidential. 14. Employment Opportunities for Aboriginal and Torres Strait Islander People Tenderer s attention is drawn to the Commonwealth s policy to maximise employment opportunities for Aboriginal and Torres Strait Islander people A Tender must, where opportunities exist, indicate in its Tender: How it will provide employment opportunities; ITT Pack template - 3 Conditions of tender 4 / 6

13 The nature and duration of the employment it proposes to provide; Where those people would perform work in relation to the Project; The number of people who would be involved. 15. Affirmative Action The Affirmative Action (Equal Opportunity for Women in the Workplace) Act 1999, requires private sector employers of 100 or more employees and also higher education institutions, to establish affirmative action programs If: 16. Pricing The Act applies to the Tenderer; The Tenderer has been deemed as not complying with its obligations under the Act; The Tender does not submit a Certificate of Compliance with the Tender; the Tender will be considered as non-compliant and maybe excluded from consideration Except for variations in the rate of duty or foreign exchange, Tenderers shall state whether the prices offered are: Firm, that is prices offered shall not be varied either up or down for any reason; Firm for a period, in which case the period must be stated; Subject to other price variations either up or down. 17. Request for Information Any prospective tenderer may within a reasonable time before the closing date request information on any point of clarification in this Tender. The information requested shall be given in writing by Palladium as soon as practicable, and where in the opinion of Palladium the information could have an effect on other Tenderers, that information shall be given in writing to all known prospective Tenderers The tenderer should have a Child Protection Policy. Otherwise, the tenderer should sign Palladium Child Protection Guideline and Policy. 18. Unsuccessful Tenders Unsuccessful Tenders will be notified in writing and shall be entitled to a feedback session regarding their tender. 19. Tenderer Acceptance of Conditions A Tender lodged in response to this Invitation to Tender does so with agreement to these Conditions of Tender unless any departures from these Conditions are detailed in the tender submission. Palladium reserves the right to reject any departure from these Conditions of Tender, and thereby determine that the tender submission is non-conforming for that reason. 20. Child Protection 20.1 All tenderers must agree to have in place a mandatory Child Protection Policy and related procedures which promote the safety and wellbeing of all children accessing their services and programs, particularly to minimize the risk of abuse of children. If the selected Tenderer does not yet have their own policy, the Palladium Child Protection Guidelines will apply to the selected Tenderer ITT Pack template - 3 Conditions of tender 5 / 6

14 until such time as the selected Tenderer has been able to develop their own policy. The Palladium Child Protection Guidelines are available at: Palladium will assist the selected tenderer in assessing whether their Child Protection Policies meet the minimum standard as required by DFAT. To comply with these standards, Child Protection Policies may need to be updated prior to contract signature The Tenderer must fully comply with Australian Government aid program and Palladium Branding Guidelines and must ensure appropriate recognition of Australian Government support. The Contractor must acknowledge and effectively promote the Australian Government s contribution. All promotional material must be pre-approved in writing by the Company Palladium reserves the right to withdraw from negotiations with bidders who do not hold adequate insurance coverage as specified in clause 13 and Annex C of draft contract attached ITT Pack template - 3 Conditions of tender 6 / 6

15 Part 4 Technical assessment selection criteria INOVASI will assess each submission based the organization s ability to meet the requirements using the following criteria: I. Management Capacity (30%): High quality, appropriately experienced and qualified senior researchers who will be leading or involved in the fieldwork (up to 5 one-page CVs will be required). Ability to quickly mobilize teams of researchers as outlined in the specific work order. II. Approach and Methodology (40%): Demonstrated track record of producing and managing high quality education research outputs, ideally for both local and international funders. Demonstrated track record of using various monitoring-evaluation research methods, both qualitative and quantitative and innovative methodologies. III. Experience (30%): A proven track record of conducting fieldwork in various areas in Indonesia. Existing field presence and experience in DFAT Programs will be of advantage. The technical submission must clearly address the criteria above as this will impact on the assessment process. 17 Part 6 Financial assessment selection criteria 1. The financial component must: 1.1 Provide the rate of Senior team members (such as senior researcher, the coordinator/manager of the team, senior staff for monitoring) 1.2 Provide the rate of Junior team members (such as junior researcher, data entry operators, data analyst, enumerators) 1.3 Provide the rate of Management Fee. The Management Fee should include: (a) Profits, including commercial margins and mark-up for personnel and project management; (b) Financial management costs, including the cost of financial charges and financing costs, if any; (c) Insurance costs including public indemnity insurance and other insurance as required in the Contract (clause 13 and Annex C Part 9 Indicative Contract); (d) Taxation, as applicable; (e) Costs associated with any subcontracting and procurement of goods and services; (f) Recruitment costs; (g) Any other overheads required to perform the Services in accordance with the Contract; (h) All escalators for the Management Fees for the term of the Contract; and (i) Any allowance for risks and contingencies. 1.4 Provide any additional rate or financial information that is relevant to the Strategic Education Research Panel work requirements. 2. The following financial aspects need to be taken into consideration: 2.1 All activity preparation costs are the responsibility of the preferred contractor; 2.2 The program requires the preferred contractor to submit deliverables on schedule for payment. 25 TERMS AND CONDITIONS This Agreement is made and is in full force as of the first day of the Effective Date between the Company and the Contractor. The Company and the Contractor are collectively referred to as the Parties. 1. BACKGROUND 1.1 The Company is an international project management and consultancy company that provides technical systems and project management. 1.2 The Contractor has represented that it has the necessary expertise and skills to assist the Company. 1.3 Based on the Contractor s representations, the Company has decided to engage the Contractor to provide services to the Company on a call-down basis with no obligation on the Company to procure services. 1.4 The Contractor has agreed to provide the services as defined in this Agreement for the consideration and on the terms and conditions contained in this Agreement. 2. PROVISION OF SERVICES 3.1 The Contractor will provide the Services outlined in Annex A / Part 2 Description of Services (the Services) in accordance with this Agreement. 3.2 Any request for Services will be made through a Work Order issued by the Company to the Contractor. 3.3 The terms of this Agreement apply to all Work Orders issued by the Company and in the even of an inconsistency between the provisions of this Agreement any any Work Order, the provisions of this Agreement will take precendence unless specificially superseded in the Work Order and agreed in writing by the Company and the Contractor. 3.4 The Contractor will: a. exercise and ensure its Personnel exercise the high standard of skill, care, diligence, efficiency and economy that would be expected of an expert professional provider of the Services; b. act and ensure its Personnel act in good faith and in the best interests of the Company; c. notify the Company as soon as it becomes aware of any event, issue, or circumstances which may adversely affect the performance of the Contractor s Services; d. comply and ensure its Personnel comply with all reasonable directions by the Company, including a direction to suspend, discontinue, substitute, or otherwise vary part or all of the Services or to deliver Project Material; and e. comply and ensure its Personnel comply with all Legislative Requirements affecting the performance of the Services. 4. TRANSPORT AND LOGISTICS The Contractor is responsible for arranging and providing all transport and logistics to enable the provision and completion of the Services unless specifically provided for in this Agreement. 5. WARRANTIES AND REPRESENTATIONS The Contractor warrants, represents and undertakes for the duration of the Term that: 5.1. it has and will continue to hold all necessary regulatory approvals from the Regulatory Bodies necessary to perform the Contractor s obligations under this Agreement; 5.2. at the Effective Date, no conflict of interest exists or is likely to arise in the performance of its obligations under this Agreement and that it will use its best endeavors to ensure that no conflict of interest arises in relation to the performance of any aspect of this Agreement; 5.3. it has full corporate power and authority to enter into, perform and observe its obligations under this Agreement; 5.4. its Personnel have the necessary experience, skill, knowledge, expertise and competence to perform the Services; 5.5. it has and will continue to have all necessary rights in, and to, the Contractor s software or the third party software or any other materials required to perform the Contractor s obligations under this Agreement; 5.6. all statements and representations made to the Company by the Contractor prior to, or in, this Agreement are to the best of its knowledge, information and belief true and accurate and that it will advise the Company of any fact, matter or circumstance of which it may become aware which might render any such statement or representation false or misleading; 5.7. the Contractor will immediately notify the Company if at any time it becomes aware that a warranty or representation given by it under this Agreement has been breached, is untrue or is misleading; and ID PC01 SOP01 TL01 Agreement to provide services 4 / 33

27 5.8. where this Agreement is terminated prior to the completion of the Services (for whatever reason) the Contractor will supply all necessary information and explanation required by the Company in relation to the Services provided and any software used by the Contractor to enable the Company to use and complete the Services. 6. ACCESS BY THE COMPANY The Contractor will give persons authorised in writing by the Company reasonable access to premises occupied by the Contractor where the Services are being carried out and will permit such persons to inspect any information or Project Material or records relating to the Services regardless of the location of the Project Material or records. 7. POLICIES AND PROCEDURES 7.1 The Contractor confirms that it has been made aware of, has read and understood and will follow all the policies and procedures listed or referred to in Annex E, which may be updated from time to time. 7.2 When applicable, the Contractor will also comply with and follow any Standard Operating Procedures and Guidelines, Procedural Manuals, Safety and Security Plans, or any other policies and procedures for the Project when required to do so by the Company. 7.3 The Contractor will immediately inform the Company if the Contractor becomes aware of any information indicating that any action in breach of the terms of this clause has been committed or may possibly be committed. 7.4 The Contractor will include the terms and requirements of Annex E and Annex F in all subcontracts or other contracts the Contractor makes in connection with this engagement to ensure that all individuals and other entities contracted by the Contractor comply with the terms of this clause. 7.5 The Contractor will ensure that any of its employees involved in any way in the provision of the Services will be made aware of the policies and procedures. 7.6 The Company will be entitled to require the Contractor to provide reasonable evidence that it is complying with the obligations in this clause. 8. PAYMENT In consideration for the Contractor providing the Services, the Company will pay the Contractor in accordance with Annex B. 9. PROJECT MATERIAL AND INTELLECTUAL PROPERTY 9.1 Any Pre-existing Intellectual Property or other intellectual property developed by the Contractor that is not Project Material is the property of the Contractor. 9.2 All Project Material is the property of the Company or the Client, if applicable. 9.3 The Contractor undertakes to complete and sign all documentation necessary to evidence ownership and copyright. 9.4 The Contractor provides the Company and the Client, if applicable, with a perpetual, non-exclusive, worldwide, royalty-free licence to use the Pre-existing Intellectual Property for the purpose of conducting or completing the Project or any related Programme. 9.5 All Inventions/Work(s), whether or not patentable or subject to copyright, which may be made, written, conceived or otherwise provided by the Contractor, or its Personnel, in performing the Services, either alone or in conjunction with others, in whole or in part, is the sole and exclusive property of the Company or the Client (if the Company so directs).
