2 Introduction CUSTOMER: C.O.R.E. is an exclusive rewards and loyalty program for elite end-users in the United States. OFFERS: Our C.O.R.E. members receive special promotions throughout the year on product. REWARDS: C.O.R.E. participants earn points for their qualifying purchases and they can then redeem those points throughout the year for free goods. EXCLUSIVES: C.O.R.E. members have the opportunity to test prototypes and provide input on new product development. Our Mission We guarantee to deliver and service high performance jobsite solutions that enable the end-user to achieve productive and professional results. 2

4 Program Program Guidelines The DEWALT Irwin Lenox DEWALT Engineered by Powers Elco & Proto C.O.R.E. Program is offered by Stanley Black & Decker to a select number of companies annually. The program is intended to reward those companies who truly value the quality, productivity, and business partner relationship that Stanley Black & Decker provides them. Qualifying for C.O.R.E. Participants must demonstrate use and ownership of a high proportion of DEWALT, Irwin, Lenox, DEWALT Engineered by Powers, Elco and/or Proto product. Participants must purchase a minimum of $100,000 in DEWALT, Irwin, Lenox, DEWALT Engineered by Powers, Elco & Proto product to qualify for registration in the program. Participation in the program must be agreed upon by executive level personnel of company requesting induction into the Stanley Black & Decker C.O.R.E. Program. C.O.R.E. Program Dates and Deadlines Qualifying purchases for the 2018 C.O.R.E. Program are those purchases made between November 1, 2017 and October 31, Invoices are due April 30, 2018 for eligible purchases dated between November 1, 2017 & March 31, Invoices are due August 31, 2018 for eligible purchases dated between April 1, 2018 & July 31, Invoices are due November 9, 2018 for eligible purchases dated between August 1, 2018 & October 31, Invoices will not be accepted and will not count towards C.O.R.E. Points if deadlines aren't met. Also, Points earned during the 2018 C.O.R.E. Program can be redeemed anytime between January 1, 2018 and December 21, Qualifying Purchases DEWALT, Irwin, Lenox, DEWALT Engineered by Powers, Elco & Proto branded purchases can be made at any authorized DEWALT, Irwin, Lenox, DEWALT Engineered by Powers, Elco or Proto distributor. Only DEWALT, Irwin, Lenox, DEWALT Engineered by Powers, Elco & Proto branded products will qualify for C.O.R.E. points, including DEWALT Licensed Product. Also, the Porter Cable Drywall Sander Model #7800 and its accessories also qualify towards C.O.R.E. Points. 220V power tools, service parts/repairs, or refurbished tools don t qualify for C.O.R.E. points. To earn C.O.R.E. points, participants must submit invoices for purchased product; Invoices must include Stanley Black & Decker Model Number, Product Description, Quantity Purchased, Price Paid, and Date Purchased. Purchases earn one (1) C.O.R.E. point for every dollar; tax is not included. 4

5 Program Program Guidelines Continued Submitting for C.O.R.E. Points Participants are solely responsible for submitting invoices. Invoices may be submitted via or Fax: Fax: Invoices must include: Stanley Black & Decker Model Number, Product Description, Quantity Purchased, Price Paid, and Date Purchased. All submissions must be the actual invoice. Purchase Orders/Requisitions, packing slips, ship tickets, or hand written submissions will not be accepted. For those accounts with multiple locations, please indicate the location that the purchases are to be applied to so we can ensure that the points get added to the correct account. Qualifying invoices must be submitted within the program s window and deadlines. Any purchase made on or after November 1, 2018 will earn points towards the following year if the customer remains on the C.O.R.E. Program and if the C.O.R.E. Program continues to be an existing program of Stanley Black & Decker. Redemptions Shipping of redeemed product is free. Products may occasionally be on back order or out of stock. We will try to inform the customer if this occurs. If you experience any problems with your order, please us at core@dewalt.com and we will assist you. We encourage C.O.R.E. participants to redeem as often as they can, as orders placed at the December deadline may take longer, due to the influx of orders coming in at year end. 5

Priority Service In addition to the DEWALT 3-year limited warranty including 1 year free service and 90 day money back guarantee, DEWALT stands behind our products with 70+ factory service centers nationally. We now have 3 Service Centers that can Calibrate and Repair your Proto Torque Wrenches in addition to repairing your DEWALT, Powers, Porter Cable, and Bostitch Tools. The 3 locations are Atlanta, GA, Houston, TX & Sacramento, CA. Please contact the local Service Center Team or your Stanley Black & Decker Rep for additional details. FAST TRACK REPAIR: moves you to the front of the line for repairs and service, giving you fast turnaround times as quick as 48 hours. G.R.C. PRICING: Guarantees the price of the repair will not exceed the published price of a new tool. This includes: Complete teardown and inspection, thorough cleaning and inspection, replacement of worn and damaged parts, and full performance and safety checks. If interested get with your local Service Center Team for more details. REPAIR PICK-UP & DELIVERY SERVICE: In select locations, the DEWALT Service Center Team will come to you and pick-up & drop-off your repairs. DROP BOX PROGRAM: For customers in remote locations not close to one of the 70+ DEWALT Factory Service Centers, we will send you a repair box that you can ship your tools in that need to be repaired. Additional Points Opportunities Occasionally, as a C.O.R.E. participant, you may have the opportunity to redeem items on the Redemption Menu at a lower points value than normal. Check the C.O.R.E. website often for announcements to see when these programs are offered. These offers will also be ed to the contact that is listed for your company. 6

Our products are designed and tested by the user. We spend our time on the jobsites learning what features to incorporate into our tools to meet the users needs and exceed their expectations. PRODUCT RESEARCH: As one of our most valued business partners, our C.O.R.E. participants may be asked, on occasion, to take part in our ongoing product research. PROTOTYPE TESTING: As we develop a new tool our C.O.R.E. participants may be asked to test these products and provide feedback. BE THE FIRST TO SEE AND USE OUR NEW PRODUCTS: As a DEWALT C.O.R.E. participant, you will be entitled to see our new products before the general public. All of the foregoing claims are subject to participant executing Stanley Black & Decker standard agreement. Stanley Black & Decker Events We at Stanley Black & Decker understand the value of hard work, but like our users, we also enjoy having fun. C.O.R.E. participants are included when Stanley Black & Decker executes an event, from jobsite safety sessions/lunches, sport marketing events, to our many other grassroots events in your local market. 7

8 Legal C.O.R.E. Program Terms & Conditions The DEWALT/Irwin/Lenox/DEWALT Engineered by Powers, Elco & Proto C.O.R.E. Program ("Program") is made available to you by Stanley Black & Decker. Participation is subject to the following Terms and Conditions: Participation in the C.O.R.E. Program: The Program runs from November 1, 2017 until October 31, Qualifying DEWALT, Irwin, Lenox, DEWALT Engineered by Powers, Elco & Proto Products are the only brands that are accepted towards points for the C.O.R.E. Program. Also, the Porter Cable Drywall Sander Model #7800 and its accessories qualify towards C.O.R.E. Points as well. Documentation showing your qualifying DEWALT/Irwin/Lenox/DEWALT Engineered by Powers/Elco & Proto purchases under this Program must be provided to Stanley Black & Decker by the deadlines set. Also, your selection of redemption items must be submitted to the C.O.R.E. Site by December 21, Membership and all related benefits of the Program are offered at Stanley Black & Decker s sole discretion and subject to these Terms and Conditions. By taking part in the Program you are expressly agreeing to be bound by these Terms and Conditions, as they re amended from time to time. Stanley Black & Decker may discontinue your membership and void or cancel your points balance if any points in your account are issued, received or redeemed through fraud or theft, or otherwise illegally, or not as authorized in these Terms and Conditions and any other terms and conditions in connection with the Program. These rights are in addition to any other legal or equitable remedy which may be available to Stanley Black & Decker under applicable law. Points may only be redeemed for Stanley Black & Decker product that is on the C.O.R.E. Redemption Menu, you may not redeem your points for cash. The website that allows you to redeem points ("Website") may also have additional terms and conditions that apply to Program members. Visit the Website for details about these additional terms and conditions. Your Tax Obligations: You must comply at all times with all laws, rules, and regulations that are applicable to you. The receipt or redemption of points may be subject to tax liability. Any tax liability, including disclosure, with respect to the receipt or use of points is solely your responsibility. You agree to check with your tax advisor regarding possible tax implications of participating in this Program. You agree that if you object to any of these Terms and Conditions or any modifications thereof or otherwise become dissatisfied with the Program, your only recourse is to immediately discontinue participation in the Program and terminate your membership. You agree to comply with all Terms and Conditions herein. Redemptions totaling $600 or higher in value, per person or business within a calendar year, may be subject to income tax and a completed and signed IRS Form W-9 will be required from you. An IRS Form 1099 may be issued to you for aggregate value of redemptions that you receive in a calendar year from Stanley Black & Decker under this Program. Redeeming Your Points: Until the Program's end date, points may be redeemed only via the Website towards redemption items offered through the Program. At the time of redemption you will be asked to confirm the ship to address and phone number. Also, Points will be subtracted from your account once you submit the redemption order. Stanley Black & Decker reserves the right to refuse, refund or to exchange points if merchandise is returned, lost, stolen or destroyed. Points cannot be transferred from one account to another or carried over after the Program s end date. All points expire on the Program s end date. 8

Program Terms & Conditions Continued Limitation of Liability: Stanley Black & Decker or its employees, officers, directors, shareholders, agents, representatives, subsidiaries, parent companies or other affiliates shall not have any responsibility or liability for any claim, loss, injury, damage, delay, accident, cost or expense (including, without limitation, attorneys' fees and costs of suit), nor shall they have any responsibility for any incidental, indirect, special, punitive, exemplary, or consequential damages, directly or indirectly arising out of or related to (1) the Program, or (2) the redemption for or use of any goods, services or redemption items obtained through the Program. Each participant agrees to release and hold Stanley Black & Decker, its employees, officers, directors, shareholders, agents, representatives, and its subsidiaries, parent companies or other affiliated companies harmless from any and all damages, losses, claims and/or liabilities arising out of your participation in the Program or resulting from your acceptance or claim of any redemption item rewarded hereunder. The foregoing limitations of liability shall apply whether the alleged liability is based on contract, negligence, tort, strict liability or any other basis. In no event shall Stanley Black & Decker or its employees, officers, directors, shareholders, agents, representatives, subsidiaries, parent companies or other affiliates maximum combined aggregate liability hereunder for any cause whatsoever in any calendar year arising out of or in connection with the Program exceed Twenty-Five dollars ($25.00). If any of the foregoing limitations of liability is found to be void, invalid or unenforceable for any reason by a court or authority of competent jurisdiction, then such limitations of liability shall be changed and interpreted by such court or authority so as best to accomplish the intent and the objectives of the original provisions to the fullest extent allowed by law and the remaining limitations of liability shall remain in full force and effect. Nothing set forth in these limitations of liability affects any rights you may have that by law cannot be excluded or limited, including, without limitation, any rights you may have as a consumer that by law cannot be excluded or limited. Program May be Suspended, Changed or Terminated: Stanley Black & Decker reserves the right, at its sole discretion, to suspend, change or terminate the Program, in whole or in part; to add, delete or change participants; to modify, limit or suspend the use of redemption of points in any respect; to modify or change redemption procedures, including the number of points required for particular redemption items; to modify, limit or suspend the collection of points, including but not limited to imposing time limits and changes in point values. Stanley Black & Decker may make these changes even though the changes may affect the value of the points already accumulated at any time and from time to time. You should not rely upon the continued availability of the Program, or any redemption offers, products or merchandise or other offers made in connection with the Program. All merchandise, products and/or offers are available while supplies last and are subject to change and/or revocation without notice. Stanley Black & Decker reserves the right to substitute any redemption item, in its sole discretion, if such redemption item is not available. Terms and Conditions May Change or be Terminated: Stanley Black & Decker reserves the right, at its sole discretion, to alter, limit, modify, amend or add to the Program and these Terms and Conditions, or to restructure or terminate the Program in whole or in part. Governing Law and Venue: Your participation and activity in the Program or in connection therewith is subject to Stanley Black & Decker s verification and acceptance, which acts shall be deemed made, performed, transacted, and closed in the State of Maryland. By participating in the Program, you agree that the laws of the State of Maryland, without regard to its conflict of laws, rules, will govern these Terms and Conditions. Venue for any disputes arising in connection with the Program or these Terms and Conditions shall be in the federal or state courts in the State of Maryland, and through participation in the Program, participants consent to the jurisdiction of the federal and state courts of the State or Maryland. 9

Stanley Black & Decker s failure to comply with these Terms and Conditions because of an Act of God, war, fire, riot, terrorism, earthquake, actions of federal, state or local governmental authorities or for any other reason beyond Stanley Black & Decker s reasonable control will not be deemed a breach of these Terms and Conditions. If Stanley Black & Decker fails to act with respect to your breach or anyone else's breach of these Terms and Conditions on any occasion, Stanley Black & Decker does not waive its rights to act with respect to future of similar breaches. These Terms and Conditions constitute the entire agreement between you and Stanley Black & Decker regarding your participation in the Program, your entitlement to collect and redeem points through the Program, and your entitlement to any other benefits of the Program, and supersedes all prior agreements between us, whether oral or written, including, without limitation, all previous versions of these Terms and Conditions or the Program. If any provision of these Terms and Conditions is found to be void, invalid, or unenforceable for any reason by a court or authority of competent jurisdiction, then such provision shall be changed and interpreted by such court or authority so as best to accomplish the intent and the objectives of the original provisions to the fullest extent allowed by law and the remaining provisions of these Terms and Conditions shall remain in full force and effect. You are responsible for restricting access to and maintaining the confidentiality of your account and password, and you agree to accept responsibility for the activities of anyone using your password. Points have no credit value. In certain jurisdictions, where required by law, 500 points would be deemed to have a cash value not exceeding one twentieth of one cent.
