Operations Policy Restrictions on Vehicle Advertising (Solicitations) & Rolling Billboards The Franchise Agreement provides us (the Franchisor) with the authority to restrict the use of our marks (VA logos, slogans, tradenames, etc.) in advertising, marketing and promotions by franchisees (Franchise Agreement paragraphs: Recitals C, 3.4, 8.2, 9.5, 9.11B, 21.1(7), (11), 12.7(B)). The Agreement also provides that we may establish reasonable new policies to be implemented by franchisees throughout the franchise system. We have made the decision to regard use of vehicles with signage bearing VA marks as solicitation (and as advertising ) and restrict its use as follows: Vehicles bearing VA marks in non-metro areas may be driven only within the boundaries of the franchisee s protected territory and to client residences within any territory which has not been assigned to any franchisee. Franchisees will not be permitted to drive signed ( wrapped ) VA vehicles outside of their protected territories (within unassigned territory) to the locations of any referral sources that are restricted by the Franchise Agreement ( 3.3, 3.3A, 3.3 B, 3.3 C). We know that there are instances in which franchisees may properly service clients outside of their protected territories, pursuant to the Franchise Agreement. However, in such instances, franchisees are not to drive to residences of clients in their vehicles bearing signs with the VA marks unless the client resides in an area that has not been assigned to any other franchisee. The below exceptions to the policy will be permitted: A franchisee living outside of his/her protected territory (or staff member who drives the vehicle) will be permitted to park the vehicle at home and drive to and from work even if this is through another franchisee's territory (one round trip per day). Franchisees will be permitted to drive signed (wrapped) vehicles anywhere (no restrictions) if the contact information posted on the signs is limited to the LAS corporate 800 number and the va.com website. Franchisees will be permitted to drive signed vehicles anywhere they choose outside of their metro areas and within the metro area for purposes of a long distance trip such as a vacation. Enforcement of this policy will not be based on any auditing by the Franchisor; it will be in the event of any complaints received from franchisees. Please plan accordingly and allow AT LEAST 96 hours (4 days) turnaround time. This process is time consuming so we will not be able to process any last minute requests. You must include the company you will be using for the wrap on this form.
