1 McCracken County Board of Education 435 Berger Road Paducah, KY Mrs. Johnna Lee DeJarnett Assistant Superintendent REQUEST FOR PROPOSAL BANKING SERVICES The McCracken County Board of Education requests proposals for the banking services listed in this Request for Proposals. The specifications listed below are the basis of determination of the best value for the school district. Proposals will be evaluated to determine the best value for the district based on investment interest rates, the prices charged for fees, online banking software and tools, the number and location of banking center branches related to proximity of district schools, the availability of remote deposit services or courier services, and references. The Board reserves the right to reject any and all bids and to waive any informality in a bid if that action is in the best financial interest of the school district. Banking Service Proposal Opening 3:00 p.m. CDT, Monday, April 21, 2014 Attention: Mrs. Johnna Lee DeJarnett Sealed proposals will be accepted until opened at 3:00 p.m. CDT on Monday, April 21, 2014, at the Board of Education office. Proposals received after that time and date will not be opened and read for consideration. The McCracken County school district accepts no responsibility for proposals arriving late. Proposals must be clearly marked: Banking Service Proposal and be submitted in ink or typewritten. Any agent of the company placing the proposal must be acknowledged by the officer or agent of the company legally authorized to do so. All proposals shall be valid for a period of sixty (60) days from the proposal opening date to allow for tabulation, study, and acceptance by the school board. If awarded the contract, the prices will then be firm for the time period indicated under Period of Contract. A bidder may withdraw his bid after it has been submitted only if a written request is submitted and received prior to acceptance by the Board. 2 Instructions to Bidders 1.0 Proposal 1.1 Submission of Proposals Signed, sealed, written proposals, labeled Banking Service Proposal must be submitted with one (1) copy to McCracken County Schools, 435 Berger Road, Paducah, KY by 3:00 p.m. CDT on Monday, April 21, Form of Proposal Responding vendors should answer the questions in this solicitation and submit the Bidder Reply Form, which is the last page. 1.3 Statements The statements contained herein, particularly in the experience and estimated volume sections, are made for the purpose of informing and assisting prospective bidders in preparing bids. None of the statements contained herein should be construed to be a warranty or representation. 1.4 Questions Questions regarding this Request for Proposal (RFP) should be addressed in writing via US mail, fax, , delivery service, or in person to Mrs. Johnna Lee DeJarnett, Assistant Superintendent at the Board office or johnna.dejarnett@mccracken.kyschools.us. 1.5 Modification or Withdrawal of Offers Offers may be modified by written notice received prior to submission deadline. An authorized representative may withdraw an offer in person, provided his identity is made known and he signs a receipt for the offer. 1.6 Amendments to Proposals Amendments to this RFP may be necessary prior to the closing date and will be furnished in the form of written addenda by mail to all prospective bidders. Oral communication will not be construed as amending data unless converted to the form of written addenda and conveyed to all prospective bidders. 1.7 Compliance to State Laws It is agreed and understood that any contract as a result of this proposal will be governed under state laws. The rights and obligations of the parties will be determined in accordance with the laws of the Commonwealth of Kentucky. 2.0 Vendor Qualifications 2.1 Member FDIC The bank must be a member of the FDIC. 2.2 Government Banking Knowledge McCracken County Schools understands its role as steward of the taxpayers assets and desires a bank that can guide it through compliance with collateral requirements and acceptable investment alternatives under Kentucky Revised Statues. Please provide information about the bank s qualifications and expertise in Government Banking. 2.3 References Please provide the names of three (3) current clients (preferably government or municipal clients) whose banking activity is similar to that of the district s. References should include the client s name, contact person, and phone number. 2.4 Locations The bank shall have locations convenient to the school district. Please provide a list of locations and banking hours. 2

3 3.0 Terms and Conditions of Contract The contract period will be June 1, 2014 through May 31, The Board has the annual right to cancel the agreement. 3.1 Termination/Cancellation McCracken County Schools may terminate this contract for failure of the bank to meet with the requirements set forth in this RFP. In that case, a termination date will be set which is mutually agreeable to McCracken County Schools and the bank. 3.2 Out-Sourced Services Should the bank out-source any or part of the services required by this bid to a third party, the contractual relationship will remain between the bank and McCracken County Schools. 3.3 Amendment to Contract It is recognized that subsequent written amendments to the awarded contract may be necessary; such amendments will require mutual agreement of the parties. 3.4 Liaison Officer The bank will identify one of its employees as a Liaison Officer knowledgeable in all areas of the contract. McCracken County Schools in turn has acknowledged Mrs. Johnna Lee DeJarnett as the Liaison Officer knowledgeable in all areas of this request. 4.0 Required Accounts 4.1 The following independent accounts will be required: General Revenue/Operation & Maintenance Checking Account Average monthly cash balance for March 2013-February 2014: $26M; low is $18.5M; high is $31.3M Average monthly deposits: Average checks issued per month: Total estimated ACH payments received monthly: Total estimated ACH payments made monthly: Six (6) transactions are related to our 1 monthly payroll, which is approximately 1100 transactions One (1) is for postage Food Service Holding Account Total estimated monthly cash balance: $0 to $200, Total estimated monthly deposits: Total estimated checks issued: Total ACH transactions: Monthly statement must be ed or available online by the second business day of the month for the General Revenue and Food Service Holding accounts Hard copies of monthly statements must be received by the 10 th of the month for the accounts listed above. 5.0 Deposit and Receipt Collection Services to be Provided 5.1 Electronic Fund Transfers Accepting The bank will have the capability of accepting electronic fund transfers utilizing automated clearinghouse (ACH) files and record formats. 3

4 5.1.2 McCracken County Schools will designate, with the sender, to which account the EFT or other transfers should be directed. 5.2 Federal Reserve Wire System Accepting The bank will have direct or indirect access to the Federal Reserve Wire System The bank must meet the same requirements as listed under 5.1 Electronic Fund Transfers Accepting 5.3 Deposit Processing Various payments are deposited by McCracken County Schools personnel daily, as needed. Please provide information and fees associated with the schedule of funds availability The district office is currently supplied with a scanner and computer program for remote deposits of checks at no cost to the district. Please provide information and fees associated with this type of service. 5.4 Electronic Banking Service McCracken County Schools uses many electronic banking services utilizing the internet. Please describe all available services and associated costs for these services. 5.5 Lockbox McCracken County Schools requires the use of a lockbox. Does the bank offer lockbox services? If so, please provide information related to fees and availability. 5.6 Courier Services The primary depository shall provide courier service for the primary board account (Central Office, 435 Berger Road) at least two (2) times per week, unless a remote deposit application and device are provided to the district. 5.7 Supplies Does the bank charge for providing supplies such as bank bags? Does the bank assess charges to provide blank deposit tickets along with debit and credit memo forms? McCracken County Schools currently purchases blank checks from a third-party vendor and prints its own with encoding ink. 6.0 Disbursement Services and Other Services to be Provided 6.1 Direct Deposit of Employee Paychecks McCracken County Schools utilizes direct deposit for payroll. The school district will provide the bank with the appropriate data for all such deposits. The bank will then use the most effective means to make transfers to other financial institutions to make deposits to employees accounts on the morning of the official pay date Please specify when the data is to be delivered prior to the scheduled pay date. McCracken County Schools currently transfers funds via ACH format Indicate how and when manual reversing entries are to be processed prior to the scheduled pay date. Errors in transmission of employees deposits must be corrected within 24 hours of notification by the school district. If the bank should for any 4

5 reason fail to transmit the information on a timely basis, it shall be responsible for notifying all institutions involved If Positive Pay is an option offered, please specify the requirements and cost. 6.2 Forged, Altered, and Counterfeit Checks The bank will use all reasonable and necessary procedures for follow-up collections on a forged endorsement or on any altered or counterfeit checks paid against any McCracken County Schools account Please describe your procedures and what documentation is expected from McCracken County Schools Please describe any additional recommended services that would increase fraud protection for McCracken County Schools. Include a schedule of fees. 6.3 Stop Payments McCracken County Schools requires that stop payment orders remain in effect for a period of time not less than one (1) year. McCracken County Schools will receive a stop payment expiration notice. This service will be provided for every active account McCracken County Schools may notify the bank by electronic banking, phone, fax, or of any stop payment orders. The bank must execute the request within 24 hours and will notify the school district Liaison Officer by phone, fax, or of any stop payment Please include a list of fees for stop payment orders. 6.4 Reconciliation Services McCracken County Schools requires the use of an electronic reconciliation download form from online banking that would be performed daily. The required file type is compatible with Excel Please describe any additional recommended services that would create efficiencies and/or investment returns for McCracken County Schools. Include a schedule of fees. 6.5 Corrections The bank will use all reasonable and necessary methods of correcting all encoding errors, lost items, or any other errors found in reconciling McCracken County Schools accounts. All errors must be resolved within ten (10) banking days of written notification by the Liaison Officer. 6.6 Audit Cooperation The bank shall provide assistance and cooperation with the Board s audit firm. 6.7 Transition In the event the bank is not designated by the Board as its primary depository in the future, the bank shall continue to pay interest at the rate established by this quote document on any funds remaining in any accounts at that financial institution until all outstanding checks have cleared the bank. In addition, the primary depository 5

6 agrees to assist the Board in its transition to a new depository, should the need arise. 7.0 Investments McCracken County Schools desires to use any investment vehicle within the KRS statutes to maximize investment returns. McCracken County Schools desires bank services to best manage their investment portfolio. Provide information on the bank s investment services for CDs, Treasuries, and other Federal Government Agencies investment vehicles. 8.0 Statements 8.1 The bank will provide monthly statements with information through the last day of the month. 8.2 The bank will provide monthly analysis statements for all accounts. Please provide a sample analysis statement. 8.3 The bank will provide the option of returning cancelled checks to McCracken County Schools via electronic imaging. Please provide information about this service. 9.0 Electronic Banking Services 9.1 McCracken County Schools utilizes electronic banking services for transfers between accounts. Please indicate whether the bank can provide these services and what the fees would be Please describe whether the bank provides PC or internet based software for McCracken County Schools to access account information What other electronic banking services are available? 10.0 Other Services Offered by Bank 10.1 Provide information on any alternative or additional value added services not covered in this RFP that you would recommend McCracken County Schools consider. 8 McCracken County Board of Education: Kentucky Model Procurement Code Guidelines for Bids The McCracken County Board of Education has adopted the Kentucky Model Procurement Code, KRS 45A.345 to 45A.460. The code can be reviewed at The Board, all bidders, and all contractors must comply with all provisions of that code, including, but not limited to the following: 45A.343 Local public agency may adopt provisions of KRS 45A.345 to 45A Effect of adoption - - Contracts required to mandate revealing of violations of and compliance with specified KRS chapters - - Effect of nondisclosure or noncompliance. (1) Any local public agency may adopt the provisions of KRS 45A.345 to 45A.460. No other statutes governing purchasing shall apply to a local public agency upon adoption of these provisions. (2) After July 15, 1994, any contract entered into by a local public agency, whether under KRS 45A.345 to 45A.460 or any other authority, shall require the contractor and all subcontractors performing work under the contract to: (a) Reveal any final determination of a violation by the contractor or subcontractor within the previous five (5) year period pursuant to KRS Chapters 136, 139, 141, 337, 338, 341, and 342 that apply to the contractor or subcontractor; and (b) Be in continuous compliance with the provisions of KRS Chapters 136, 139, 141, 337, 338, 341, and 342 that apply to the contractor or subcontractor for the duration of the contract. (3) A contractor's failure to reveal a final determination of a violation by the contractor of KRS Chapters 136, 139, 141, 337, 338, 341, and 342 or to comply with these statutes for the duration of the contract shall be grounds for the local public agency's: (a) Cancellation of the contract; and (b) Disqualification of the contractor from eligibility for future contracts awarded by the local public agency for a period of two (2) years. (4) A subcontractor's failure to reveal a final determination of a violation by the subcontractor of KRS Chapters 136, 139, 141, 337, 338, 341, and 342 or to comply with these statutes for the duration of the contract shall be grounds for the local public agency's disqualification of the subcontractor from eligibility for future contracts for a period of two (2) years. 45A.395 Determination of responsibility - - Right of nondisclosure. (1) A written determination of responsibility of a bidder or offeror shall be made, based on a reasonable inquiry conducted by the local public agency. The unreasonable failure of a bidder or offeror to promptly supply information upon request may be grounds for a determination of nonresponsibility of such bidder or offeror. (2) A written determination of responsibility of a bidder or offeror shall not be made until the bidder or offeror provides the local public agency with a sworn statement made under penalty of perjury that he has not knowingly violated any provision of the campaign finance laws of the Commonwealth and that the award of a contract to the bidder or offeror will not violate any provision of the campaign finance laws of the Commonwealth. "Knowingly" means, with respect to conduct or to a circumstance described by a statute defining an offense, that a person is aware or should have been aware that his conduct is of that nature or that the circumstance exists. (3) Except as otherwise provided by law, information furnished by a bidder or offeror pursuant to this section may not be disclosed outside of the local public agency without prior written consent of the bidder or offeror. 8

9 45A.400 Prequalification of bidders and offerors. Suppliers may be prequalified as responsible prospective contractors for particular types of supplies, services, and construction. No supplier shall be prequalified as a responsible prospective contractor until the supplier provides the local public agency with a sworn statement made under penalty of perjury that he has not knowingly violated any provision of the campaign finance laws of the Commonwealth and that the award of a contract to the supplier will not violate any provision of the campaign finance laws of the Commonwealth. "Knowingly" means, with respect to conduct or to a circumstance described by a statute defining an offense, that a person is aware or should have been aware that his conduct is of that nature or that the circumstance exists. Solicitation mailing lists of potential contractors of such supplies, services, and construction shall include, but shall not be limited to, such prequalified prospective contractors. Prequalification shall not foreclose a written determination: (1) Between the time of bid opening or receipt of offers in the making of an award that a prequalified prospective contractor is not responsible; or (2) That a prospective contractor who is not prequalified at the time of bid opening or receipt of offers is responsible. KRS 45A.455 Conflict of interest; gratuities and kickbacks; use of confidential information (1) It shall be a breach of ethical standards for any employee with procurement authority to participate directly in any proceeding or application; request for ruling or other determination; claim or controversy; or other particular matter pertaining to any contract, or subcontract, and any solicitation or proposal therefor, in which to his knowledge: (a) He, or any member of his immediate family has a financial interest therein; or (b) A business or organization in which he or any member of his immediate family has a financial interest as an officer, director, trustee, partner, or employee, is a party; or (c) Any other person, business, or organization with whom he or any member of his immediate family is negotiating or has an arrangement concerning prospective employment is a party. Direct or indirect participation shall include but not be limited to involvement through decision, approval, disapproval, recommendation, preparation of any part of a purchase request, influencing the content of any specification or purchase standard, rendering of advice, investigation, auditing, or in any other advisory capacity. (2) It shall be a breach of ethical standards for any person to offer, give, or agree to give any employee or former employee, or for any employee or former employee to solicit, demand, accept, or agree to accept from another person, a gratuity or an offer of employment, in connection with any decision, approval, disapproval, recommendation, preparation of any part of a purchase request, influencing the content of any specification or purchase standard, rendering of advice, investigation, auditing, or in any other advisory capacity in any proceeding or application, request for ruling or other determination, claim or controversy, or other particular matter, pertaining to any contract or subcontract and any solicitation or proposal therefor. (3) It is a breach of ethical standards for any payment, gratuity, or offer of employment to be made by or on behalf of a subcontractor under a contract to the prime contractor or higher tier subcontractor or any person associated therewith, as an inducement for the award of a subcontract or order. (4) The prohibition against conflicts of interest and gratuities and kickbacks shall be conspicuously set forth in every local public agency written contract and solicitation therefor. (5) It shall be a breach of ethical standards for any public employee or former employee knowingly to use confidential information for his actual or anticipated personal gain, or the actual or anticipated personal gain of any other person. 9

10 The Board, all bidders, and all contractors must comply with all provisions of KRS 45A.490 to 45A.494, (copies of which can be found at the government website set about above) including, but not limited to the following: KRS 45A.490 Definitions for KRS 45A.490 to 45A.494. As used in KRS 45A.490 to 45A.494: (1) "Contract" means any agreement of a public agency, including grants and orders, for the purchase or disposal of supplies, services, construction, or any other item; and (2) "Public agency" has the same meaning as in KRS KRS 45A.494 Reciprocal preference to be given by public agencies to resident bidders -- List of states -- Administrative regulations. (1) Prior to a contract being awarded to the lowest responsible and responsive bidder on a contract by a public agency, a resident bidder of the Commonwealth shall be given a preference against a nonresident bidder registered in any state that gives or requires a preference to bidders from that state. The preference shall be equal to the preference given or required by the state of the nonresident bidder. (2) A resident bidder is an individual, partnership, association, corporation, or other business entity that, on the date the contract is first advertised or announced as available for bidding: (a) Is authorized to transact business in the Commonwealth; and (b) Has for one (1) year prior to and through the date of the advertisement, filed Kentucky corporate income taxes, made payments to the Kentucky unemployment insurance fund established in KRS , and maintained a Kentucky workers' compensation policy in effect. (3) A nonresident bidder is an individual, partnership, association, corporation, or other business entity that does not meet the requirements of subsection (2) of this section. (4) If a procurement determination results in a tie between a resident bidder and a nonresident bidder, preference shall be given to the resident bidder. (5) This section shall apply to all contracts funded or controlled in whole or in part by a public agency. (6) The Finance and Administration Cabinet shall maintain a list of states that give to or require a preference for their own resident bidders, including details of the preference given to such bidders, to be used by public agencies in determining resident bidder preferences. The cabinet shall also promulgate administrative regulations in accordance with KRS Chapter 13A establishing the procedure by which the preferences required by this section shall be given. (7) The preference for resident bidders shall not be given if the preference conflicts with federal law. (8) Any public agency soliciting or advertising for bids for contracts shall make KRS 45A.490 to 45A.494 part of the solicitation or advertisement for bids. Pursuant to KRS certain employees of the Board and Department of Education are also prohibited from contracting with the Board. KRS states as follows: KRS Employees of department or school districts with decision-making authority prohibited from supplying goods or services for which school funds are expended -- Penalties. (1) No commissioner, associate commissioner, deputy commissioner, director, manager, purchasing agent, or other employee of the Department of Education with decision-making authority over the financial position of a school, school district, or school system shall have any pecuniary interest in the school, school district, or school system, either directly or indirectly, in an amount exceeding twenty-five dollars ($25) per year, either at the time of or after his appointment to office, in supplying any goods, services, property, merchandise, or services, except personal services that are in addition to those required by contract for employment, of any nature whatsoever for which school funds are expended. If any person specified in this subsection 10

11 receives, directly or indirectly, any gift, reward, or promise of reward for his influence in recommending or procuring the use of any goods, services, property, or merchandise of any kind whatsoever for which school funds are expended, he shall upon conviction be fined not less than fifty dollars ($50) nor more than five hundred dollars ($500), and his office or appointment shall without further action be vacant. (2) No employee of any county or independent school district with decision-making authority over the financial position of the school district shall have any pecuniary interest, either directly or indirectly, in an amount exceeding twenty-five dollars ($25) per year, either at the time of or after his appointment to office, in supplying any goods, services, property, merchandise, or services, except personal services that are in addition to those required by contract for employment, of any nature whatsoever for which school funds are expended. If any person specified in this subsection receives, directly or indirectly, any gift, reward, or promise of reward for his influence in recommending or procuring the use of any goods, services, property, or merchandise of any kind whatsoever for which school funds are expended, he shall upon conviction be fined not less than fifty dollars ($50) nor more than five hundred dollars ($500), and his office or appointment shall without further action be vacant. 11

14 McCracken County Board of Education Required Affidavit for Bidders, Offerors and Contractors Claiming Resident Bidder Status for Bids and Contracts in General The bidder or offeror hereby swears and affirms under penalty of perjury that, in accordance with KRS (2), the entity bidding is an individual, partnership, association, corporation, or other business entity that, on the date the contract is first advertised or announced as available for bidding: 1. Is authorized to transact business in the Commonwealth; 2. Has for one year prior to and through the date of advertisement a. Filed Kentucky corporate income taxes; b. Made payments to the Kentucky unemployment insurance fund established in KRS ; and c. Maintained a Kentucky workers compensation policy in effect.
