CERTIFICATION OF FUNDS The obligations of this MOU, and any renewal thereof, shall be contingent upon the PUCO's receipt of certification of available funds from the Office of Budget & Management, in accordance with Ohio Revised Code Section X. ASSIGNMENT AND SUBLETTING The PUCO shall not assign or sublet all of any part of the space described in this MOU without the prior written consent of Zanesville. XI. LIABILITY Each part to this MOU recognizes that the other is self-insured. Nothing in this MOU shall be construed as an indemnification by one part of the other for liabilities of the other party or third parties for property loss or damage or personal injury or death arising out of and/or during the use described in this MOV. Any liability for claim for property loss or damage or personal injury or death by a party, its employees, agents, invitees, or contractors, or by third persons, arising out of and during the activities associated with the MOU shall be determined in accordance with Chapter 2743 of the Ohio Revised Code. XIII. MODIFICATION Page 3 of4

2 This MOU may be modified or revised by the parties any time by written agreement of the parties. XIV. TERMINATION This MOU may be terminated, by written agreement of the parties, upon sixty days prior written notice to the other party. Upon receiving that notice, Zanesville and the PUCO will schedule joint inspection of the premises in order to determine the condition of the premises prior to surrender by the PUCO. XV. WHEREAS, the City of Zanesville has been required by the Ohio Environmental Protection Agency (OEPA) to have an approved combined sewer overflow Long Term Control Plan (LTCP), which was approved on June 17, 2008; and WHEREAS, the City of Zanesville selected AECOM per Ohio Revised Code for assistance in making revisions to the LTCP; and WHEREAS, Phase 1 of the L TCP update, as authorized by Ord. No , was successfully completed with OEPA agreeing to modify the City of Zanesville NPDES permit to allow the City to submit an updated LTCP by December 31,2020; and WHEREAS, the City negotiated the update of the LTCP (Phase 2) Scope of Services with AECOM that includes new data collection and modeling of the City's Wastewater Treatment Plant and sewer systems; and WHEREAS, to meet the Ohio EPA deadline, the administration would like to proceed with the Phase 2 of the update as approximately detailed in Attachment A: City of Zanesville LTCP Update Phase 2. NOW, THEREFORE, BE IT ORDAINED, by the Council of the City of Zanesville, State of Ohio, that: SECTION ONE: the Public Service Director is hereby authorized to enter into a professional contract w ith AECOM for updating the combined sewer overflow LTCP, phase 2. SECTION TWO: The cost for the services is estimated to be $181, and shall come from line item allowed by law. 4 Ordinance Attachment A CITY OF ZANESVILLE LONG TERM CONTROL PLAN UPDATE PHASE 2 & 3 SCOPE OF SERVICES I. INTRODUCTION The City of Zanesville has been executing projects outlined in the current Long Term Control Plan (LTCP) since 2007, including significant upgrades to the WNTP as well as multiple sewer separation projects. As some of the remaining sewer separation projects to be completed in the L TCP are significantly more expensive to design and construct than previous phases, the cost of the remaining projects coupled with the City's existing debt service has the potential to cause financial hardship for the City. AECOM was retained by the City to provide assistance in renegotiation and updating the L TCP. As part of Phase 1 of this L TCP Update, AECOM helped the City submit a L TCP Compliance Schedule Update Request Letter to the OEPA, requesting a deadline of December 31, 2020 for the Updated L TCP submittal. As the OEPA has agreed to this deadline, AECOM is ready to begin phase 2 of the LTCP Update. It is anticipated that Phase 2 of the L TCP Update will occur from February 2019 to December 2019 and will consist of the following key tasks: System Characterization Flow Monitoring Field Investigation GIS Update Hydraulic Modeling Once Phase 2 is completed, AECOM will commence Phase 3 in December 2019, which is anticipated to consist of the following key tasks: Alternative Analysis and Selection Financial Affordability Analysis L TCP Update Development and Submittal by December 2020 A detailed scope of services for Phases 2 and 3 is outlined in the following sections. II. LTCP UPDATE PHASE 2 SCOPE OF SERVICES AECOM will perform the following services unless otherwise noted. A. System Characterization 1. Identify and review key components of the City's wastewater treatment and collection system. AECOM will provide a summary of the components that will include the following:

5 Ordinance Attachment A a. \/INVTP - Provide a general description of the treatment process and identify the average daily and peak hydraulic capacity of the treatment plant. Identify and evaluate any existing hydraulic bottlenecks. Evaluate the potential for flow maximization opportunities, given the current infrastructure and available land space. b. Pump Stations - Provide a description of the City's pump stations, including the type, capacity, and location of each. The City will provide any existing flow, capacity and design data available for the pump stations. c. Interceptors - Provide a description of each, including the size and location. d. Combined Sewer Overflows - Provide a description to include the location, key elevations, current status, and identification by CSO outfall basin. e. Combined Sewer System and Separate Sanitary Sewers - Provide a general description of the areas that are currently served by either combined or separate sanitary sewers. If necessary, review CCTV video, preliminary engineering report documents, record drawings, and as-built documents. f. River Water Intrusion - Obtain and evaluate historical USGS river stage elevation data and data for the years from the NOAA Advanced Hydrologic Prediction Service website. Correlate USGS river stage elevation data with flow monitoring data obtained to identify locations where river water intrusion may be occurring. This will be performed through review of surcharging and backflow conditions as well as extended durations of elevated flow monitor levels in relation to river stage elevations. The City shall be responsible for performing field investigation works to observe regulator backflow prevention device conditions under extreme river stage events to identify potential sources of river water intrusion. This shall include an investigation of the backflow preventer manhole and the regulator manhole to identify if river water intrusion is occurring in the regulator structures. This investigation shall also include an analysis of whether the backflow preventer is operating correctly. g. Conduct a kick-off meeting with the City staff, and a subsequent results analysis review meeting. It is anticipated that this wi ll include two (2) meetings during completion of this project. h. The City shall be responsible for conducting all field investigation work related to system characterization in items 1a through 1f above. B. Flow Monitoring 1. Review project tributary areas with the City and select flow monitoring locations and review access locations. Flow monitor locations to include interceptor sewers, CSO outfalls. and regulator basin monitoring locations. It is anticipated that up to fifteen (15) monitors will be installed for a duration of up to three (3) months. 2

6 Ordinance Attachment A 2. Perform site reconnaissance of the selected flow monitoring sites to review installation requirements 3. Install fifteen (15) flow monitors in the selected locations and complete a site installation form for each location. Install two (2) tipping bucket rain gauge at locations selected with City staff. It is anticipated that two (2) field crews will require three (3) days for the installation of the flow monitors and rain gauges. All sites will require telemetry to provide meter and gauge data. 4. It is anticipated that the flow monitoring period will begin in March Perform monthly inspection of the flow monitors to check meters for fouling and retrieve data; three (3) trips are anticipated during the monitoring period. 6. AECOM shall remove the flow monitors and rain gauges at the end of the flow monitoring period. It is anticipated that AECOM will require three (3) days to remove all fifteen (15) flow monitors and two (2) rain gauges. 7. Perform flow monitoring data analysis to include review of dry weather and wet weather flow data, evaluate peak flow ratios, provide general interpretation of the data and identify system flow components contributing to wet weather flows. It is anticipated that AECOM will provide a summary of the flow monitoring data analysis to the City two (2) times during the flow monitoring period. C. Hydraulic Modeling 1. Update the SWMM model of the City's collection system based on GIS, record drawings and other available information. Create a spatially representative 1:1 model and expand to include additional sewers in specific areas as needed to provide additional detail 2. Update pump stations, diversion structures, and the WWTP representation as necessary in the model based on any provided field inspection or record drawing data 3. Calibrate the model with obtained dry and wet weather flow monitoring data and rainfall data 4. Simulate the selected typical year and produce statistics for each of the designated CSOs 5. Prepare a technical memorandum summarizing the results of the model development, flow monitoring, model development, model calibration, and existing typical year simulation The technical memo will be used to assess the possibility of utilizing the demonstrative approach of the US EPA CSO Policy as part of the LTCP Update. The technical memo will be reviewed with the OEPA to discuss implementation of elimination of existing CSOs versus reducing the number of CSO occurrences to four (4) or less during a typical year. The baseline technical memo will not provide sufficient detail to gain final OEPA approval of a L TCP Update, but it is intended to facilitate discussion of evaluation of the demonstrative approach with OEPA. The LTCP Update is due to Ohio EPA no later than December 31, AECOM anticipates that the L TCP Update final approval would be negotiated with Ohio EPA after submittal of the LTCP Update during Phase III of this Scope. 3
