4 Terms and conditions for the connection and delivery of Audio, video and PC 1. Order Placement Orders may be placed either electronically, via the online shopping basket (by using the Easyorder online shop), or, if you wish to use the attached documents, in writing by completing and submitting the order forms for the event in question. Orders which are made verbally or over the phone must be confirmed by the exhibitor in writing. (2) Electronic orders which are sent from the password-protected online shop are valid without signature. Written orders must bear the legally binding signature of the ordering party, and a single copy must be received by in advance of the event by no later than the date specified on the order form, as it will otherwise be impossible to guarantee their timely completion. Orders submitted by a third party (stand designers/builders, participants in joint stands or similar) shall only be accepted and carried out if they have been placed electronically from this third party s own account or, for written orders, if they bear the signature and company stamp of the exhibitor, or the third party has been granted power of attorney (referred to in the online shop as a subaccount). (3) With regard to orders placed online or in writing that are received less than 11 days before the start of the event, Messe Frankfurt Venue GmbH reserves the right to charge an additional fee of 25% of the order total to cover the additional expenses involved. 2. Description of Services (1) will provide the equipment as ordered by the exhibitor. reserves the right to make partial deliveries. The delivery dates quoted by Messe Frankfurt Venue GmbH are not binding. No recourse claims can be filed due to late delivery or non-delivery. (2) In order to provide exhibitors with rapid assistance in the event of problems, Messe Frankfurt Venue GmbH will operate an emergency stand-by service during the trade fair, whose location can be obtained from the Hall Inspector s Office. During the lease period, the customer is fully liable for the leased equipment and must insure it against all customary risks at its value as new. The customer is liable for the leased equipment for as long as it is in his possession or in the possession of an authorised representative and not solely for the duration of the agreed lease period. No claims of any kind can be asserted until the invoice has been paid in full. Reductions or credits will only be granted and reimbursements made if the leased equipment has a verifiable defect during the lease period for which the customer cannot be held responsible. The customer must give the opportunity of providing substitute equipment. However, has no obligation to supply such substitute equipment. To uphold their claims, customers must give immediate written notification of damage or loss as soon as it is discovered and must make claims against the carrier - and against third parties - without delay. The customer must ascertain the damage or loss together with the carrier or third party and forward to all the documents associated with the measures described above. It is essential for these steps to be taken immediately and for the documents to be sent to Messe Frankfurt Venue GmbH by registered post, so that the insurance claim can be made without problems. Any damage reports submittted after more than one month cannot be accepted. If the goods have not been insured by, delivery will be effected at the recipient s risk. Please note that the wall bracket for plasma and LCD displays must be fitted by your stand builder. 3. Exemption from liability (1) is only liable within the limits of its statutory liability and thus rules out any liability of any kind in excess thereof for personal injury, property damage or financial losses suffered on the trade fair site including buildings. In particular the are ruled out: damage caused by fire, water, explosion, violent attacks, storms or other instances of force majeure or by theft, burglary, breakdown of supply services (i.e. electricity, gas, water) and similar causes, together with damage incurred as a result of the security regulations of Messe Frankfurt GmbH General Terms and Conditions. This also applies to grounds and buildings outside the trade fair site used in connection with the event. (2) This also applies to damage caused by the general public (in particular, by visitors to the event, other exhibitors, persons acting on their behalf, etc.) or employees and representatives of Messe Frankfurt Venue GmbH or by other circumstances. These include erroneous data given and measures taken by, its employees and those acting on behalf of. 4. Invoicing (1) Following the close of the trade fair, Messe Frankfurt Venue GmbH shall usually invoice ordered items based on the duration of rental periods and the charges incurred for their operation. Those charges invoiced shall include all materials employed on a rental basis as well as installation and dismantling involved. shall be entitled to issue invoices before performance of services. (2) The charges listed in our currently valid price list shall be binding upon both parties here-to. Any services that do not appear in the list are not included in the charges stated therein and shall, where applicable, be invoiced separately. (3) Counterclaims can only be offset if they are undisputed or have been confirmed by a court of law in a final form. (4) Complaints regarding failure to deliver ordered items or services or regarding uncompleted services/missing items must be received by the provider/supplier no later than on the first day of the fair. No complaints received at a later date can be accepted. Hidden transport damage (breakage of material, glass, bulbs) will be recognised and replaced within 14 days of delivery; if the glass or bulbs of projection lamps are broken, they will only be replaced free of charge within the above period on condition that the protective covering (if one exists) has not been opened. 5. Cancellations by the ordering Party In the event that an order is to be cancelled, must receive notification thereof in writing no later than three weeks prior to the opening of the event involved. Cancellations can be accepted at later dates only if performance has not yet been rendered, not even in part. The same shall apply analogously to any change to the order. 6. General Terms (1) Both contracting parties accept the above terms and conditions as integral parts of the agreement binding upon both parties. (2) If individual provisions of this agreement are or become invalid, such invalidity shall not affect the remaining provisions. In such a case, both contracting parties undertake to replace the invalid provisions by valid provisions that approach the commercial purpose intended by the invalid provisions as closely as possible. (3) Any terms and conditions which may be printed on the customer s enquiries or orders or to which he may refer in some other way will not be accepted by Messe Frankfurt Venue GmbH if they contradict the latter s terms of supply and payment, even if they have not been refuted individually. 7. Place of performance and jurisdiction (1) The contracting parties expressly agree to Frankfurt am Main as the place of performance and jurisdiction for all claims and legal disputes arising from this contract. (2) As a substitute, the special place of jurisdiction of the place of performance as specified in Section 29 of the German Civil Procedure Code (Zivilprozessordnung) is deemed agreed, with said place of performance resulting from the character of the contract under which the lease is payable at the location of the premises involved. (3) The court of jurisdiction shall also be Frankfurt am Main in the case of disputed dunning procedures. Once the dunning procedure takes the form of legal proceedings and the competent law court at the debtor s general place of jurisdiction assumes the case ex officio, application is to be made for transfer to the competent law court in Frankfurt am Main. (4) Furthermore, each contracting party is entitled to proceed against the other at the latter s place of residence or business. (5) The German text and German law shall prevail in matters of interpretation of conditions and texts. (6) Provisions which are included in the exhibitor s purchasing or order conditions and which conflict with the terms of this Contract of Participation are void, inasmuch as Messe Frankfurt Venue GmbH has not given its express written consent to the individual exceptions requested by the exhibitor. (7) In the event of breaches of the terms contained in the Contract of Participation, Messe Frankfurt is entitled to pronounce and implement immediate exclusion from the event. Any special regulations contained in the various individual conditions are not prejudiced. (8) Messe Frankfurt shall make exclusive use of its rights to decide who enters and occupies the trade fair centre. This also applies to the grounds and buildings used in connection with the event outside the trade fair centre itself. Additionally, these rights also relate to the admittance of third companies which have been commissioned by the exhibitor for

5 activities at the trade fair centre as well as to the nature, extent and conditions for such activities at the centre. (9) The exhibitor agrees with the storage, processing or forwarding of personal data by Messe Frankfurt in accordance with the Federal Law on Data Protection (Bundesdatenschutzgesetz) - including the use of automatic data processing systems -, insofar as this is for business purposes only.
