2 Chapter 1 General Provisions Article 1: Objective These rules aim to determine the operational requirements for TX Entrepreneur Partners (General Incorporated Association) ( TEP ). Chapter 2 Membership Article 2: Membership Categories The membership categories are as follows: (1) Entrepreneur Members Those participating in venture enterprises or potential entrepreneurs who would like support from this organization, as well as those seeking to reinforce connections with other entrepreneurs and mutually enhance their capabilities. (2) Angel Members Individuals who can mentor entrepreneurs in starting and expanding their businesses, engage in investment activities as angel investors, draw upon diverse perspectives to help resolve corporate management issues, or who desire to make seed/early investments in entrepreneurs and start-up businesses. (3) Support Members (i) Individuals sharing TEP s objectives who can leverage special knowledge or skills to assist Entrepreneur members, including in accounting and finance, obtaining patents, legal matters, publicity, presentations, and translation and interpreting. (ii) Individuals sharing TEP s objectives who are willing to provide this organization with clerical support. (iii) Individuals aiming to acquire knowledge to start businesses or become angels through support activities. (4) Corporate Members Legal entities that sympathize with the objectives and activities of this organization, and wish to support entrepreneurs and start-ups in one of the following ways: (i) Personnel cooperation or providing planning to the activities of this organization (ii) Providing advice, introducing networks, or providing business opportunities, investments, investigation of acquisition etc. as a corporation introduced by TEP, to the entrepreneurs and start-ups through the activities of this organization

3 Article 3: Applications and Acknowledged Members Individuals who wish to join this organization need to submit a membership application form determined separately to this organization. The application must be approved by TEP Membership committee. TEP Membership committee will consist of at least two persons appointed by the Board. Article 4: Membership Fees Members must pay the fees below to support TEP s operational costs. The annual fees cover April 1 through March 31 of the following year. (1) Entrepreneur Members A 2,000 JPY enrollment fee and a 6,000 JPY annual fee (or 500 JPY (2) Angel Members A 5,000 JPY enrollment fee and a 60,000 JPY annual fee (or 5,000 JPY (3) Support Members A 2,000 JPY enrollment fee and a 2,400 JPY annual fee (or 200 JPY (4) Corporate Members A 10,000 JPY enrollment fee and a 360,000 JPY annual fee (or 30,000 JPY Article 5: Membership Disqualification Members shall forfeit membership status under any of the following circumstances. (1) Submitting a resignation notice (2) Following a member s death or notification of disappearance (3) When annual fee payments are more than three months in arrears (4) Upon expulsion Article 6: Resignations Members can voluntarily leave TEP by submitting a separately determined resignation form. Article 7: Expulsions The organization can expel a member if the member: (1) Violates the rules of this agreement or TEP regulations (2) Harms TEP s reputation or engages in behavior that violates its objectives Article 8: Non-Refundability of Contributions Fees and other monetary contributions to TEP are non-refundable.

4 Chapter 3 Officers and Organization Article 9: Officer Categories TEP shall appoint the following officers: (1) Chairman: 1 (2) Deputy Chairman: 1 (3) Directors: 3 or more (4) Auditor: 1 Article 10: Management Office TEP shall set up a Management Office to handle its activities. The Chairman shall appoint a General Manager based on resolutions of the Board of Directors to handle TEP s activities. The General Manager may appoint assistants. Article 11: Representatives The organization shall have Representatives for Entrepreneur members, Angel members, Support members and Corporate members. Representatives may appoint deputies. Article 12: Senior Advisers and Advisers TEP can appoint Senior Advisers and Advisers to contribute to its operations. The Chairman shall appoint Senior Advisers and Advisers based on the Board of Directors resolutions to provide overall advice to the organization. Article 13: Advisory Board This organization can set up an Advisory Board of local government, public aid agencies and/or public research institutions to provide advice on efficient and effective operation, and work with them to provide personnel cooperation, provide information, or introduce contacts in the assistance of the operation of the organization. Article 14: Partner Office When there is an office that is considered to be effective for the support activities of the organization and to provide local information, it can be set up as a partner or a partner office domestically or outside of Japan for local information provision. Chapter 4 Accounting Article 15: Activity Plan The Management Office shall produce TEP s Activity plan each fiscal year for the approval by the Board of Directors

5 Article 16: Activity Report and Settlement Following the close of the fiscal year, the Management Office must promptly produce documentation for TEP s activity report and settlement, obtaining approval from the Board of Directors after the Auditor s audit. Chapter 5 Miscellaneous Provisions Article 17: Changes to Rules Approval from the Board of Directors must be obtained for any changes to these rules or any matters that these rules do not cover. Article 18: Bylaws In regards to matters not specified above, if any member is bound by their own bylaws, each member should conduct activities in accordance with those bylaws.
