1 1 General Information 1.1 The name of the club shall be The Goodwood Horseracing Club (GHRC). 1.2 GHRC is owned and operated by Goodwood Racecourse Limited ( the Company ), whose registered office is at Goodwood House, Goodwood, Chichester, West Sussex, PO18 0PX. The Company is registered in England and its registered number is The Directors and appointed employees of the Company are solely responsible for all matters relating to the affairs and management of GHRC and have the authority to amend the terms and conditions of Membership at any time without notice. 1.4 Any questions concerning these terms and conditions of membership should be directed to the Club Membership Secretary. 2 Membership 2.1 The Membership Year will constitute the twelve-month period commencing on 1 January each year. 2.2 GHRC will determine the Membership Fee on 1 December each year, at its discretion. 2.3 The Membership Fees are payable in advance and are due at the start of each Membership Year. 2.4 Members shall be invited to renew their Membership annually through payment of the annual Membership fee. 2.5 New Members may join throughout the year and the dues payable will be as for the whole year, with no reduction for a membership year of less than twelve months. 2.6 Persons wishing to apply for Membership must complete and sign the Application for Membership form. The signed and completed form should be sent to: The Membership Secretary, GHRC, Goodwood Racecourse, Goodwood, Chichester, West Sussex, PO18 0PS. 2.7 New Members will be required to pay a Joining Fee. 2.8 GHRC will determine at its sole discretion whether the applicant has satisfied the relevant conditions of Membership. 2.9 On approval for Membership, the Member will be deemed to have agreed to be bound by the rules and regulations, terms and conditions of GHRC (as amended from time to time) GHRC may decline any application for renewal of Membership and shall not be obliged to give any reason for doing so A Member may only resign their Membership by notice in writing to the Membership Secretary In the event of resignation, suspension or termination of Membership for whatever reason during the Membership year, the

2 Member will not be entitled to a refund of the Membership fee or any part thereof Any Member declared bankrupt or a defaulter on the turf, or who fails to pay the subscription by the final date of payment, or is guilty of conduct unbecoming to a Member, or acts contrary to GHRC rules, shall immediately cease to be a Member. 3 Membership Benefits 3.1 Membership of GHRC enables all Members to benefit from the membership Benefits. Full details of each year s Benefits of Membership leaflet can be obtained from the Club s offices. Membership of GHRC provides: (i) access to The Kennels situated at Kennel Hill, Goodwood, Chichester, West Sussex, PO18 0PN; (ii) entry into the Richmond Enclosure at all meetings and free entry to reciprocal events (on a limited number of occasions); (iii) entitlement to purchase Richmond Enclosure daily guest badges for the Festival Meeting; (iv) two Guests Days; (v) use of the Annual Badge Holders Bar at all meetings; (vi) complimentary desk calendar featuring the complete racing fixture list; (vii) the opportunity to reserve space in the Members car park; (viii) the opportunity to purchase Richmond seat badges at the Festival Meeting. 3.2 All Benefits are subject to availability. 3.3 GHRC reserves the right to vary or cease to provide each and any of the Benefits and shall not be required to provide any alternative Benefit(s). 3.4 Members shall be entitled to use the Benefits and the facilities of GHRC strictly in accordance with the respective applicable terms and conditions (including the Kennels). 3.5 Members shall be held responsible for the conduct of any guest introduced by them. 3.6 All events and benefits organised by or through GHRC are subject to the following payment and cancellation policy. In the event of cancellation by a Member the Member will not be entitled to any refund from GHRC. In the event of cancellation by GHRC, a refund will be made less unrecoverable expenses incurred, at the discretion of GHRC. 3.7 GHRC and its management shall have the right at any time to hold promotional and other special events but are under no obligation to do so.

3 4 Membership Rules 4.1 GHRC operates a dress code and Members are required to adhere to this. Jeans, shorts and fancy dress are not permitted. Gentlemen are required to wear jackets and either ties, polo-neck sweaters or cravats. 4.2 No Member or guest at the Racecourse shall act as a bookmaker, or accept on behalf of, or as an agent for any bookmaker 4.3 GHRC operates a zero tolerance policy for using, selling or being under the influence of drugs. Either case will result in eviction from the racecourse and Membership termination without any refund. 4.4 GHRC also operates a Challenge 25 policy. If a Member or a Member s guest cannot produce ID when requested, or if they are intoxicated, they will not be served with alcohol. In the event that a Member purchases drinks for an underage person, drinks will be confiscated, the Member and their guests will be removed from the site, and Membership will be terminated without refund. 4.5 The violation of any aspect of the Constitution or the GHRC Rules or any action taken which is detrimental to or against the interests of GHRC may result in a disciplinary process by GHRC and possible expulsion. 4.5 GHRC does not accept responsibility for non-delivery of badges despatched to Members or for postal delays. A charge will be made if a Member loses a badge and wishes to be issued with a replacement. Refunds will not be made in respect of unused badges returned. 4.6 nly Annual Members with metal swing badges will be eligible to use the Annual Badge Holders Bar.

Privacy Policy and Compliance 5.1 In accordance with the UK Data Protection Act 1998, each company in the Goodwood Group (Goodwood Estate Company Limited and each of its subsidiaries, which includes the Company) is registered with the United Kingdom's Information Commissioner's Office as a data controller to collect information. The Company only gathers personal information, such as first and last names, contact details, addresses and addresses, Facebook profile name and Google user name, when voluntarily submitted by members. This information is collected to help the Goodwood Group to: communicate membership information, send members information about the Club and its activities, conduct surveys, send renewal or service notifications and personalise advertising based on members personal characteristics or preferences. Occasionally, with a member s permission and depending on the purpose for and context in which they gave that permission, we will send marketing information and news, for example, relating to new events, services or product offerings, loyalty schemes and clubs, gift cards and other promotions and offers. This may include our sending to you marketing information for the products or services of a commercial or promotional partner on that partner's behalf. Those selected companies are either automotive or other commercial partners or partners who perform a function such as prize-provision within our promotions and offers, or are agencies and suppliers whom the Group has retained to assist it to more effectively fulfil orders, manage and conduct promotions and offers, provide technical assistance and support and perform other functions to support its marketing activities. Also, the Company reserves the right to use or disclose any information as needed to satisfy any law, regulation or legal request, to fulfil member requests, to provide members with Club service information or to cooperate in any law enforcement or regulatory investigation. Such communications will be provided to you by , post or by telephone. However, in every case, if a member does not elect to receive such communications or elects to discontinue receiving them, then the Company will not send or will cease sending them to the member.

5 The Company does not intentionally or knowingly process personal information from individuals under the age of 16. When necessary, underage users will be told not to submit any personal details and the Company will make every effort to delete any details of such users where a parent or guardian has informed it that these details have been collected The Company may transfer the data collected from members to a destination outside the European Economic Area. By submitting personal data to us, members agree to this transfer, storing or processing. 5.2 The Company has put in place procedures to prevent any employees, agents or subcontractors from engaging in any conduct that would constitute an offence under the Bribery Act 2010 or which would result in liability for fraud, insolvency crimes or other corruption crimes. The Company requires any person who is involved in any way with the Club, whether as an officer, employee, member or guest or other associated person not to undertake any conduct which would or could constitute such an offence. Appropriate steps will be taken in relation to any person found to be in breach of this obligation. In the case of a Member, this will result in immediate termination of membership. 7 Applicable Law and Jurisdiction 7.1 This Constitution, as well as all the subsequent documents and all additional documents referring to GHRC are governed by the laws of England. GHRC and the Members should always seek to resolve any disagreements in a friendly manner and in good faith. In the absence of an amicable settlement, any disagreement on interpretation and the execution of this Constitution or any other subsequent or complementary documents will be judged exclusively by the courts of England.
