2 1. Introduction Tenant Construction Rules and Regulations The following set of Construction Rules and Regulations has been created to facilitate the most productive work environment for all parties given the fact that you will be working in a functioning shopping center. Your cooperation along with your associates is required for the success of the center as well as your project. Any questions or concerns that may arise regarding these rules during the construction of your space should be brought to Westland Mall management immediately. Westland s management staff is here to help facilitate the construction and the opening of your client s store and we will do whatever is necessary to make this a productive process. NOTE: In accordance with Westland Mall Policies and Procedures regarding Safety and Security, all contract service personnel must be issued a photo identification card to be displayed when working on the property. This includes all subcontracted personnel working under a General Contractor. ID s are issued free of charge REPLACEMENT cost is $ The GC will be responsible for replacement cost. 2. 4 3. Pre-Construction Meeting Prior to the start of construction, a mandatory pre-construction meeting between Westland Management and the General Contractor must be held. This meeting must be scheduled at least three days prior to the proposed start date. At the pre-construction meeting, the following documents must be submitted: An Early Start Permit or Building Permit including any municipal, county, state or federal permits. b) Proper evidence of Insurance Coverage (as outlined in Section 4) c) Contractor Deposit & Tenant Coordination Fee in the form of two Cashier s Checks (as outlined in Section 5) d) Landlord s Final Approved set of Construction Drawings e) Permit set of Approved Construction Drawings f) Construction Schedule (as outlined in Section 6) g) List of telephone numbers and addresses for all contacts, including contractor's home office contacts, all sub-contractors, emergency numbers, and contacts. (Exhibit B is to be fully completed prior to the Construction Orientation Meeting) h) Signed Fee Schedule, and if applicable any Construction Deposit and Coordination Fees (Exhibit C) i) Signed Tenant Contractor Orientation Checklist, Signed by General Contractor (Exhibit A). j) Signed Construction Barricade & Clean Up k) Signed Contractor Security Deposits l) Safe Off Check List (Exhibit E) m) Ground Penetrating Radar Study (GPR) (if applicable by construction built out) 4. Certificate of Insurance Requirements A. Tenant shall not permit its General Contractor to commence any work until all required insurance has been obtained and certificates evidencing such insurance have been delivered to Landlord. B. Tenant s General Contractor s and Subcontractor s Required Minimum Coverage s and Limits to Liability as defined herein and in accordance with Tenant s lease. The Tenant s General Contractor shall carry and maintain at its sole cost and expense construction insurance in accordance with the following minimum requirements for comprehensive general liability: $3,000,000 per person per occurrence, $3,000,000 per occurrence for bodily injury, and $2,000,000 for property damage per occurrence. This insurance must be endorsed to show products and completed operations coverage including Waiver of X, C, and U exclusions, broad form property damage. Tenant s General Contractor shall also carry automobile liability insurance covering bodily injury and property damage in the amount of $1,000,000 combined single limit. Worker s compensation with statutory requirements, including employer s liability of $1,000,000 must also be carried. C. Tenant s Protective Liability Insurance - Tenant shall provide Owner s Protective Liability Insurance insuring Tenant against any and all liability to third parties for damages because of bodily injury (or death resulting therefrom) and property damage liability of others or a combination thereof which may arise from work in connection with the Premises, and any other liability for damages which Tenant s General Contractor and/or subcontractors are required to insure against under any provisions herein. Said

5 insurance shall provide policy limits which shall provide, at a minimum, coverage of Three Million Dollars ($3,000,000.00) combined single limit, bodily injury, and property damage. D. Tenant s Builder s Risk Insurance - Completed Value Builders Risk Material Damage Insurance policy covering the work to be performed for Tenant in the Premises as it relates to the building within which the Premises is located. The policy shall include as insureds Tenant, its General Contractor, all subcontractors and Landlord, as their interests may appear. The amount of insurance to be provided shall be at one hundred percent (100%) of the replacement cost. E. All such insurance policies required, except as noted above, shall include Landlord, its Architect, its Consultant, its General Contractor, subcontractors, and parties set forth in the Lease and any other parties designated by Landlord from time to time as additional insured entities, except the Worker s Compensation Insurance; further provided, said Worker s Compensation Insurance shall contain an endorsement waiving all rights of subrogation against Landlord, its Architect, its Consultant, its General Contractor and subcontractors. F. Certificates of insurance shall provide that no reduction in the amounts or limits of liability or cancellation of such insurance coverage shall be undertaken without thirty (30) days prior written notice to Landlord. G. The insurance required shall be in addition to the insurance required to be procured by Tenant pursuant to the Lease. Each policy is required to name the following as additionally insured, verbatim: Westland Mall, LLC its parent, Starwood Retail Property Management, LLC, Starwood Capital Global Group, L.P. and it s or their subsidiaries, affiliates, directors, officers, members, managers, partners, lenders, agents employees and assignees, and other such entities hereafter as may be reasonably requested by Landlord, referred to collectively as additional insured. Certificate Holder should read as follow: Westland Mall, LLC c/o SRP Property Management, LLC Attn: General Manager 1675 West 49th Street Hialeah, FL Contractor Deposit (Deposit information can be found in the Westland Mall Tenant Lease Exhibit B) A construction deposit of $5000 (of which $2500 is non-refundable). The non-refundable is not a fee but a charge for actual mall expenses associated with tenant construction. This included security badges, additional security responsibilities, additional janitorial responsibilities, maintenance responsibilities and management responsibilities. Payment should be a cashier s check made payable to Westland Mall LLC, due upon sign-in. Access will be denied to the premises until the deposit has been received as stipulated above. NOTE: Contractors who leave the job site upon completion of the project without completing punch list items will forfeit the remaining portion of refundable security deposit. All outstanding punch items must be completed within one week of the store opening. Contractor s Signature: Date:

6 6. Construction Schedule General Contractor shall furnish a detailed construction schedule in a graphic form detailing workflow. Essential start dates and completion dates are required for all trades. Deliveries of heavy items or in large quantities must be noted on the schedule. Access to loading zones and freight elevators will be limited and must be scheduled in advance with Westland Mall Management. 7. Tenant Utilities It is required that Tenant or Tenant s General Contractor submit service work orders for utility services to be transferred into tenant s name prior to construction. Contact information has been provided for you. Each Tenant is required to install an electric meter, (or have service placed in tenants name), for their space by contacting the local electric utility. A Gas Meter is required for tenants requiring the service. An approved seismic shut-off valve must be installed on every gas meter. A Water Meter and backflow preventer are required for tenants with a high daily water usage (food, salons). Tenant/General Contractor must provide utility account numbers to mall management prior to work commencing Mall Management will advise if this applies to your space 8. Contractor Work Area and Practices General Contractor responsible to perform the Safe Off and have Mall Management inspect by 3:00pm the day demolition is schedule to take place. (If this inspection does take place by 3:00pm demolition will be authorized to proceed.) General Contractor must conduct it's labor relations I relations with its employees and sub-contractors in such a manner as to avoid strikes, picketing and boycotts of, on or about the job site and I or the Shopping town. Any major noise and/or vibrations which in Management's sole discretion may interfere with adjacent tenancies must be done after mall hours or prior to 8:30AM. $ fine will be imposed for each infraction Tools, work material, and supplies shall be confined to the premises. No work or material is to be conducted on or stored in service corridors, mall common areas or loading dock areas. $ fine will be imposed for each infraction. It is the General Contractor's responsibility to secure tools, equipment, and material at the end of each day. General Contractor must provide an entry carpet within their barricade to prevent dust from trailing out to the mall common area. General Contractor shall also be responsible for the mopping and sweeping of common areas free of construction dirt and debris. General Contractor is responsible to maintain barricade and graphics "as new". $ fine will be imposed for each infraction.

7 Tenant and General Contractor shall wear the appropriate attire to prevent injury to their personnel and other persons on the job site. Hard Hats are strongly recommended. Proper footwear and clothing are required within the new construction area to prevent injury. OSHA guidelines apply at all times. Tenant and General Contractor shall protect their work from damage and shall protect the work of other Tenants and Landlord from damage by Tenant, General Contractor and/or employees and sub-contractors. 9. Permit and Documents All Permits, Inspection Sign-off sheets, and Permit Construction Documents shall be posted securely on the premises. General Contractor shall notify Westland Management when inspectors arrive for Building and Fire final inspections. 10. Loading Zone and Deliveries Absolutely no deliveries can be made through the common areas of the mall during the hours of operation. All loading and unloading of materials will be restricted to Landlord designated areas only. No vehicles are to be left unattended, unattended vehicles will be towed at owner's expense. Only carts or dollies with air-filled or soft rubber wheels will be allowed. No pallet jacks allowed! All large deliveries or deliveries of heavy items are to be scheduled in advance with Westland Mall Management. Loading and offloading areas are limited; if your loading or offloading requirements are in excess of % hour it must be scheduled in advance or the truck will be turned away. All delivery companies should have the Contractor's telephone number and alternate numbers. 11. Trash Removal Trash removal is the responsibility of the contractor. Use of mall compactors is prohibited. Coordination for disposal may be made through Keter Environmental Services. One Open top dumpster may be placed at a designated location only after obtaining permission from Westland Mall management. There is a $ per month dumpster pad rental fee. No debris may be stored in the common areas. 12. Use of Service Corridors $ fine will be imposed for each infraction. Service corridors are for the use of all Tenants to transport material and deliveries. No work or storage of material shall be conducted in service corridors. Any items found in the corridors shall be confiscated. $ fine will be imposed for each infraction.

8 13. Parking Zones The landlord has designated parking for Tenant s contractor and subcontractors (see attached site plan). Contractor s vehicles parked in No Parking Zones, Loading Zones and/or in non-designated areas will be towed at vehicle owner s expense. 14. Work Hours Interior work may occur 24 hours a day. The noise that can bother neighboring tenants is limited to non-operating hours; however; construction projects within the Food court may require various additional operating approvals by Mall Management. Before and after hours work will need to be coordinated using the After Hours Permit. This permit identifies your workers to security as having permission to be in the mall during non-business. This permit is available at the mall management office and at the security dispatch office. 15. No Smoking Policy Westland Mall Smoking is prohibited on the premises, common areas or base building construction site. 16. Storefront Barricade Policy Barricades are required for all store remodels and renovations and shall be installed by the General Contractor at their sole cost. The contractor must use a modular panel system from the Landlord's mandated supplier (Boston Barricade). Food Court barricade designs may require special approval by Mall Management. Barricade graphics shall be obtained by the General Contractor from the Landlord's approved graphic supplier at the tenant or tenant contractor's expense. Westland's barricade program requires a full wrap, full bleed from top to bottom and left to right, the use of specific graphic elements and colors. Graphics are required to be obtained by Mall Management for approval before the barricade can be installed. No work may take place until the barricade and graphics are in place. Mall Management shall have the option to install graphics at tenant's expense should this deadline not be met. Barricades may not be more than (3) three feet from the storefront lease line. Barricades are required to have a hard lid and sealed at the bottom with the vinyl baseboard. Barricades once in place cannot be removed without the approval of Westland Mall Management. 9 17. Back Door Name & Address 18. Paint Color Will be provided by the mall for $ The contractor needs to contact the Operations Manager for paint color. (Neutral Piers or Ceiling). 19. Quality of Workmanship Merchant s work shall be performed in a through, first class and workmanlike manner and shall be in good usable condition at the date of completion thereof. If in the Landlord s judgment, the Merchant s work is not completed in a first class and workmanlike manner, the merchant will not be allowed to open until said discrepancies are corrected. 20. Supervision General Contractor shall provide a full-time supervisor or representative on site at all times when construction is being performed in retailer s space.

10 21. Approved Design Retailer s store shall be constructed in accordance with the plans, which have been approved by the Tenant Coordinator. These plans will comply with all city, county, and state rules, ordinances and regulations relating thereto. If the store has not been constructed in accordance with said plans; the retailer shall not be permitted to open the store for business based on the obligations under the retailer s lease. A copy of said plans must be kept on the jobsite at all times during construction. 22. Building Permit The retailer shall apply for all permits, coordinate building department submittal and pay all associated fees. The retailer shall apply for, and obtain all approvals and permits from the local health department if required. A building permit shall be posted in retailer s space before any work begins (i.e., demolition, rough framing, rough plumbing or electrical). A copy of the permits must be on file with the mall management office before work starts, and a copy must be placed in clear sight within the job space. 23. Security The retailer shall ensure the security of retailer's premises by whatever measures deems necessary including the rekeying of all locksets. No padlocks allowed on barricade or rear corridor doors. 24. Sign Posting Retailer s contractor or subcontractors will not be allowed to post any signage containing the name or advertising of their firm to any part of the barricade, Shopping Center or premises at any time. Landlord reserves the right to post a Notice of Non-Responsibility on any entry into space as required by retailer s lease. The landlord may also post Coming Soon signs on the front of the retailer barricade. 25. Tool Loan The contractor must always use their own tools and equipment. At no time, will the landlord rent or loan tools or equipment to the contractor or subcontractor. If the Landlord s tools or equipment are found in the possession of the contractor or subcontractor, a fine will be assessed. (i.e., gray whales, trash bins, flat carts or ladders). $ fine will be imposed for each infraction 26. Public Restrooms Contractor and subcontractors are not to use public restrooms to clean their tools or dispose of supplies or materials.

11 27. Prohibited Work / Practices and Hazardous Materials Landlord reserves the right to not allow the use of any substance the Landlord believes may be hazardous when used in the shopping center. Use of toxic substances including floor sealant and paint products shall be scheduled with Westland Mall management and will not be allowed between the hours of 8:00 AM and 10:00 PM of each day. If toxic substances are used during these hours, work will be discontinued and the site will be shut down until approval to proceed work is granted by Westland Mall management and OSHA. Any use of hazardous materials must be scheduled with Westland Mall management and MATERIALS SAFETY DATA SHEETS are to be provided prior to the start of construction. $ fine will be imposed for each infraction. 28. Temporary Power for Construction The landlord may provide a source for temporary construction power. General Contractor shall find a connection with the approval of Landlord. General Contractor shall be responsible for securing any wires and/or cables required preventing injury or damage to property and/or persons. Connection to any other source of power is prohibited. The temporary power source is not to be used as a power source to power the entire store. Temporary power is for construction only and permanent power should be established as soon as possible. Temporary power will be billed at $ per day. 29. Fire Alarm System/Fire Sprinkler Systems General Contractor is required to use the designated base building Fire Alarm Contractor to complete all Fire Alarm (smoke detectors / duct smoke detectors) work within Tenant s premises at Tenant s cost. Any false alarms will result in fines. It is critical that you contact the landlord s Fire Alarm contractor as early as possible to allow ample time for him to do the drawings for the Fire Alarm System so that you may submit the drawings for permitting to the Building Department at the same time you submit drawings for space. The same applies for Fire Sprinkler systems. Sprinkler Calculations Submittal Procedures All sprinkler calculations should be submitted to FM Global at the Following address: FM Global Atlanta Plan Review Department 3460 Preston Ridge Road, Suite 400 Alpharetta, GA (770) Ext WARNING: It is imperative that General Contractors do not cut or disconnect any alarm wiring: $ fine will be imposed for each infraction.

12 30. Electrical Connections The landlord has provided a conduit to the premise s designated electrical panels and electrical room. Final connection to Landlord s panels must be coordinated with Westland Mall management. The Electrical meter is the responsibility of the Tenant Contractor to procure and install from FPL. Tenant s Contractor is responsible for replacement of panel covers and works debris after completion. 31. Air Balance General Contractor shall submit to the Landlord a Certified Air Balance report stating the actual amount of cubic feet of air per minute (CFM) being used on the premises. 32. Ground Penetrating Radar (GPR) General Contractor shall submit to the Landlord a Certified Ground Penetrating Radar Report when coring, trenching and/or penetrating of the concrete slab is required as part of the construction built. 33. Roof Penetrations All roof work must be coordinated with Westland Mall management. General Contractor shall hire Landlord s designated roofing contractor and roof waterproofing contractor. General Contractor shall provide adequate structural support for all roof openings. General Contractor shall install a non-fading, durable and permanent label with Tenant s suite number to all roof top equipment serving their space. This shall include but may not be limited to HVAC equipment and exhaust systems. Labels shall be attached to the maintenance panel covers. 34. Hot Work Normally there is no welding permitted inside the building. All work requiring open flames, excessive heat or sparks shall require a Hot Work Permit. This may be obtained through Westland Mall management. No open flame or welding work can be performed without first obtaining a hot work permit. A minimum of 48 hours prior notice is required. Any cancellations or changes must also be made 48 hours in advance. All Hot Work requires Westland supervision; Contractor will be billed based on the amount of time supervision is needed. Cancellations are subject to the billing of estimated time of supervision. Fire watch must be provided by the contractor while "Hot Work Permit" task is being performed. Fire Watch is defined by having one individual above the space on the roof and one individual within 10 feet of the "Hot Work Permit" area at all times and a minimum of one hour after the "Hot Work Permit" task has been completed. $ fine will be imposed for any work done without a permit.

13 35. Landlord Punch list After the Final Building Department Inspection, a member of the Tenant Coordination team will compile the Landlord Punch list. The punch list must be completed in its entirety within 5 days of issuance. The Superintendant must be present during the completion of the punch list. 36. Corrective Work by Landlord If General Contractor fails to make any needed repairs or replacements within 5 days of written notice, Landlord shall have the option to complete the work at General Contractor s expense. Such work will include but not be limited to trash removal from common areas or the removal of stored items in service corridors. Costs incurred by the Landlord will be charged to the General Contractor. 37. Close-out Package requirements The following items will be required as a Closeout Package to be submitted to Westland Mall Management prior to opening the store. (See Exhibit D) a) Copy of the Original Certificate of Occupancy and/or Certified of Completion b) Copy of all inspection signs off sheets c) All required warranties d) Full set of construction as-built drawings on CD e) A certified air balance report f) Completed Landlord punch list g) List of all sub-contractors and contract amounts h) Original notarized Unconditional Lien Waivers from all Sub-contractors i) Original notarized Unconditional Lien Waiver from General Contractor j) Notice of Termination

20 PRIOR TO THE PERMITTING PROCESS, MAKE SURE: NOTE: WESTLAND MALL BARRICADES MAY NOT EXCEED 16 FEET IN HEIGHT AND MUST BE TOTALLY DUST PROOF. 1. Include drawings for fire alarm and fire sprinkler systems during permit submittal. Obtain these drawings from the Landlord designated contractors. 2. Complete code analysis is done. 3. Complete Sprinkler Calculations. 4. A complete key plan that clearly shows all Exit Access and Exits rear exits if applicable. 5. New wall legend that shows if the walls or partitions are rated or serve other purposes, such as smoke partitions. 6. If new demising walls are installed need to show exits for both adjacent spaces. 7. New demising walls to be rated from both sides. 8. Show handicapped accessible dressing rooms and toilet rooms. 9. Clearly, identify electrical panel existing to remain or provide a complete electrical riser diagram. A) Show back to existing source. B) Clearly identify what s existing, what is new and what is relocated. C) Identify all over current protection and wire sizes for risers. D) Provide all applicable panel schedules. E) Show scaled location of all shown new or relocated on the riser to include transformers and disconnects. 10. Identify mechanical system as existing and show supply and return registers or if new provide mechanical plans signed and sealed by a Florida registered engineer. Distinguish between new and existing work. 11. Restaurants/eatery always require kitchen equipment schedules, grease hood shop drawings, schedules match plan that shows exhaust duct route and duct sizes (If grease duct through floor or wall always need information on new or existing rated shafts to include rated supports for the shaft). And remember leave plenty of time! The permitting process can take 6-8 weeks! WESTLAND MALL TOP CONSTRUCTION REQUIREMENTS

21 HVAC System HVAC rooftop units must be located within the approved zone between the double bar joists. Tenant s plans should show the tie down method for the rooftop unit to be fastened to the deck. Drawings must be submitted by the tenant s structural engineer showing the support bracing for the unit. Bracing must be 3 x 3 angle iron which must be mechanically fastened to the bar joists. No welding is permitted. HVAC condensate drain must be piped down into the tenant space to a drain within the restroom and must be insulated. Condensate drains must be piped to a roof drain and strapped to the roof. A Certified Air Balance test report must be done and copy submitted to the landlord. Tenant HVAC systems typically do not have a smoke evacuation. Fire Life Safety System You must use one of the landlords approved Fire Alarm contractors to perform the work. Submit floor plans to the Fire Alarm contractor prior to submitting your plans to the Building Department. Obtain drawings for the new Fire Alarm devices from the contractor and include these drawings in your package that you submit to the Building Department for review. This step is critical in order to avoid delays in obtaining the permit for the Fire Life Safety System. Plumbing All sanitary waste and vent piping below ground and above ground must be cast iron. No PVC. All domestic water piping must be copper. No PVC. A minimum of one clean out should be installed in the restroom and be accessible. A water meter must be installed with a remote reading device located on the wall outside the restroom at eye level. Electrical Tenant s General Contractor must supply & install the main disconnect breaker at the meter panel at their expense. All electrical conduit should be EMT. Flex may only be used from a junction box to a fixture or from fixture to fixture in runs of 15 ft. maximum. Framing Framing at the storefront area may not be attached to existing mall bulkhead and may not be supported to the bulkhead. All framing that is not floor supported must be attached to bar joists or steel structure by means of mechanical fasteners only. No welding is permitted. Framing may not be screwed or fastened to the roof deck. Storefront A ½ x ½ black reveal channel should be installed at the top of the storefront at the mall bulkhead and on the sides against the landlord neutral piers as a separation between landlord and tenant finishes. The reveal shall be recessed to be flush with storefront material and may not be fastened with exposed screws. A separate sign shop drawing must be submitted for approval prior to any signs being installed. CONSTRUCTION BARRICADES & CLEAN UP

22 Construction guidelines require that all construction barricades be properly sealed to prevent construction dust from filtering throughout the common areas of the shopping center during all phases of construction. This includes installing hard lids on the top of the barricades and sealing around the bottom and sides. General Contractors who have elected to install soft improperly sealed tops have not effectively prevented dust from escaping from their construction sites. Construction barricades are to be maintained in a finished condition at all times. Violators will be cited and / or repairs made and billed back to the tenant / contractor. Graphics are to be installed within 3 days of completion of the barricade. Failure to do so will result in the shopping center purchasing and install the graphics at the tenant s expense. Effective immediately, all tenants and / or their respective general contractors will be billed a minimum of $ per hour each morning for actual labor and equipment time taken to clean the dust and construction debris from the common areas and neighboring tenant spaces affected by construction in the areas of the improvement projects. It has taken approximately three (3) hours each morning to clean the dust and debris from the common areas and tenant spaces which include but are not limited to floors, plants, signage, amenities, cash wraps, shelves and store merchandise. In cases where tenant spaces are flagrantly affected and complete store clean-up is required, insurance claims will be filed with your insurance carriers as clean up could cost thousands of dollars. Be advised this is not a shopping center fee but an actual reimbursement for shopping center expenses. If construction security deposits have been exhausted, tenants may have the option of requiring their GC s to post additional deposits or have all expenses deducted from their construction allowances.
