1 VAUXHALL TRADE CLUB TERMS AND CONDITIONS

2 THIS GUIDE WILL PROVIDE YOU WITH A SUMMARY OF THE KEY TERMS AND CONDITIONS FOR SUCCESSFULLY PARTICIPATING IN THE VAUXHALL TRADE CLUB PROGRAMME. The Trade Club proposition allows Vauxhall Retailers to sell Trade Club parts at competitive prices to Trade Club members whilst maintaining a margin which is supported through the Trade Club credit payment process. Failure to conform to the rules and regulations laid out in this guide could lead to non payment of credits. Changes to the Trade Club Terms and Conditions are valid from the 1st of June 2012.

3 MEMBERSHIP ENROLMENT Trade Club credits are only paid on qualifying sales to live registered members on your membership database (Alpha List). IMPORTANT Even if a customer already has a membership number you will still need to add the customer to your own Alpha List for credits to be generated. You can register a new Trade Club member or attach a current member to your Alpha List at any time via the Trade Club portal. This live registration process will generate a Trade Club number for the member. This membership number is what is used to match your trade sales invoices to the Trade Club member database and generate a credit. It is therefore vital that the membership number is correctly applied to the customer s database record on your DMS. The VAT ID is a mandatory data field to be included in any new registration of a Trade Club customer as far as applicable Your Trade Sales Development Manager (TSDM) can advise you on this process if required.

4 CUSTOMER TYPES There are currently 19 different customer types within Trade Club. Each new member must be registered as a customer type. It is the Retailer s responsibility to register members into the correct categories. Specific points: Only genuine businesses whose primary activity is as vehicle repairers in respect to providing service to paying customers, with appropriate premises including repair bays should be registered under the Independent Garage, Independent Bodyshop, or Independent Garage and Bodyshop Categories. Parts wholesalers/distributors should be registered under the other category. Other Vauxhall Retailers or Vauxhall Authorised Repairers are not eligible to register as Trade Club customers. Internal departments must not be registered as Trade Club members. Trade Club credits cannot be claimed on GM parts that are available to that customer directly from the GM warehouse. General Motors UK Limited ( Vauxhall ) reserves the right to refuse or remove membership and/or payment of Trade Club credits on sales of products to organisations that fall outside the scope of eligible membership.

5 QUALIFYING SALES For a sale to qualify as a Trade Club sale and attract the relevant credit, the following conditions must be met: The part is a current Trade Club part number The part is sold to an eligible Trade Club member registered on your Alpha List The correct membership number is included on the invoice/dms record and submitted in an electronic format to the SADE data warehouse The sale is at the current Trade Club price or below (but above 10p)

6 CREDIT REJECTIONS If a transaction does not meet the qualification criteria, then the claim will be rejected. Reasons for rejections include: Incorrect unit price the part number has been sold outside of the Trade Club price parameters. Fluids should always be invoiced as a single quantity per unit (i.e. a 205-litre drum is sold as 1 unit not 205 units). Workshop wiper blades are invoiced by the number of blades (i.e. a pack containing 10 blades is 10 x p/n) Invalid Trade Club number the Trade Club number submitted is not registered on the programme. Invalid customer the Trade Club number submitted has been registered on the programme but has since been removed and an end date applied. Duplicate invoice number an invoice number can only be processed once. If the invoice number already exists from your DMS then subsequent submissions of that number would be rejected. Zero quantity if an invoice line has a zero unit quantity no credit will be applied. Customer credits credit invoices to Trade Club members must be submitted as a negative unit quantity but a positive credit value. A report on credit payments due can be found on the Trade Club portal. If a line appears with a zero credit value it is likely that one of the above points will apply.

7 CREDIT PAYMENTS Your credit claim is calculated automatically on the Trade Club portal. You can view this at any time online. Following the end of the month Vauxhall will approve the qualifying claims and raise a credit. This will appear on your parts sundries account during the following month. Trade Club credits will be provided on the first 27,500 of sales at Trade Club price, per eligible customer for each Retailer per month. An eligible customer is defined as being one legal entity with as far as applicable one specific VAT number. Sales over 27,500 to the same customer per month will not attract Trade Club credits. Trade club credits can only be claimed against the sale of Vauxhall Genuine Parts that have previously been purchased from Vauxhall, within the time frame and according to the conditions as set forth in the Trade Club programme. All credit rejections can be viewed on the rejected invoice report available on the portal.

8 RULES OF OPERATION The decision to conduct business with any legitimate Trade Club member rests solely with the Vauxhall Retailer. Trade Club exists to support trading activity between Vauxhall Retailers and certain types of aftermarket businesses. Vauxhall reserves the right to refuse or remove membership and/or payment of Trade Club credits on sales of products to organisations that fall outside the scope of eligible membership. Claiming credit via Trade Club against the sale of parts (Vauxhall Genuine or otherwise) that have not been supplied to you directly by Vauxhall constitutes an act of fraud. Condition of participation in the Trade Club programme is that Retailer grants the right to Vauxhall to audit related credit claims, ensuring that all transactions and payments have been made in accordance with the terms and conditions of the Trade Club programme. Cessation Vauxhall reserves the right to amend, suspend or cancel the Trade Club programme and its Terms and Conditions at any time. All credit issues must be raised within 90 days from the end of the calendar month of the claim.

9 VAUXHALL TRADE CLUB AND CHEVROLET With integration of some GM products between the Vauxhall UK and Chevrolet, it is important to clarify the conditions that apply to the processing and payment of Retailer credits. No credit shall be claimed or will be paid on sales of Trade Club promoted parts where the trade member is entitled to purchase the parts directly from Vauxhall or Chevrolet UK Limited as an authorised Vauxhall or Chevrolet Retailer. Credit claims for such parts will be rejected. Trade Club parts that are purchased from Chevrolet should not to be resold claiming the Trade Club credit.

10 BUY 4 FOR THE PRICE OF 3 OIL CLAIMS All claims for replacement FOC Oil must be submitted on the VA form to the Linkline no later than 90 days after the month of invoice. Failure to comply with this will invalidate the claim. General Motors UK Ltd. reserve the right to change the terms and conditions from time to time.
