3 for Credit Account ABN SERVICE AGREEMENT DEFINITIONS Any proposed changes to details set out on the application form (including but not limited to any changes in ownership or directors) the Applicant must notify Virgin Australia in writing no later than 14 days prior to any proposed changes. The Applicant applies for a Credit Account and confirms that the information provided above is correct and agrees to terms of the Agency Agreement. Payment is required in full and payable in Australian Dollars to our bank account. All bank transfers fees will need to be paid at your expense, which includes an AUD$6 (approximately) fee from Westpac Australia for accepting the transfer. Payment must be received by the end of the month the statement is issued. E.g. Statement issued 2nd Jan 06, payment required by 31st Jan 06. The applicant agrees that Virgin Australia may give to and seek from any credit providers named in this credit application and any credit providers that may be named in a credit report issued by a credit reporting agency information about its credit arrangements. The Applicant understands that this information can include any information about its credit worthiness, credit standing, credit history or credit capacity that credit providers are to give or receive from each other under the privacy Act. 5 EXAMPLE In connection with: (Purpose of letter of credit) Drafts drawn under this letter of credit must be presented to (Bank) at on or before the time and expiry date specified above and must be accompanied by a certificate signed by two authorised officers of the Beneficiary on behalf of the Beneficiary stating that: 1. This certificate is given pursuant to the terms of (Bank) irrevocable standby letter of credit number (Credit Number) dated (Credit Date) (the Credit). In this certificate Beneficiary and Account Party have the same meaning as they do in the Credit. 2. The signatories have authority to make this certificate on behalf of the Beneficiary and to bind the Beneficiary. 3. The amount of the draft (Amount) is not more than the maximum aggregate amount available at the date of this certificate (Claim Date) under the Credit. 4. The Amount: a) is the amount or amounts (plus interest) which, on the Claim Date, remains unpaid to the Beneficiary under the agreement between the Beneficiary and the Account Party either by the Account Party or any other source; and b) is calculated after the Beneficiary has deducted any sum which the Account Party was entitled to set off against the total amount owing (plus interest) under the agreement between the Beneficiary and the Account Party. 5. The Beneficiary has issued a demand for the Account Party to pay the Amount, which has remained unsatisfied for 24 hours. 6. Reimbursement to the Beneficiary is to be by payment to its account (describe account) with (name of bank) OR as instructed by the bank that presents this certificate and its related draft for payment. (delete one alternative) A copy of the demand referred to in clause 5 must accompany the certificate. Bank, government and other charges outside the country of issue of this letter of credit are for the account of the Beneficiary. The amount of this letter of credit will automatically reduce by the amount of all drawings under it. The Uniform Customs and Practice for Documentary Credits (1993 revision) International Chamber of Commerce Publication 500 will apply to this letter of credit unless there is a conflict with the terms stated above. If there is a conflict, this letter of credit will prevail to the extent of any inconsistency.
