1 COUNTY OF PASSAIC NOTICE OF ADDENDUM ADDENDUM #2 October 11, 2018 Notice is hereby given of the issuance of Addendum #2 for SB Natural Gas Supply for the Passaic County Energy Regional Cooperative Pricing System (PCERCPS) scheduled to commence 11:00AM and end 12:00PM NOON on Friday, October 12, The original bid specifications are amended as follows: ONLINE AUCTION date has been postponed to Tuesday, October 23, 2018 commencing at 11:00AM and ending at 12:00PM Noon (prevailing time) The PCERCPS is seeking pricing for four (4) s for either a meter read start date on or after December 1, 2018 or a meter read start date after March 1, The Commencement Date for account categories will be either the first meter read on or after December 1, 2018 for a 12-month, 24-month or 36-month term or the first meter read on or after March 1, 2019 for a 9-month, 21-month or 33-month term. The Appendix A has been updated (pages A-1(r) A- 3(r)) will be faxed and posted to Passaic County s website. All other terms and conditions contained in the specifications and prior notice to bidders remain unchanged, except for the changes made in this addendum complete copies of which may be obtained at the office of the Procurement Center, 495 River St, 2nd Floor, Paterson, NJ during the hours of 8:30 am to 4:30 pm. 2 APPENDIX A PRODUCT DEFINITION AND PRICING FORM UPDATED PER ADDENDUM #2 Product Definition and Pricing Requirements The PCERCPS is seeking pricing for four (4) s for either a meter read start date after December 1, 2018 or a meter read start date after March 1, For each of the s, the PCERCPS is seeking pricing for the following two (alternative) pricing structures: (1) Fixed Basis Upcharge Pricing (Commodity not included) The bidder shall provide a Fixed Basis Up-Charge Price for 100% Firm Full Requirements Non Recallable for the full term of the agreement. The bidder s Fixed Basis Up-Charge Price shall be a single, unit cost per dekatherm, and shall include all non-commodity NYMEX costs of the bidder, including transportation from the wellhead and delivery to the LDC Delivery Point, LDC and pipeline line losses, bidder s margin, consultant fee of $.14/dth, New Jersey Sales and Use Tax (currently 6.625% of the sale price) and any other applicable costs (nominating, balancing etc.) to transmit natural gas to the applicable utility s City Gate. The Fixed Basis Up-charge Price shall remain firm and fixed for the duration of the Agreement. The Contract Price shall include the Fixed Basis Up-Charge Price plus the Nymex monthly settle price Commodity Price which will be based upon the final natural gas settlement price for each month at the New York Mercantile Exchange (NYMEX), plus New Jersey Sales Tax. If the parties do not agree on a locked Commodity Price by 12:00 pm noon on the expiration date for the applicable month, the Commodity Price for that month will default to the monthly settlement price on the expiration date of the month s NYMEX natural gas futures contract as published by Gas Daily and/or the Wall Street Journal. Upon mutual consent of the Parties, the County reserves the right to lock the Commodity Price to a fixed price at any time during the Term of the Agreement for either some or all of the remaining contract months, provided the following stipulations are met: a) The Commodity Price can be locked for any time period within the Term of the Agreement prior to 12:00 pm noon on the expiration date of the applicable month s New York Mercantile Exchange ( NYMEX ) futures contract. The locked commodity price will remain in effect for the time period mutually agreed upon by the Parties. b) The locked Contract Price shall consist of the Fixed Basis Up-Charge Price as set forth in the Successful Bidder s Proposal and the Locked commodity price. The locked commodity price shall consist of the NYMEX Commodity Future Price on the date the price is fixed for each remaining month of the Term of the Agreement (or for a period of months to be mutually defined by the Parties up to the remaining duration of the Term of the Agreement) plus New Jersey Sales and Use Tax. (2) Fixed, All-Inclusive Pricing to the City Gate (Commodity included) The bidder shall provide a Firm Fixed Price, 100% Full-requirements Non Recallable for the full term of the agreement. The Commencement Date for s will either be the first meter read on or after December 1, 2018 for a 12-month, 24-month or 36-month term or the first meter read date on or after March 1, 2019 for a 9-month, 21-month or 33-month term. Pricing herein shall not include any local delivery service or related LDC (utility) charges. 5 COUNTY OF PASSAIC NOTICE OF ADDENDUM ADDENDUM # 1 September 28, 2018 BID# SB Natural Gas Supply for the Passaic County Energy Regional Cooperative Pricing System (PCERCPS) Notice is hereby given of the issuance of Addendum #1 for SB Natural Gas Supply for the Passaic County Energy Regional Cooperative Pricing System (PCERCPS) ONLINE BID scheduled to commence 11:00AM and end 12:00PM NOON on Friday, October 12, The Original Bid Specifications are amended as follows: 1. Appendix A has been updated. An updated Appendix A is attached to this Addendum as pages A-1 A Replace Appendix B, Agreement Section 7.4 ASSIGNMENT language as follows: Section 7.4 ASSIGNMENT. Neither party shall assign this Agreement without the prior written approval of the other party, which approval shall not be unreasonably withheld; provided, however, that Supplier may, without the consent of the Client, (a) in connection with any financing or other financial arrangement, assign, sell or pledge the Contract Price payments or other revenues that the Supplier is entitled to pursuant to the terms of this Agreement, (b) assign this Agreement to an affiliate of Supplier, or (c) assign this Agreement to any person or entity succeeding to all or a substantial portion of the assets of Supplier. For any assignment to be valid pursuant to item (b) or (c) above, the assignee must (i) in the reasonable opinion of the Client, be at least as creditworthy and have at least the same financial strength as the Supplier as of the date of such assignment, (ii) assume in writing all of the obligations of the Supplier under this Agreement, and (iii) be licensed to provide Full Requirements as required under this Agreement in accordance with Applicable Law. 3. Any sale of substantially all of the assets of Supplier or the merger, consolidation or sale of Supplier or other similar transaction shall not be deemed to be an assignment for purposes of this Agreement and transfer of this Agreement under such circumstances shall not require consent of the County.
