(Jointly Administered NOTICE OF FILING OF AMENDMENT TO THE PLAN SUPPLEMENT PLEASE TAKE NOTICE THAT on November 14, 018, United States Bankruptcy Court for the District of Delaware (the Court entered an order [Docket No. 333] (the Disclosure Statement Order (a authorizing ATD Corporation and its affiliated debtors and debtors in possession (collectively, the Debtors, to solicit acceptances for the Amended Joint Plan of Reorganization of ATD Corporation and Its Debtor Affiliates Pursuant to Chapter 11 of the Bankruptcy Code (as may be modified, amended, or supplemented from time to time, the Plan ; (b approving the Disclosure Statement for the Amended Joint Plan of Reorganization of ATD Corporation and Its Debtor Affiliates Pursuant to Chapter 11 of the Bankruptcy Code (the Disclosure Statement as containing adequate information pursuant to section 115 of the Bankruptcy Code; (c approving the solicitation materials and documents to be included in the solicitation packages; and (d approving procedures for soliciting, receiving, and tabulating votes on the Plan and for filing objections to the Plan. PLEASE TAKE FURTHER NOTICE THAT as contemplated by the Plan and the Disclosure Statement Order approving the Disclosure Statement, the Debtors filed the Plan Supplement with the Court on December 7, 018 [Docket No. 485]. PLEASE TAKE FURTHER NOTICE THAT filed contemporaneously herewith is the following additional exhibit to the Plan Supplement: Exhibit I, Description of Restructuring Steps. The Debtors reserve all rights to amend, revise, or supplement the Plan Supplement, and any of the documents and designations contained herein, at any time before the Effective Date of the Plan, or any such other date as may be provided for by the Plan or by order of the Bankruptcy Court. Each of the documents contained in the Plan Supplement or its amendments are subject to certain consent and approval rights to the extent provided in the Plan.

6 Case KJC Doc Filed 1/17/18 Page 3 of 4 Exhibit I - Description of Restructuring Steps On or Before the Effective Date: Step 1 - American Tire Distributors Holdings, Inc. ( Old Holdings, contributes (i Rubbr Automotive Services, LLC, and (ii its other assets, if any, to American Tire Distributors, Inc. Step - Tire Pros Francorp and Terry s Tire Town Holdings, Inc., each converts under applicable state law to a limited liability company. Step 3 - An agent for the Senior Subordinated Notes Claimholders forms ATD New Holdings, Inc. ( New Holdings, ATD New Holdings II, Inc. ( New Parent, ATD New Holdings III, Inc. ( New OpCo, and ATD New Merger Sub, Inc. ( Merger Sub, each a Delaware corporation. On the Effective Date: Step 4 - New Holdings contributes 100% of its equity (the New Equity and 100% its warrants to purchase New Equity (the Warrants to New Parent in exchange for newly issued stock of New Parent. Immediately thereafter, New Parent contributes the New Equity and Warrants to New OpCo in exchange for newly issued stock of New OpCo. Immediately thereafter, New OpCo subscribes for and purchases from Merger Sub, and Merger Sub issues to New OpCo, all of Merger Sub s common stock. Step 5 - American Tire Distributors, Inc. ( ATD as a borrower and the other parties thereto enter into the Amended and Restated Credit Agreement (the Amended Term Loan Facility and the Credit Agreement (the Exit ABL Facility. Step 6 - In consideration of their claims: (a Holders of DIP Facility Claims receive cash and/or new loans under the Exit ABL Facility or under the FILO Facility; (b Holders of Class 3 ABL Claims receive cash and/or new loans under the Exit ABL Facility; (c Holders of Class 4 Term Loan Claims receive (i new term loans under the Amended Term Loan Facility, (ii the Amended Term Loan Additional Amount, and (iii cash; and (d Class 7 Intercompany Claims will be distributed and/or contributed to the obligors in cancellation of such Claims, provide, however, that any Intercompany Claims owed to or by a non-debtor Affiliate will be reinstated but will be transferred to or assumed by ATD Inc. from any other such Debtor Step 7 - Merger Sub merges with and into ATD, with ATD surviving. In connection therewith: (a in consideration of their Claims, Holders of Class 5 Senior Subordinated Notes Claims receive 95% of the New Equity, and (b Old Holdings receives 5% of the New Equity and 100% of the Warrants (the Property, which Property Old Holdings distributes to Accelerate Holdings Corp., which distributes the Property to ATD Corporation, which distributes the Property to the Holders of the Class 10 Interests in consideration of their Interests. After the Effective Date:

7 Case KJC Doc Filed 1/17/18 Page 4 of 4 Step 8 - The Reorganized Debtors, solely at their expense, shall dissolve each of Old Holdings, Accelerate Holdings Corp., and ATD Corporation in accordance with state law as promptly as possible. The Sponsors shall have no obligation or responsibility to dissolve or wind down any such entities and shall not incur, or be required to incur, any costs or expenses in connection with any such dissolution or wind down. Step 9 - Within 8.5 months of the Effective Date, ATD Corporation, New Holdings, and New OpCo may join in making an election under 338(h(10 of the Code with respect to ATD.
