1. REQUEST FOR PROPOSALS 1.1. Purpose By way of this Request for Qualifications/Request for Proposals ( RFQ/RFP ), the Rancho Santiago Community College District ( District ) seeks to pre-qualify and solicit proposals from a limited number of legal firms ( Consultant ) to provide on call general agency and/or facility matters legal consulting services for and on behalf of the Rancho Santiago Community College District. 1.2. Submission If your firm is interested in providing legal services for the District, please submit to the District a detailed summary of your firm s qualifications and a proposal in accordance with this RFQ/RFP. The deadline for receipt of all materials responsive to this RFQ/RFP is Wednesday, December 5, 2014 prior to 2:00 PM. Proposals will be date stamped to record receipt thereof. Proposals may be mailed or delivered in person during normal business hours, which are 8:00 a.m. to 5:00 p.m., Monday through Friday. Delivery of Proposals is the sole responsibility of the Consultant. All Proposals must be signed and become the property of the District. Response Format Each Consultant is required to submit a SOQ/Proposal it deems appropriate to the following RFQ/RFP. Submittals should be brief and concise, but provide sufficient clarity to meet the criteria in the evaluation process. Consultant s response shall not exceed Fifteen (15) pages, excluding the cover letter and exhibits in the appendix. Each hardcopy of the Proposal must be bound individually, single-sided, tabbed, and organized in order and include all sections and information as stated in Part 5, Proposal Statement. Each Consultant shall submit five (5) bound hard copies and one (1) electronic copy, in PDF combined format with bookmarks, of the Proposal. The District will evaluate the Proposals based on the responsiveness to District requirements listed in Part 6, Selection Criteria/Evaluation Process. NOTE for Exhibits: All Exhibits should be tabbed, labeled and included as part of the appendix. It is at the Firm s discretion to determine how to reference, in the body of the Proposal, the location of the Exhibits in the appendix. All Exhibits may be recreated in another program as long as the formatting and information requested mirrors the PDF forms attached to this RFP. The intent of the PDF forms is to keep all the requested information in a uniform format. NOTE for Firms teaming with Sub-Consultants: Each responding firm shall select their proposed sub-consultants based on their own criteria. However RSCCD reserves the right to approve sub-consultants proposed for any projects that may be awarded. Sub- Consultants do not need to complete all the Exhibits in this RFP. 1.4. Questions Consultants must carefully read the entire RFQ/RFP prior to submitting questions as most questions will be answered in this RFQ/RFP. If, however, you should have questions regarding this RFP, please email Ava Hill, FPPS1@rsccd.edu. All questions must be submitted in writing. The question deadline for this RFP is Tuesday, November 25, 2014 by 4 p.m. After this deadline, the District will not answer, address, and/or review any questions interested Consultants might submit. Responses to all questions received prior to the deadline will be provided to all Consultants. 1.5. Pre-Qualified Consultants The District generally utilizes the services of outside consultants to help ensure the District that its activities, especially as they apply to various facilities improvement projects of new and existing school sites throughout the District, are in compliance with all applicable regulations and industry guidelines. As stated above, the purpose of this RFQ is to obtain information that will enable the District to pre-qualify a limited number of legal consulting firms for various legal issues regarding Facilities Planning and construction projects as the District may, from time to time, require in connection with various facilities projects on an on-going basis without the need to pre-qualify Consultants for each project. All Consultants submitting an SOQ to this RFQ and seeking to become a Pre-Qualified Consultant with respect to such legal services should be extremely familiar with all applicable Code requirements and be capable of providing work product that will enable the District to strictly comply with said requirements 1.6. Request for Proposals Pre-Qualified Consultants are in no way guaranteed to receive any work from the District. However, it is the District s intent to look to the pool of Pre-Qualified Consultants when choosing a Consultant to provide legal consulting services for various facilities issues. The District, on an as-needed basis, will issue Request for Proposals ( RFP ) to one or more Pre-Qualified Consultants to provide legal consulting services on behalf of the District for a project. Each Proposal shall describe the Consultant s experience and expertise with respect to the services, if any, which are unique to the property or project that is the subject of the Proposal. In addition, the Proposal shall set forth a detailed scope of services, a completion schedule, a schedule of professionals that will be used to supervise and staff the project, and a not-to-exceed dollar amount for the services to be performed. The District will allocate work to said Pre-Qualified Consultants 2. SCOPE OF SERVICES The District is seeking the services of a Consultant to provide legal consulting services who are currently licensed to practice law in California. The scope of such services could include, but are not limited to: Provide interpretation and advice on Public works and construction related contracts drafting, reviewing, negotiating and related litigation in accordance to Public Rancho Santiago Community College District Page 3 of 17

Contracts Code, Education Code, Government Code, Field Act requirements. Provide advice and guidance on Competitive bid requirements (Public Contracts Code, Government Code, Field Act, Title 5 and Title 9 Education Code et al.). Provide advice on Labor compliance and reporting obligations. Advice and direction on Public Works and construction, including liability and claims: o Construction claims and litigations o Bid and contractor compliance o Environmental compliance and CEQA Must have experience with the Department of the State Architect (DSA) Provide advice on Real Estate acquisitions/disposals and leases, eminent domain and easements Legal advice on Public and private financing of facilities, including reporting obligations, audits, etc. Provide advice and guidance as required on various construction and construction management delivery methods, such as : o Lease/Lease Back, CM, CM at Risk, CM Agency, Design-Build, Design-Bid- Build, etc. Project labor agreements OSHA and other safety regulations and matters Construction related insurance Advise the District, its Board, and Staff of potential liabilities, risks, and consequences of pursuing litigation should the issue arise and all matters of law as it relates to decision making Provide timely responses and feedback to ensure critical deadlines are met Advise on matters of school construction planning and environmental law, policies or other facility related issues as deemed necessary by the District Advise on matters regarding redevelopment, property acquisition, and entitlements. Other legal services as needed 3. GENERAL 3.1 Responsible Charge All licensed professionals in responsible charge of the work MUST be directly employed by the responding Consultant and NOT employed as a sub-consultant. 3.2 District s Agreement The Consultant, upon selection, will be required to enter into the District s Consultant Services Agreement ( Agreement ), Consultant shall be familiar with the District s indemnity clause and insurance requirements and must have the ability to secure insurance coverage and provide Proof of Certificated of insurance in conformance with the Agreement. 3.3 Compliance with all Applicable Laws The Consultant shall comply with all ordinances, laws, and regulations pertaining to the operation contemplated hereby, including but not limited to, the California Workers Compensation Act, the Federal Equal Employment Opportunities Act, and the American Disabilities Act. The Consultant shall apply for, obtain, and maintain in force all permits and licenses required by the various agencies of Federal, State and local government having jurisdiction over the Consultant operations. All operation and materials shall be in Rancho Santiago Community College District Page 4 of 17

accordance with all applicable Federal, State, County and City laws, statutes and requirements. 3.4 Working Conditions Each Consultant shall be capable of working indoors and outdoors, in all weather and site conditions including, but not limited to, rain, dirt, mud, and ice. The Consultant s activities may require kneeling, bending, climbing ladders, etc. 3.5 Disabled Veteran Business Enterprise Participation Goals The Rancho Santiago Community College District supports a participation goal of at least 3 percent (3%) of the overall dollar amount expended each year to Disabled Veterans Business Enterprises (DVBE). If Consultant is selected to provide services to the District, Consultant will be required to sign and return a Certification form certifying that they will provide the District with information regarding the use of any DVBE contractors or consultants on the project. Information about DVBE resources can be found on the Executive Branch s website at http://www.dgs.ca.gov/default.htm or by calling the Office of Small Business and DVBE Certification at 916-375-4940. The DVBE documentation will be required if the Consultant is chosen to provided services as a result of an RFP process. 4. PROPOSAL STATEMENT 4.1 Firm Information Provide a cover letter and introduction, including the company name, address, telephone number, and email address of the person(s) authorized to represent the institution regarding all matters related to the proposal. As part of the narrative, provide a brief synopsis of the firm s corporate structure and history and describe any litigation or threatened litigation against your firm or its owners that may affect your performance or completion of this proposed program. This narrative shall also include a description of the firm s dispute resolution process. Please also include in your cover letter your firm s philosophy with regards to a description of approach and experience as it relates to this building type and services as outlined in the RFP, developing recommendations, providing reports and assessments, working with multiple agencies, etc. A person authorized to bind the firm to all commitments made in the proposal shall sign this letter. 4.2 Firm Experience What differentiates your services from other providers? Include a summary of Consultant s relevant expertise and experience as it relates to scope of work included in this RFP. Consultant must demonstrate a minimum of three (3) years of relevant experience and success with similar projects. 4.3 Firm Approach and Methodology Describe the Consultant s philosophy with regards to a description of Consultant s approach and experience as it relates to basic services as outlined in this RFP, staff consulting experience, developing recommendations, providing reports and assessments, working with multiple agencies, and or team members. Provide a proposed work plan for assisting the District with the project outlined in this RFP. This shall include providing a proposal based upon the scope of services outlined within Rancho Santiago Community College District Page 5 of 17

this RFP and any alternative scope of work that the Consultant may recommend as appropriate based upon its experience and expertise. 4.4 Firm s Project Experience Provide a list of all relevant projects that the Consultant has worked on within the last five (5) years to demonstrate Consultant s relevant legal services experience and successes, as described in this RFP. Provide a list of projects that appropriately describes each with the date(s) that the relevant consulting work was performed, project name, property address, contract amount, services offered, and the name, title, address, and telephone number of a contact person who can be contacted for verification of information provided by the Consultant. Past Performance of Responder will be evaluated and clients listed may be contacted for a reference. 4.5 Current Workload and Availability State the consultant s ability to provide the Services in a timely matter and if those types of services are offered exclusively. Provide a list of current and anticipated commitments involving personnel (Project Team) that Consultant will assign to those projects including their anticipated start and completion dates for each. 4.6 Project Team and Sub-Consultants Provide identification of Consultant s Project Team (including sub-consultants) and the District s main point of contact utilizing an organization chart. Identify the following key information for each team member: their firm name, contact information, discipline, specific expertise, and experience. Utilize Exhibit C Team Member Resume Form to provide additional detailed resumes of each team member who will be the designated team available, knowledgeable, regularly attentive and working directly with the District. Utilize Exhibit D Team Member Experience Form to provide a minimum of five (5) relevant projects completed within in the last seven (7) years for EACH proposed team member (both for prime Consultant and any sub-consultant). Prime consideration will be given to Consultants who propose team members with experience in community college projects of similar size, type, and difficulty. Any sub-consultants designated by the Consultant shall be subject to approval by the District in writing prior to performing any work on behalf of the Consultant. The District has the sole discretion to reject any sub-consultants proposed by the Consultant whether designated by Consultant in its RFP or not. Any replacement sub-consultants shall be subject to the District s prior written approval. The members of this designated team shall not be changed unless agreed upon by the District. The District has the right to request additional sub-consultants in the future if those listed on this RFP may change. All licensed professionals in responsible charge of the work MUST be directly employed by the responding Consultant and NOT employed as a sub-consultant. 4.7 Billing Rates Each proposal must include a detailed description of the proposed fee schedule. Consultant shall propose an all-inclusive fixed fee for all of the services described in this Rancho Santiago Community College District Page 6 of 17

RFP. Consultant s proposed fee should include and account for all direct labor costs, fringe benefits, insurance, overhead, profit, and all other expenses the Consultant will incur in providing the services. Utilizing Exhibit E Billing Rate Form. Provide billing rates for all personnel and/or categories of employees (including sub-consultants) as well as any overhead or other special charges. If applicable, Consultant s RFP should include estimates for certain standardized components of the architectural and engineering services process. Provide any planned escalation rate for future years if already determined. All other services not included herein shall be negotiable as required. All proposed reimbursable expenses shall be directly related to the services required for the Project and must be supported by proper documentation and prior District authorization. Reimbursement shall not exceed cost plus 5%. 5 INSURANCE Legal firms must have the ability to secure insurance coverage and provide Proof of insurance and endorsements, as described below: Comprehensive general and auto liability insurance with limits of not less than one million dollars ($1,000,000) combined single limit, bodily injury and property damage liability per occurrence, including: Owned, non-owned and hired vehicles; Blanket contractual; Broad form property damage; Products/completed operations; and Personal injury; Professional liability insurance, including contractual liability, with limits of $2,000,000 per claim. Workers Compensation Insurance shall be maintained, in accordance with provisions of the California Labor Code adequate to protect any person, firm, or corporation employed directly or indirectly in connection with the work of the Legal firms from claims under Workers Compensation Acts which may arise from operations, whether such operations be by any person, firm, or corporation employed directly or indirectly by the Legal firms upon or in connection with the work. 6 SELECTION CRITERIA/EVALUATION PROCESS 6.1 Selection Criteria Although not necessarily exhaustive of the criteria to be utilized by the District, the District intends to use the following evaluation criteria in selecting the legal firms for various legal issues regarding Facilities Planning and Construction Projects: Timeliness and Completeness: To receive consideration, Consultant s RFP must be received by the Response Deadline. In addition, Consultant s RFP will be evaluated with respect to organization, clarity, completeness, and responsiveness to this RFP. Technical Qualification and Competence: This includes the Consultant s experience, expertise, and familiarity with the architectural and engineering services and applicable Rancho Santiago Community College District Page 7 of 17

laws and requirements for public works projects in general and school projects in particular. The Consultant s ability to provide proof of any required licenses and/or certifications for completion of the scope of work, if applicable. Record of Past Performance: This includes work quality, completion of work on schedule, cost controls, as well as the response of references provided by the Consultant. Approach to Work: This includes the identification of the project team, including subconsultants, project management coordination methodologies, analysis and study approaches, ability to respond to emergencies, delays and Consultant s ability to communicate effectively with District personnel, and offer advice in the best interest of the District. Contract Requirements and Cost Control: This includes compliance with contract requirements described in this RFP and cost control procedures, preliminary cost estimates, personnel utilization, billing rates for personnel and Consultant s policies respecting the pass-through to the District of overhead costs. 6.2 Evaluation The Proposals will be evaluated by an evaluation panel consisting of individuals selected by the District. At the District s discretion, to further assist in evaluation, some, one, or all of the responding firms may be requested to participate in an oral interview. The interview will be used as another opportunity to clarify any issues within a given proposal and explore the approaches that may be used to satisfy all District requirements. The District reserves the right to request that some or all of the responding firms consent to being interviewed by selected District personnel and/or representatives and/or submit additional written information. The District reserves the right to: additional RFPs. (i) extend the Response Deadline, and/or (ii) send out This RFP and any potential future RFPs or RFPs associated with this solicitation, does not commit the District to award a contractual agreement with any vendor or to pay any costs incurred in the preparation of RFP. The District reserves the right at its sole discretion to: (i) waive or correct any defect or informality in any response, (ii) withdraw this RFP, (iii) reissue this RFP, (iv) reject any and/or all RFPs, (v) prior to submission deadline for RFPs, modify all or any portion of the selection procedures including deadlines for accepting responses, services to be provided under the RFP, or the requirements for contents or format of the RFPs, (vi) waive irregularities, (vii) procure any services specified in this RFP by any other means, (viii) determine that no projects will be pursued and/or (ix) terminate or change the contracting process articulated in this RFP because of unforeseen circumstances. The District shall not be responsible in any manner for the cost associated with preparing a response/proposal and/or participating in an interview. The RFP s, including all drawings, plans, photos, and narrative materials, shall become the property of the District upon the District s receipt of same. The District shall have the right to copy, reproduce, publicize and/or dispose of each RFP in any way that the District may choose. Exhibit H Statement of Intent to Meet DVBE Participation Goals The Rancho Santiago Community College District has a participation goal for disabled veteran business enterprises ( DVBE ) of 3 percent, per year. Set forth below is a list of the anticipated participation of DVBEs which (the Consultant ) intends to use as part of its Agreement for CEQA Consulting Services for various projects and specifically for the 17 th & Bristol Street Project (the Program ).
