The By-Laws of t he HSC Brooklyn Chapt er Unit ed Universit y Professions Art icle 1: - Name The name of t his organizat ion shall be t he Healt h Science Cent er at Brooklyn Chapt er of Unit ed Universit y Professions, AFL-CIO Local #2190 herein aft er Healt h Science Cent er at Brooklyn Chapt er, t his Chapt er, and UUP. Art icle 2: - Purposes The purpose of t he Healt h Science Cent er at Brooklyn Chapt er shall be t o promot e t he aims of UUP, namely, t o improve t he t erms and condit ions of employment of t hose it represent s; t o promot e mut ual assist ance and cooperat ion among t he members of UUP; t o advance educat ion in a democracy and democracy in educat ion; t o promot e t he principle of unit y and collect ive bargaining in higher educat ion; and t o defend t he civil, professional, and human right s of t hose it represent s. It s purpose is also t o monit or local compliance wit h t he Agreement bet ween New York St at e and UUP. In addit ion, t he purpose of t he Healt h Science Cent er at Brooklyn Chapt er shall be t o promot e academic excellence and t o st rengt hen t he college and universit y communit y. This Chapt er will organize and support t he act ivit ies associat ed wit h it s campus responsibilit ies as a union and shall cooperat e wit h ot her chapt ers, UUP, UUP affiliat es and ot her appropriat e organizat ions in furt herance of t hese object ives. Art icle 3: - Membership Sect ion 1: - Composit ion Regular membership in t his Chapt er shall be open t o employees in t he Professional Services Negot iat ion Unit (08) at t he St at e Universit y of New York, College at Healt h Science Cent er at Brooklyn Membership st at us shall be defined by and membership in good-st anding shall be maint ained t hrough membership in UUP as specif ied in t he Const it ut ion of UUP. Sect ion 2: - Cat egories of Membership. Membership shall be of eit her of t wo cat egories: " academic" or " professional". " Academic" members shall be t hose persons wit h academic rank. " Professional" members shall be t hose persons wit h professional rank. Sect ion 3: - Classes of Membership. There shall be t he following classes of membership in t he Healt h Science Cent er at Brooklyn Chapt er, as defined by t he const it ut ion of UUP: Regular Membership; Special membership, eit her Ret ired or Sust aining; Associat e Membership; and Honorary Membership. Right s of members ot her t han regular members are defined by t he const it ut ion of UUP.
Art icle 4: - Chapt er Meet ings and Referenda Sect ion 1: - Aut horit y The Chapt er members shall make t he policy of t he Chapt er at duly const it ut ed meet ings or t hrough referenda. The annual budget shall be approved by majorit y vot e of t he Governing Board. Sect ion 2: - Frequency of Meet ings There shall be at least one meet ing of t he Chapt er membership each academic year. Sect ion 3: - Meet ings 3.1: - The Chapt er President shall call all meet ings of t he Chapt er membership and preside over t hem. The Chapt er President shall send out writ t en announcement of regular Chapt er meet ing t o all members at least seven days prior t o t he convening of t he meet ing. An announcement shall cont ain t he meet ing agenda; t hat agenda, howev er, may be modified at t he meet ing. 3.2: - Meet ings may also be called by t he pet it ion of a majorit y of t he Governing Board or at t he pet it ion of one-t ent h of t he members of t he Chapt er. 3.3: - A quorum shall consist s of a minimum of 25 members. Sect ion 4: - Referenda The Governing Board shall init iat e referenda by a majorit y vot e or upon t he pet it ion of at least t en per cent of t he chapt er members. The Elect ion Commit t ee shall conduct referenda. Sect ion 5: - Parliament ary Aut horit y Meet ings shall be conduct ed in accordance wit h t he lat est edit ion of Robert 's Rules of Order, Newly Revised except t hat t hese By-Laws or t he Const it ut ion of UUP shall t ake precedence. Art icle 5: - Officers Sect ion 1: - Officers 1.1: - The Officers of t he Chapt er shall include a President, a Vice President for Academics, a Vice President for Professionals, a Secret ary, a Treasurer, and a Grievance Chairperson. 1.2: - The President, Vice-President for Academics, and Vice-President for Professionals shall serve as Delegat es t o t he UUP Delegat e Assembly in accordance wit h t he Const it ut ion of UUP. Sect ion 2: - Select ion and Terms of Office 2.1: - Except as ot herwise specified, all officers shall be elect ed by t he Chapt er membership for a t erm of t wo years t o begin on June 1. The provisions of t he UUP Const it ut ion and Art icle 9 of t hese By-Laws shall govern elect ions. 2.2: - All Commit t ees Chairpersons as well as Part -Timers represent at ive shall each serve one year. They shall be appoint ed by t he Chapt er President.
2.3: - In t he event of a vacancy in an office, ot her t han t he president, t he Governing Board shall elect from among it s members an individual t o fill t he t erm of an office t hat becomes vacant. In t he event of vacancy on t he Governing Board or Delegat e, t he alt ernat e wit h t he largest number of vot es becomes a Governing Board member or Delegat e. In t he event t hat t he office of t he President becomes vacant, t he Vice-President of t he opposit e cat egory is first in line of succession. In t he event he or she declines or is unable t o fulfill t his office t he Vice-President of t he same cat egory t akes over. In t he event neit her Vice-President is able t o t ake office a special elect ion will t ake place wit hin one mont h. Sect ion 3: - Dut ies 3.1: - The President shall preside over meet ings of t he Chapt er and t he Governing Board; shall be t he first delegat e t o t he Delegat e Assembly; maint ain liaison wit h UUP; appoint chairpersons and members of commit t ees, be a non-vot ing member of all commit t ees; serve as t he administ rat ive officer of t he Chapt er; and perform ot her funct ions and dut ies usually at t ribut ed t o t he office of President. In addit ion, she or he represent s t he Chapt er t o t he Management, t o t he College communit y, and t he public. 3.2: - The Vice-President s shall have as t heir primary dut ies t he represent at ion of t he members of t he cat egories t hey represent. In addit ion, t hey shall perform ot her responsibilit ies and dut ies assigned by t he President and/ or t he Governing Board. In t he event t he President is absent, t he Vice-President for t he alt ernat e cat egory shall aut omat ically assume t he dut ies of t he presidency. 3.3: - The Secret ary shall keep accurat e minut es of all t he Governing Board and Labor Management meet ings. He or she shall assist in maint aining Chapt er f iles and shall perform such ot her funct ions usually at t ribut ed t o t his office as request ed by t he President, t he Governing Board, or t he Chapt er. 3.4: - The Treasurer shall be responsible for t he funds of t he Chapt er; keep accurat e account s of receipt s and disbursement s; be aut horized t o issue checks, as aut horized by t he President or appropriat e designee; report t o each meet ing of t he Governing Board; prepare an annual financial st at ement for t o t he Treasurer and Execut ive Board of UUP prepare a budget for submission t o t he Governing Board; and keep t he President and Governing Board informed of t he financial condit ion of t he Chapt er. 3.5: - The Grievance Chairperson shall be responsible for assist ing members of t he bargaining unit wit h problems, concerns and for processing grievances according t o appropriat e procedures. The Grievance Chair shall serve as chairperson of a Grievance Commit t ee. Art icle 6: - Governing Board Sect ion 1: - Composit ion 1.1: - The Governing Board shall consist s of : 1.1.1: - The officers, as specified in Art icle 5.
1.1.2: - The persons elect ed by t he Membership for t wo year t erms run concurrent ly wit h t hose of t he officers; academic and Professional Governing Board members, t he number and cat egory of whom shall be det ermined according t o t he const it ut ion of UUP. 1.1.3: - The following posit ions are t o be appoint ed by t he Chapt er President : Newslet t er Edit or; Affirmat ive Act ion Chairperson: Legislat ion Chairperson: Membership Chairperson; Part -Timers Represent at ive; Healt h and Safet y Represent at ive; 1.1.3.1: - Delegat es shall represent t he Chapt er at Delegat e Assembly. The first Delegat e shall be t he President : second shall be t he Vice-President of t he alt ernat e cat egory of t he President : t he t hird shall be t he Vice-President of t he same cat egory as t he President. Addit ional delegat es and alt ernat es shall be elect ed of t he membership according t o t he provisions of t he const it ut ion of UUP. 1.1.4: - Alt ernat e Governing Board member shall be a member of t he Board ex officio wit hout vot e. Sect ion 2: - Dut ies The Governing Board shall be t he policy-implement ing body of t he Chapt er and shall be responsible for t he administ rat ion of t he Healt h Science Cent er at Brooklyn Chapt er and it s act ivit ies. It shall approve a budget for submission t o t he Chapt er, approve all expendit ures, carry out policies est ablished by t he Chapt er, report it s t ransact ions t o t he Chapt er, suggest policies for considerat ion by t he Chapt er, arrange for such ancillary st aff members and assist ance as are necessary t o at t ain t he goals of t he Chapt er, act on behalf of t he membership in t he absence of membership policy and during periods of t ime when chapt er meet ings cannot be reasonably convened, and generally represent UUP and SUNY Healt h Science Cent er at Brooklyn Chapt er. The Board shall carry out such ot her dut ies as are reasonably associat ed wit h a Governing Board. Sect ion 3: - Meet ings 3.1: - The Governing Board shall meet mont hly during t he academic year. Meet ings shall be convened by t he President or by writ t en request of five Board members. Governing Board meet ings, ot her t han execut ive sessions, shall be open t o all members of t he Chapt er. Members of t he Governing Board shall be not ified by mail of Governing Board meet ings at least t en days prior t o t he meet ing dat e whenever feasible. 3.2: - A quorum shall consist s of a majorit y of t he members of t he Governing Board. 3.3: - Minut es of all regular Governing Board meet ings shall be dist ribut ed t o Governing Board members. 3.4: - Meet ings shall be conduct ed in accordance wit h t he lat est edit ion of Robert 's Rules of Order of Newly Revised except t hat t hese By-Laws or t he Const it ut ion of UUP shall t ake precedence. Art icle 7: - Ot her Chapt er Offices
Sect ion 1: - Alt ernat e Delegat es Alt ernat es delegat es shall be elect ed in accordance wit h const it ut ion of UUP. They shall replace absent delegat es, in order of vot es received, as delegat es t o t he Delegat e Assembly. Sect ion 2: - Ot her Chapt er Offices Ot her chapt er offices such as Depart ment Reps may be creat ed. The Governing Board shall also det ermine t he met hod of filling t hose offices. ARTICLE 8: - COMMITTEES Sect ion 1: - St anding Commit t ees 1.1: - Elect ion commit t ee: consist s of at least t hree persons t o oversee t he elect ions procedures; The Elect ion commit t ee shall be appoint ed by t he President. 1.2: - Labor-Management commit t ee: Chapt er officers shall const it ut e t he UUP commit t ee responsible for represent ing t he Chapt er at Labor-Management meet ings conduct ed pursuant t o t he Agreement bet ween UUP and t he St at e of New York. The President of t he Chapt er shall be responsible for t he conduct of t he meet ings. Members of t he Governing Board, Chapt er members and represent at ives or st aff employees of UUP may be added t o t his group by t he President. In t he event t he President is absent, t he Vice-President from t he alt ernat e cat egory shall be responsible f or t he conduct of t he meet ings. 1.3: - The Affirmat ive Act ion Chairperson shall be responsible for monit oring Affirm at ive Act ion relat ed concerns and shall report t o t he Chapt er, t he Governing Board, and t he Chapt er President as appropriat e and shall make such recommendat ions as she or he deems appropriat e. 1.4: - Addit ional st anding and Ad Hoc commit t ees may be est ablished. Unless ot herwise specified, t he President shall appoint membership of all st anding commit t ees. Members of HSC Brooklyn Chapt er shall be eligible for membership in commit t ees. Sect ion 2: - Ad Hoc commit t ees Ad Hoc commit t ees may be creat ed by t he President, and shall be governed, as appropriat e, by t he provisions of sect ion I of t his Art icle. Such commit t ees shall expire upon t he complet ion of t heir charge and/ or t he expirat ion of t he t erms of t he officers. Art icle 9: - Elect ions Sect ion 1: - Chapt er Elect ion Dat es Chapt er elect ions, except t hose held t o fill vacancies, shall be held every t wo years for each elect ive office and be complet ed no lat er t han May 1, unless ext raordinary circumst ances prevent meet ing t his deadline. Terms of office begin on June 1. Persons elect ed t o fill vacancies shall t ake office at t he t ime of elect ion.
No individual can be list ed on t he official ballot for more t han one officer posit ion. This does not preclude a candidat e for officer from running for Governing Board or Delegat e. Sect ion 2: - Chapt er Elect ions All elect ions shall be conduct ed in accordance wit h t he Const it ut ion and elect ions Guidelines of UUP, including t hose t o fill vacancies. Sect ion 3: - Conduct of Elect ions 3.1: - Chapt er Ad Hoc Elect ions will be conduct ed in accordance wit h t he UUP Const it ut ion. 3.2: - The Chapt er Elect ion Commit t ee shall prepare procedures for t he conduct of Elect ions and Referenda. The Governing Board shall approve t hese. Art icle 10: - Governance by Const ruct ion of, Rat ificat ion of and Amendment of t hese By- Laws. Sect ion 1: - Const ruct ion and Severabilit y 1.1: - If a provision is discovered t o be null and void because of conflict wit h an aut horit y t hat must t ake precedence, t he Governing Board shall have t he aut horit y t o change t he provision t o make it conform t o all necessary policies. 1.2: - A decision by a compet ent agency invalidat ing a cause, phrase, or sect ion of t hese By-Laws shall not invalidat e any ot her clause, phrase, or sect ion. Sect ion 2: - Amendment These By-Laws may be amended by a majorit y of t he vot es cast by t he Chapt er membership in a referendum. Amendment s may be proposed t o t he membership by t he Governing Board or by t went y percent of t he membership. The Chapt er By-Laws Commit t ee shall prepare procedures for amending t hese By-Laws. The Governing Board shall approve t hese. Sect ion 3: - Rat ificat ion These By-Laws shall supersede all prior const it ut ions and By-Laws of t his Chapt er. They shall go int o effect immediat ely upon being rat ified by majorit y vot e at a chapt er meet ing. Upon t heir rat ificat ion, a dat ed copy shall be made available t o all members and placed on file wit h UUP.
