KIOCL Limited is a Government of India Enterprise, having its registered Office at II Block, Koramangala, Bangaluru. KIOCL invite quotations from experienced contractor/firm/agencies for carrying out Annual contract for maintenance & repair of Air Conditioners at KIOCL Corporate office, Company quarters and Pellet auditorium, KIOCL Limited, II Block, Sarjapur Road, Bangaluru-560 034 2. The Bid shall be accompanied by an Earnest Money Deposit (EMD) of Rs. 2000.00 (Rupees two thousand only) and cost of the Tender document Rs.200.00 (Rupees two hundred only) (in the event of tender documents down loaded from web sites the cost of tender is to be furnished) & the same to be deposited in the form of: i. Bids not accompanied with EMD are liable for rejection. EMD shall be returned after submission of the initial Security Deposit in the case of successful bidder without interest. However, the same shall be returned to the unsuccessful bidders immediately after the award of work to the successful bidder without interest. 6. EXEMPTION OF EMD: Exemption from submission of EMD by Small Scale unit registered with the National Small Industries Corporation Ltd, (NSIC) or affiliated to Small Industries Services Institutes, etc, shall be governed by the guidelines issued by the Statutory Authorities from time to time and those bidders seeking such exception shall necessarily furnish requisite documents along with the tender. 7. FORFEITURE OF EMD EMD shall be forfeited if the tenderer withdraws or alter /modify the tender terms in any respect within the period of validity specified in the tender document after the due date of submission of bids. Non acceptance of the work order by the successful bidder the EMD shall be forfeited On accepting of the work order by the successful bidder and not performing the contact as per the terms and conditions of the work order then the EMD shall be forfeited. FREAK LOW QUOTES: In case after opening of price bid of technically cleared bidders, if it is noted that L-1 firm has withdraw from the tender then EMD shall be forfeited and firm may be given tender holiday for a period of two years. 3

8. REFUND OF EMD EMD shall be returned without interest after submission of the Security Deposit in the case of successful bidder. However, the same shall be returned without interest to the unsuccessful bidders after the award of work to the successful bidder. 9. Un-priced portion of the bid i.e. First sealed cover will be opened in the presence of Finance representative and Bidders or their authorised representatives. 10. The price bids of techno-commercially acceptable bidders will be opened on a specified date which will be communicated to the bidders for participation to witness the same 11. Acceptance of the bid will be intimated to successful bidder through a Letter of intent/work order. The bidder shall sign the said work order and send to the company within five days (5) from the date of receipt of the same. In the event of failure on the part of the bidder to sign and return the work order within the specified time, the EMD shall be liable to be forfeited at the sole discretion of KIOCL. 12. The period of works under this contract shall be ONE YEAR. The date of commencement of the contract shall be indicated in the LOI/Work order. 13. Renewal of the Contract: On satisfactory performance of the work by the contractor, KIOCL reserves the right to extend this contract on mutual agreement for further period of ONE YEAR on the existing rate, terms and conditions of the work order. 14. The Company reserves the right to reject any or all the tenders without assigning any reason. 15. Contractors shall abide by all the details of Instruction to Tenderers enclosed with the tender documents. 16. On submission of the tender, it is deemed that contractors have read, understood and agreed to the terms and conditions of the tender document. 17. Bidders are requested to make site visit to get acquainted with site conditions and the nature of work involved before submission of their bids. 18. B. TERMS AND CONDITIONS 1. Scope of work in this contract is briefed in the schedule of work enclosed. 2. The quantities given in the schedule of works are approximate and may vary or some of the items may not be executed. No claim by the contractor on account of variations, omissions and modifications will be entertained. 3. This contract is for maintenance & repairs of 61 nos. Air Conditioners installed at KIOCL Corporate office, Company quarters and Pellet auditorium as per the enclosed list at Annexure. The number of Air Conditioners under the AMC may be decreased or increased depending upon the replacement plan with new ACs. 4. Payment: No advance payment shall be made. The payment shall be made to the contractor on prorate basis depending on the no. of ACs maintained per quarter after completion of maintenance in each quarter along with the cost of spares used. The bidder shall submit the bills in duplicate along with the relevant documents certified by officer in charge. The payment will be released within 7 days after receipt of bill. The amount will be deposited to the bidders account through electronic transfer after deducting the applicable taxes. 5. Payment authority: JGM (F), KIOCL Limited, Bangaluru. 6. Penalty: Any break down call reported by this office should be attended within eight (08) hours. In case the service provider defaults in rendering the service beyond 8 hours in that case a penalty of Rs. 200/- per day will be impose for the period delay occurred. In that case the decision of the Competent Authority is final and binding. 7. Renewal of the contract: KIOCL reserves the right to extend the contract for a further period of 12 months subject to satisfactory performance which may be extended with the consent of both the parties if required. 8. Rates quoted against schedule works shall include all materials, labour, machinery expenses and hire charges, taxes, royalties, transport, maintenance incidents, enabling works etc., based on the conditions mentioned herein, except GST. Unless otherwise specified in the tender schedule the rates for all items will be deemed to include all leads, lifts and decent in the work. 9. The work executed shall be maintained in good condition for a period of SIX MONTHS from the date of completion including repair required if any at contractor's cost. If the contractor fails to fulfill his obligation during the maintenance period, the same shall be got done by the owner at contractor's risk and cost. 8

10. Security Deposit: The successful bidder has to furnish 10% of the order value as Security Deposit as specified by way of payment of Cash / DD or by way of Bank Guarantee from Indian Nationalised Banks / Scheduled Banks registered in India / Foreign Banks routed through any Nationalised / Scheduled Banks in favour of KIOCL Limited, within 15 days from the receipt of Order. The Bank Guarantee shall be strictly as per KIOCL format. Bank Guarantee should be valid for the specified period. Bank Guarantee issued by Co-operative Banks and Gramin Banks will not be accepted. 11. Any damage to the company's property caused by the contractor during the execution/maintenance of work shall be charged to the contractor and the amount of damage shall be left to the sole discretion of the Engineer. 12. Statutory deduction towards all applicable taxes shall be made as per rules. 13. Royalties if any for materials applicable shall have to be paid by the contractor. 14. All safety appliances like safety belt, helmets etc. have to be provided by the contractor to all his workers and supervisors. None of the workmen without safety appliances shall be allowed to work at heights. 15. The contractor shall abide with all the provisions contained in Factories Act and Rules/Regulations/Bylaws/Orders made there under. 16. OBLIGATIONS OF THE AGENCY / CONTRACTOR WITH REGARD TO STATUTES: The Agency shall be solely responsible as regards salary, wages and service conditions and terms extended by the Agency to his employees/workmen and shall in that connection maintain requisite records and comply with all laws, enactment, rules and regulations and orders dealing with employment of contract labour, payment of employees compensation, contribution under ESI Act, 1948, if applicable, and PF/EPF Act 1952, payment of minimum wages, payment of bonus, fire and safety regulations, regulations relating to employment of female workforce, security requirements and such other and regulations as may be applicable at present made applicable hereafter. The wages prescribed by the appropriate Government under the Minimum Wages Act, 1948 and all provisions of the Contract Labour Regulation Act and Factories Act shall be complied with by the Agency. Agency shall insure all employees for accidents and third party losses and produce the policy before commencement of Contract. All employees of the Agency shall be covered under Workmen Compensation Insurance and Group Accident Insurance cover, by the Agency. 9

17. INDEMNIFICATION: The Agency shall indemnify and keep indemnified the Company from and against all actions, claims, demands and/or liabilities whatsoever arising out of this agreement or consequent upon breach of any of provisions of this agreement and/or against any claim, action or demand by any of the Agency s Employees, person(s), firms, institutions under any law, rule or regulation having the force of law, including but not limited to, claims against the Company under employees Compensation Act, 1923. The Employees State Insurance Act, the Employees Provident Fund Act, 1952, The Contract Labour (Abolition & Regulation) Act, 1970 and the Minimum Wages Act, 1948 and any amendments thereto. 18. Fraud prevention policy of KIOCL Limited: Every one may take note that a Fraud Prevention Policy is being followed at KIOCL, which provides a system for prevention / detection / reporting of any fraud. It also forbids everyone from involvement in any fraudulent activity and that where any fraudulent activity is suspected by anyone, the matter must be reported to the Nodal Officer (Chief Vigilance Officer) as soon as he / she comes to know of any fraud or suspected fraud. 19. The Bids shall be valid for a period of three months from the due date of submission of the bid. Note : No additional condition shall be inserted in `Schedule of work. CONTRACTOR OWNER 10

SPECIAL CONDITIONS 1. Air conditioners (AC s) in use are of different make and model like Voltas & Lloyd. The bidder should be competent to repair and maintain all the AC s in proper condition. Bidders are requested to make site visit to get acquainted with site conditions and the nature of work involved before submission of their bids. 2. All jobs should be carried only after the officer-in-charge agrees and details of work done should be recorded. 3. Bidder should be able to send competent person for attending emergency works on holidays and after office hours as per requirement. 4. All newly supplied items (by the bidder) and jobs executed shall have a warranty of six months from the date of completion of work. A registry of jobs executed shall be maintained. 5. Whenever items are supplied/installed/serviced respective air conditioners should be ensured for good operation. 6. Bidder should keep the record of gas used since it is an environment hazard. 7. All tools, tackles, brazing set, Freon-22 gas, nitrogen gas, vacuum pump, brass fittings, copper tube, brazing rod, compressor oil etc, shall be arranged and supplied by the bidder for carrying out the jobs listed. 8. TERMINATION If either party hereto commits a breach of any of the terms and provisions contained in this CONTRACT and required to be observed/complied with on its part other than delay in payment or non-payment by KIOCL and CONTRACTOR of any amounts when due, the party affected by such breach shall notify the other party of such breach and the party committing the breach shall have fifteen (15) clear days from the receipt of such notice to correct or commence action to correct such breach. If the party committing the breach fail or neglect to remedy or commence action to remedy such breach within the said fifteen (15) clear days from the date of service of the notice as aforesaid, the party affected by the breach may thereafter serve on the party committing the breach a written notice of seven (7) clear days terminating this CONTRACT. 9. JURISDICTION: Only courts in Bangalore shall have jurisdiction regarding the matters relating to this contract. 11

EVALUATION AND COMPARISON OF BIDS: Based on the rates indicated in the Schedule of Work II (repairs), the estimated amount for one year period is Rs.1,00,000.00. The price bids will be evaluated by multiplying the percentages quoted by the bidders in Form of Bid for Schedule of Work II (repairs) to the estimated amount indicated above and adding the total amount arrived for Schedule of Work I (preventive maintenance). The total amount thus arrived will form the basis for arriving relative position of bidders. Placement of the order shall be considered on the L1 price so arrived. ALL PRICE BIDS WOULD BE EVALUATED WITHOUT CONSIDERING GST There will be no negotiation & order will be placed on the L-1 offer.
