i. Tenders should be addressed to the MANAGING DIRECTOR of TACTV by Designation only. ii. Tenders can be submitted in person on or before the due date and time specified in the Tender Notice. Such tenders should be dropped in the Tender Box, kept at TACTV, 34(123), Dugar Towes, 6 th Floor, Marshalls Road, Egmore, Chennai-8 only and will not be received personally. iii. Alternatively, the tenderers who prefer to submit the tender through post can dispatch them through registered post so as to reach the above address on or before the due date and time specified in the Tender Notice. Tender received after the due date and time will not be considered and TACTV will not be liable or responsible for any postal delays. iv. A tender once submitted shall not be permitted to be altered or amended. 2.3 Due Date and Time The sealed tenders should reach the Taml Nadu Arasu Cable TV Corporation, Chennai-8 before 03.00 P.M. on 28.01.2016. The tenders received after due date and time or unsealed or incomplete or received by facsimile (Fax) or by electronic mail will be summarily rejected. 2.4 Cost of Tender Document The cost of tender document is Rs.100/-. The Tender Documents purchased is not transferable to any other Bidder. The tender cost may be paid by Demand Draft in favour of Tamil Nadu Arasu Cable TV Corporation Limited, payable at Chennai. Alternatively, the Tender Document can be downloaded free of cost from www.tactv.in and www.tenders.tn.gov.in and submitted. For downloaded tender document, the bidder need not enclose the tender document cost. 6
2.5 Earnest Money Deposit (EMD) a. The Bid should contain EMD amount of Rs.10,000/- by way of Demand Draft or Banker s cheque drawn on any Indian Nationalised/Scheduled Commercial Bank in favour of Tamil Nadu Arasu Cable TV Corporation Ltd payable at Chennai. b. The EMD of the unsuccessful Bidders will be returned after the acceptance of the successful tender, within a reasonable time consistent with the rules and regulations in this behalf. c. The above EMD held by Tamil Nadu Arasu Cable TV Corporation Limited (TACTV) will not earn any interest thereof till it is returned d. Any bid not secured with the EMD amount will be rejected by TACTV non-responsive. e. The EMD amount may be forfeited: if a bidder withdraws the bid during the period of bid validity specified in the tender OR in the case of successful bidder, if the bidder fails to sign the contract or to submit the Security Deposit. All the Bidders should compulsorily pay the EMD amount as mentioned in the Tender document and there is No Exemption. The EMD of the unsuccessful as well as successful Bidders will be returned after the acceptance of the successful tender, within a reasonable time consistent with the rules and regulations in this behalf. 2.6 Authorization to sign the Tender The bids shall be typed or written in indelible ink and shall be signed by the Bidder or a person or persons duly authorized to bind the Bidder to the Contract. 2.7 Submission of Tender : a. b.. The address of the bidder should be clearly written on the cover. 2.8 Details to be furnished 1. The Bidder should enclose the documentary proof in support of Eligibility Criteria as specified in the Tender document Clause 2.1. 2. The rate should be quoted in INR and indicated clearly both in words and figures. The Bidders should attest in case of any scoring or overwriting. The rate quoted should be firm and should not be subjected to any variation clauses. 3. If the rate quoted is different between words and figures, the highest rate quoted will be taken as quoted rate. 2.9 Opening of Tender The Tender will be opened at 03.30 PM on 28.01.2016 by the Managing Director, TACTV or any other officer authorized by him on his behalf at the TACTV s Chennai Office in the presence of those Bidders or their authorized representatives who may prefer to attend Tender opening. Representatives who are attending the opening of the tenders should bring a letter of authority from the Bidder Companies which they represent to identify their bonafides. The tenders will be evaluated based on the tender terms and conditions. The decision of Managing Director TACTV shall be final in this regard. The Managing Director, TACTV/persons authorized by him on behalf of TACTV reserves its right to negotiate with the bidders after opening of tenders and after getting the highest bid for improvement in the offer and to accept or to reject any or all offers without assigning any reasons whatsoever. In case of disputes in tender/auction, the decision of tendering authority shall be final and binding on all. 2.10 Bid Evaluation The highest quoted price in the tender (H1) over and above the Reserve price will be set as the base price during the auction. 8
The highest Bidder in the auction is automatically eligible for allotment of the Car. 2.11 OTHER TERMS AND CONDITIONS 1. Documentary proof of identity and address (preferably Xerox copies of voters ID / driving licence / ration card / BSNL telephone bill or any other document accepted under KYC norms) should be submitted alongwith the tender application. If no such proof of identity / address of the bidder is provided and the bidder is not present during tender opening, that bid shall be considered null and void. Tender documents without documentary proof will be accepted subject to submission of documentary proof / verification of proof of identity and address of the bidder only if present during tender opening. 2. If the tender is submitted by a person other than individual, the details relating to constitution must be specified. 3. If the tender is submitted through Power of Attorney Holder or authorized Representative, proof of authorization should be enclosed. 4. Along with each tender earnest money of Rs. 10000/- (Rupees Ten Thousand only) shall be remitted by means of Demand Draft / Banker s Pay Order favouring Tamil Nadu Arasu Cable TV Corporation Ltd The Demand Draft / Pay Order shall not be dated earlier than the auction notice and shall be payable in Chennai only. 5. Tenders complete in all respects should be enclosed in a sealed cover superscribed thereon as TENDER FOR MITSUBISHI CEDIA SPORTS SEDAN- VEHICLE REGN. NO. TN-09-W-3333 - TENDER NO:TACTV/11/CAR/2015 DT.11.01.2016. 6. TACTV reserves the right to reject any or all the tenders without assigning any reasons thereof. TACTV reserves the right at its discretion to call for fresh set of tenders or to sell the vehicle by public auction or to withdraw, any of the vehicle from sale. 9
7. If the tender is accepted, the same will be intimated to the successful tenderer. The earnest money deposited by him/them shall be held as Security Deposit for due performance of the contract. 8. Successful tenderers will be required to deposit the full amount of the Auction amount after adjusting the earnest money deposited along with the particular tender within 7 days or on or before the date and time specified in the letter / fax intimating acceptance of tender. Upon deposit of the full amount as aforesaid and upon production of the intimation letters, the tenderer shall take delivery of the vehicle. Failure to deposit the balance within the time specified shall be construed as breach and the earnest money deposit will be forfeited without prejudice to TACTV s right to claim damage for breach of contract and expenses of resale of the vehicle without further notice, at his risk and cost. 9. No extension for making the payment after the period, as stipulated in Para (8) above will be granted or the successful tenderer will not be allowed to make part payments. However TACTV may, in its sole discretion, entertain and consider request for extension of time for not more than 7 days for making payment provided a. The request has been made in writing and duly signed by the successful bidder himself. b. The request has been received before the specified time limit for making the payment. c. The request is accompanied with an additional deposit of 15% of the total bid amount. This additional deposit will be liable for forfeiture along with earnest money already deposited if the balance amount is not paid and the vehicle is not taken delivery within the extended period of time which shall not, in any case exceeds 7 days without prejudice to Bank s right to claim damages for breach of contract and expenses of resale of the vehicle without further notice. d. Interest at the rate of 18% for the balance amount and garage charges at the rate of Rs.500/- per day from the date of original time allowed till the date of taking delivery of the vehicle shall be payable by the successful bidder. 10
10. Subject to condition no. 11 hereunder earnest money deposit given by the unsuccessfull tenderers shall be returned to them either in person or by post within a reasonable time. 11. If for any reason, TACTV considers the question of accepting the offer of the second/third highest tenderer, the earnest money deposit made by him / them shall be withheld and if TACTV finally decides to accept the offer of the second/third highest tenderer, the same shall be intimated to him. The terms and conditions regarding forfeiture, deposit of balance amount etc. would be applicable to second/third highest tenderer also. 12. TACTV does not give any warranty as to the description, condition or accuracy of details regarding the vehicle given in the schedule and vehicle is sold on AS IS WHERE IS basis. The tenderer shall be deemed to have satisfied himself on these points including the vehicle offered for sale. No sale shall be invalidated by reasons of any error or default in description thereof in THE SCHEDULE HERE TO AND NO COMPENSATION SHALL BE PAYABLE IN RESPECT OF ANY SUCH DEFAULT OR ERROR OR MISDESCRIPTION. 13. Obtention of NOC from other states RTOs for vehicles with other state registration and re- registration of such vehicles in other states is the responsibility of the buyer. All statutory obligations, risks and responsibilities will be borne by the successful tenderer from the time and day of taking delivery of the vehicle. 14. THE TENDERER SHALL HAVE TO VERIFY THE TAX PAID, INSURANCE COVER ETC. from the documents of the vehicle available at the above address before submitting the tender. No further claims shall be entertained in this regards after the tender opening. 15. Tender once submitted cannot be withdrawn on any account. 16. The delivery of the vehicle shall be given ex-garage to the tenderer / or his / their duly authorized representative whose 11
signature must be attested by the tenderer. The driver, etc, will have to be arranged by the tenderer himself. The removal of the vehicle will have to be completed within 7 days from the date of issue of sale release order failing which additional charges for garaging and other costs will become payable. 17. The amounts in the tender forms are recommended to be filled both in words and in figures failing which the tender can be rejected. All corrections may be attested with date of such corrections. COMPLETE ADDRESS OF THE TENDERER MUST BE GIVEN IN BLOCK LETTERS. 18. The vehicle will be transferred in the name of the tenderer only at his own cost. 19. In token of the tenderer having read, understood and accepted the terms and conditions, the tenderer should sign below in the copy of this and enclose the same along with the tender, if not the tender will be rejected on that grounds. 20. The successful bidder has to bring the sale letter and other R.T.O. forms. 21. Tenders without EMD will be summarily rejected. 22. All Bank charges will be borne by the tenderer. 4. Arbitration In case of any dispute, the matter will be referred to an Arbitrator to be appointed by Managing Director of TACTV under "Arbitration and Conciliation Act 1996". The arbitration should be held in Chennai only and the Courts at Chennai, India only should have jurisdiction in relation thereto. 12
